Assignment of Space:Booths are assigned on a ‘first come, first serve’ basis. Exhibitors who participated at last year’s PYP conference will be given priority. Location compatibility is at the discretion of the conference committee. no exhibitor shall transfer, assign, sell or barter assigned space. the Denturist association of ontario PYP conference committee reserves the right to reassign space as it deems necessary or appropriate, and reserves the right to refuse a company as exhibitor.

exhibit representatives:Each single booth exhibit space receives two complimentary exhibitor registrations;

each double booth exhibit space receives four complimentary exhibitor registrations. Additional representatives are allowed in the exhibit space for a fee of $75 plus HSt (does not include attendance at conference events). each single booth shall have no more than 4 total representatives per booth; each double booth shall have no more than 8 per booth. the Dao reserves the right to refuse sales reps and agents of any company who are not representative of the positive language of the DAO.

exhibit move-in:exhibitors are expected to set up their booth(s) on thursday, September 12 after 9:00 a.m. all exhibits must be set up and ready for the tradeshow by 12:00 p.m. Any booths not set up by this time may not be permitted to set up and any exhibitor funds paid will be forfeited.

exhibit move-out:No exhibit shall begin being dismantled before the official closing time of 5:00 p.m. on Thursday, September 12. all exhibitor material must be packed and removed from the floor area by 5:30 p.m. the resort reserves the right to dispose of any materials/packages that are not picked up within 24 hours of the event. A charge may apply.

exhibit Services (additional cost):Stronco is the full show services provider and is available to assist with exhibit set-up, furnishings, lighting, audio-visual and other requirements. closer to the event, conference exhibitors will receive an electronic or print information package outlining Stronco’s services and prices.

Shipping and Receiving:Deerhurst Resort will not accept or store packages prior to the event. Stronco will

handle all exhibitor requirements for storage, customs declarations and shipping goods and materials to and from the resort. Please refer to Stronco’s information package for details. Please note that dollies are not provided to transport your exhibit materials.

accommodation:BOOK EARLY: a limited number of rooms have been set aside, based on availability, until August 21, at Deerhurst Resort. Registration and Badges:All exhibitors must register by completing the attached Tradeshow Contract. For planning purposes, please indicate the names of those who will be staffing the booth. Upon arrival, please come to the DAO registration desk on Thursday morning to pick up your name badge(s) and receive confirmation of exhibit locations. Badges must be worn at all times.

Security and Insurance:The Denturist Association of Ontario will not assume responsibility for loss or damage. Exhibitors should take precautions to protect their property and, in particular, have adequate insurance coverage.

2019 Perfecting Your Practice® ConferenceRules and RegulationsDefiniTionS: as used herein, “the Dao” shall mean the Denturist association of ontario and its officers, committees, agents, employees, members and independent contractors or any one or more of them. “exhibitor” shall mean the company participating in the tradeshow and its officers, employees, representatives and agents or any one or more of them. The DAO President is the official spokesperson and has final say.

ExHiBiTOR APPLiCATiON/CONTRACT: this exhibitor Application/Contract, including these Rules and Regulations, when executed by Exhibitor, shall, upon written acceptance by the Dao conference committee, constitute a valid and binding contract allowing exhibit space in the DAO’s 2019 Perfecting Your Practice® (PYP) Conference on September 12, at Deerhurst resort resort, Huntsville, ontario.

PAYmENT POLiCY: Full payment (100%) is due with application. Deadline for application/payment is Friday, May 31, 2019.

ExHiBiT SPACE RENTAL AND FEATuRES: exhibitor acknowledges that the booth price rental includes basic booth set-up and other items specified herein. The price does not include any other exhibit services beyond those itemized in this contract. Exhibitors will be responsible for maintaining an acceptable standard of cleanliness in booth interiors and adhere to booth move-in and move-out hours. any special or unusual exhibit construction or installation must be identified in the application and approved in writing, in advance, by the DAO and Deerhurst Resort Resort, as well as any food and beverage distribution by the Exhibitor.

ExHiBiTOR REgiSTRATiON: Each exhibiting company will receive two Exhibitor registration badges per single booth, which include lunch and refreshment break. Additional Exhibitor badges are available at an extra cost. Exhibitor personnel must wear an Exhibitor’s badge at all times. The DAO reserves the right, at any time, to request proper identification from the person whose name is imprinted on the badge.

ASSigNmENT: This agreement shall not be assigned or transferred by the Exhibitor. It binds the Exhibitor as well as any affiliated companies and their representatives.

ExHiBiTOR CANCELLATiON POLiCY: cancellations received by the DAO in writing on, or before, July 12, 2019 will receive a 50% refund. After July 12, 2019, no refunds will be issued. The DAO reserves the right to resell cancelled spaces.

NO-SHOw POLiCY: Exhibitor will be considered a no-show if the booth space is unoccupied by 11:30 a.m. on thursday, September 12, 2019. The DAO will deem the Exhibit Space Contract cancelled and may assign the space to another Exhibitor with no refund provided to the original Exhibitor. The DAO is not obligated to relocate an Exhibitor who arrives after the deadline.

CANCELLATiON BY THE DAO: the Dao reserves the right to cancel space should payment not be received from Exhibitor when due, or should any other term of this contract be breached by exhibitor. In the event that space is cancelled by the DAO, all payments made to date by Exhibitor will be forfeited. the Dao may lease such cancelled space to another exhibitor at its discretion. If the Dao is prevented from holding all or part of the PYP conference due to any cause beyond its control (including, but not limited to strike, fire, civil disobedience, inclement weather, lockout or act of God), the DAO will provide a full refund to the Exhibitor and shall have no further obligation or liability to the Exhibitor.

BACKDROPS/DRAPES: Stronco Show Services provides all exhibit booths with curtains, bunting and drapes that meet the standards of the fire department in Mississauga, Ontario. Should an Exhibitor bring additional materials, proof that they are flame-retardant may be required by the fire Marshall. If materials do not meet code, they will have to be replaced with materials provided by the official decorator.

Any costs incurred, including labour, will be at the Exhibitor’s expense.

DECORATiON: the Dao shall have full discretion and authority in the placement, arrangement and appearance of all items displayed by an exhibitor. If any item or booth requires replacement or rearrangement, the Exhibitor shall attach no liability to the DAO. Exhibitors installing special background or side dividers must make certain that the surfaces of such dividers are finished in such a manner as not to be unsightly to Exhibitors in adjoining booths. If such surfaces remain unfinished by 11:30 a.m. Thursday, September 12, 2019, the Dao shall authorize Stronco to effect the necessary finishing and the Exhibitor must pay all charges involved.

AuDiO uSE: Utilization of audio will be allowed if audible only within a two-foot perimeter. The units must fit on the tables provided. Exhibitor acknowledges and agrees that it shall be solely responsible for obtaining any licences, permits, etc., which may be required to broadcast, perform or display any copyrighted materials, including, but not limited to, music, video and software. Exhibitor shall indemnify, defend and hold the DAO from and against any and all claims and expenses, including attorney fees and costs, arising out of or related to Exhibitor’s breach of this provision.

OBSTRuCTiON AND PROjECTiONS: no exhibitor, at any time, shall obstruct, or allow to be obstructed, aisles or open spaces, and no sign or projection may be hung or projected over the aisle ways of open spaces or in any way affect the display or view of neighbouring Exhibitors. The maximum height for all booth display space is eight feet (8’) including signs. Exhibitors purchasing two or more booths located a the end of an aisle or in a row may remove the side rail between booths; however, Exhibitors in booths within the aisle may not remove the rear rails to create an artificial walkthrough that does not appear on the floor plan.

CARE OF PREmiSES: Deerhurst Resort does not allow signs or other exhibit material to be fastened to walls, doors, etc. in the exhibit area using nails, screws, staples, tape, or any other method. The Exhibitor must not write or paint on exhibit area premises and agrees to protect floors at all times. Exhibitors are responsible for any damage to the facility.

COmPETiTiONS, DRAwS AND CONTESTS: any prizes, draws or contests by Exhibitor must be approved by The Dao prior to the PYP conference and permission for same must be requested by August 2, 2019. All promotions and competitions conducted in conjunction with the Exhibitor’s display must be free of any obligation on the part of the winner.

DEmONSTRATiONS: no demonstrations or solicitations shall be permitted outside permitted hours, and no signs or placards may be displayed on persons or otherwise outside the assigned exhibit space unless the DAO receives a written request by August 2, 2019, and written approval is granted.

SATeLLiTe evenTS: no sponsor or exhibitor shall conduct or sponsor any event or hospitality suite, which would encourage attendees away from the PYP conference/tradeshow or evening sponsored events by our major sponsors who are recognized to hold such events. No hospitality event, activity will be permitted that would distract from the major sponsors’ events. The DAO reserves the right to disallow a company, person or representative of any such company from attending the conference during the current year or following year(s) without penalty. Events not recognized and approved in writing by the PYP executive committee shall not be held during the conference from Wednesday evening prior to PYP through to friday at 5 pm.

COmPLiANCE: exhibitor assumes all responsibility for compliance with all pertinent bylaws, ordinances, regulations, and codes of duly authorized local, provincial and federal governing bodies concerning fire, safety and health, together

with the rules and regulations of the operators and/or wonders of Deerhurst Resort Resort.

iNDEmNiFiCATiON: exhibitor shall at all times indemnify, release and hold harmless the DAO from and against all claims, actions, damages, awards, loss and expense without limitation, those in respect of loss of life, bodily or personal injury to any person, including Exhibitors or damage to Exhibitor’s property arising from the actions, errors or omissions of the Exhibitor or for any person for whom the Exhibitor is responsible for during its occupancy, or move-in, or move-out of Deerhurst resort resort.

iNSuRANCE: the exhibitor shall be prepared to provide to the Dao, upon request, satisfactory proof it carries and has in full force and effect, public liability and property damage insurance in connection with the use of the exhibit space in an amount of not less than $1,000,000 for any one occurrence. Such insurance shall name and protect the Dao as additional insured.

LiABiLiTY: Exhibitor assumes all risks of loss for bodily injury or property damage arising from the Exhibitor’s participation in the tradeshow of the PYP 2019 conference. The DAO assumes no liability for injury of any person or loss or damage to the property of the Exhibitor or guests at any time.

mATERiAL HANDLiNg / DRAYAgE: Exhibitor agrees to arrange for shipping, storage and delivery of booth materials through Stronco Show Services. Deerhurst Resort, will not accept shipments from Exhibitors.

OBjECTiONABLE CONDuCT: the Dao reserves the right at any time to reject prohibit, restrict or remove Exhibitors, exhibits, or the operation of exhibits, which may be objectionable to the participants or to the DAO. This applies to personal conduct or printed material that may be, as determined by the DAO, objectionable or otherwise detracts from the tradeshow or the 2019 PYP conference. The DAO reserves the right to alter or close any exhibit which does not conform with either the Rules and Regulations of this contract or reasonable standards as defined by the DAO in its sole discretion. No refund shall be given under such circumstances.

SECuRiTY: During the 2019 PYP Conference, protection of property, including goods, equipment and materials, against loss or damage, and the safety of persons, remains the risk and responsibility of the Exhibitor/owner of the property.
