VI. Adjournment

Minutes of the First Quarter Business Meeting First Baptist Church, Clemson April 14, 2013

The moderator, Jerry Kerns, called the meeting to order at 6:40 PM. He noted that the minutes of the fourth quarter 2012 regular business meeting held on January 9th and minutes of called business meetings on February 27th and March 24th, 2013, were included in materials previously distributed. These minutes were approved as distributed.

Moderator Kerns then began the discussion of the Quarterly Report previously distributed. The first comments were made by Dr. Rusty Brock concerning work of the Properties Ministry Team. He reported that work on the sign for the front of the church was nearing completion. Part of the sign will be electronic and this is the final step toward completion of the sign. He thanked Bill Foster and Cookie Fitch for their work on this project.

Dr. Brock reported that the Landscaping and Grounds Ministry Team is working on the project to have the mulched area behind our back parking lot paved for use by First Baptist Church for parking.

Moderator Kerns recognized Frank Cox, Chair of the Stewardship and Finance Ministry Team, who reported progress on refinancing our building loan. The team set-up a Building Loan Refinance Team consisting of Jim Nickless, Becky Jo Clark, Tom Hennessy, and Bill Lanham. They have met with six financial institutions to request a term sheet for First Baptist Clemson to refinance our loan. Five of the institutions have responded. On Thursday, April 18th, the Team will meet and determine the best option from one of the five and provide their choice to the Stewardship and Finance Ministry Team. We will report out to the congregation on the selection.

A correction was made to change the name Hazel Burch to Billie Burch in the Family Service Ministry Team Report.

Media Ministry Team. Jerry Kerns and Dale Adkins have been working to improve the radio ministry presentation. They asked members who have listed to the broadcasts to comment on the quality of the broadcasts.

A motion was made, seconded, and passed to approve the contents of the Quarterly Report as presented (copy attached).

Letters of Transfer. Motion was made, seconded, and approved to honor requests for transfer detailed in the Quarterly Report Jerry Kerns mentioned that Dr. Brock was schedule to have shoulder surgery on Monday, April 15th.

Frank Cox offered the closing prayer. The meeting was adjourned at 6:55PM

Respectfully submitted,

Henry Perkins, acting clerk Minutes of the Called Business Meeting First Baptist Church, Clemson May 8, 2013

Moderator, Jerry Kerns, called the meeting to order in the Family Life Center at 5:58 pm.

Jerry recognized Frank Cox, Chair of Stewardship and Finance, who introduced the S&F Subcommittee who worked out a new loan agreement for our $ 2 million+ loan. Members are Bill Lanham, Jim Nickless, Tom Hennessey and Becky Jo Clark.

Frank Cox called on Becky Jo Clark, who brought the recommendation from the Stewardship & Finance Ministry Team, asking the church to approve the trustees signing a new loan agreement for about $2 Million and a security deed (mortgage on the church property). The name of the bank selected is to remain confidential until after a positive vote.

Becky Jo explained that 6 banks were presented with a list of 10 loan criteria, such as length of loan, interest rate, and remaining principal. The term sheets were then evaluated from the banks, with the most important criteria being amortization and interest rates. Further negotiations followed. The selected bank was thoroughly vetted and agreed to have an appraisal completed by a third party, which should exceed $4 million. The subcommittee met with S&F, which voted unanimously in support of the lender with the best overall term sheet for FBC.

Joe Turner has met with attorney Charles Deal, who will process the loan without fee. (First Baptist Church will pay real costs such as tax and title.)

Becky Jo announced savings with the new loan of $222,000 over 5 years if the principal continues to be paid off at approximately $200,000 per year. The new lender’s bid is about half of our present interest rate of 5.93%, effective for the next 5 years and the new lender provides the most flexibility. Becky Jo then made the following motion:

Stewardship and Finance recommends that FBC authorize trustees to sign the new bank loan agreement and the security deed as approved by the S&F Ministry Team.

After brief discussion, those present voted by a show of hands and the motion was approved by a large majority.

Becky Jo Clark then announced the bank selected: First Citizen’s.

Meeting adjourned at 6:12 pm. Respectfully submitted,

JoAn Shearin, Church Clerk

Minutes of the Called Business Meeting First Baptist Church, Clemson May 22, 2013

Moderator, Jerry Kerns, called the meeting to order in the Family Life Center at 6:17 pm. Jerry recognized Cathy Turner, who introduced the other members of the Ministry Manual Committee, appointed by the deacon chair, Jerry Kerns: Russ Marion, Craig Williams and Melba Blanton.

Cathy submitted the Manual for Councils, Ministry Teams, and Special Committees, dated May 22, 2013, which was made available to the church members seven days prior to tonight. Cathy also thanked Tiffany Hamilton and Donna Baun for their help in preparing the Manual.

There were no questions and after the call for question, those present voted by a show of hands to accept the Manual.

Jerry then recognized Brenda Welter from the Nominating Ministry Team, who presented the slate of Officers and Ministry Teams, dated May 22, 2013. Brenda noted several vacancies that will be filled by the Nominating Ministry Team, once this team has been completed by the Leadership Council. Again, there were no questions. After a motion and second that nominations be closed, those present voted by show of hands in favor of the motion. We then voted to accept the slate presented by the NMT, again by a show of hands, with no opposition.

Jerry expressed his appreciation to the church family for its cooperation during this transition time. Tonight was the last time Jerry will serve as moderator for business meetings, due to the new structure of governance. Meeting adjourned at 6:25 pm.

Respectfully submitted, JoAn Shearin, Church Clerk

PERSONNEL MINISTRY TEAM: Kelly Durham [email protected]

During the second quarter, the PMT transitioned to post-IT structure. The PMT worked with the chairs of Music Minister Search Committee and the Stewardship & Finance Ministry Team to develop a proposed compensation package for Dr. Forbes. The PMT chair met with Dr. and Mrs. Forbes to present, explain and negotiate the package. In June, the PMT started the annual process of evaluating the Senior Minister by inviting comments from the congregation. In view of the organizational changes adopted by the Church, the PMT also began a review of our Personnel Policies. Respectfully Submitted

PROPERTIES MINISTRY TEAM: John Gilbert [email protected]

1. The Properties Ministry Team (MT) had an initial team meeting on June 12th and discussed duty and membership changes contained in the revised Manual for Councils, Ministry Teams, and Special Committees. The Properties MT now includes properties and equipment, transportation, and landscaping and grounds. The Properties MT membership is 8 members, however at this time; only 6 have been nominated by the Church Nominating Committee and approved by the Church congregation. Four of the six were in attendance at the initial meeting. Also, 2 volunteers were present.

2. Ron Young volunteered to lead the Landscape and Grounds Sub-MT. Benjie McGill volunteered to continue leading the Transportation Sub-MT. John Gilbert and Benjie McGill will work closely on the Properties and Equipment Sub-MT. All Properties MT members will be called on to assist with projects in any of these Sub-MT areas as the need arises.

3. Status of current major Building issues are as follows: A. Masonry work on the Church sign has been completed. There continues to be a delay with the City of Clemson approving a

new policy which allows use of digital signs in the city. The Property MT members agreed we would continue installation of the

Page 10: First Baptist Church of Clemson - Clover Sitesstorage.cloversites.com/firstbaptistchurchofclemson... · The team set-up a Building Loan Refinance Team consisting of Jim Nickless,

sign and not turn it on until City approval of their new sign policy. In the interim, a temporary cover, with Church service times, will be placed on the masonry structure. The latest estimate of approval is September.

B. MT members met several times with representatives of Neal Prince Architects / aka LS3P Architects ref our basement leak. They also brought in a contractor specializing in water leak resolution. We last met June 27th to discuss a proposal from the contractor and determined we needed to complete additional preliminary work prior to any contract. Our next step is to evaluate waterproofing below grade around the walls on the northwest corner of the courtyard and also replace some of the drain pipe below the gutter with a larger capacity pipe.

C. A pictorial inventory of church furniture and equipment was completed in early May. An inventory folder and flash drives were given to the church office for safe keeping.

D. Although there are no current issues with our HVAC systems, many units are operating beyond their normal life expectancy. In early July, we are meeting with our HVAC contractor to discuss condition of these units. We will also ask for his recommendation(s) on how we can best make repair vs. replacement decisions in the future.

E. Bill Foster and Cookie Fitch volunteered to continue a project they started several months ago to consolidate and better organize paper documents which are pertinent to acquisition and maintenance of Church facilities and equipment. One file cabinet has already been donated. The best location for the cabinet is being determined. Consolidating and organizing the files will be an ongoing project.

4. Landscape and Grounds Sub-MT issues: A. Work is progressing on a project to grade, pave, and stripe the area between the Church parking lot and Sloan Street for

additional Church parking. A fire hydrant has been removed which was delaying this project. A contractor has been selected and work will begin soon.

5. Projects/Issues brought up by Properties MT members: Several minor projects were mentioned by MT members and will be additions to our “To Do” list.

Stewardship & Finance Ministry Team: Frank Cox [email protected]

With the reorganization and new governance in-place, the Stewardship and Finance Ministry Team calls for 6 members. As of June 29th, we have 5 members – LeRoy Adams, Jim Nickless, Tom Hennessy, Becky Jo Clark, and Frank Cox, Chairman. Bill Lanham as Church Treasury is a voting member. As of June 23rd, the Sunday offerings to the Church amounted to $433,142.58 with additional revenues of $26,831.79. We are approximately $26,000 behind in the general offering, but this has been the pattern of June, July, and August for a number of years. Without saying, the support and generosity of the congregation continues to bless our Church. The building fund is a major focus for us in 2013. On June 18th, the Trustees signed our new loan agreement with First Citizens Bank. We begin our new loan period with a debt of approximately $2,017,000. We are not doing a reasonable job of debt servicing our loan as most of the original pledges to the Building Fund campaign have been fulfilled. LeRoy Adams and a team from the Stewardship and Finance Ministry Team (past and present) are reviewing options for debt servicing the loan as well as some initiatives for the ministry budget offering and fund raising. They hope to have the initiative complete by September. The financial statement is provided for the second quarter:

DEACONS: Jerry Kerns [email protected]

The Deacons of First Baptist continue to participate in Deacon Family Ministry with the members and participants of the Church. We met each of the 3 months of this quarter with most Deacons present for each meeting. We assisted in each Worship service of the Church and assisted in serving communion on the first Sunday of each month. We hosted the first, First Sunday Luncheon in the FLC. We continue to be a welcoming presence in the vestibule and the Welcome Center each Sunday, as well as serving as Greeters at each door of the sanctuary at Worship times. A welcome desk has been obtained and modified to meet our needs to assist in this task in the Welcome Center. In our role as Spiritual leaders within the Church we offer a presence in each Sunday School class and organization of the Church and are available to our families on an ongoing basis. We help to keep the Ministerial staff up to date on any issues within the Church family. During the upcoming months we will begin the process of helping the Church elect new Deacons using the newly approved guidelines where Sunday School classes will play a role in the nominations leading to this election.

Members Ministry provided refreshments in the Welcome Center and set up a display board with photos.

Seven new persons joined during the April-May-June quarter: Ruth McKay, Michael and Rebecca Turner, Michael and Ashley Sewall, Sydney Thomas, and Sam Thomas. Each received a new member packet that included a photocopied church directory. It was decided in June to include additional items in the new member packets: information about The Spiritual Gifts Inventory and a current copy of elected Officers, Ministry Teams, and Ministry Area Leaders.

Pictures of new members are taken on the Sunday they join, and the pictures are displayed on the bulletin board outside the FLC. New members are invited to be guests at a Wednesday night supper of their family’s choice, and they will be recognized at the dinner.

New Members Ministry created an updated area description and submitted it for church approval.

The next Welcome event is set for August 18th before Sunday School in the Welcome Center. Lauren Evans and Ryan Forbes, new staff, will be invited to participate in the welcome event.

Recreation: A softball team was sanctioned through the Clemson/Central Recreation Department with games scheduled from Kyle Young, Leader April 16 to June 4.

Social: Social Ministry was in charge of a Meet & Greet for Ryan Forbes and his family on June 23 before Sunday School. Jane Barnwell, Leader The event was held in the Family Life Center as requested by the Music Ministry and was attended by a good number of church members. Refreshments were provided. Visitation: The major activity has been recruiting members to be part of the visitation program to our shut-ins. We still need Peggy Cover, Leader two more volunteers. Many of our shut-ins have experienced major health issues this quarter with most of them on the road to recovery.

This last quarter we studied about mission projects closer to home. Cecilia Beck works in a troubled neighborhood in Shelby North Carolina. She cares for her friends by helping children with homework and activities afterschool including Bible study. She drives sick and elderly neighbors to doctor appointment. She plants seeds of kindness and shows God's love every day. We also learned about Kim and Marc Wyatt who welcome immigrants and refugees to Canada as their way of serving God. They help them find housing and furniture, learn the language, fill out paperwork. Kim and Marc also open their home for Bible studies.

Our volunteers that helped with Mission Friends this year were;

Harriet Simmons Wendy Hapeshis Erin Richardson Judy Quisenberry Jamie Young Susie Swann

On our last Mission Friends meeting in May, the children were each given the book; "The Bernstein Bears All Things Bright and Beautiful".

The Children Mission Sundays were highlighted by studies of Cecilia Beck of Shelby, NC and the Wyatts of Canada. Thanks to Ann Young, Judy Quisenberry, Gervais Emanuel, and Emily Gooding.
