WILDVEILINGWILDVEIL INGVERKOOPSVOORWAARDES

[Veilingshuis verwys na “GWK” en die persoon wat die veiling behartig word die “afslaer” genoem]

1. Hierdie reëls voldoen aan die bepalings van artikel 45 van die Verbruikerswet, 68 of 2008, wat soos volg lees:

“45(1) In this section, ‘auction’ includes a sale in execution of or pursuant to a court order, to the extent that the court order contemplates that the sale is to be conducted by an auction.

(2) When goods are put up for sale by auction in lots, each lot is, unless there is evidence to the contrary, regarded to be the subject of a separate transaction.

(3) A sale by auction is complete when the auctioneer announces its completion by the fall of the hammer, or in any other customary manner, and until that announcement is made, a bid may be retracted.

(4) Notice must be given in advance that a sale by auction is subject to-

(a) a reserved or upset price; or (b) a right to bid by or on behalf of the owner or

auctioneer, in which case the owner or auctioneer, or any one person on behalf of the owner or auctioneer, as the case may be, may bid at the auction.

(5) Unless notice is given in advance that a sale by auction is subject to a right to bid by or on behalf of the owner or auctioneer-

(a) the owner or auctioneer must not bid or employ any person to bid at the sale;

(b) the auctioneer must not knowingly accept any bid from a person contemplated in paragraph (a); and

(c) the consumer may approach a court to declare the transaction fraudulent, if this subsection has been violated.

(6) The Minister may prescribe requirements to be complied with by an auctioneer, or different categories of auctioneer, in respect of-

(a) the conduct of an auction; (b) the records to be maintained with respect to

property placed for auction; and (c) the sale of any such property by auction.”2. Hierdie verkoping mag onderworpe wees aan ‘n reserwe

prys, maar sodanige sal spesifiek deur afslaer bekend gemaak word.

3. Die verkoper [eienaar] en/of sy agent en/of die afslaer mag bie tot en met die reserwe prys van die verkoper [eienaar], maar sal nie daarop geregtig wees om ‘n bod te maak gelykstaande of hoër as die reserwe prys nie.

4. Die afslaer sal gedurende die veiling die rede vir die veiling afkondig, tensy die rede daarvoor die normale en vrywillige vervreemding deur die eienaar is.

5. Die veiling sal aanvang neem op die gepubliseerde tyd en sal nie vertraag word om enige persoon of meer persone toe te laat om deel te neem aan die veiling nie.

6. Alle goedere en lewende hawe (hierna genoem die “bates”) word deur die afslaer as die verkoper se agent verkoop, welke die afslaer hiermee magtig om namens die verkoper die koopprys te vorder vanaf die koper en sedeer die verkoper hiermee al die verkoper se reg tot titel, belange en regte in en tot die eis om betaling van die koopprys teen die koper, welke sessie hiermee deur die afslaer aanvaar word.

7. Die koopprys sluit BTW en enige ander kostes uit, welke insluit maar nie beperk is tot die afslaer se kommissie, en moet BTW en ander kostes by die koopprys gevoeg word en betaal word, tensy daar uitdruklik anders vermeld word deur die afslaer.

8. Alle bates, nadat die bod toegeslaan is en deur die verkoper aanvaar is, sal as gelewer aan die koper beskou word. Nieteenstaande lewering, sal die koper nie gemagtig wees op verwydering van die gekoopte bates, tensy die totale bedrag of die afslaer se faktuur ten opsigte van die bates nie ten volle betaal is nie.

9. Nieteenstaande lewering, sal eienaarskap van die gekoopte bates nie oorgaan op die koper tot en met die volle koopprys tesame met rente, indien enige, betaal is nie.

10. Onderworpe aan enige reserwe prys van enige van die verkoper se bates, en die bepalings van klousules 11 en 12 hierna, sal die koper van enige verkoping die hoogste bod wees soos aangewys deur die afslaer deur middel van die slaan van die hamer of op welke wyse ook al.

11. Die veiling sal plaasvind onder die uitsluitlike beheer van die afslaer. Die afslaer behou die reg voor, in sy uitsluitlike diskresie, om ‘n bod te weier van enige persoon, om die bieëry te reguleer en die hoogste bod aan te wys. Indien die afslaer vermoed dat ‘n bieër nie ‘n bona fide bod gemaak het nie, of nie daartoe in staat sal wees om die koopprys te betaal nie of nie voldoende reëlings getref het om die koopprys te betaal nie, mag die afslaer weier om die bod te aanvaar of voorlopig aanvaar totdat die afslaer tevrede is dat die koopprys voldoende betaal kan word of dat voldoende reëlings getref is vir die betaling van die koopprys. Indien die bod geweier is onder hierdie omstandighede, mag die afslaer die bates weer opveil.

12. Indien ‘n dispuut tussen die bieërs en/of die afslaer ontstaan, mag die afslaer in uitsluitlike diskresie, die bates in dispuut weer opveil.

13. In die geval van enige fout deur die afslaer, sal laasgenoemde daarop geregtig wees om die fout reg te stel sodra dit ontdek is.

14. Alle wins, risiko en verlies ten opsigte van die bates sal oorgaan op die koper ten tye van lewering aan die koper, welke op eie risiko en koste die bates vanaf die verkoopsperseel sal verwyder, onderworpe aan klousule 8 bo. Die koper sal verantwoordelik wees vir alle koste aangegaan deur beide die verkoper en/of die afslaer tot en met verwydering van die bates.

15. Indien enige kontrakteur op instruksies van die afslaer die bates vanaf die verkoopsperseel verwyder namens die koper, sal die kontrakteur as die koper se kontrakteur beskou word en aanvaar die koper alle koste en risiko verbonde aan sodanige verwydering.

16. Die verkoper waarborg dat die bates nie beswaar is nie, dat die bates die regmatige en wettige eiendom van die verkoper is en dat die verkoper gemagtig is om dit te vervreem. Die verkoper waarborg aan die koper dat die bates vry van enige sigbare of versteekte defekte.

17. Die verkoper waarborg aan die afslaer dat die bates vry van enige defekte is, welke sigbaar of versteek, en dat enige reg of eis aan die afslaer gesedeer ingevolge hierdie veilingsreëls, vry van enige defek, reg tot vermindering of verrekening is en dat sodanige reg of eis ten volle en

onmiddellik afdwingbaar is teen die koper.18. Die koper sal voor aanvang van die veiling, vasstel of

die bates enige defekte het en enige bod deur die koper gemaak sal beskou word as ‘n aanvaarding van enige defekte, welke sigbaar of versteek, ten opsigte van die bates se toestand ten tye van die verkoping.

19. Die verkoper wat die bates te koop aanbied, aanvaar alle aanspreeklikheid vir die inligting voorsien ten opsigte van stambome, ouderdomme, datums van diens, gesondheidstoestand of dragtigheid of enige ander besonderhede wat dalk verkeerd mag wees. In die geval van ‘n dispuut sal die koper slegs ‘n eis teen die koper kan instel en nie teen die afslaer nie.

20. Die koper sal nie geregtig wees om betaling terug te hou vanaf die afslaer nie as gevolg van enige moontlike of eindigende eis wat die koper teen die verkoper mag hê op grond van enige wanvoorstelling of welke rede ook al.

21. Die koopprys is betaalbaar in kontant deur die koper aan die afslaer (in die diskresie van die afslaer) of by wyse van ‘n bankgewaarborgde tjek op datum van verkoping (“betalingsdatum”) tensy ‘n ander wyse van betaling ooreengekom is tussen die afslaer en die koper. Die veilingshuis mag enige wyse van betaling weier.

22. Indien die afslaer toestem om enige koopprys van die bates te fasiliteer deur ‘n bedrag gelykstaande aan die koopprys aan die verkoper direk te betaal, alvorens die afslaer betaal word (“die betalingsvoorwaardes”), sal die volgende van toepassing wees:

22.1. Die keuse om betaling direk aan die verkoper te maak, sal in die uitsluitlike en absolute diskresie van die afslaer wees, welke diskresie afsonderlik op ieder en elke transaksie aangegaan deur die koper, uitgeoefen mag word.

22.2. Met betaling van die bedrag soos na verwys in 22.1, sal die koper se regte, titel en belange in en ten opsigte van enige eise en/of ander regte teen die koper ingevolge die verkoop van die bates voortaan oorgedra en gesedeer word aan die veilingshuis, welke sessie die afslaer hiermee aanvaar.

23. In die geval van enige Betalingsvoorwaardes aangegaan tussen die afslaer en die koper, sal die volgende van toepassing wees:

23.1. Geen Betalingsvoorwaardes sal geldig wees tensy opskrif gestel en behoorlik onderteken namens die afslaer nie. Die fasilitering van enige verkoping deur die afslaer so na verwys in hierdie paragraaf 10, sal uitdruklik onderworpe wees aan die bepalings en voorwaardes van die Betalingsvoorwaardes.

23.2. In die geval van enige teenstrydigheid tussen die inhoud hiervan en die Betalingsvoorwaardes, sal die bepalings van die Betalingsvoorwaardes heers.

23.3. Geen aansoek om krediet soos omskryf in artikel 8 van die Nasionale Kredietwet, 34 van 2005, sal deur die afslaer ontvang of oorweeg word nie.

24. Enige een wat van voorneme is om te bie by die veiling (koper) moet sy identiteit op die bieërsregister voor aanvang van die veiling registreer, welke registrasie aan die bepalings van FICA (Financial Intelligence Centre Act, 2001) moet voldoen ten opsigte van bepaling en bevestiging van die persoon se identiteit en die persoon moet die registrasie dokument onderteken en die voornemende koper moet aan die afslaer ‘n afskrif van sy identiteitsdokument en bewys van adres oorhandig.

25. Enige persoon wat namens ‘n ander persoon (ie ‘n individue) koop moet aan die afslaer ‘n getekende mandaat oorhandig, voor aanvang van die veiling, by versuim hy persoonlik aanspreeklik sal wees vir enige aankope deur hom gemaak. Die persoon wat namens ‘n ander bie of dokumente onderteken na afloop van ‘n suksesvolle transaksie, verbind homself hiermee as medehoofskuldenaar saam met die koper vir betaling van die koopprys en onderneem persoonlik om aan al die koper se verpligtinge onder hierdie reëls te voldoen.

26. ‘n Persoon wat van voorneme is om die veiling by te woon, om te bie en om die bieërsregister te onderteken namens ‘n ander (ie regsentiteit) moet aan die afslaer ‘n getekende magtiging oorhandig wat hom uitdruklik magtig om namens die entiteit te bie en die bieërsregister te onderteken, voor aanvang van die veiling, by versuim hy persoonlik aanspreeklik sal wees vir enige aankope deur hom gemaak. Waar ‘n persoon namens ‘n ander entiteit bie moet sodanige magtigingskrywe op die entiteit se briefhoof verskyn tesame met ‘n gesertifiseerde afskrif van die resolusie, indien nodig, wat hom magtig om te bie namens die entiteit. Die persoon wat namens ‘n ander bie of dokumente onderteken na afloop van ‘n suksesvolle transaksie, verbind homself hiermee as medehoofskuldenaar saam met die koper vir betaling van die koopprys en onderneem persoonlik om aan al die koper se verpligtinge onder hierdie reëls te voldoen.

27. Indien ‘n koper ‘n ander persoon toelaat om op sy koper-nommer te koop, sal die geregistreerde koper verantwoordelik wees vir betaling van enige aankope. Geen bod sal aanvaar word vanaf ‘n ongeregistreerde koper nie en sal hy ook geen aanspraak kan maak op enige bates beweerdelik deur hom gekoop nie.

28. Tot en met alle gelde deur die koper verskuldig, betaal is, sal die koper hiermee:

28.1. onherroeplik onderneem om die aangekoopte bates te identifiseer op so ‘n wyse dat hy die bates ter enige tyd sal kan uitken en uitwys as die geagte eiendom van, en gewaarborg aan, die afslaer.

28.2. te alle redelike tye toegang tot die perseel waar die bates gestoor of gehou word vir die doel van vervolmaking van sy ondernemings of uitoefening van enige regte ingevolge hierdie reëls, aan die afslaer verleen.

29. Die koper en verkoper stem hiermee toe tot die jurisdiksie van die Landdroshof ingevolge artikel 45 van Wet 32 van 1944, soos gewysig, ten aansien van enige aksie wat deur die afslaer teen die koper ingestel mag word, alhoewel dit die afslaer vrystaan om enige aksie in te stel in enige hof wat oor die nodige jurisdiksie mag beskik.

30. ‘n Sertifikaat deur enige gemagtigde persoon van die Veilingshuis, wie se aanstelling en magtiging nie bewys hoef te word nie, sal as prima facie bewys van die bedrag verskuldig deur die koper aan die verkoper of die afslaer, beskou word.

31. Enige toegewing gemaak deur die afslaer aan die koper

of verkoper sal geen regte van die afslaer ingevolge hierdie reëls benadeel nie en sal sodanige toegewing nie ‘n wysiging, afstanddoening of novasie van hierdie reëls daarstel nie.

32. Die inskrywings gemaak in die Veilingshuis se veilingsregister sal as prima facie bewys dien van die transaksie en sal bindend wees op die koper en verkoper.

33. Die bieërs rekord en die verkoper of vendu register sal beskikbaar gestel word vir gratis inspeksie binne ‘n redelik tydperk na afloop van die veiling, by die afslaer se kantoor gedurende besigheidsure.

34. Die afslaer het ‘n trust rekening waarin alle gelde betaal sal word tot die voordeel van die verkoper min die ooreengekome kommissie.

35. Enige bates aangebied of geregistreer vir verkoping sal onderworpe wees aan betaling deur die verkoper/koper van die ooreengekome kommissie. Indien daar geen ooreenkoms is nie sal die normale kommissie soos gebruiklikerwys deur die afslaer van tyd tot tyd gehef, betaalbaar wees. Kommissie sal betaalbaar wees ongeag of die bates verkoop tydens die veiling, na afloop van die veiling of enige privaat verkoping daarna. Tensy skriftelike ooreengekom, sal kommissie onmiddellik opeisbaar en betaalbaar word op toestaan van die bod of by die sluit van ‘n privaat verkoping ten opsigte van die verkoper se veilingsbates, watter een ook al eerste plaasvind, nieteenstaande enige breuk as gevolg van die verkoper of koper.

36. Elke bod sal ‘n aanbod om die bates te koop daarstel vir die bedrag gebie, welke aanbod deur die verkoper of afslaer aanvaar of verwerp mag word op beide se uitsluitlike diskresie. Die verkoper en afslaer is daarop geregtig, in hul uitsluitlike diskresie om die bates te onttrek van die verkoping voordat dit deur die verkoper aanvaar is.

37. Indien geen bod gelykstaande of hoër is as die reserwe prys nie, indien enige, mag die bates onttrek word.

38. Die afslaer aanvaar geen verantwoordelikheid vir die onttrekking van bates nie.

39. Geen bod mag onttrek word na die toestaan daarvan nie terwyl die bevestigingstydperk nog nie verstryk het nie, gedurende welke tydperk die bod oop sal wees vir aanvaarding deur die verkoper of sy agent en as die bod aanvaar word sal dit as ‘n veilingsverkoping geag word vir doeleindes van die Wet.

40. Die hoogste bieër met betrekking tot onroerende eiendom, synde die koper, sal die verkoopsvoorwaardes onmiddellik na toestaan van die bod onderteken.

41. Die koper se aanbod met betrekking tot onroerende eiendom sal eers geag as aanvaar te wees sodra die verkoper of sy agent of watter een ook al van toepassing mag wees, aan die onderkant in die toepaslike spasie van die verkoopsvoorwaardes geteken het.

42. Indien toestemming vir die verkoping benodig word van enige statutêre magtiging of hofbevel, sal sodanige verkoping onderworpe wees aan die verkryging van die toestemming.

43. Die koper en verkoper stem hiermee toe om prokureur-en-kliënt kostes te betaal in die geval van enige regsaksie wat deur die afslaer of veilingshuis teen hulle ingestel mag word.

44. Enige ooreenkoms teenstrydig met hierdie reëls, sal nie bindend wees nie, tensy dit skriftelik vervat en deur alle betrokke partye onderteken is.

45. Indien enige klousule of terme van hierdie reëls ongeldig, onafdwingbaar of onwettig is, sal die balans van die terme en voorwaardes skeibaar wees daarvan en ten volle voortduur en afdwingbaar wees, tensy sodanige ongeldigheid, onafdwingbaarheid of onwettigheid tot die kern van hierdie reëls gaan.

46. Indien die koper in breuk van hierdie reëls sou wees as gevolg van sy versuim of andersins nalate om die koopsom binne 7 dae vanaf betaaldatum te betaal, sal die afslaer daarop geregtig wees om:

46.1. voorgeskrewe mora rente vanaf die koper te eis vanaf datum van koop tot en met datum van betaling; en/of

46.2. die bates terugneem en herverkoop op die koper se risiko en sal die koper aanspreeklik wees vir alle kostes ten opsigte van die herverkoping en enige skade en verlies en sal die koper nie geregtig wees op enige

wins wat mag ontstaan as gevolg van die herverkoop nie; en/of

46.3. regsaksie instel vir die betaling van enige bedrag wat verskuldig mag word of vir die teruggawe van die bates in welke geval klousule 46.2 van toepassing sal wees; en/of

46.4. verhaal van die afslaer se regskostes bereken teen prokureur-en-kliënt skaal sowel as enige invorderings-, spoor-, stoor- of vervoerkoste; en

46.5. behou as waarborg enige bates of ander eiendom in die besit van die afslaer welke aan die koper of die verkoper behoort as sekuriteit vir die vervulling van enige verpligtinge verskuldig aan enige party of die afslaer.

47. Die veilingshuis behou die reg voor om hierdie reëls skriftelik te wysig.

48. Deur ‘n bod in te stel, verbind die voornemende koper homself aan hierdie reëls.

WILDVEILINGWILDVEIL INGCONDITIONS OF SALE

[Auction house refers to “GWK” and the person conducting the auction will referred to as the “Auctioneer”]

1. These rules comply with the provisions of section 45 of the Consumer Protection Act, 68 of 2008, which reads as follows:

“45(1) In this section, ‘auction’ includes a sale in execution of or pursuant to a court order, to the extent that the court order contemplates that the sale is to be conducted by an auction.

(2) When goods are put up for sale by auction in lots, each lot is, unless there is evidence to the contrary, regarded to be the subject of a separate transaction.

(3) A sale by auction is complete when the auctioneer announces its completion by the fall of the hammer, or in any other customary manner, and until that announcement is made, a bid may be retracted.

(4) Notice must be given in advance that a sale by auction is subject to-

(a) a reserved or upset price; or(b) a right to bid by or on behalf of the owner or auctioneer, in

which case the owner or auctioneer, or any one person on behalf of the owner or auctioneer, as the case may be, may bid at the auction.

(5) Unless notice is given in advance that a sale by auction is subject to a right to bid by or on behalf of the owner or auctioneer-

(a) the owner or auctioneer must not bid or employ any person to bid at the sale;

(b) the auctioneer must not knowingly accept any bid from a person contemplated in paragraph (a); and

(c) the consumer may approach a court to declare the transaction fraudulent, if this subsection has been violated.

(6) The Minister may prescribe requirements to be complied with by an auctioneer, or different categories of auctioneer, in respect of-

(a) the conduct of an auction;(b) the records to be maintained with respect to property placed

for auction; and(c) the sale of any such property by auction.”1. This sale could be subject to a reserve price, but such will be

specifically expressed by the auctioneer.2. The seller [owner] and/or his agent and/or the auctioneer

may bid up to the reserve price of the seller [owner], but shall not be entitled to make a bid equal to or exceeding the reserve price.

3. The auctioneer will during the auction announce the reason for the auction, unless the reason is the normal and voluntary disposal by the owner.

4. The auction will commence at the published time and will not be delayed to allow any specific person or more persons to take part in the auction.

5. All goods and livestock (hereafter referred to as the “assets”) are sold by the Auctioneer as agent on behalf of the seller, who authorises the auctioneer to collect the purchase price from the buyer and the seller hereby cedes to the auctioneer all the seller’s rights, title and interest in and to its claim for payment of the purchase price against the purchaser which session the Auctioneer hereby accepts.

6. The purchase price excludes VAT and any other costs, including but not limited to auctioneer’s commission, and VAT and any other costs must be added to the purchase price and paid by the buyer, unless specifically stipulated otherwise by the auctioneer.

7. All assets shall, immediately after the bid has been knocked down and accepted by the seller, be deemed to have been delivered to the buyer. Notwithstanding delivery, the buyer shall not be entitled to remove any purchased assets, unless the total amount reflected on the auctioneer’s invoice in respect of such assets has been paid in full.

8. Notwithstanding delivery, ownership of the purchased assets will not pass to the buyer until the full purchase price plus interest, if any, is paid.

9. Subject to any reserve placed on any of the assets by the seller, and the provisions of clauses 11 and 12 below, the buyer at any sale shall be the highest bidder indicated by the auctioneer by the fall of the hammer or by such other means as he may select.

10. The auction shall take place under the exclusive control of the auctioneer. The auctioneer reserves the right, in his sole discretion, to refuse the bid of any person, to regulate the bidding and to indicate the highest bidder. If the auctioneer suspects that a bidder has not made a bona fide bid, or is unable to pay the purchase price or has not made satisfactory arrangements for payment of the purchase price, he may refuse to accept the bid of such bidder or accept it provisionally until the bidder has satisfied him that he is in a position to pay the purchase price or that he has made satisfactory arrangements for payment thereof. On refusal of a bid under such circumstances the assets may immediately be re-auctioned.

11. In the event of a dispute arising amongst the bidders and/or the auctioneer, the assets in dispute shall, at the sole discretion of the auctioneer, be re-auctioned.

12. In the event of any error by the auctioneer, the latter shall be entitled to correct such error upon discovery thereof.

13. All profit, loss or risk in the assets will pass to the buyer once it has been delivered to the buyer who shall at his own risk and expense remove it from the sale venue, subject to 8 above. The buyer shall be responsible for all costs incurred by either the seller of auctioneer until actual removal of the assets.

14. Should any contractor remove any assets from the sale venue on instruction of the auctioneer, on behalf of the buyer, the contractor will be deemed to be the contractor of the buyer who accepts all costs and risks related to such removal.

15. The seller warrants that there are no encumbrances on such assets, that the assets are the property of the seller and that the seller is competent and legally entitled to dispose of the assets. The seller warrants the buyer that the assets are free of any patent or latent defects.

16. The seller warrants the auctioneer that the assets are free of any patent and latent defects and that any right or claim ceded to the auctioneer in terms of these rules of auction is free of any defect or right of deduction or set-off and that the said right or claim is fully and immediately enforceable

against the buyer.17. The buyer shall prior to the sale, ascertain whether there are

any defects in the assets and any bid by a buyer shall be considered as acceptance of the assets with any patent or latent defect in their condition at the time of sale.

18. The seller, who offers the assets for sale, accepts all liability regarding the information furnished as to pedigrees, ages, dates of service, state of health or gestation or any other particulars which might be incorrect. In the event of any dispute the buyer shall only have a claim against the seller and not against the auctioneer.

19. The buyer shall not be entitled to withhold payment of the purchase price to the auctioneer as a result of any possible or ending claim that he may have against the seller on the grounds of misrepresentation or for any other reason whatsoever.

20. The purchase price is payable by the buyer to the auctioneer in cash (to the discretion of the auctioneer) or by bank-guaranteed cheque on the date of sale (“the payment date”) unless other payment terms and/or means are agreed upon between the auctioneer and the buyer. The auction house reserves the right to refuse any method or means of payment.

21. In the event that the auctioneer agrees to facilitate the purchase price of the assets by paying an amount equal to the purchase price to the seller before the buyer makes payment to the auctioneer (“the payment terms agreement”), then the following shall apply:

22.1. The election to make any payment to the seller, shall be in the sole and absolute discretion of the auctioneer, which discretion may be exercised separately in regard to each transaction entered into by the buyer.

22.2. Upon payment of the amount referred to in 22.1 above the seller’s right, title and interest in and to any claims and other rights against the buyer in terms of or connected with the sale of the assets shall forthwith be ceded and transferred to the auction house which session the auctioneer hereby accepts.

22. In the event of any Payment Terms Agreement between the

auctioneer and the buyer, the following shall apply:22.1 No Payment Terms Agreement shall be valid unless reduced

to writing and duly signed on behalf of the auctioneer. The facilitation of any sale by the auctioneer as referred to in this paragraph 10 shall be strictly subject to the terms and condition of the Payment Terms Agreement.

22.2 In the event of any conflict between the contents of this document and the Payment Terms Agreement, the provisions of the Payment Terms Agreement shall prevail.

22.3 No application for credit as defined in section 8 of the National Credit Act, 34 of 2005, will be received or considered by the auctioneer.

23. Anyone that intends to bid at the auction (buyer) must register his identity on the bidder’s record prior to the commencement of the auction and such registration must meet the requirements of the FICA (Financial Intelligence Centre Act, 2001) in respect of the establishment and verification of identity of the person and the person must sign the registration entry and the prospective buyer must furnish the auctioneer with a copy of his identity document and proof of residence.

24. Any person who purchases on behalf of a principal (i.e a natural person) must furnish the auctioneer with a written signed power of attorney, prior to the commencement of the auction, failing which he will be personally liable for payment of any purchase made by him. The person bidding on behalf of or signing any document on behalf of the purchaser pursuant to a successful bid hereby binds himself personally as co-principal debtor with the buyer for payment of the purchase price and personally undertakes to comply with all the obligations of the buyer under these rules of auction.

25. A person who attends the auction, to bid and to sign the bidder’s record, on behalf of another person (i.e a legal entity) must produce a signed letter of authority that expressly authorises him to bid or sign the bidder’s record on behalf of that person, prior to the commencement of the auction, failing which he will be personally liable for payment of any purchase made by him. Where a person is bidding on behalf of another entity the letter of authority must appear on the letterhead of the entity and must be accompanied by a certified copy of the resolution, if required, authorising him to bid on behalf of the entity. The person bidding on behalf of or signing any document on behalf of the purchaser pursuant to a successful bid hereby binds himself personally as co-principal debtor with the buyer for payment of the purchase price and personally guarantees al the obligations of the buyer under these rules of auction.

26. In the event where a buyer allows another person to purchase on his buyer’s number, the registered buyer shall be liable for payment of such purchases. No bid by an unregistered buyer will be accepted by the auctioneer and the buyer will have no claim to any of the assets allegedly purchased by him.

27. Until all amounts owing by the buyer have been paid in full, the buyer hereby:

27.1 irrevocably undertakes to identify the purchased assets in such a manner that he can at any time identify and indicate the assets deemed to be the property of, and pledged to, the auctioneer.

27.2 grants the auctioneer at all reasonable time access to the premises where the assets are stored or kept for the purposes of perfecting its pledge and exercising any other rights in terms of these rules of auction.

28. The buyer and the seller hereby consent to the jurisdiction of the Magistrate’s Court in terms of section 45 of Act 32 of 1944, as amended, for any action instituted by the auctioneer against the buyer although the auctioneer is entitled to institute proceedings in any competent court.

29. A certificate by any authorised person from the Auction House, whose appointment and authority shall not be necessary to prove, shall be prima facie proof of the amount owing by the buyer to the seller or the auctioneer.

30. Any indulgence granted by the auctioneer to the buyer or the seller will not prejudice the rights of the auctioneer in terms of these rules of auction and such indulgence will not constitute an amendment or waiver or novation of these rules of auction.

31. The entries made in the Auction House’s auction roll shall be prima facie evidence of the transaction and shall be binding on the seller and the buyer.

32. The bidder’s record and the vendor or vendu roll will be made available for inspection within a reasonable time after the auction, at the office of the auctioneer during normal business hours free of charge.

33. The auctioneer has a trust account into which all moneys will be paid for the benefit of the seller minus the agreed commission.

34. Any assets entered or offered for sale are subject to payment by the seller/buyer of the agreed commission, or in absence of an agreement, the usual commission by the seller/buyer to the auctioneer at the rate customarily charged by the auctioneer from time to time, whether the assets are sold at the auction or thereafter, or at any time thereafter by private treaty. Unless otherwise agreed in writing, commission shall become due and payable by the seller/buyer upon the fall of the hammer or upon the entering into of a private treaty involving the seller’s said assets, whichever date is the earlier and notwithstanding any breach on the part of the seller/buyer.

35. Every bid shall constitute an offer to purchase the assets for the amount bid, which the seller or auctioneer may accept or reject in their absolute discretion. The seller and auctioneer are entitled, in their absolute discretion to withdraw the assets from the sale prior to acceptance by the seller.

36. If no bid equals or exceeds the reserve price, if any, the assets may be withdrawn from the auction.

37. The auctioneer accepts no liability for any withdrawal of assets from the sale.

38. No bid may be withdrawn after the fall of the hammer until the expiry of the confirmation period (if any) that is provided for in the conditions of sale, during which time the offer shall be open for acceptance by the seller or his agent and if the offer is accepted the sale shall be deemed to be a sale by auction for purposes of the Act.

39. The highest bidder in respect of immovable property, being the buyer, shall sign the conditions of sale immediately after the fall of the hammer.

40. The buyer’s offer in respect of immovable property shall only be deemed to have been accepted when the seller or his agent or whichever may be applicable, has signed the conditions of sale on behalf of the seller in the space provided at the end of the conditions of sale.

41. In the event of the sale requiring the consent of any statutory authority or any court of law, then this auction shall be subject to the granting of such consent.

42. The buyer and seller herby consent to the payment of attorney-and-client costs in the event of any legal action being instituted against them by the auctioneer of the Auction House.

43. Any agreement contrary to these rules shall not be biding, unless reduced to writing and signed by all relevant parties.

44. If any clause or term of these rules should be invalid, unenforceable and illegal, then the remaining terms and provisions of these rules shall be deemed to be severable therefrom and shall continue in full force and effect unless such invalidity, unenforceable or illegality goes to the root of these rules.

45. Should the buyer default by refusing or otherwise failing to pay the purchase price within 7 days of the due date, the auctioneer shall be entitled to:

45.1 claim the prescribed mora interest from the buyer from date of purchase to date of payment; and/or

45.2 repossess the assets to resell same at the risk of the defaulting buyer who shall remain liable for all costs in connection with the resale and any loss or damage incurred and will not be entitled to any profit that may arise from the resale; and/or

45.3 institute legal proceedings for the payment of any amount owing or for the return of the assets in which event the provisions of clause 46.2 will apply; and/or

45.4 recover the auctioneer’s legal costs calculated at the attorney-and-client tariff as well as collection, tracing, storage and transport costs; and

45.5 retain in pledge any assets or other property in the possession of the auctioneer belonging to either the buyer or the seller as security for the fulfilment of any obligation owed to the relevant party or the auctioneer.

46. The Auction House reserves the right to amend these rules of auction in writing.

47. By entering a bid any prospective buyer binds himself or herself to these rules of auction.
