During the first quarter of 2020, there were 43 M&A transactions within the chemicals industry that closed. Commodity chemicals led in terms of transaction volume (35), transacting at an average EV/EBITDA multiple of 9.1x. Looking at the LTM performance of the chemicals industry relative to the S&P 500, each sector underperformed the S&P 500, with commodity chemicals hit the hardest, down 45.3%. Historically, the chemicals industry has outperformed the market. When the economy begins to recover, the chemicals industry has consistently recovered quicker than others, however in times of economic downturn, the industry is among the first to be impacted. The abrupt oversupply and imbalances from supply chain disruptions and demand shocks have caused many to restructure proactively and decisively, scaling back investments and looking for alternative revenue drivers (such as asset sales). COVID-19 has been a wakeup call that has caused many to reconsider their existing supply chain and rebalance resilience and costs. In response, some chemicals companies have started relocating and ramping-up production of critical chemicals closer to end- customers. Chemicals companies with exposure to automotive and consumer products sectors have seen a drop in demand for chemicals by 30%, while those exposed to pharmaceuticals, food additives, and disinfectants are reporting record outbound orders. Trade conflicts were already impacting supply chains and the “deglobalization” trend is now accelerating, with the agricultural chemicals sector expected to see a surge in growth, as governments contemplate policy changes to ensure security in regional food webs. The market witnessed three multi-billion-dollar transactions in the first quarter of 2020 the acquisition of the Integrated Oxides and Derivatives Business of Huntsman International LLC by Indorama Ventures Holdings LP for $2.0 billion, the acquisition of the Polyamide Business of Solvay SA by BASF SE (XTRA:BAS) for $1.4 billion and the acquisition of Innophos Holdings, Inc. by Iris Parent LLC for $1.0 billion. Additionally, a few notable transactions were announced: the acquisition of Borealis AG by OMV Refining & Marketing GmbH for $2.3 billion; the acquisition of the Cimcool Business of Milacron LLC by DuBois Chemicals, Inc. for $250 million; and the acquisition of Ellison Surface Technologies, Inc by Bodycote plc for $200 million. Chemicals M&A will remain active throughout 2020, although bearish in the short-term, evident by the numerous deals pulled or delayed in recent weeks. Ongoing industry restructuring is expected to continue, accelerated due to COVID-19, with more companies carving-out non-core assets in favor of core high-margin products. Chemicals valuations remain elevated but are anticipated to narrow, creating an opportunity for strategic and financial buyers. There may be a slowdown in M&A activity from large-cap buyers as their share prices recover, with small- and mid-cap strategic buyers and financial buyers leading the next M&A wave. Although most companies are reluctant to spend cash in the short- term, as the dust settles over the next 3 to 9 months, expect an uptick in M&A activity. Opportunistic buyers are waiting on the sidelines, ready to come in and pick up the pieces, with those sitting on a lot of cash well-positioned to pursue previously unavailable deals, actionable at bargain prices. COVID-19 has had a domino effect on the chemicalsindustry, creating significant uncertainty andopportunity.

During the first quarter of 2020, there were 43 M&Atransactions within the chemicals industry thatclosed. Commodity chemicals led in terms oftransaction volume (35), transacting at an averageEV/EBITDA multiple of 9.1x. Looking at the LTMperformance of the chemicals industry relative to theS&P 500, each sector underperformed the S&P 500,with commodity chemicals hit the hardest, down45.3%.
