During the second quarter of 2020, there were 31 M&A transactions within the chemicals industry that closed, down 28% compared to the first quarter of 2020 (43). Commodity chemicals led in terms of transaction volume (21), transacting at an average EV/EBITDA multiple of 12.1x. Looking at the LTM performance of the chemicals industry relative to the S&P 500, each sector underperformed the S&P 500 which returned 4.6%, with commodity chemicals hit the hardest, down 21%. The ongoing COVID-19 pandemic has significantly impacted the global supply and demand for chemicals. Supply was already outpacing demand pre-COVID (initially projected to grow 4% in 2020), with oversupply expected to be exacerbated by global economic contraction (~3% in 2020), with U.S. chemical shipments expected to fall 10.0% in 2020 before rising 7.8% in 2021. Chemical demand from impacted end markets, such as automotive, is down by almost 30% due to factory closures, with sectors such as construction stock piling supplies to prevent future shortages, with the impact expected to be delayed until Q3 - Q4. In addition to the COVID-19 pandemic, a sudden and sharp 64% collapse in oil prices is reshaping the chemicals industry, shifting regional feedstock cost advantages. Asia is set to extend its leading position in chemicals as it comes out of the crisis first and benefits from low oil prices. China is also the largest exporter of chemical ingredients used in antibiotics and other drugs, with the backlog in production and delivery during the pandemic causing many companies to rethink their supply chain and the impact when everything is “just-in-time.” The market witnessed four multi-billion-dollar transactions in the second quarter of 2020: the acquisition of Saudi Arabian Oil Company (SASE:2222) by Saudi Basic Industries Corporation (SASE:2010) for $94.2 billion; the acquisition of Hitachi Chemical Company, Ltd. by Showa Denko K.K. (TSE:4004) for $8.9 billion; the acquisition of ChampionX Holding Inc. by Apergy Corporation (nka:ChampionX Corporation (NYSE:CHX)) for $3.9 billion; and the acquisition of Kissner Group Holdings LP by Stone Canyon Industries Holdings Inc. for $2.0 billion. Additionally, a few notable transactions were announced: the acquisition of the Petrochemicals Business of BP p.l.c. by INEOS Styrolution Group GmbH for $5 billion; the acquisition of TiZir Titanium & Iron AS by Tronox Holdings plc (NYSE:TROX) for $300 million; and the acquisition of Gelest, Inc. by Mitsubishi Chemical Holdings America, Inc. for an undisclosed amount. M&A activity slowly started to recover at the end of Q2, with transaction volume expected to pick up in Q3 - Q4 as the transactions shelved during the first half of the year return to market. The latter coupled with lower asset valuations and a pressing need for cost cutting, consolidation and diversification has created a lot of potential for the second half of 2020. While some are taking advantage of short-term credit lines and temporarily putting planned acquisitions on hold, others are looking for opportunities for industry consolidation, reconfiguration and value creation. Well-positioned strategic buyers are increasingly tempted by attractive company valuations to go on a shopping spree while financial buyers, especially those with newly launched funds, continue to be under the gun to invest. Both strategic and financial buyers will continue to leverage M&A for resilience and growth for the remainder of 2020, including divestitures, while placing additional strategic bets in growth markets and sectors beyond distressed plays. COVID-19 has emphasized the importance ofdiversifying revenue streams to safeguard againstfuture potential economic or geopolitical disruptions.

During the second quarter of 2020, there were 31M&A transactions within the chemicals industry thatclosed, down 28% compared to the first quarter of2020 (43). Commodity chemicals led in terms oftransaction volume (21), transacting at an averageEV/EBITDA multiple of 12.1x.
