KOSMONT COMPANIES: SCOPE OF WORK AND COMPENSATION

Background

The City of Anaheim ("City") owns the land where the Los Angeles Angels baseball stadium and Honda Center, home ofthe NHL Anaheim Ducks, are currently located. The teams are expected to submit projects and request approvals from the City to develop public and/or private owned properties including but not limited to the extensive remodel of existing facilities or construction of new facilities under terms of a Development Agreement that may involve long term ground lease and/or fee title transfer of surplus land ("Project/s").

The City recently retained the ICON Venue Group to understand the economics of sports franchises, analyze comparable stadium deal structures, including digital signage valuation and other major revenue streams (luxury box rentals, personal seat licenses, naming rights, electronic billboards, etc.) to fund construction activities related to new stadium/arena sport facilities.

The City is now seeking real estate and economic advisory services from Kosmont & Associates, Inc. (doing business as Kosmont Companies) ("Consultant") to assist the City in evaluating these proposals, and in negotiating long term agreements with each entity in a manner that maximizes private investment and reduces public costs.

Proposed Scope of Work

Task 1 Project Kick-Off Consultant will meet with City representatives to understand the goals and constraints of the Project, establish communication protocols, tour the site, review current development plans within the Platinum Triangle and appraisals or market data provided by the development teams.

Task 2 Project Financial Evaluation and Public Agency Project Gap Based on supportable market data, initial project concepts and designs, and preliminary cost estimates (Project costs shall be provided by others), Consultant will prepare a pro forma model for each of the phases and land use components. The pro forma will form the basis for demonstrating Project financing and long-term sustainability.

Task 3 MOU Negotiation and Approval Consultant will review and advise on draft MOU and acquisition/long term ground lease terms to achieve a defensible public-private template which would include approaches to underwriting potential public agency funding sources.

Task 4 Initial Public Agency Funding Matrix Consultant will review on and off-site public infrastructure requirements (based upon input from the City) and assist City in developing a public financing strategy, including the formation of assessment districts and/or an Enhanced Infrastructure Financing District (EIFD), tax reimbursements or other public resources. Consultant will formulate an interactive Public Agency Funding Matrix and Deal Points Memo which will be in support of the draft MOU.
