referred to as Etihad ES or The Employer) to the bidders on the terms set out in this RFP.

ES’s decision at the end of the procurement process or its ultimate decision in relation to the award
of any agreement(s) or any other future event.
Al Etihad Energy Services Co. LLC and its customers, advisers, consultants, contractors, employees
and/or agents do not accept any responsibility for the legality, validity, effectiveness, adequacy or
enforceability of any documentation executed, or which may be executed, in relation to this
procurement process. No legal relationship or other obligation will arise between a bidder and Al
Etihad Energy Services Co. LLC unless and until an agreement has been formally executed in writing
by Al Etihad Energy Services Co. LLC and the bidder and any conditions precedent to its effectiveness
have been fulfilled.
Al Etihad Energy Services Co. LLC reserves the right, at its absolute discretion and without notice,
to terminate, abandon, alter or change the basis of this procurement process, or to exclude one or
more of the bidders from this procurement process and, in such circumstances, Al Etihad Energy
Services and its respective advisors shall not be liable to any person(s) as a result thereof.
Each bidder’s acceptance of delivery of this RFP constitutes its agreement to, and acceptance of,

1. GENERAL INFORMATION
1.1 Etihad ES Introduction
Etihad Energy Services Company (“Etihad ES” or the “Employer”) was established in 2013 with a
mission to make Dubai’s built environment a leading example of energy efficiency for the region
and the world, through the creation of an energy performance contracting (ESCO) market.
The Employer has four active service lines.

Service Line Description
Etihad Retrofit The retrofit department contributes to achieving energy demand
reduction targets set by Dubai Supreme Council of Energy in the Dubai
Integrated Energy Strategy and DSM Strategy 2030. As a Super ESCO,
Etihad ESCO enables the Energy Performance Contracting (EPC) market
by developing energy efficiency projects that involve both the private
and public sectors.
Etihad Solar Our solar department is supporting the execution of the Shams Dubai
program, an initiative launched in 2013 with the ambitious target to have
a solar panel on every rooftop in Dubai by 2030. The Shams Dubai
framework regulates the connection of solar energy to DEWA’s grid

Verification
(M&V)
The M&V department helps the customer to measure and verify the
achieved energy savings from the implemented energy conservation
measures.
TAQATI | Dubai
Energy Efficiency
Program
TAQATI is the program manager for the Dubai DSM strategy with an
ambitious goal of 30% reduction in energy and water consumption by
2030. TAQATI monitors energy and water savings and supports the Dubai
DSM program owners to turn strategy into reality through advisory and
implementation support, awareness, capacity building, continuous
improvement and special projects, as well as monitoring & evaluation of
energy savings.
Etihad Retrofit, Etihad Solar and Etihad Measurement & Verification (M&V) shall be collectively
referred to as “Energy Service Lines”.
1.2 Objectives of the RFP
The objective of the RFP is to retain a qualified agency to provide Social Media services and
manage all social media accounts for the Employer (accounts of Energy Service Lines) More
specifically:
Etihad ES Social Media Objectives:
- Generate Etihad ES brand awareness and awareness on energy services offered by
Etihad by effectively utilizing social media channels
- Increase the reach of Etihad ES messages
- Establish a global platform within the Energy Performance Contracting market (EPC)
and Solar Service Providers and Solar Financing Companies (SFCs) to position Etihad ES
as a leading energy services company in the region to encourage such service providers
to connect and work with Etihad in the region and Dubai specifically

1.3 Selection Process
The bidder’s proposal will be evaluated in accordance with Section 4 “Proposal Evaluation” of
this RFP.
The selected bidder (s) shall be invited to sign the “Social Media” Agreement.
1.4 Inquiries
All interested bidders shall examine the RFP carefully and submit a written request to the
Employer for further information, interpretation or correction of any ambiguity, inconsistency or
error that may be discovered upon examination of the RFP.
The employer will respond to the written request for information and/or clarifications submitted
regarding the terms or information in the RFP and share such clarifications with all bidders
simultaneously. All clarifications will be encompassed in an addendum to the RFP.
Any interpretation, change or correction in the form of a written addendum shall be binding on
the bidders. Bidders shall not rely upon any interpretation, change or correction made with any
other method. Failure by a bidder to receive any addendum issued by the Employer shall not
release said bidder from any obligations under its proposal.
Bidders are requested to send all the queries regarding the RFP documents at
[email protected] through email. Any such enquiry must be received no later than
seven (7) days before the proposal submission date.
2. PROPOSAL SUBMISSION
2.1 Policies
The Employer reserves the right to reject any or all proposals on the basis of being unresponsive
to these guidelines or for failure to disclose requested information.
The Employer shall not be liable for any costs incurred by respondents in the preparation of
submittals and proposals nor in costs related to any element of the selection and contract
formation process.

Any proposal received by the Employer after the closing date for proposal submission shall not be
evaluated. In the event that the closing date of the tender is declared as a holiday by the
UAE/Dubai Government, the first working day after that holiday period shall become the closing
day of the tender.
The proposal must be prepared and submitted in the English language. Supporting documents and
printed literature furnished by the bidder (s) with the proposal may be in another language as
long as they are accompanied by an English translation of the pertinent passages. For the purpose
of interpretation of the proposal, the English language shall prevail.
Bidder’s Proposal should be valid for 120 days from prescribed submission date.
The bidder is to separately submit the financial proposal and the technical proposal in two
different, sealed envelopes.
At any time prior to the deadline for submission of proposals, the Employer may, for any reason,
whether at its own initiative or in response to a clarification requested by a bidder, modify this
Request for Proposal by an amendment. The amendment shall be part of the RFP documents, and
will be communicated in writing to all bidders who have received the request, and shall be binding
upon them.
The Employer does not bind itself to accept the lowest or any tender nor is it bound to give any
reason for the rejection of any tender.
The Employer reserves the right to accept or reject any proposal and to annul the bidding process
and reject all proposals at any time prior to award of contract, without thereby incurring any
liability to the effected bidder (s) or any obligation to justify the grounds for the Employer’s
action to the affected bidder(s).
2.2 Submission
Bidders who wish to be considered by the Employer must submit one sets of the proposal
documents - one (1) original (hard copy) - by the closing date specified in the Invitation to
Tender. Hard copy must be accompanied with an electronic copy in form of flash disks or CDs
(separate CDs / flash disks for Technical Proposal and Financial Proposal with clear
marking). Both the hard copies and the electronic copy of the proposal must be submitted in

English in the format, as outlined in Section 3. The proposal can be prepared in Microsoft Word
or searchable PDF. All submitted documents must be clear and legible, and all pages shall be
numbered.
The bidders should strictly comply with following submission requirements, failing to which
may lead to immediate disqualification:
The proposal should be sealed in a single envelop with clear marking.
Then inside sealed set, there should be two (2) sealed envelopes, one containing Technical
Proposal and the other containing Financial Proposal (Envelopes should be marked whether it
contains a Technical Proposal or a Financial Proposal).

All received proposals shall become property of the Employer and will not be returned to the
bidder.
In case the bidder decides to sub-contract part of the work to third parties, the bidder must
specify such decision when submitting the Tender, annexing the description and credentials of
sub-contractors. In the case that a bidder responds as a group of companies or a consortium, a
copy of the partnership agreement for the consortium shall be provided by the bidder. The
partnership agreement must clearly define the roles and responsibilities of each party. The
consortium or partnership must designate one single contact person for the purpose of contact.
A consortium must remain valid during the life of the project and the partnership agreement
should reflect the same.
2.3 Proprietary Information
If a proposal includes any proprietary data or information that the bidder does not want to be

disclosed to the public, such data or information must be specifically identified as such on every
page on which it is presented. Data or information thus identified will be used by the Employer
solely for the purposes of evaluating submitted proposals and conducting contract negotiations
to the extent it is legally capable of maintaining the confidentiality of such information.
The bidder shall treat everything contained in this RFP as private and confidential. In particular,
the bidder shall not publish any information, drawing or photograph concerning the works.
2.4 Signature
The bidder’s proposal must be signed and stamped along with the Form of Bid (Annexure A) signed
by the bidder’s authorized signatories and bear the bidder’s official seal.
3. PROPOSAL PREPARATION INSTRUCTIONS
The bidder’s proposal shall contain the following sections as a minimum:

I. TECHNICAL PROPOSAL
The Technical Proposal should include the following elements as a minimum:

B. Table of Contents and Executive Summary
Proposals shall include a table of contents properly annotated with respect to section and
page numbers to facilitate locating the information included.
The Executive Summary should highlight the main features of each Technical Proposal
C. Scope of Work Coverage and Approach (in line with the requirements outlined in
Attachment 1)

Present key elements of your proposal based on the RFP scope.
Demonstrate understanding and/or familiarity with Dubai DSM Strategy 2030, Etihad ES
Social Media tactics on energy efficiency and demand side management
Describe your approach and activities to fulfill the RFP, with a preliminary timeline
Describe your Social Media strategies for Etihad ES and the expected evolution / phases
(i.e. how do you see the evolution of the Etihad ES brand over the next 3 years and how
can Social Media strategies enable and support that evolution?)
Specify any additional investments required from Etihad ES to achieve Social Media
objectives (e.g. advertising, social media influencers)
List proposed KPIs for social media services
Include any additional activities/deliverables deemed essential with justification
Specify the proposed team structure and credentials
Specify input and support required from Etihad ES for the execution of works
D. Annexes

II. FINANCIAL PROPOSAL
The bidder shall prepare its financial proposal with the following requirements:

4. PROPOSAL EVALUATION
The evaluation of proposals shall be on the basis of directives provided in the RFP. The evaluation
will consist of following two (2) stages:

The following sections present coverage of each evaluation stage.
4.1 Criteria for Immediate Rejection of Proposal
Proposals not meeting the following mandatory criteria shall be immediately rejected.
Proposals must be prepared in English language.
Proposals must be prepared and submitted strictly in accordance with section 2 hereof.
Proposals must be valid for “120” days from the prescribed submission date.
Proposal must be accompanied with Form of Bid in accordance with Annexure A.
Proposal must be accompanied with Confidentiality Undertaking in accordance with
Annexure F.
Proposal must reach at the specified address before the Closing Date and time indicated
in the Invitation to Tender.
Proposal must not be submitted in form of fax or e-mail.
Proposal must indicate name, title, phone, fax and e-mail address of the authorized
person for correspondence.
Proposals format must conform to the requirements of this RFP.
4.2 Proposal Evaluation
Proposals will be evaluated based on the following criteria:
50% Total lump sum tender price
30% Coverage of scope of work, approach and creativity
10% Staff experience and profile
10% Previous experience working with government organizations and/or in the energy
sector

4.3 Conflict of Interest
The bidder shall ensure no conflict of interest exists or is perceived to exist by any party
for the duration of the contract
In the event that a conflict of interest arises or is perceived to arise the bidder will
immediately notify Etihad ES in writing explaining the nature of the conflict of interest
and the actions it has taken to resolve the conflict of interest. The bidder shall satisfy
Etihad ES that such actions taken are sufficient to resolve the conflict of interest

ATTACHMENT 1 - SCOPE OF SERVICES
The selected bidder is required to provide Social Media services for the Employer. All social
media services shall be provided in English and Arabic.
For Energy Service Lines, Social Media services must cover its 4 business lines that is
Retrofits, Solar, M&V , TAQATI and others as they arise
The successful bidder will be contracted on a monthly retainer linked to deliverables and KPIs.
The proposed monthly retainer fee should cover all social media services offered as part of the
scope, and required to achieve KPI targets (incl. paid social media advertising).
The successful bidder must assign a dedicated senior focal point and account manager for the
Employer as well as a team with the required credentials and experience. Experience and
credentials of the account manager and team are very important in this engagement. Details
should also be provided for the “back up” account manager (in case of leave or absence) to ensure
continuity of work and consistent quality.
The successful bidder will be required to report to the Employer’s marketing unit on a regular
bi-weekly or monthly basis (depending on the need that will be assigned during the kick-off
meeting).
Social Media:
The Employer launched social media accounts and platforms for Energy Service Lines in
December 2017 on Instagram, Facebook, Twitter and LinkedIn. The objective of this social
media services engagement is to improve our presence on social media platforms and grow our
community with more followership and engagement to ensure higher brand awareness and
reach.
For ETIHAD ES Energy Service Lines, the expected services for Social Media are the
following:

Social Media Planning Monthly social media content plans to be developed by the Agency in line with the social media strategy and based on input from the Employer according to the following guidelines:
1. Monthly content plan in English and Arabic
2. Covering all active social media platforms with adequate content and clear targeting
3. Consistent frequency of posting
7 posts per week per platform
More active posting in peak times (WETEX, WFES, other events) – 15 posts per week
5 stories should also be included
Monthly (at least 10 days before the end of the current month for the following month)
Creative materials and graphics for social media posts
The Agency’s creative team is expected to dedicate sufficient time and effort to design the required number of creative images and infographics on a monthly basis and in a timely manner.
The minimum number of creative images and infographics is 15 per month (each in English and Arabic)
All images must be submitted for approval prior to the start of the month
Monthly (in line with the monthly social media plan)
Social Media Videos Scripts and storyboards for the video are developed by the agency
Videos can be 2D animations or footage depending on Employer’s requirements
Video duration will range from 20 to 60 seconds
Videos may be required with or without voice over. In case voice over is needed, the Employer will provide the voiceover artist
Each video will be done in English and Arabic
Videos will include subtitles when needed
3 social media videos per month
Videography Services Provide professional videography services during events to cover important event highlights that will be used on social media or for development of footage videos

The Agency shall provide live video coverage for each event on all social media channels where Employer is participating

Complete event promotion on social media using pre-event, during event and post-event coverage posts. The agency will also be in charge of creating visuals and contents (English and Arabic), for UAE public holidays and celebration announcements: (Awards, MOU signature, New Partnership)

Ensure company social media platforms are always up to date and operational and resolve any issues that arise
Create and manage the CEO’ social media accounts and department heads on Linkedin

Increasing followers and subscribers to Social Media Channels
The Agency will support the Employer in increasing followership and engagement across all its social media platforms in line with the targets set forth in the social media strategy
This should include both organic growth and social media advertising/ digital marketing (e.g. Google SEO, AdWords, AdSense)
Any cost related to social media advertising/ digital marketing, hampers/ gifts for competitions should be included in the monthly retainer.
For each paid or free social media campaign, the Agency will provide:

Increase in followers and engagement will be measured on a quarterly basis and compared against target sets in the social media strategy

Dear Sir,
1. Having examined the RFP, the receipt of which is hereby acknowledged, we, the undersigned,
offer to provide SOCIAL MEDIA SERVICES to Al Etihad Energy Services Co. LLC in conformity
with the Scope of Services and at the prices mentioned in our Proposal.
2. We confirm that the terms and conditions given in the RFP are acceptable to us and if our
proposal is accepted, we shall execute a contract with Al Etihad Energy Services Co. LLC
accordingly without any exceptions. Furthermore, we undertake, if our proposal is accepted,
to commence services upon receipt of the Letter of Acceptance and we shall continue to
provide services strictly in accordance with the Agreement until the time of completion
specified therein.
3. We agree to validate our proposal unconditionally for the period of 120 days from prescribed
submission date and confirm that it shall remain binding upon us and may be accepted thereof,
shall constitute a binding contract between us.
4. We understand that you are not bound to accept the lowest or any proposal you may receive.

5. Our proposal does not contain any deviation or exceptions from the terms & conditions
enunciated in the RFP documents.

techniques, compositions, research data, performance indicators, know-how, processes, designs,
drawings, specifications and combinations thereof, computer programs, software, firmware,

any and all other financial information and statements, personnel, supplier and customers
listings, drawings, specifications, literature, and any other material (whether written or not)

2. UNDERTAKING
In consideration of the Confidential Information being made available by or on behalf of Al Etihad
Energy Services Co. LLC, the bidder undertakes that:
The bidder shall use the Confidential Information for the purpose of preparing (and, if
required, negotiating) a proposal for this Request for Proposals and for no other purpose
and will not permit or assist a third party to make use of the Confidential Information for
any other purpose;

If the bidder or its officers, employees or advisors become (or it becomes reasonably

as possible and consult with Al Etihad Energy Services Co. LLC as to any appropriate action
that should be taken; and
The bidder will inform Etihad Energy Services Co. LLC in writing immediately on becoming
aware of any breach of the terms of this Confidentiality Undertaking.
The bidder acknowledges that neither the bidder nor any of its Officers, Employees, Consortium
members, Sub-Contractors of any tier or advisors shall be entitled to any right or license in respect
of Confidential Information.
The bidder acknowledges that damages alone would not be adequate remedy for Al Etihad Energy
Services Co. LLC in respect of the breach of any of the provisions of this Undertaking and
accordingly, without prejudice to any and all rights Al Etihad Energy Services Co. LLC may have,
Al Etihad Energy Services Co. LLC will be entitled by order of a competent court, without proof
of special damage, to the remedies of injunction, attachment, specific performance and other
relief for any threatened or actual breach of this Undertaking.
The bidder agrees to hold and keep Al Etihad Energy Services Co. LLC indemnified from and
against any and all liability, losses, damages, costs, expenses (including legal fee, court fee and
professional fee), suits and claims which Al Etihad Energy Services Co. LLC may suffer or incur as
a result of any breach of this Undertaking by the bidder, which indemnity shall be enforced by
order of a court of competent jurisdiction.
The Construction, validity and performance of this Undertaking shall be governed by the laws of

4. The quoted/contract rates shall be fixed through the term of the Agreement and no rate
variation will be entertained during the validity of the Agreement.
5. The Employer may decide at its discretion to award a contract only for a part of the Scope
of Work, based on the quoted prices received from bidders for each deliverable, resulting
from the Schedule of Prices
I. Terms of payment for the work to be executed in the event that Etihad ES shall accept
the Tender and award the Contract to the bidder, are the following:
1. Payment schedule
A monthly retainer will be paid per the agreed upon commercial proposal, upon approval of
deliverables and KPIs by the Employer. The retainer will be signed for a one year period.
KPIs will be measured against the quarterly targets set forth in the Social Media
strategy. Failure to deliver all deliverables and achieve all the KPI targets may result in
withholding the retainer payment until such deliverables are fullfilled and approved by the
Employer.
2. No interest will be payable on overdue invoices.
3. All payments in the normal course will be made within 45 days from the date of receipt by
the Employer of the properly submitted invoice.
4. The Employer reserves the right to postpone payment if in the opinion of the Employer the
quality of the service is not as expected.

ATTACHMENT 4 –SOCIAL MEDIA SERVICES SERVICE AGREEMENT
This “Social Media Services” Service Agreement and all Exhibits hereto (the "Agreement") is
effective as of ______________, by and between:
Al Etihad Energy Services Company LLC, a limited liability company incorporated and registered
in Dubai whose registered address is at DEWA Sustainable Building, Al Quoz, PO Box 37578, Dubai,
UAE, (hereinafter referred to as the “Employer”); and
_____________________, a _________________ company incorporated and registered in Dubai
whose registered address is at _____________, Dubai, UAE (hereinafter referred to as the “Service
Provider”);
Employer and the Service Provider are hereinafter individually referred to as a “Party” and
collectively as the “Parties”.
RECITALS
Whereas, Employer wishes to retain the Service Provider to provide its services, as described in
Exhibit 1 of this Agreement (the “Services”);
Whereas, the Service Provider has declared that it is a skilled professional and has agreed to
provide its Services to the Employer and to any of its subsidiaries, according to the terms and
conditions set forth herein.

NOW, THEREFORE, for good and valuable consideration flowing among the parties hereto, the
receipt and sufficiency of which are hereby acknowledged, the parties hereto do agree as follows:
1. SERVICES
Employer hereby engages the Service Provider to perform the “Social Media Services” Services
detailed in Exhibit 1 of this Agreement.
2. FEES
In consideration of the performance by the Service Provider of its Services in accordance with
the terms and conditions of the Agreement, Client agrees to pay the Service Provider a fee (the
“Fee”) for services rendered hereunder in accordance with the payment terms and conditions
set forth in Exhibit 2.
The Service Provider may avail an advance payment equal to 10% of the total agreement value.
An irrevocable and unconditional advance payment guarantee (from a first class bank satisfactory
to the Employer) in accordance with Advance Payment Guarantee form set out in Attachment 6
must also be provided equal to 10% of the total agreement value. This shall be an interest-free
loan issued only when the Service Provider has provided all bonds and specified in the Service
Agreement, has kicked off and has demonstrated progress to the satisfaction of the Employer.
The advance payment shall be recovered on each invoice at the rate of 10% of the invoice amount.
3. TERM
The term of this Agreement shall commence as of the date signed by both Employer and Service
Provider, and shall continue in effect until the earlier of (a) the end of the engagement, or (b)
termination by either Client or Service Provider, as provided in article 12 of this Agreement. The
term may be extended beyond the completion of the initial work by agreement of Client and
Service Provider.
The Service Provider will incur penalties for failure to submit deliverables by the submission
deadlines as set out in Exhibit 1. Delays due to unforeseen circumstances or outside the Service

Provider’s control must be approved by the Employer. Any other delays will incur a penalty of 1%
of the Contract Value for each working day of delay, with a cap of 10%.
4. OBLIGATIONS AND RESPONSIBILITIES OF THE SERVICE PROVIDER
4.1 The Service Provider agrees to perform the Services in accordance with the terms and
conditions of the Agreement, keeping Client informed of progress and developments, and to
respond within a reasonable time to Client's inquiries and communications.
4.2 The Service Provider accepts the relationship of loyalty, trust and confidence established
between Client and the Service Provider by the Agreement and covenants with Client to act as a
faithful adviser to Client and to furnish professional standards of skill, care, diligence and
professional judgment in the performance of its obligations and responsibilities under the
Agreement.
4.3 The Service Provider shall pay all present and future duties, taxes and other payments of
any sort whatsoever, required by any national, federal or other regulation, standard, law or body
whatsoever, concerning or arising out of this Agreement and/or the performance of the Services.
4.4 The Service Provider and its employees, representatives and subcontractors (if any) shall
at all times comply with all applicable laws, regulations, rules, ordinances, orders and decrees
prevailing in the Emirate of Dubai and the United Arab Emirates.
4.5 The Service Provider will use personnel qualified and/or suitable to perform the Services.
Each third party assigned to perform any part of Service Provider’s obligations hereunder shall be
qualified and the Service Provider shall be responsible and liable for the acts, defaults and
neglects of its personnel, representatives, subcontractors or any third party engaged by it, as
fully as if they were the acts, defaults or neglects of the Service Provider.
5. OBLIGATIONS AND RESPONSIBILITIES OF THE EMPLOYER
The Employer shall be truthful and cooperative with the Service Provider, provide on a timely
basis all information and documents necessary to Service Provider’s effective representation of
Employer's interests, keeping Service Provider reasonably informed of developments and of
Employer's address, telephone number, and whereabouts, and for making timely payments
required by this Agreement.

6. REPRESENTATIONS AND WARRANTIES OF THE PARTIES
Each Party hereby represents and warrants to the other Party as of the date hereof as follows:
6.1 It is duly organized and validly existing;
6.2 It has full power and authority, and has taken all action necessary, to execute, deliver
and exercise its rights, and perform its obligations, under this Agreement;
6.3 Its obligations under this Agreement are enforceable in accordance with their respective
terms; and
6.4 The person executing this Agreement on its behalf has full power and authority to execute
and deliver this Agreement on behalf of such Party.
7. CONFLICT OF INTEREST
7.1 The Service Provider shall ensure no conflict of interest exists or is perceived to exist by
any Party for the Term of the Agreement.
7.2 In the event that a conflict of interest arises or is perceived to arise, the Service Provider
shall immediately notify the Client in writing explaining the nature of the conflict of interest and
the action it has taken to resolve the conflict of interest.
7.3 The Service Provider shall satisfy the Client that the actions taken in clause 7.2 are
sufficient to resolve the conflict of interest.
8. INDEMNIFICATION
The Service Provider shall indemnify, defend and hold Client and its directors, officers, agents,
servants and employees harmless from any and all claims, demands, causes of action, losses,
damages, fines, penalties, liabilities, costs and expenses, including reasonable attorney’s fees
and court costs, sustained or incurred by or asserted against Client by reason of or arising out of
Service Provider’s and its partners, representatives, employees, officers, subcontractors or
agents breach of this Agreement or non-performance of their duties or their fraud, negligence,
or misconduct with respect to Service Provider’s duties and activities under this Agreement.

9. INDEPENDENT CONTRACTOR
The Service Provider will act solely as an independent contractor in performing the Services, and
nothing herein will at any time be construed to create a relationship of employer and employee,
principal and agent, partners, or joint ventures between Client and Service Provider, or Client’s
and Service Provider’s representatives, officers, employees or agents. The Service Provider shall
be solely responsible for the compensation, benefits, contributions and taxes, if any, of its
representatives, employees, subcontractors and agents.
10. CONFIDENTIALITY
10.1 The Service Provider shall not disclose any information or any material of commercial
value to the Employer which it becomes aware of by any means in any manner whatsoever or
which is furnished to him pursuant to this Agreement (hereinafter “Confidential Information”),
except as provided in 10.2, and shall hold and maintain the Confidential Information in strictest
confidence. The Service Provider hereby agrees to indemnify Employer against any and all losses,
damages, claims, expenses, liabilities and attorneys' fees incurred or suffered by Employer as a
result of a breach of this article by the Service Provider or its representatives
10.2 The Service Provider may disclose Employer’s Confidential Information to Service
Provider’s responsible representatives with a bona fide, in case they need to know such
confidential information, but only to the extent necessary to execute the Services and only if
such employees are advised of the confidential nature of such information and the terms of this
Agreement and are bound not to disclose such Confidential Information. The Service Provider
shall take all steps necessary to ensure that the obligations and restrictions imposed on the
Service Provider by this Agreement are observed by its representatives and shall be responsible
for any breach of this Agreement by any of its representatives.
10.3 The Agreement and everything contained and incorporated therein or arising there from
(including the Services) shall be treated as strictly confidential and shall not be used, published,
or divulged by the Service Provider without the prior written consent of the Employer.

10.4 The Service Provider’s obligations under this article shall continue in full force for a
period of ten (10) years after the termination of the term of the Agreement.
11. NOTICES
11.1 All formal notices to be given by a Party to the other Party under the terms of the
Agreement must be served in writing and may be sent by registered mail with acknowledgement
of receipt to the addresses or faxed to the fax number of the concerned Party. The correct
addresses and fax numbers of each of the Parties are as set out below or such other address as
the Party to be served shall have previously notified in writing:

11.2 Any such written notice addressed in the manner described shall be deemed to have been
received by the other Party upon the date received by the other Party as evidenced by the
recipient's acknowledgement of receipt.

12. TERMINATION
12.1 In the event of any breach by, or failure of any Party to comply with any of its obligations
or responsibilities under this Agreement, the other Party may, without the need for any legal
proceedings or court decision, terminate the Agreement as a result of such default, if within
fifteen (15) days after receipt of written notice from the other Party, the defaulting Party fails
to remedy such default. Upon termination due to default, the Service Provider shall stop all work,
but any work done through the date of termination shall be paid for as provided in article 2 above.
12.2 If the Service Provider becomes insolvent or makes an assignment for the benefit of its
creditors, or files a petition for an arrangement, composition, or compromise with its creditors
under any applicable law, or has a person or entity appointed to take charge of its assets, then
the Service Provider shall be in default and Employer may withhold any amounts otherwise due
to the Service Provider under the Agreement and/or without the need for any legal proceedings
or court decision, terminate the Agreement in whole or in part..
12.3 The Employer reserves the right to terminate this Agreement at any time upon thirty (30)
days written notice to the Service Provider. Upon termination, the Service Provider shall stop all
work, but any work done through the date of termination shall be paid for as provided in article
2 above.
12.4 All terminations of this Agreement shall be deemed valid and effective without the need
for any legal proceedings or court decision or further notice.
13. DISPUTE RESOLUTION
In the event of any disagreement or dispute concerning this Agreement, Client and Service
Provider shall exercise reasonable efforts to resolve the matter amicably. Failing to the foregoing,
either party may refer the dispute to Courts of Dubai who shall be the competent authority for
final settlement.
14. APPLICABLE LAW
This Agreement shall be governed by and construed in accordance with the laws applicable in the
Emirate of Dubai and the Federal laws of the United Arab Emirates.

15. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement and supersedes all prior agreements and
understanding, both written and oral, between the parties relating to the subject matter hereof.
It shall not be amended, supplemented or superseded except by a written agreement signed by
both parties.
The Tender documents and any other relevant correspondence shall be taken into account and
shall form part of the Agreement between the Service Provider and the Employer.
16. SURVIVAL
The obligations of the Service Provider under article 10 of this Agreement shall survive
termination or expiration of this Agreement for a period of ten (10) years.
17. GENERAL PROVISIONS
17.1 The invalidity, illegality or unenforceability of any of the provisions, terms or conditions
of the Agreement shall not affect the validity, legality or enforceability of the remaining
provisions, terms or conditions of the Agreement.
17.2 All communications of whatsoever nature between the Parties in connection with the
Agreement or the performance of the Services shall be given in the English language.
17.3 This Agreement has been executed in two original copies in English and each Party has
received one original copy hereof.
17.4 No variation of this Agreement or any of the documents referred to herein (if any) shall
be valid unless in writing and signed by or on behalf of each of the Parties.

EXHIBIT 1 - SCOPE OF SERVICES
The selected bidder is required to provide Social Media services for the Employer. All social
media services shall be provided in English and Arabic.
For Energy Service Lines, Social Media services must cover its 3 business lines that is
Retrofits, Solar, M&V , TAQATI and others as they arise
The successful bidder will be contracted on a monthly retainer linked to deliverables and KPIs.
The proposed monthly retainer fee should cover all social media services offered as part of the
scope, and required to achieve KPI targets (incl. paid social media advertising).
The successful bidder must assign a dedicated senior focal point and account manager for the
Employer as well as a team with the required credentials and experience. Experience and
credentials of the account manager and team are very important in this engagement. Details
should also be provided for the “back up” account manager (in case of leave or absence) to ensure
continuity of work and consistent quality.
The successful bidder will be required to report to the Employer’s marketing unit on a regular
bi-weekly or monthly basis (depending on the need that will be assigned during the kick-off
meeting).
For Etihad ES Energy Service Lines, the expected services for Social Media are the

Increasing followers and subscribers to Social Media Channels
The Agency will support the Employer in increasing followership and engagement across all its social media platforms in line with the targets set forth in the social media strategy
This should include both organic growth and social media advertising/ digital marketing (e.g. Google SEO, AdWords, AdSense)
Any cost related to social media advertising/ digital marketing, hampers/ gifts for competitions should be included in the monthly retainer.
For each paid or free social media campaign, the Agency will provide:
o Campaign objectives o Target Audience o Geographical Focus o Post-campaign report showing
the results achieved against set objectives

Monitoring & Reporting The Agency will report back on a daily basis to the Employer on community engagement as needed, particularly highlighting negative comments to be addressed

Bidders are expected to fill the below form as part of the financial proposal. All prices
must include VAT.
Notes:
1. The Service Provider prices shall cover all costs related to salaries, rent, taxes, duties,
meetings, local transport, printing, binding, telephone, telexes, facsimiles, office expenses
and any other expenses to fulfil the requirements of Services under the scope of this
Agreement.
2. The quoted/contract prices shall be fixed through the term of the Agreement and no rate
variation will be entertained during the validity of the Agreement.

3. The Employer may decide at its discretion to award a contract only for a part of the Scope
of Work, based on the quoted prices received from bidders for each deliverable, resulting
from the Schedule of Prices
II. Terms of payment for the work to be executed in the event that the Employer
shall accept the Tender and award the Contract to the bidder, are the following:
1. Payment schedule
A monthly retainer will be paid per the agreed upon commercial proposal, upon approval of
deliverables and KPIs by the Employer. The retainer will be signed for a one year period.
KPIs will be measured against the quarterly targets set forth in the Social Media
strategy. Failure to deliver all deliverables and achieve all the KPI targets may result in
withholding the retainer payment until such deliverables are fullfilled and approved by the
Employer.
1. No interest will be payable on overdue invoices.
2. All payments in the normal course will be made within 60 days from the date of receipt by
the Employer of the properly submitted invoice.
3. The Employer reserves the right to postpone payment if in the opinion of the Employer the
quality of the service is not as expected.

GOVERNING LAW
All reports during the execution of the Project by the Tenderer shall be sent in duplicate to Etihad
ES unless agreed otherwise.
For the purpose of this Tender and Contract the words “Etihad Energy Services” or "Etihad ES"
shall both mean Al Etihad Energy Services Co. LLC and include its legal successors in title.
The bidder acknowledges that the import and customs laws and regulations of the United Arab
Emirates shall apply to the furnishing and shipment of any product or component thereof or of
any service to the United Arab Emirates.
No verbal agreement or conversation with any officer, agent or employee of Etihad ES either
before or after the execution of the contract shall affect or modify any of the provisions of the
documents.
