There are two arguments for non-dischargeability that are typically used: 1- fraud by the debtor and 2- that there was a fiduciary duty that the debtor breached. Both arguments depend on the successful proof of alter ego if the debtor-subcontractor is a corporation, but if this is established, or if the debtor is an individual, the debtor may be required to repay certain obligations despite the discharge of its other debts through the bankruptcy.

Making Debts Non-Dischargeable In BankruptcySubmitted by John McGill, Attorney

Bankruptcy is a bad situation any way you cut it. If you are the one declaring bankruptcy, it’s the darkness before the dawn. The bankruptcy rules are intended to give you a clean slate, another chance, a new beginning. Getting through the bankruptcy to that new start is a challenge in every way: emotionally, economically, and legally.

If you are a creditor of the debtor it is not a good situation either. You are owed money or you are left with an obligation that you thought you were done with. Depending on how you are situated, as a secured or an unsecured creditor, you may recover something on what you are owed or nothing at all. Even if you can recover something, it will be a long time before you see that recovery.

In the construction industry, bankruptcy can have a significant ripple effect. If a major subcontractor goes down, the General will need to finish the project regardless. The bankrupt sub may not have enough left on its contract to pay for all of the work that remains to be done so the balance will come from you.

Worse yet is when you find that the sub has not been paying the bills that you thought were being paid when you issued progress payments. It is not unusual, in fact it is quite common, to find that a bankrupt sub has not been paying wages, union benefits, employee related taxes, or its suppliers. Instead of paying its bills, the sub has been billing the project but keeping the money for its own purposes.

When the debts and obligations catch up with the sub, bankruptcy proceedings are initiated and some of the obligations that you thought were taken care of become obligations that you need to pay for again.

The General is liable for wages, benefits, and supplier costs although not for employee withholding taxes. Still, that is little consolation to the General that is being handed a bill that it already paid once before. When the subcontractor files bankruptcy, any attempt to recover those funds is stayed. It is possible to petition the court to lift the stay to allow a state court action to proceed against the subcontractor-debtor, but it is unlikely the court will do that. Instead, an adversary proceeding must be filed in the Bankruptcy court and it must allege that certain of the subcontractor-

Even more problematic is that at the time the debtor’s representations are made, i.e.- when the pay app is submitted, there must be no intention to perform. If the billings are submitted and the sub intended at the time to pay its bills, but thereafter did not, then the necessary showing of a “present intention” to defraud is not made. In short, fraud is difficult to prove in a bankruptcy proceeding.

Conversely, establishing that there was a fiduciary relationship is relatively easy and can be accom-plished by including a provision in the subcontract that creates that relationship.

It is not a guarantee that the court will find certain debts non-dischargeable but the threshold showing is a lot easier to meet.

A fiduciary relationship can be contractually established by including language in the subcontract to the effect that any payments that are made to the subcontractor for materials, labor and/or supplies are made in trust and that those payments shall be held in trust for the benefit of the materialmen, suppliers and laborers for that project. The provision would read something like the following: “All sums received by subcontractor under this agreement will be held in trust for the express use of (1) paying in full for all labor, material, equipment, and appliances furnished to subcontractor in performing this agreement and (2) if required, making payments to labor union trust funds established under a collective bargaining agreement. No title to any payment or any part of it shall vest in subcontractor or to be used for any other purpose until subcontractor has first paid in full for all such labor, material, equipment, and appliances furnished by that date to subcontractor.”

The sub does not have any immediate right to the funds but only holds them as a trustee until all of the bills are paid and then only if there is some-thing left after those bills are paid can it keep those funds. As a fiduciary, there is a trust relationship established and the violation of that trust/fiduciary obligation is grounds for making that particular debt non-dischargeable. If nothing else, this provision gives you another argument if you find that you have been scammed by an unprincipled sub.

The legislature adjourned yesterday for Spring Break and will return on April 25. A majority of the bills will be dealt with by policy committees after the break to meet the May 6 policy commit-tee deadline. This past week proved busy as well. Below is an example of issues that were consid-ered of importance to GSBE:

AB 1308 (Miller) - Provides that monies in the Highway Users Tax Account (HUTA) are contin-uously appropriated and may be encumbered for their constitutional and statutory purposes in any year in which a Budget Act has not been enacted by July 1. This bill is significant in keeping projects running should there be a budget impasse. The bill was passed by the Assembly Transportations Committee. GSBE supports.

SB 396 (Huff) Review process. Requires state agencies to review each regulation adopted prior to 2011 and report to the Legislature on their findings, and to review regulations every 5 years thereafter. Passed Senate Governmental Organization Committee. GSBE supports.

SB 400 (Dutton) Impact on businesses. Requires a state agency to submit economic assessments for certain regulations to the Office of Adminis-trative Law for a review and determination if the assessment is based upon sound economic knowledge, methods, and practices.

SB 401 (Fuller) Repeal Provisions. Specifies that every regulation proposed by a state agency after January 1, 2012, shall include a provision repealing the regulation in 5 years. Failed passage in Senate Governmental Organization Committee. GSBE supports.

AB 400 (Ma) – Paid Sick Leave. Provides that an employee who works in California for seven or more days in a calendar year is entitled to paid sick days. Passed Assembly Labor and Employ-ment Committee. GSBE opposes.

UPCOMING LEGISLATIONA sample of bills of interest to GSBE to be con-sidered after the Spring Recess:

AB 780 (Calderon) – Fixed Priced Contracts – Failure to include a provision in the 2009 tax increase to address fixed price contracts has resulted in contractors having to unfairly absorb the tax increase for the last year and half. AB 780 provides that, in the event of a future increase or decrease in the state sales tax, public works contracts must provide for an adjustment in a contract that was entered into prior to the tax change to compensate the contractor for the increase that was not factored into the contract and compensate the public agency in the event of an unanticipated decrease in the sales tax. Supported by GSBE.

Kalb’s Q&A for Contractors By David Kalb

I always appreciate feedback from our ‘Q&A’ so we will share more ‘industry expert’ information for all the contractors who checked in. Another contractor discovers that painting a building won’t ‘insulate’ him from the need for another license class…

Q: In your most recent column, you responded to a question about the Contractor Board’s In-dustry Expert Program. Could you tell me more about this and would I be paid?

A: The Industry Expert (IE) Program was first initiated in 1985 after the CSLB had experi-enced a large complaint backlog. The backlog was in part related to a consumer’s inability to promptly secure the services of an expert witness (i.e. someone to render an opinion regarding the workmanship involved in a construction project).

According to the CSLB, the ‘Industry Expert’ provides: 1) an inspection and unbiased opinion on specific complaint items; 2) a detailed report that must be well written and includes job site photography and 3) testimony in a court of law if necessary.

I met with one of the CSLB staff in charge of this program and she said that Industry Experts are paid for their time and related expenses. How much is dependent on the type of case you are assigned. For instance, in arbitration cases, if

Q: I intend on applying for a new corporate contractor’s license and hold the “C-33” (painting) trade. I called the CSLB to make sure my business name was acceptable and they said there should be “no problem”. When I spoke with your office this morning, your staff said there would likely be an issue using the word “insulation” in our business name. Could you give me your personal opinion in writing?

A: Since I was not part of the conversation you had with the CSLB, I cannot address why they told you this was “no problem”. You could apply using your corporate name, and hope whomever you spoke with is correct.

My personal opinion however, is that the Board will not allow this name since painting for licensing purposes is not an insulating medium. In other words, using the word “insulation” in most instances would require that you hold a “C-2” (Insulation and Acoustical) classification. If the Board does not accept your name as is, you have the option of amending it with the Secretary of State or adding a Fictitious Business Name (FBN) or DBA.

Q: I have a corporation and want to add a Respon-sible Managing Officer (RMO) contractor. What form do I need to file with the CSLB? Does he need to take a test?

A: If you’re interested in applying for a corpora-tion license for the first time, use the Application for Original Contractor’s License. If you have an existing license and intend on adding a new trade, use the Application for Additional Classification. An exam may be required depending on whether this RMO is already qualified in the trade you want “to add”.

KeitH DottoDotto GLAss

Keith Dotto is a lifelong resident of Marin County. He graduated from Terra Linda High School and College of Marin. He has been married for 21 years to his enchantingwife Sue and they have two beautiful daughters, Sabrina and Sophia.

Keith is a 3rd generation glazier. His father and his father’s partner were the original owners of Dotto Glass, a family business. Dotto Glass opened its doors in 1964. Keith Dotto and his two partners, Cynthia Dotto and John Lyons, have dedicated their lives to serving the Marin community. In addition to their business, they know the importance of givingback to the community. Dotto Glass donates to local schools, Little League and churches. Keith is also the President of Dotto Glass.

Keith, has also served on the Marin Economic Commission, Lucas Valley Homeowners Association Board, and is a Past President of the Marin Builders Association. Federal Lead-Paint Regulations now Being enforcedBY: Phil Vermeulen, Legislative AdvocateAs I’ve reported in the past, and want to remind you again, the United States Environmental Protection Agency (U.S. EPA) is

now enforcing the Renovation, Repair and Painting (RRP) Rule. The law requires “lead paint safety certification” for anyone

who does remodeling or demolition in homes, schools, and childcare facilities constructed before 1978. Failure to obtain the

proper certification can result in fines of up to $37,500 for each day and each location where violations occur.

EPA inspectors are responding to leads and conducting worksite and paperwork inspections throughout California and the

other states in EPA’s Region 9. EPA is also receiving tips from the public about possible violations through its online Tip

& Complaint form. When EPA receives a tip, inspectors evaluate whether any state or local laws are being broken. If they

are, city or county building officials or the Department of Industrial Relations’ Division of Occupational Safety and Health

(DOSH) immediately respond in order to quickly address any unsafe operations or conditions. Tips are then filed for future

inspections and contractors or construction firms are sent a warning

letter.

California law parallels several of the RRP requirements. While state and local officials cannot address federal violations,

they can issue citations for violating state requirements, and pass along information to EPA inspectors. The EPA’s interim

final enforcement document has more information about this enforcement regulation.

How To Comply

To comply with the regulation, contractors, or at least one individual employed by a licensed contractor’s firm, must be

enrolled in and complete approved training by December 31, 2010 (but I understand that many contractors are just now

seeking the training). Training costs vary by provider. Once training is complete, the contractor needs to apply for

certification, which costs $300 and is valid for five years. For more information about the program and its requirements you

can go to the EPA’s website at: http://www.epa.gov/lead/pubs/renovation.htm#requirements

If you are in need of this training, there is one reputable school that I can refer you to who has offices statewide. License

Instruction Schools has a toll free number to contact them: 800-346-7277

By the way, it is not necessary to submit EPA certification or proof of lead safety course completion to the CSLB; however,

the CSLB’s website provides a link to the U.S. EPA’s list of certified firms in their area so consumers can check a contractor

license and certification status in the same location.

Finally, the U.S. EPA is soliciting input from small business regarding exterior lead paint on public and commercial buildings.

The advice and recommendations will be considered as the agency develops regulations regarding the renovation, repair, and

painting of such buildings.

SAFETY TOPICAsphalt Worker Safety

Asphalt is used for paving and surfacing roads, roofing, concrete work, and paints. It is made from petroleum products and is usually heated between 150-200 degrees F. Asphalt is often mixed with solvents (diesel, kerosene, naphtha, toluene, and xylene), binders, hardening and bonding agents (resins), crushed rock, sand, and recycled rubber. Exposure to asphalt fumes can cause serious health effects, so get training and use safe work practices.

When asphalt is heated, the fumes can cause coughing, a scratchy throat, or lung irritation. Long term exposure can lead to bronchitis or emphysema. Asphalt additives may create vapors that can cause damage to the liver, kidneys, and nervous system. Hot asphalt can release hydrogen sulfide gas (H2S) that can cause lung irritation, suffocation, or death. Skin contact with hot asphalt can cause burns while absorbing the chemicals can lead to allergies and rashes. Eyes can be irritated by asphalt fumes or if you touch them with dirty hands.

Find out about the asphalt products you work with. Check the product label or material safety data sheet (MSDS) to get health and safety information about the specific asphalt mix and ingredients that you use. Where possible, choose asphalt products that are safer to use. Rapid cure asphalts contain solvents to help them evaporate faster, but this increases the risk of vapors and fire. Slower cure and lower temperature asphalt applications reduce the fumes and the fire hazard. The Cal OSHA permissible exposure level (PEL) for asphalt fumes is 5mg/M3. Asphalt additives may also have their own PEL limits, so check the MSDS.

Wear personal protective equipment (PPE) when working with asphalt. Thermally insulated gloves prevent asphalt burns and stop solvents from soaking into your skin. Wear long sleeves and pants or coveralls.

Avoid breathing asphalt fumes by staying upwind of application areas and enclosing kettles and mixing operations. Don’t stick your head over an open tank or kettle and avoid open stirring to prevent burns and overexposure to fumes. Use your PPE to keep asphalt off of your skin and out of your eyes. Wash your hands frequently and before you eat, drink, smoke, or use the restroom.

Heated asphalt is a fire and explosion hazard. Do not allow water to splash into hot asphalt because it can bubble up explosively. Some asphalt additives can be flammable. Do not smoke around flammable vapors. Avoid heat and sparks around your asphalt work. Do not weld an asphalt tank or kettle unless you are certain that it does not contain flammable vapors. Keep the correct type of fire extinguisher handy when using asphalt.

El asfalto caliente presenta un peligro de incendio y explosión. No permita que agua entre en contacto con el asfalto caliente porque eso puede causar una explosión. Algunos aditivos del asfalto pueden ser inflamables. No se debe fumar en las cercanías de vapores inflamables. Manténgase alejado del calor y de las chispas en su trabajo con asfalto. No se debe soldar en un tanque u olla de asfalto a menos que se esté totalmente seguro que no contiene vapores inflamables. Tenga a la mano el tipo correcto de extintor de incendios al trabajar con el asfalto.
