All rules, decisions and interpretations relating to this promotion shall be in the sole and final discretion of the Resorts, which reserve the right to amend, modify or terminate this promotion or any portion thereof with or without notice. This promotion and the benefits of which it is comprised are solely for the addressee Members and their guests and may not be sold, exchanged or otherwise transferred to any other person or entity, either in whole or in part. These benefits have no cash value, and expired or unused benefits may not be redeemed for cash or credit. All off-Resort activities are provided by independent third party providers who are solely responsible for fulfillment and all other matters related to the activity. The Resorts and their affiliates take no responsibility therefor, and by participating in any such activity Member and all other participants assume all risk of any nature whatsoever related thereto and agree to hold the Resorts and their affiliates harmless from all claims of any nature whatsoever. All matters related to this promotion shall be governed by the laws of Jalisco, Mexico, and the courts thereof shall have exclusive jurisdiction over, and be the exclusive venue for, all matters related hereto.
