Editorial Hello all Club Members,

Due to some amendments by the ‘powers that be’, it will be neces-

sary to alter our Club’s constitution, a document which defines the

way we operate, but which very people can be bothered to read.

No matter, Paul Fullwood, bless him, has trawled through the new

clauses and incorporated them into the five pages in the back of the

magazine. Changes have been listed in italics to make them more

identifiable. The next two copies will contain the changes as well.

In due course, probably the August meeting, we will vote to accept

the changes and everyone will be happy, especially the ‘powers that

be’, who probably woke up from an afternoon nap, felt guilty for doing

nothing and got to work.

Being something of a stickler for correct grammar, a carryover from

my long gone schooldays, I did notice in my copy of ‘100 Years of GM

in Australia’, a number of grievous errors. You know, apostrophes in

the wrong place or not at all and joining sentences with a comma, tut

tut. Don’t start me on split infinitives.

However, as the owner of a 1951 Chevrolet, what raised my eye-

brows (and if you know my eyebrows, that’s quite a feat) was the mis-

naming of an obviously identifiable 1952 model as a ‘51, not once but

on several occasions. There were another couple of errors along the

same lines, but overall the book is a very good read.

PRESIDENT’S REPORT

Hello Chev Enthusiasts.

The 17th of April saw us at the CMC

Classic Car Show with a good turn

out of vehicles. We held a meeting

for the GM Owners Day and can now

confirm it is going ahead this year as

planned. With our monthly meeting on

the day as well, it was a full itinerary with not a lot of time

to see the many cars on display.

Its time to start thinking about the AGM in June and to

what jobs you can be putting your hand up for. It takes

people to make the club run. All positions will become

vacant except for the Secretary & Treasurer as they have

another year left on their sentence.

MAY EVENT

We’ll meet at Gingers Roadhouse in Upper Swan at 9.30 for a 10.00

am departure, up through Bullsbrook and on to Brand highway, turn-

ing off to Gingin to inspect and admire the all British vehicles on dis-

play. No disparaging remarks please, as the Brits lost most of their

vehicle industry to foreign owners, or just went out of business.

Nevertheless, they produced some great cars. The Morris Minor, the

Mini Cooper, Aston Martin, Jensen Interceptor, Triumph, Jaguar,

Morgan (still going) and a raft of everyday cars like Morris, Austin,

Vauxhall, Ford Cortina, Hillman and Vanguard. Mind you, they had

some stinkers as well. Who remembers the Mayflower, a boxy crea-

tion that tried to look like a Rolls Royce that had been left too long in

the dryer? Sadly, all car makers had their misbegotten failures, which

sometimes achieved rarity status and value long after production

ended. Remember the Ford Edsel?

Crazy Caddy If the Chevrolet Firebird was a bit over the top, look at what big sister Cadil-

lac came up with in the not quite normal stakes. In 1959 the

Cyclone made its debut, looking for all the world like a mobile rocket

launcher. Why they put a perspex dome over the driver is not clear, unless

it was to give all round vision for pursuing enemies. It would certainly fry

the driver on a sunny day. Maybe the Cold War had something to do with

this monster.

However, the nose cones actually contained a radar system which warned

the driver of objects ahead, like say, a normal car. This was adopted by

other car makers about 50 years later.

It is not recorded how many of these things were actually made, but my

guess is very few. Like the Firebird, only very rich and silly egotists would

invest their dollars in vehicles such as these, and very silly egotistic people

seldom become very rich.

seemed like a good idea at the time’.

Oldsmobile in Australia Continued from the April Chevroletter.

When exports of Oldsmobiles to Australia recommenced in 1934 there were 4 mod-els on offer to the Australian public - Sedan, Coupe, Roadster and tourer all fitted with 6 wheel equipment as standard (an expensive option in the US). These cars were only available here with 6 cylinder engines. Olds had offered 8 cylinder en-gines in V8 configuration many years earlier and released their in-line 8 in 1932 for the US market, but we were to wait till 1935 to see this engine in Australia. Olds also introduced hydraulic brakes and independent knee action front suspension to its models in 1934 - this was the beginning of Oldsmobile’s trend toward driver safety and comfort. As GM-H were producing bodies for most makes of GM chassis, some in very low numbers, they were forced to produce a body that could be used on a number of different makes. GM-H dealers had on offer during the 1930's several body styles that were never seen in the US. Our tourers of 1934 & 1935 along with Sloper coupes which ran from 1935 through 1940 are two of the models unique to Austra-lia. A 1935 Sloper coupe was the first car to run down the production line at GM-H's new plant at Fishermen’s Bend in Melbourne. One specific range of Oldsmobiles that Americans never sighted were the truck range sold between 1936 and 1940. The Olds trucks were based on Chevrolet and GMC trucks but used Oldsmobile powertrain and badging. These trucks were exported from Australia to a number of countries including Great Britain and South Africa. By 1941 GMH discontinued the Sloper offering just the series 66 sedan in very lim-ited numbers with most of their production destined for local use by the US Navy. Australian assembly of 1946 models recommenced on December 18th 1946 and these '46 models continued to be assembled until very early '48. 1947 models were given just 1 month’s production before '48 chassis arrived here from the US. 1948 was actually the last year that Holden built bodies for Oldsmobiles here in Australia, as in its last 2 years of 1949 & '50 GM-H imported both completely knocked down (CKD) and fully assembled models for the market that was being guided towards the Holden. As GM-H had moved to discontinue the Olds and Buick lines here at the end of 1950 in lieu of the increasingly popular Holden, those affluent enough to afford an Olds, Buick or even Cadillac were forced to deal with some of the major GM dealers who continued to offer models by importing and then converting them to right hand drive. The obvious costs involved resulted in very low numbers reaching Australia after 1950.

The Western Australia Department of Commerce has changed the Association Act and we have to update our constitution to comply. You can find our current constitution on our website at http://www.chevclubwa.com.au/Constitution.pdf for reference. We are seeking any amendments to comply with the new Act 2015. More info on the changes can be found at http://www.commerce.wa.gov.au/consumer-protection/associations-transition-resources. The following amendments will be moved by Paul Fullwood at a future meeting:

Current: 1. The name of this Club shall be ‘The Chevrolet Club Of WA, Inc.’ hereafter referred to as ‘the Club.’

Change to: 1. The name of this Club shall be ‘The Chevrolet Car Club Of WA, Inc.’ also

known as The Chevrolet Club Of WA, Inc. hereafter referred to as ‘the Club.’

Reason: Our name that is listed on the Certificate of Incorporation is “The Chevrolet Car Club Of WA, Inc.” Current: 2. The objects of the Club are; to encourage the restoration and preservation of Chevrolet vehicles, to organise and promote events suitable for the use of Chevrolet vehi-cles, and to publish a periodical known as ‘The Chevroletter’ to all financial members, associated car clubs, and paid advertisers. A request by the Members for a Special General Meeting must:

These 3 above “adds” are to reflect changes in the new Associations Act 2015 Current: 12. Payments. cheques or Direct Deposits shall be signed by the Treasurer and either one of the President

or Secretary.

Reason: Numbering change to align the numbering system with the new Schedule in the new Associations Act 2015. Add Direct Deposit as payment method. This is currently under a by law and we should change it to reflect current practices. Current: Not available, but the closest we have is “11 (b) Annual General Meetings of the Club shall be held in June each year to receive the report of the Committee, elect the Committee and transact any business of which notice shall be given. A copy of the audited balance sheet shall be published in the Chevroletter annually.” Change to: 12. Financial Year commences on the 1st day of April and concludes on the

31st March

Reason: New requirement in the new Associations Act 2015. Financial Audits are to be completed before the AGM so they can be presented at the AGM. It has to be within 6 months of the AGM. This allows 2 ½ months for the treasurer to finalise all book work, send to auditor and receive it back in time for the AGM. Current: 11 (b) Annual General Meetings of the Club shall be held in June each year to receive the report of the Committee, elect the Committee and transact any business of which notice shall be given. A copy of the audited balance sheet shall be published in the Chevroletter annually. Change to: 13. Annual General Meetings of the Club shall be held in June each year to

receive the report of the Committee, elect the Committee and transact any business of which

notice shall be given. A copy of the audited balance sheet shall be published in the Chevro-

Amendments to the Constitution may be made following three consecutive monthly notices to members in the Chevroletter at any General Meeting of the Club, by a simple majority vote of full, family and full country members present, or members whose votes have been received prior to the meeting at which the amendments are to be decided.

Change to: 14. Amendments to the Constitution may be made following three consecutive

monthly notices to members in the club magazine at any General Meeting of the Club, by a

simple majority vote of full, family and full country members present, or members whose votes

have been received prior to the meeting at which the amendments are to be decided.

Reason: to align the numbering system with the new Schedule in the new Associations Act

2015. Change Chevroletter to club magazine to keep consistency

Current: 13. Records, books and securities of the Club shall be kept by the Secretary and are to be made available for inspection by Club members on request. Change to: 16. Records, books and securities of the Club shall be kept or in control by the

Secretary with the exception of the Financial Records which are to be kept under the custody

or control of the Treasurer.

17. Inspection of the Books are to be made available for inspection by Club

members on request.

Reason: Separate 13 and renumber to align with new Associations Act 2015 Schedule. Add to be “in control” to allow for items that are in storage. Add: with the exception of the Financial Records which are to be kept under the custody or

control of the Treasurer.

Current: Not in our current constitution Add: 18. Disputes between Members and disputes between the Club and one or more

Members (“Member” includes any former Member whose membership ceased not more than

six months before the dispute occurred).

(a) The parties to a dispute must attempt to resolve the dispute between themselves within 14

days of the dispute coming to the attention of each party.

(b) If the parties are unable to resolve the dispute, any party to the dispute may initiate a pro-

cedure under this rule by giving written notice to the Secretary of the parties to, and details

of, the dispute.

(c) The Secretary must convene a Committee Meeting within 28 days after the Secretary re-

ceives notice of the dispute for the Committee to determine the dispute.

(d) At the Committee Meeting to determine the dispute, all parties to the dispute must be given

a full and fair opportunity to state their respective cases orally, in writing or both.

(e) The Secretary must inform the parties to the dispute of the Committee’s decision and the

reasons for the decision within 7 days after the Committee Meeting referred to in rule 18.(c).

(f) If any party to the dispute is dissatisfied with the decision of the Committee, they may elect

to initiate further dispute resolution procedures by involving a third party unrelated to the

issue as agreed by both parties.

If a dispute cannot be resolved under the procedures set out in the Rules, any party to the

dispute may apply to the State Administrative Tribunal to determine the dispute in accordance

with the Act or otherwise at law.

Reason: New requirement in the new Associations Act 2015 to handle disputes. Continued on page 19.

Current: Not in our current constitution. Add: 21. The Hoffmann collection to stay as the property of the club and not to be

sold or passed on except in the event where the club is to be wound up where section 19 will

then take effect.

22. Any physical object bequeathed to the club will require a Deed of Agree-

ment either set out in the will or if not set out then on behalf of the estate.

Reason: Thomas Benson commented at the April 2016 meeting that we have no direction from the constitution to deal with the Hoffmann collection and any further bequeath. Remove: 14. Auditor. At each Annual General Meeting of the Club the members pre-sent shall appoint an auditor of the Club. Reason: We must have the books audited within 6 months before the AGM so they are pre-sented at the AGM and I believe is irrelevant. We are not required by law to audit the books as it is below $250,000 but if it is mentioned in the constitution it is then required, but it is mentioned in point 13 above that it is to be published. Change the following number in the current constitutions to a new number in the new

constitution:

10 changed to 7 in the new constitution. 16 change to 15 in the new constitution. 18 change to 19 in the new constitution. 15 change to 20 in the new constitution. Reason: to align the numbering system with the new Schedule in the new Associations Act 2015. No Changes to be made to points 3 & 4 in the current constitution. Congratulations, you made it to the last page. These new clauses will be advertised in the next two Chevroletters and voted upon at a future meeting.

************ I’M ON A COMMITTEE Oh, give me some pity, I’m on a Committee, Which means that from morning to night, We attend and amend and contend and defend, Without a conclusion in sight. We confer and concur, we defer and demur, And reiterate all of our thoughts. We revise the agenda with frequent addenda, And consider a load of reports. We compose and propose, we suppose and oppose, And the points of procedure are fun! But though various notions are brought up as motions, There’s terribly little gets done. We resolve and absolve, but we never dissolve, Since it’s out of the question for us. What a shattering pity to end our Committee, Where else could we make such a fuss?
