This release and amendment letter (the “Release and Amendment Letter”) is dated as first stated above in favor of:

(1) the Companies listed in Schedule 1 (The Companies) (the “Companies”);

(2) Cloetta AB (publ) (reg. no. 556308-8144) (the “Parent”) for itself and as Obligors’ Agent (in accordance with Clause 2.3 (Obligors’ Agent) of the Facilities Agreement (as defined below)); and

(3) Cloetta Holland B.V. (reg. no. 34221053) (“Cloetta Holland”);

from:

(4) Svenska Handelsbanken AB (publ) for itself and as Agent (the “Agent”) and security agent for the other Secured Parties (as defined below) (the “Security Agent”).

Recitals:

(A) Reference is made to the following facilities agreements: (i) a facilities agreement originally dated 15 December 2011 and as amended and amended and restated from time to time by and between, among others, the Parent and the Agent, pursuant to which Svenska Handelsbanken AB (publ) as lender made available certain credit facilities to the Parent for the purpose of, inter alia, financing the Parent’s acquisition of all shares in Cloetta Holland and refinancing certain financial indebtedness of the target group (the “Facilities Agreement”); (ii) a guarantee agreement dated 17 September 2013 between the Parent, certain limited liability companies named therein as guarantors and the Agent relating to certain obligations of the Parent (the “Guarantee Agreement”); (iii) debt obligation instruments in the amount of up to SEK 2,000,000,000 issued by the Parent on or about 17 September 2013 (the “Notes”); (iv) a EUR 80,000,000 facility agreement originally dated 25 October 2006 and as amended and restated from time to time by and between Cloetta Italia S.r.l. and the Agent (the “Italian Facility Agreement”); (v) a EUR 10,000,000 facility agreement originally dated 9 February 2007 and as amended and restated from time to time by and between Cloetta Italia S.r.l. and the Agent (the “Cloetta Italy Facility Agreement”); and (vi) a EUR 5,000,000 facility agreement originally dated 1 March 2007 and as amended and restated from time to time by and between Cloetta Italia S.r.l. and the Agent (the “Saila Facility Agreement” and, together with the Italian Facility Agreement and the Cloetta Italia Facility Agreement, the “Italian Facilities Agreements”).

(B) Reference is also made to an intercreditor agreement dated 17 September 2013 by and between, among others, the Parent as company, the Agent as security agent, original senior bank debt provider, original senior bank debt representative, senior bank debt hedge provider and senior notes hedge provider and CorpNordic Sweden AB (the “Notes Agent”) as agent on behalf of the holders of the Notes (the “Intercreditor Agreement”).

(C) Pursuant to the Facilities Agreement, the Notes and the Italian Facilities Agreements, the Companies have entered into the Security Documents (as defined below) and issued guarantees under the Guarantee Agreement in order to secure and guarantee the obligations under the Finance Documents (as defined below).

(D) It is contemplated that the Companies shall be released from their guarantee obligations under the Finance Documents and the Security Agent has agreed to release the security interests created by or pursuant to the Security Documents and such other guarantees and security interests, if any, granted by the Companies in connection with the Finance Documents, in each case, pursuant to the terms and conditions of this Release and Amendment Letter.

(E) The Agent has also agreed to amend Clause 24.25 (Security over intra-Group liabilities) of the Facilities Agreement which as of the date of this Release and Amendment Letter, will cease to apply and to release the security interests granted pursuant to (i) the Intra-Group

Loan Security Documents; and (ii) any other intra-group loan security documents entered into by any member of the Group.

It is agreed:

1. Interpretation

1.1 Definitions

In this Release and Amendment Letter,

“Finance Documents” means the Senior Bank Debt Documents (as defined in the Intercreditor Agreement) and the terms and conditions of the Notes.

“Intra-Group Loan Security Documents” means the security documents under which the intra-group loans set out in Schedule 4 (List of Pledged Intra-Group Loans) are pledged.

“Intra-Group Pledgors” means the companies set out in Schedule 2 (Intra-Group Pledgors).

“Secured Parties” means the Secured Parties (as defined in the Intercreditor Agreement).

“Security Assets” means the property and assets owned by the Companies pledged, charged, mortgaged, assigned or otherwise made available to the Security Agent as security under or pursuant to the Security Documents, the Intra Group Loan Security Documents and otherwise in connection with the Finance Documents.

“Security Documents” means the security documents set out in Schedule 3 (Security Documents) hereto.

1.2 Capitalised terms used and not otherwise defined herein shall have the meaning assigned to them in the Facilities Agreement and/or the Italian Facilities Agreements (as applicable).

2. Release and Discharge

2.1 The Agent, the Security Agent (each for itself and on behalf of the other Secured Parties) and, solely for the purpose of the release and discharge of the share pledge agreement listed under Item 4 of Schedule 3 (Security Documents), the Parent, agree to immediately:

(a) unconditionally and irrevocably waive, release and discharge all and any security rights created, evidenced or conferred by or pursuant to the Security Documents and any other security documents, if any, granted by the Companies pursuant to or in connection with the Finance Documents;

(b) unconditionally and irrevocably waive, release and discharge all and any security rights created, evidenced or conferred by or pursuant to (i) the Intra-Group Loan Security Documents entered into by the Intra-Group Loan Pledgors pursuant to or in connection with the Finance Documents; and (ii) any other intra-group loan security documents entered into by any member of the Group pursuant to or in connection with the Finance Documents;

(c) unconditionally and irrevocably discharge and release the Companies from all their guarantee obligations under or in connection with the Finance Documents; and

(d) re-assign and re-transfer to the Companies their respective rights, title and interest in and to the Security Assets which were assigned or transferred to the Security Agent by way of security.

2.2 In relation to the Security Documents set out in Item 2 of Schedule 3 (Security Documents) (the “German Share Pledge Agreement”) and in Item 11 of Schedule 3 (Security Documents) hereto (the “German Trademark Pledge Agreement” and together with the German Share Pledge Agreement, the “German Pledge Agreements”), the relevant Pledgor (as defined in the respective German Pledge Agreement) and the Security Agent agree that the Pledges (as defined in the respective German Pledge Agreement) created under the German Pledge Agreements shall cease to exist. All security created under the German Pledge Agreements shall be released (each in accordance with section 1255 paragraph 1 of the German Civil Code (Bürgerliches Gesetzbuch)). The relevant parties to the German Pledge Agreements hereby agree to mutually terminate (aufheben) all rights and obligations under the German Pledge Agreements.

2.3 The Agent, the Security Agent and the Parent (as applicable) confirm that they shall not have any claims against the Companies under the Security Documents and that the Secured Parties shall not have any claims against the Companies in their capacity as guarantors under the Facilities Agreement, the Guarantee Agreement, the Italian Facilities Agreements and the Finance Documents.

2.4 In relation to the Security Documents the Security Agent and the Parent further undertake to deliver all documents evidencing the release and discharge of the security interests created under the Security Documents set out in Schedule 3 (Security Documents) hereto, including but not limited to:

(a) all original copies of any share certificates (if any) and any other documents evidencing the security created under the Security Documents referred to in Schedule 3 (Security Documents) hereto and any power of attorney issued under any of the Security Documents and held by the Security Agent in original copy;

(b) in relation to the Security Documents set out in Items 6 to 9 of Schedule 3 (Security Documents) and Items 3 and 4 of Schedule 4 (List of Pledged Intra-Group Loans) hereto, execute confirmation release letters substantially in the forms as set out in Schedule 6 (Form of Slovak Confirmation Release Letter);

(c) in relation to the Security Documents set out in Items 3 to 5 and Items 13 to 20 of Schedule 3 (Security Documents) hereto, execute notarial deeds of release substantially in the forms as set out in Schedule 7 (Form of Italian notarial deeds of release); and

(d) in relation to the German Trademark Pledge Agreement set out in Item 11 of Schedule 3 (Security Documents) hereto, execute a confirmation release letter (in the respective language) addressed to the German Patent and Trademark Authority (Deutsche Patent- und Markenamt) and the World Intellectual Property Organization substantially in the form as set out in Schedule 8 (Form of German Confirmation Release Letters).

2.5 As of the date of this Release and Amendment Letter:

(a) each company whose shares are pledged under the Security Documents is hereby notified that the security created under the Security Document regarding shares in such company has been waived and/or released (as applicable) unconditionally and irrevocably in accordance with the terms of this Release and Amendment Letter and that any note regarding any such security in the company’s share register may be removed, and

(b) each company who acts as a debtor under any of the intra-group loan agreements referred to in Schedule 4 (List of Pledged Intra-Group Loans) subject to security under any Intra-Group Loan Security Document, is hereby notified that the security

created under the relevant Intra-Group Loan Security Document has been released unconditionally and irrevocably in accordance with the terms of this Release and Amendment Letter.

2.6 In order to record the release of the security created pursuant to the Belgian law share pledge agreement listed in Item 1 of Schedule 3 (Security Documents) dated 17 September 2013 and entered into between Cloetta Holland and Cloetta Finance Holland B.V. as Pledgors and the Security Agent as Security Agent, the Security Agent hereby appoints each of Ferdinand Brughmans, Serkan Alhan, Laurent Vercauteren and any other attorney-at-law at White & Case LLP, with office at rue de la Loi 62, 1040 Brussels, Belgium and each acting individually and with the right of substitution, as its attorney for the purposes of recording the following notices on the relevant pages of the share register of Cloetta België NV:

(a) as regards Cloetta Holland:

“Ingevolge een Release and Amendment Letter d.d. 19 November 2015, heeft Svenska Handelsbanken AB (publ) (in haar hoedanigheid van Security Agent) het pand vrijgegeven dat werd gegeven door Cloetta Holland B.V. op 17 september 2013 op al haar aandelen in Cloetta België NV.”; and

(b) as regards Cloetta Finance Holland B.V.:

“Ingevolge een Release and Amendment Letter d.d. 19 November 2015, heeft Svenska Handelsbanken AB (publ) (in haar hoedanigheid van Security Agent) het pand vrijgegeven dat werd gegeven door Cloetta Finance Holland B.V. op 17 september 2013 op al haar aandelen in Cloetta België NV”.

3. Further Assurance

The Security Agent shall (and shall use its best efforts to ensure that each Secured Party shall) take (at the cost and request of the Parent) whatever action is reasonably required by the Parent in order to give effect to, de-register or evidence the releases, discharges, re-assignments, re-transfers and confirmations made in Clause 2 (Release and Discharge) above.

4. Amendment

In accordance with Clause 38 (Amendments and Waivers) of the Facilities Agreement, the Agent (for itself and on behalf of the other Finance Parties) hereby confirms that with effect from the date of this Release and Amendment Letter, Clause 24.25 (Security over intra-Group liabilities) of the Facilities Agreement shall cease to apply.

5. Costs, Expenses and Indemnity

5.1 The Companies and the Intra-Group Pledgors shall on a joint and several basis on demand by the Agent pay all costs, charges and expenses which each Secured Party incurs in connection with the negotiation, preparation, administration and execution of this Release and Amendment Letter (including all agreements, notices and other documents referred to in Clauses 2.3 above) and the performance of the Agent’s and the Security Agent’s obligations under this Release and Amendment Letter.

5.2 The Companies and the Intra-Group Pledgors shall indemnify the Security Agent, the other Secured Parties in respect of all liabilities incurred by any of them in connection with or as a result of:

(a) the release as set forth in this Release and Amendment Letter; and

(b) any action taken by such Secured Party in accordance with this Release and Amendment Letter or as requested by the Parent, any Company or any Intra-Group Pledgor.

6. Miscellaneous

6.1 Save as expressly set out in this Release and Amendment Letter, the terms of the Facilities Agreement and the terms and conditions of the Notes shall remain in full force and effect

6.2 Subject to Clauses 6.3 to 6.6 below, this Release and Amendment Letter and any non-contractual obligations arising out of or in connection with it is governed and construed by Swedish law.

6.3 Clause 2.6 above shall be governed and construed by Belgian law insofar as it relates to the release of Security granted under Security Documents governed by Belgian law.

6.4 Paragraph (a) and (b) of Clause 2.1, insofar as it relates to the release of Security granted under Security Documents and/or Intra-Group Loan Documents governed by German law, and Clause 2.2 above shall be governed by and construed in accordance with German law.

6.5 Paragraph (a) to (b) of Clause 2.1 above shall be governed by and construed in accordance with Slovak law, insofar as it relates to the release of obligations, waiver and release of Security granted under Security Documents governed by Slovak law.

6.6 Paragraph (a) of Clause 2.1 above shall be governed and construed by Italian law insofar as it relates to the release of Security granted under Security Documents governed by Italian law.

6.7 The courts of Sweden shall have exclusive jurisdiction over matters arising out of or in connection with this Release and Amendment Letter. The City Court of Stockholm (Sw. Stockholms Tingsrätt) shall be the court of first instance.

(A) Toto Potvrdenie odkazuje na úverovú zmluvu v znení jej neskorších zmien a dodatkov (Facilities Agreement) na približne 1.853.000.000 SEK a 218.000.000 EUR, ktorú pôvodne okrem iných zmluvných strán uzavreli 15. decembra 2011 spoločnosť Cloetta AB (publ), švédske reg. č. 556308-8144, verejná spoločnosť s ručením obmedzeným založená podľa práva Švédska (ďalej len „Materská spoločnosť“) a Záložný veriteľ, v zmysle ktorej spoločnosť Svenska Handelsbanken AB (publ) ako veriteľ poskytla úver Materskej spoločnosti, okrem iného na financovanie nadobudnutia všetkých akcií v spoločnosti Cloetta Holland zo strany Materskej spoločnosti a na refinancovanie finančného dlhu cieľovej skupiny (ďalej len „Úverová zmluva“).

(B) Toto Potvrdenie takisto odkazuje na dohodu medzi veriteľmi (Intercreditor Agreement) zo dňa 17. septembra 2013, ktorú okrem iných zmluvných strán uzatvorili Materská spoločnosť ako spoločnosť, Záložný veriteľ ako agent pre zabezpečenie (security agent), pôvodný poskytovateľ senior bankového úveru (Original Senior Bank Debt Provider), pôvodný zástupca pre senior úver (Original Senior bank Debt Representative), poskytovateľ hedžingu pre senior bankový úver (Senior Bank Debt Hedge Provider) a poskytovateľ hedžingu pre senior dlhopisy (Senior Notes Hedge Provider) a spoločnosť CorpNordic Sweden AB ako pôvodný zástupca pre senior dlhopisy (Senior Notes Representative) (ďalej len „Dohoda medzi veriteľmi“).

(C) S cieľom zabezpečiť záväzky dlžníkov a povinných osôb v zmysle Úverovej zmluvy a a ďalších Senior finančných dokumentov (ako sú tieto pojmy definované v Dohode medzi veriteľmi), Záložcovia zriadili záložné práva k svojmu majetku v prospech Záložného veriteľa.

(D) Podľa dohody o vzdaní sa záložného práva a o dodatku (Global Release and Amendment Letter), ktorú okrem iných zmluvných strán uzatvorila Materská spoločnosť a Záložný veriteľ dňa _________ 2015 (ďalej len „Dohoda o vzdaní sa a o dodatku“), sa Záložný veriteľ vzdal záložného práva k určitému majetku Záložcu (ako sa uvádza nižšie) a Záložcovia boli okrem iného oslobodení od svojich povinností a záväzkov, ktoré im vyplynuli zo Záložných práv (ako je tento pojem definovaný nižšie).

Záložný veriteľ preto vystavil toto Potvrdenie:

1. Potvrdenie o zániku Záložných práv

Záložný veriteľ týmto potvrdzuje, že:

(a) záložné právo k obchodnému podielu zriadené na základe zmluvy o zriadení záložného práva k obchodnému podielu medzi spoločnosťou Cloetta Holland a Záložným veriteľom pôvodne zo dňa 17. septembra 2013 v znení dodatku č. 1 zo dňa 5. júna 2014, zapísané v Obchodnom registri Okresného súdu Nitra (ďalej len „Obchodný register“),

(b) záložné právo k obchodnému podielu zriadené na základe zmluvy o zriadení záložného práva k obchodnému podielu medzi spoločnosťou Cloetta Finance Holland a Záložným veriteľom zo dňa 5. júna 2014, zapísané v Obchodnom registri,

(c) záložné právo k podniku zriadené na základe zmluvy o zriadení záložného práva k podniku medzi spoločnosťou Cloetta SK (predtým Leaf Slovakia s.r.o.) a Záložným veriteľom zo dňa 17. septembra 2013; záložné právo zapísané v slovenskom Notárskom centrálnom registri záložných práv pod sp. zn. 12324/2013 a záložné právo k nehnuteľnému majetku zapísané v Katastri nehnuteľností Okresného úradu v Leviciach (ďalej len „Kataster nehnuteľností“) na liste vlastníctva č. 8422 pod č. V-4077/2013, týkajúce sa parciel registra „C“ č. 12622/3, 12622/23, 12622/24, 12622/25, 12622/26, 12622/27, 12622/28, 12622/29, 12622/30, 12622/31, 12622/32, 12622/59, 12622/60, 12622/78, 12622/79, stavby s. č. 5555 - administratívna budova na parc. č. 12622/23, stavby s. č. 5556 - výrobná hala na parc. č. 12622/24, stavby s. č. 5557 - vrátnica na parc. č. 12622/27, stavba s.č. 5558 - kotolňa na parc. č. 12622/28, stavba s. č. 5799 - separačná stanica na parc. č. 12622/59,

(d) záložné právo k nehnuteľnému majetku na základe zmluvy o zriadení záložného práva k nehnuteľnému majetku medzi spoločnosťou Cloetta SK zo dňa 17. septembra 2013; záložné právo zapísané v Katastri nehnuteľností na liste vlastníctva č. 8422, pod č. V – 4076/2013 týkajúce sa parciel registra „C“ č. 12622/3, 12622/23, 12622/24, 12622/25, 12622/26, 12622/27, 12622/28, 12622/29, 12622/30, 12622/31, 12622/32, 12622/59, 12622/60, 12622/78, 12622/79 a stavby na parcele registra „C“ : súp.č. 5555 administratívna budova na parc.č. 12622/23, súp.č. 5556 výrobná hala na parc.č. 12622/24, súp.č. 5557 vrátnica na parc.č. 12622/27, súp.č. 5558 kotolňa na parc.č. 12622/28, súp.č. 5799 separačná stanica na parc.č. 12622/59,

(e) záložné právo k pohľadávkam z medzipodnikovej pôžičky č. 316 podľa zmluvy o zriadení záložného práva a o postúpení uzavretej medzi spoločnosťou Cloetta Norge AS ako záložcom, spoločnosťou Cloetta SK ako záložným veriteľom a Záložným veriteľom ako agentom pre zabezpečenie pôvodne zo dňa 23. mája 2012 v znení neskorších zmien a dodatkov, zapísané v slovenskom Notárskom centrálnom registri záložných práv (ďalej len „Notársky register záložných práv“) pod sp. zn. 12342/2013 a 8194/2015, a

(f) záložné právo k pohľadávkam z medzipodnikovej pôžičky č. 204 podľa zmluvy o zriadení záložného práva k medzipodnikovým pôžičkam medzi spoločnosťou Cloetta SK ako záložcom a Záložným veriteľom ako záložným veriteľom pôvodne zo dňa 14. decembra 2012 v znení neskorších zmien a dodatkov, zapísané v Notárskom centrálnom registri záložných práv. pod sp. zn. 12341/2013 a 8195/2015,

(každé záložné právo uvedené pod písm. (a) až (f) ďalej takisto „Záložné právo“ a spoločne „Záložné práva“)

zaniklo dňa ____________2015 v dôsledku toho, že sa Záložný veriteľ vzdal Záložných práv v Dohode o vzdaní sa záložného práva a o dodatku.

2. Výmaz Záložného práva

Záložný veriteľ týmto udeľuje svoj súhlas s výmazom každého Záložného práva z príslušného registra záložných práv, napr. z Notárskeho centrálneho registra, Obchodného registra a Katastra nehnuteľností.

Záložcovia vykonajú všetky kroky potrebné k výmazu a Záložných práv z príslušných registrov záložných práv; tým však nie je dotknuté právo Záložného veriteľa podať návrh na výmaz Záložných práv podľa tohto Potvrdenia.

3. Ostatné ustanovenia

3.1 Rozhodné právo a súdna príslušnosť

Toto Potvrdenie a všetky mimozmluvné povinnosti vyplývajúce z tohto Potvrdenia alebo s ním súvisiace sa riadia právom Slovenskej republiky. Slovenské súdy budú oprávnené prejednať a rozhodnúť akýkoľvek súdny spor, žalobu alebo konanie a urovnať akýkoľvek spor, ktorý môže vzniknúť na základe tohto Potvrdenia alebo v súvislosti s ním.

3.2 Rovnopisy

Toto Potvrdenie sa vyhotovuje v štyroch rovnopisoch v anglickom jazyku a v piatich rovnopisoch v slovenskom jazyku. V prípade rozporu medzi anglickou a slovenskou jazykovou verziou tohto Potvrdenia je rozhodujúca verzia v slovenskom jazyku. Každá Zmluvná strana dostane jeden rovnopis a jeden rovnopis v slovenskom jazyku sa použije na výmaz Záložných práv príslušných registrov záložných práv.

(Cloetta SK, Cloetta Holland and Cloetta Finance Holland collectively the “Pledgors”);

Recitals:

(A) Reference is made to the facilities agreement originally dated 15 December 2011 and as amended and amended and restated from time to time for approximately SEK 1,853,000,000 and EUR 218,000,000 by and between, among others, Cloetta AB (publ), Swedish Reg. No. 556308-8144, a public limited liability company incorporated under the laws of Sweden (the “Parent”) and the Pledgee, pursuant to which Svenska Handelsbanken AB (publ) as lender made available certain credit facilities to the Parent for the purpose of, inter alia, financing the Parent’s acquisition of all shares in Cloetta Holland and refinancing certain financial indebtedness of the target group (the “Facilities Agreement”).

(B) Reference is also made to an intercreditor agreement dated 17 September 2013 by and between, among others, the Parent as company, the Pledgee as security agent, original senior bank debt provider, original senior bank debt representative, senior bank debt hedge provider and senior notes hedge provider and CorpNordic Sweden AB as original senior notes representative (the “Intercreditor Agreement”).

(C) In order to secure the borrowers’ and the obligors’ obligations under the Facilities Agreement and the other Senior Finance Documents (as defined in the Intercreditor Agreement), the Pledgors created certain pledges over their assets in favor of the Pledgee.

(D) Pursuant to a release and amendment letter entered into between, inter alios, the Parent and the Pledgee, dated _________ 2015 (the “Release and Amendment Letter”), the pledge over certain of the Pledgors’ assets (as further specified below) were waived by the Pledgee and the Pledgors were, inter alia, released from their obligations and liabilities created by or pursuant to the Pledges (as defined below).

Now, therefore the Pledgee issues the following confirmation:

1. Confirmation on Termination of Pledges

The Pledgee hereby confirms that:

(a) the pledge over the ownership interest pursuant to ownership interest pledge agreement between Cloetta Holland and the Pledgee, originally dated 17 September 2013 and as

amended by amendment No. 1 dated 5 June 2014, registered in the Commercial Register of the District Court Nitra (the “Commercial Register”);

(b) the pledge over the ownership interest pursuant to ownership interest pledge agreement between Cloetta Finance Holland and the Pledgee dated 5 June 2014 registered in the Commercial Register;

(c) the pledge over the enterprise pursuant to agreement on pledge of enterprise between Cloetta SK (formerly Leaf Slovakia s.r.o.) and the Pledgee, dated 17 September, 2013; pledge registered in the Slovak notarial central register of pledges under File No. 12324/2013 and mortgage over the real estate registered in the Land Register of District Office Levice (the “Land Register”) on Title Deed No. 8422 under V-4077/2013 regarding plots registered in the “C” land register Nos. 12622/3, 12622/23, 12622/24, 12622/25, 12622/26, 12622/27, 12622/28, 12622/29, 12622/30, 12622/31, 12622/32, 12622/59, 12622/60, 12622/78, 12622/79, building with registration No. 5555, administrative building at plot No. 12622/23, , building with registration No. 5556 manufacturing hall at plot No. 12622/24, , building with registration No. 5557 lodge at plot No. 12622/27, , building with registration No. 5558 boiler room at plot No. 12622/28, registration No. 5799 separation station at plot No. 12622/59;

(d) the pledge over the real estate pursuant to a mortgage agreement between Cloetta SK dated 17 September, 2013; pledge registered in the Land Register on Title Deed No. 8422, under V – 4076/2013 regarding plots registered in the “C” land register Nos. 12622/3, 12622/23, 12622/24, 12622/25, 12622/26, 12622/27, 12622/28, 12622/29, 12622/30, 12622/31,12622/32, 12622/59, 12622/60, 12622/78, 12622/79 and buildings at plots registered in the “C” register: registration No. 5555, administrative building at plot No. 12622/23, registration No. 5556 manufacturing hall at plot No. 12622/24, registration No. 5557 lodge at plot No. 12622/27, registration No. 5558 boiler room at plot No. 12622/28, registration No. 5799 separation station at plot No. 12622/59;

(e) the pledge over intercompany loan receivables #316 pursuant to the pledge and assignment agreement concluded between Cloetta Norge AS as pledgor, Cloetta SK as the pledgee and the Pledgee as security agent originally dated 23 May 2012 and amended and restated from time to time, registered in the Slovak Central Notarial Register of Pledges (“Notarial Register of Pledges”) under File No. 12342/2013 and 8194/2015; and

(f) the pledge over intercompany loan receivables #204 pursuant to the pledge agreement regarding intercompany loans between Cloetta SK as pledgor, and the Pledgee as pledgee, originally dated 14 December 2012 and amended and restated from time to time, registered in the Notarial Register of Pledges under File No. 12341/2013 and 8195/2015,

(each pledge under paragraph (a) to (f) also as the “Pledge” and jointly as the “Pledges”)

ceased to exist on ___________2015 as a result of waiver of the Pledges by the Pledgee in the Release and Amendment Letter.

2. Deregistration of the Pledge

The Pledgee hereby gives its consent to the deregistration of each Pledge from the applicable pledge register, e.g. from the Notarial Register of Pledges, the Commercial Register and the Land Register (as the case may be).

The Pledgors shall do all such acts as are necessary for the deregistration of the Pledges from the applicable pledge registers. The right of the Pledgee to file an application for the deregistration of the Pledges hereunder shall be unaffected.

3. Other Provisions

3.1 Governing law and jurisdiction

This Confirmation and any non-contractual obligations arising out of or in connection with this Confirmation shall be governed by and construed in accordance with the Slovak law. The Slovak courts shall have local jurisdiction to hear and determine any suit, action or proceedings, and to settle any disputes, which may arise out of or in connection with this Confirmation.

3.2 Counterparts

This Confirmation is made in four counterparts in English and five counterparts in Slovak. In case of discrepancy between the English and Slovak version of this Confirmation, the Slovak version shall prevail. Each of the Parties shall receive one counterpart and one counterpart in Slovak language shall be used for the deregistration of the Pledges from applicable pledge registers.
