Non-Compete / Non-Solicitation Agreement (ANNEXURE C)

This annexure contains the Employee Undertakings Agreement which sets forth certain employeeobligations with respect to the protection of the confidential information and legitimate businessinterests of XYZ Bosnia Inc.

As a condition of my employment and/or continued employment with XYZ Bosnia Inc. ("XYZ Bosnia" orthe "Company"), and my receipt of the compensation now and hereafter paid to me by the Company, Iagree to the following:

1. Confidential Information:

a. Company Information: I shall not use, communicate or disclose, except for the benefit of theCompany, any Confidential Information relating to the Company, its corporate parent, or any of theirsubsidiaries or affiliates (collectively "Company Parties"), to which I have been privy to by virtue of beingan employee of the Company. I understand that "Confidential Information" for this purpose shall mean

and include all information, regardless of the form whether oral, written, stored in a computer databaseor otherwise, which in any way relates to markets, customers (including, but not limited to customers of any of the Company Parties with whom I interacted or with whom I became acquainted while beingassociated with the Company), products, patents, inventions, know-how, software, procedures,methods, designs, strategies, plans, assets, liabilities, revenues, pricing lists, customer information,profits, organization, employees, agents, distributors or business in general of any of the CompanyParties. I understand that Confidential Information and trade secrets do not include any of the itemsmentioned above, which have become publicly known and made generally available through nowrongful act of mine, or of others who were under confidentiality obligations, as to the item or itemsinvolved. I hereby agree to maintain the secrecy and confidentiality of such Confidential Information.

b. Former Employer Information: I agree that I will not, during my employment with the Company,improperly use or disclose any proprietary information or trade secrets of any former or concurrentemployer or other person or entity. Further, I will not bring into the Company premises any proprietaryinformation or trade secret of any such employer, person or entity unless consented to in writing bysuch employer, person or entity.

c. Third Party Information: I recognize that the Company has received, and in the future willreceive, from third parties their confidential or proprietary information subject to a duty to maintain theconfidentiality of such information and to use it only for certain limited purposes. I agree to hold all suchconfidential or proprietary information in the strictest confidence and agree to not disclose it to anyperson, corporation or entity. I also agree not to use such information except as necessary in carryingout my work for the Company consistent with the Companys agreement with such third party.
