GeneralTermsandConditionsofSteinwegDeltaMarineTerminalB.V.

Article1- Applicability1.1 These General Terms and Conditions apply to Steinweg Delta Marine Terminal B.V. and its

subsidiary companies as well as all its affiliated companies, hereinafter jointly referred to as“SDMT”.

1.2 TheseGeneral TermsandConditionsapply toall legal relationshipsof Steinwegarisingoutofor

related to any form of service to be performed by SDMT, regardless ofwhether this is effectedpursuanttoordersoronothergrounds.

1.3 Totheextent that theseGeneralTermsandConditionsapply toanysingleagreement, theyshall

continuetoapplywithoutexceptiontoanyandallfutureservicestobeperformedbySDMTandtofutureagreementsconcludedwithSDMT.

1.4 Failure by SDMT on any occasion to invoke any of the provisions of the General Terms and

Conditions shallnot constituteawaiverbySDMTof its right to invoke the saidprovisionsof theGeneralTermsandConditionsinothercircumstances.

Article2- SectoraltermsandconditionsappliedbySDMT2.1 Unlessspecificallyandinwritingagreedotherwise,allservicesrenderedbySDMTareperformedby

SDMTactinginitscapacityofeitherforwarder[‘expediteur’](includingbutnotlimitedtoservicessuch as chartering of trucks, barges, trains and/or vessels, even if these services are performedpursuant to a transport order) and/or acting in its capacity of receiving agent [‘ontvangstexpediteur’] and/or customs agent [‘douaneagent’] and/or warehouse keeper and/or shipbrokerand/orstevedoreand/orproviderofotherlogisticservices.

2.2 Save as specifically and in writing provided otherwise, the following general sectoral terms and

conditions, themost recentversion thereof,with theexceptionofanychoiceof forumclauseorarbitrationclauseincludedinsuchgeneralsectoraltermsandconditions,shallapply. Withregardto the competent court and applicable law in respect of these general sectoral terms andconditionsArticle17oftheseSDMTGeneralTermsandConditionsshallapply.

a. ForwardingWhen acting in its capacity of forwarder, receiving agent and/or customs agent as described inArticle2.1,theDutchForwardingConditions[‘NederlandseExpeditievoorwaarden’]shallapply.

b. WarehousingIn case of warehousing services, the Warehousing Conditions Amsterdam-Rotterdam[‘Veemcondities 2006’] with the exception of Article 1.4 of these Warehousing Conditions shallapply. Notwithstanding the provisions of Article 31 of these Warehousing Conditions, SDMT isentitledtowithholdthereleaseofthegoodstoathirdpartyifSDMTatitssolediscretionconsiderson reasonable grounds that such release to the third party could prejudice SDMT’s rights orinterests.Thesewarehousingservicesarenotlimitedtostorageorcustodyordeliveryofgoodsbutinclude and/or extend to all other services provided to the goods by SDMT in the warehouseand/oronthesiteofthewarehouse.

c. ShipbrokersactivitiesIn case of shipbrokers activities, theGeneral Conditions for ‘Cargadoors’ (Dutch Shipbrokers andAgents)2009shallapply.d. StevedoringIn case of stevedoring services, the VRTO General Terms and Conditions shall apply with theexception: i. That the textof thesecondsubparagraphofArticle6.1 is replacedby the following text:

‘TheTerminalOperator shallnotbe liable for the lossordamagestated,unless thePrincipalcanprovethatthelossordamagestatedhasbeencausedbyfaultornegligenceonthepartofthe Terminal Operator or people or parties for whom the Terminal Operator is responsiblewithinthescopeoftheWork’;

ii. That in Article 6.5 under a and under c the amount of € 1,000,000 (onemillion Euro) isreplacedbytheamountof€500,000(fivehundredthousandEuro).

Article3- SteinwegDigitalServicesTermsandConditionsThe use which includes accessing, browsing or registering to use any form of digital servicesemployedbySteinwegDeltaMarineTerminalB.V.inthecourseofitsservicessuchasourmobileapplication [Steinweg Online], our website [www.online.steinweg.com], EDI and/or other digitalservices(collectively,the‘SteinwegDigitalServices‘)issubjecttotheapplicabilityoftheSteinwegDigital ServicesTermsandConditions.With regard to thecompetent courtandapplicable law inrespectoftheSteinwegDigitalServicesTermsandConditionsArticle17oftheseSteinwegDigitalServicesTermsandConditionsshallapply.

Article4- Applicabilityofthefollowingprovisions

WhereSDMTisperformingotherlogisticserviceswhicharenotcoveredbythescopeofapplicationofthesectoraltermsandconditionslistedinArticle2.2,whereanyissueariseswhichdoesnotfallunderthegeneralsectoraltermsandconditionsdeclaredapplicableinArticle2.2orwhere,foranyreasonwhatsoever,theprovisionsoftheaforesaidsectoraltermsandconditionsarenotapplicableand/or are annulled, the provisions set out in the Articles below of these General Terms andConditionsofSteinwegDeltaMarineTerminalB.V.shallapplytotheseservices.

Article5- Offersandagreement

OffersmadebySDMTandordersmadetoSDMTarenon-bindinguntilanagreementwithSDMThasbeenconcludedinwriting.AnagreementwithSDMTisonlyconcludedbywrittenconfirmationofSDMTor intheeventthatSDMThasstartedtheperformanceofanorder.AnyamendmenttotheagreementbySDMTshallbedeemedacceptedbytheContractingPartyiftheContractingPartydoesnotrejectsuchamendmentwithinfourteendaysafternotificationofsuchamendment.TheContractingPartyisthepartywhichconcludesanagreementwithSDMT;theContractingPartyincludesthethirdpartywhichbecomespartytotheagreementbetweenSDMTandtheContractingParty.

Article6- Generalprovisionsregardingtheservices6.1 TheContractingParty (including the thirdpartywhichbecomesparty to theagreementbetween

SDMTanditsContractingParty)shallseetoitthatallnecessarypermitsareobtainedandkeptas

wellasthatalltheregulationsfallingundertheobligationsoftheContractingPartyarecompliedwith.

6.2 ToenableSDMTtoperform itsservices, theContractingPartyshall timelyprovideSDMTwithall

relevantinformationsuchasbutnotlimitedtoinformationwithregardto:▫ The nature, type, quality, composition, temperature, weight, volume, source, origin, physical

and/orchemicalpropertiesofthegoods;▫ Hazardous properties and/or substances (whether or not generally known or recognized as

such)oforwithinthegoods;▫ Legalconsequences(ownership,storagebannedelsewhere,customformalitiesetc.);▫ Whetheraspecialmethodofstorageisrequiredornecessaryduetothenatureofthegoods;▫ Specialdirectionsregardingthemethodofloadingorunloading;andallotherparticulars,which

areofimportancetoSDMT.

6.3 Should the vessel, container and/or cargo have been fumigated, then the Contracting Party isobligedto informSDMTwell inadvance,at the latest7daysprior toarrival inRotterdamoranyotherdesignatedharbour,ofthefumigantusedandinwhichcontainer(s),barge(s),hold(s)and/orpacking it was applied. Degassing and/or aerating the vessel, container and/or cargo to safetyconcentrationswillbeatContractingParty'sriskandexpense.

6.4 SDMThastherighttorefusethegoodsincasetheContractingPartydoesnotfulfilitsobligations

pursuant toArticles6.1,6.2and6.3of theseGeneralTermsandConditionsor incase thegoodsarriveinadamagedordefectivecondition.

6.5 SDMTmay,without being obliged thereto, takemeasures for treatment and handling as itmay

deemnecessaryforpreservationorprotectionofthestoredgoodsorofitsownorother'sgoodsorproperties,allatContractingParty'sriskandexpense.

6.6 IftheContractingPartysellsorotherwisedisposesof(partof)thegoods,thisdoesnotreleasethe

Contracting Party of its previously assumed obligations to SDMT until SDMT has confirmed inwritingtotheContractingPartythatSDMThasacceptedbothsuchtransferandthereleaseofthegoods.

6.7 The Contracting Party is obliged to immediately notify SDMT inwriting of transfer or passing of

ownershipofgoodsortransferorpassingoftherighttotakedeliveryofthegoods,asthecasemaybe.

6.8 The Contracting Party shall be obliged to notify SDMT inwriting of any claimof the Contracting

Partyand/orofathirdpartywhoactedonbehalfoftheContractingParty,fordamagetoand/orloss of themeans of transport of the Contracting Party and/or of such third party prior to thedepartureofthemeansoftransportfromthepremisesofSDMToritssubcontractorfailingwhichanysuchclaimagainstSDMTwillbebarred[‘vervallen’].

6.9 SDMTdetermines the order of sequence inwhich vessels, trucks, barges or any othermeans of

transportwillbe loadedorunloadedanddeterminestimeandplace forberthingorparking.Thenon-availabilityofaberthingorparkingplaceuponarrivaloffloatingorrollingmeansoftransportisconsideredtobeacircumstancebeyondSDMT’scontrol.

6.10 SDMTisentitledtohavetheservicescarriedoutinwholeorinpartbystaffandequipmentofthird

partiesaswellas,at thediscretionofSDMTandfreeofcharge,withthehelpofthe loadingandunloadingequipmentand/ordrivepowerof themeansof transport tobemadeavailableby theContractingParty.

6.11 Save where specific agreements are made, SDMT shall be free to determine the manner ofexecutingtheagreement.TheContractingPartyshallcomplywithallgeneraldirectivesandspecificinstructionsgivenbySDMT,relatingtotheexecutionoftheagreement.

6.12 TheContractingPartyisobligedtotakeoutadequateinsurance,includingbutnotlimitedtocargo

insuranceandinsurancecoveringdamagethatcanbecausedbythegoods.SDMTdoesnotinsurethegoodsundertheagreement.

Article7- Ratesandtariffs7.1 Unless specifically in writing agreed otherwise, all rates and tariffs are in Euro's and excluding

V.A.T., taxes and charges, levied by public authorities on particular goods, their transhipmentand/orstorage.

7.2 Where theprices chargedby its suppliers orwages, social and/or other charges, freights and/or

import duties and/or insurance premiums and other costs, under whatever title, are subject toincreasesor surchargesafter thedateonwhich theorder isaccepted, SDMTshallbeentitled toapplysuchsurchargesaccordingly to the ratesandtariffsofongoingorders; thisshallbebindingupontheContractingParty.

7.3 Unlessspecificallyinwritingagreedotherwise,SDMTisentitledtoyearlyadjustmentsinratesand

tariffs,pursuanttoanyincreaseofcosts,suchasbutnotlimitedtocostsoflabour,equipmentandfuel.

7.4 Theagreedratesandtariffsapplyduringofficialworkinghours,thatisMondaytoFridayfrom7.30

till16.00hours.ServicesperformedoutsideofficialworkinghoursandduringDutchpublicholidays (includingtheeveningandnightshiftsprecedingsuchdays)areconsideredtobeovertimeservices.Specialratesandtariffsapplyincaseofovertimeserviceswherebyovertimeservicesaresubjecttotheavailabilityoftheworkforce.

Article8- Paymentconditions8.1 TheContractingPartyshallpaytheamount invoicedbySDMTtoSDMTwithin14daysof invoice

date. Payment to SDMT must be effected in the manner specified by SDMT. Payment to a(n)(alleged) representative(s) of SDMT shall not release the Contracting Party from its paymentobligationstowardsSDMT.

8.2 If theContractingPartydoesnotdisputeorreturnthe invoicewithin14daysofreceipt, thesaid

invoiceshallbeconsideredtobeundisputed.8.3 TheContractingPartyshallnotbeentitledtoinvokesetoffoftheinvoiceamountagainstanyclaim

itmayconsiderithasonSDMTand/orsuspendpaymentthereof.8.4 In the event of failure by the Contracting Party to pay the invoice amount to SDMTwithin the

period for payment provided for in Article 8.1, the Contracting Party shall become in defaultwithouttherequirementofanypriornoticeofdefault.

8.5 As from the moment the Contracting Party is in default pursuant to Article 8.4, it shall owe

statutorycommercialinterestonthegroundsofArticle6:119ainconjunctionwithArticle6:120ofthe Dutch Civil Code until such time as SDMT receives payment of the amount in full. TheContracting Party shall also owe SDMT any judicial and extrajudicial costs incurred in order to

secure the Contracting Party’s compliance with its (payment) obligations, whereby extrajudicialcostsshallbefixedat15%oftheamountoftheclaim.

8.6 PaymentsbySDMTorasubcontractorofSDMTmadeonbehalfoftheContractingParty,suchas

but not limited to disbursements, import duties, ocean freights and costs relating to additionalservices,willbeinvoicedseparatelyandhavetobepaiddirectlyuponreceiptoftheinvoice.

8.7 All costs and/or any damage borne by SDMTon account of the non-availability of themeans of

transportusedbyoronbehalfoftheContractingPartyoronaccountofanydefectofsuchmeansof transport have to be paid or compensated directly to SDMT. SDMT is allowed to suspend itsservicesuntilsuchpaymentismade.

8.8 SDMTisentitledatanytimepriorto,duringandevenafterperformanceofitsservicestorequire

anadvancepayment,aprepayment,aninterimpaymentorsecurityfromtheContractingPartyforall claimsby SDMTagainst theContractingParty nowor in the future; in the eventof failure toprovidetheaforesaidpaymentorsecurity,SDMTshallbeentitledtoterminatetheagreementwithimmediateeffectwithout judicial interventionandwithoutanyobligationuponSDMTtopayanyformofcompensation.

8.9 Alloutstandinginvoicesand/orclaimsofSDMTshallbecomeimmediatelypayableifandassoonas

theContractingPartyor its representativeapplies foranadministrationorder, filesabankruptcypetition, is declared bankrupt, ceases its activities inwhole or in part or transfers them to thirdparties,orlosescontrolofitsassetsinwholeorinpartduetoattachmentorsimilarmeasures.Insuch events SDMT shall also be entitled to terminate the legal relationshipwith the ContractingPartywithimmediateeffect,withoutprejudicetotherightofSDMTtoclaimdamagesandwithoutanyobligationuponSDMTtopayanyformofcompensation.

8.10 SDMThasapledgeand/orarightofretentionand/oralienonallgoods,documentsandfundsof

theContractingPartyinthepossessionofSDMTnoworinthefutureregardlessofthegroundsandregardlessofitsdesignateduse,forallandanyclaimsagainsttheContractingPartynoworinthefuture. SDMT is also entitled to exercise such rights concerning what the Contracting Party stillowesSDMTinconnectionwithpreviouslegalrelationshipsorpreviousassignments.Intheeventofnon-paymentoftheclaim(s)forwhichsuchrightsareexercised,SDMTshallbeentitledtosellthepledgedgoods,documentsandfundsinthemannerprescribedbylaw.

8.11 SDMT shall regard anyonewho entrusts goods to SDMT for performance of the services as the

ContractingParty's agent for creating a pledge and/or a right of retention and/or a lienon suchgoods.

Article9- Termination9.1 In case circumstances occur where it is not reasonable to expect that SDMT continues the

performanceofitsservices,suchasbutnotlimitedtocircumstancesbeyondSDMT’scontrolwhichlast for more than 48 consecutive hours, SDMT has the right to terminate the agreement withimmediateeffectandwithouttherequirementofaprior(written)noticeofdefaultandwithouttheContractingPartybeingentitledtoclaimanydamagesorcostsfromSDMT.

9.2 Notwithstanding SDMT'sother rights under the agreement, including the right to claimdamages

fromtheContractingParty,anybreachoftheContractingParty'sobligationsconstitutesarightofSDMT to terminate theagreementwhollyor inpartand/or to suspendor interrupt the services,with immediate effect and without the requirement of a prior (written) notice of default andwithouttheContractingPartybeingentitledtoclaimanydamagesorcostsfromSDMT.

9.3 If and as soon as the Contracting Party or its representative applies for an administration order,filesabankruptcypetition,isdeclaredbankrupt,ceasesitsactivitiesinwholeorinpartortransfersthemtothirdparties,orlosescontrolofitsassetsinwholeorinpartduetoattachmentorsimilarmeasures,notwithstandingSDMT'sotherrightsundertheagreement, includingtherighttoclaimdamages from the Contracting Party, SDMT is entitled to terminate the agreement and/or tosuspendor interrupt the services,with immediateeffect andwithout the requirementof aprior(written)noticeofdefaultandwithouttheContractingPartybeingentitledtoclaimanydamagesorcostsfromSDMT.

Article10- Liability10.1 SDMTshallnotbeliableforanydamage,includingbutnotlimitedtodamagetothegoodsand/or

damagecausedbythegoodsorthehandlingthereof,savewheretheContractingPartyprovesthatthedamagewascausedasaresultofanactoromissiononthepartoftheboardormanagementofSDMT,doneeitherwiththe intenttocausethatdamageorrecklesslyandwiththeknowledgethatsuchdamagewouldprobablyresulttherefrom.AnyliabilityofSDMTshall inanyeventneverexceed a maximum of €100,000.- for each occurrence or series of occurrences with the samecause.DamageshallalsobeunderstoodtoincludedamagetothirdpartieswhichSDMTisobligedtocompensate;damageshallalsobeunderstoodtoincludedamagecausedbydeathorinjuryandanyformoffinancialloss.

10.2 TheContractingPartyshallbeobligedtocompensateSDMTforanydamagecausedtoSDMTinthe

performance of its services, including but not limited to damage caused by material or goodsprovided by the Contracting Party to SDMT for the purpose of executing the agreement and/ordamagecausedasaresultofhandlingthatmaterialorthosegoods,savewherethedamagewascausedasaresultofanactoromissiononthepartoftheboardormanagementofSDMT,doneeitherwiththeintenttocausethatdamageorrecklesslyandwiththeknowledgethatsuchdamagewould probably result therefrom. Damage shall also be understood to include damage to thirdpartieswhichSDMTisobligedtocompensate;damageshallalsobeunderstoodtoincludedamagecausedbydeathorinjuryandanyformoffinancialloss.

10.3 SDMTshallneverbeliableforconsequentialand/orimmaterialdamageorlossofprofit, incurred

by the Contracting Party. Loss of demurrage of any means of transport (floating or rolling) ordispatchmoneyaredeemedtobeconsequentialdamage.

10.4 SDMTshallbedischargedfromallliabilityunlesstheContractingPartynotifiesSDMTinwritingof

anydamageorloss,eitherwithinfourweeksaftertheContractingPartyhasbecomeawareofsuchdamageor loss, orwithin threemonths after themeansof transport involved, the goodsor thepersoninvolved,has/haveleftthepremisesofSDMT,whichevertermisshorter.Allandanyclaimsagainst SDMTshall become timebarredby themereexpiryofninemonths since such claimhasarisen.

Article11- IndemnificationandHimalayaclause11.1 The Contracting Party shall be obliged to indemnify and hold harmless SDMT for all third party

claimsrelatingtodamagecausedasaresultoftheservicesperformedbySDMT,savewheresuchdamage is caused as a result of an act or omission on the part of the board ormanagement ofSDMT,doneeitherwiththeintenttocausethatdamageorrecklesslyandwiththeknowledgethatsuchdamagewouldprobablyresulttherefrom.TheContractingPartyshallbeobligedtoindemnifyandholdharmlessSDMTatalltimesandinallcases against third-party claims exceeding the total sum of € 100,000.- for each occurrence orseriesofoccurrenceswiththesamecause.

Damage shall also be understood to include damage to third parties which SDMT is obliged tocompensate; damage shall alsobeunderstood to includedamage causedbydeathor injury andanyformoffinancialloss.

11.2 ShouldemployeesofSDMTand/orsubcontractorswhoseservicesSDMTemploysforthepurpose

of implementing the agreement be held liable, such persons shall be entitled to invoke anylimitation of and/or exemption from liability included in these General Terms and Conditions(includingthesectoraltermsandconditionscitedinArticle2)oranyotherstatutoryorcontractualprovision.

11.3 In addition the Contracting Party shall indemnify and hold harmless SDMT for any claims by

whatevername,fromwhicheverperson,legalorprivate,concerningthelatestversionof:

▫ The (EC) Regulation No. l907 / 2006 of December 18th 2006, concerning the Registration,Evaluation,AuthorisationandRestrictionofChemicals(REACH);

▫ The (EC) Regulation No. 1272 / 2008 of December 16th 2008, concerning the classification,labellingandpackagingofsubstancesandmixtures.

▫ TheWages and Salaries Tax and Social Security Contributions (Liability of Subcontractors) Act[‘WetKetenaansprakelijkheid’];

▫ TheActonEnvironmentaltaxbase,[‘Wetbelastingenopmilieugrondslag’];▫ Orsimilarregulationsorlegislation.

Article12- DangerousGoods12.1 IntheeventthatthegoodshandledbySDMTintheperformanceoftheservicesaredeemedtobe

dangerouspursuanttotherelevantregulationsforthecarriageofdangeroussubstancesoninlandwaterways, by road or by sea, such handling of the goods shall be governed by the EuropeanAgreementconcerningtheInternationalCarriageofDangerousGoodsbyInlandWaterways(ADN),theEuropeanAgreementconcerningtheInternationalCarriageofDangerousGoodsbyRoad(ADR)and the International Maritime Dangerous Goods Code (IMDG Code) as well as the applicablenationalregulationswithregardtocarriageofdangerousgoods.

12.2 Should SDMT suffer damage as a result of failure by the Contracting Party to comply with the

obligations laiddown inanyof theregulationsondangerousgoodsasmentioned inArticle12.1,theContractingPartyshallbeobligedtocompensatesuchdamagetoSDMTinfull.

12.3 NotwithstandingArticle11.1,theContractingPartyshallbeobligedtocompensateSDMTforany

damagecausedtoSDMTbythedangerousgoodsorhandlingthereof,savewheresuchdamageiscausedasaresultofanactoromissiononthepartoftheboardormanagementofSDMT,doneeitherwiththeintenttocausethatdamageorrecklesslyandwiththeknowledgethatsuchdamagewould probably result therefrom. Damage shall also be understood to include damage to thirdpartieswhichSDMTisobligedtocompensate;damageshallalsobeunderstoodtoincludedamagecausedbydeathorinjuryandanyformoffinancialloss.

Article13- Subcontracting SDMTisallowedtosubcontracttheservicestothirdpartiesandtoacceptthe(standard)termsand

conditionsofsuchthirdparties.

Article14- Complianceandsanctionrules14.1 TheContracting Party accepts that basedon applicable legislation to preventmoney laundering,

terrorist financing,briberyandcorruptionSDMTisrequiredtoreportunusualtransactionstothecompetentauthorities.

TheContractingPartyacceptsthatSDMTmaybeobligedbytheapplicablelegislationtoidentifytheContractingPartyandverifytheidentification.TheContractingPartymustafforditsfullcooperationinthismatter.SDMTwillrecordtherequireddataandkeepitinaccordancewithapplicableregulations.TheContractingPartyacceptsthattheaforementioneddisclosureobligationprevailsovertheapplicableprivacyrules.TheContractingPartyguaranteescompliancewithallapplicablesanctionsandrestrictionslaiddowninandensuingfromallrelevantUS,UN,EUorotherrelevantsanctionauthoritiessanctionsandexpertcontrolregulationsinforceattheconclusionoftheagreementandduringitsperformance.

14.2 The Contracting Party specifically agrees that it will not directly or indirectly pay, offer, give,

promisetopayorgive,orauthorizethepaymentorgivingofanymoneyoranythingofvaluetoanypersonorentityforthepurposeofillegallyorimproperlyincludingadecisionorretainingbusinessoranyadvantageinconnectionwiththeagreement.AndtheContractingPartywillcomplywithallapplicablecountry lawsrelatingtoanti-corruptionoranti-bribery, includingtheOECDConventiononCombatingBriberyof ForeignPublicOfficials in InternationalBusiness Transactionsaswell aslegislationimplementingthisOECDConvention.

14.3 InaccordancewithArticle9.2,SDMTisentitledtoterminate(‘beëindigen’)theagreement

immediatelyifitreasonablysuspectsthatthegoodsaredirectlyorindirectlyintendedforanycountrysubjecttoasanctionpursuanttoUS,UN,EUorotherrelevantsanctionauthoritiesregulationsforthegoodsinquestion,withoutanexemptionorlicencehavingbeenobtainedforthispurposebyacompetentauthority.SDMTisalsoentitledtoterminatetheagreementimmediatelyifitreasonablysuspectsthattheContractingPartyintendstoviolateorviolatestheobligationsand/orlegislationrelatingtoanti-corruptionoranti-briberyasmentionedinarticle14.2.

14.4 Followingtheterminationoftheagreementbasedononeoftheaforementionedarticles,any

obligationsofSDMTundertheagreementwilllapseimmediately.TheContractingPartywillfullyindemnifyandholdharmlessSDMTagainstanyclaim,fineorotherdamageofthirdpartiesarisingorrelatedtosuchterminationorviolation.

Article15- Privacy15.1 SDMT processes personal data obtained from the Contracting Party in the context of the

performance of the agreement, in order to comply with legal obligations and its legitimateinterests. In the performance of the agreement, SDMT determines the purpose and means ofprocessing personal data. SDMT is controller of personal data (as described in theGeneral DataProtectionRegulation)obtainedfromtheContractingPartyinconnectionwiththeperformanceofthe agreement. As controller, it is not necessary for SDMT to enter into a data processingagreementwiththeContractingParty.SDMTwillonlyprocesspersonaldatatotheextentthatthisiscompatiblewiththepurposeforwhichthepersonaldataarecollected.

15.2 SDMT may, whether or not in connection with the agreement, process, store and share the

ContractingParty’spersonaldatatoeveryonewithintheSDMTorganizationinconnectionwiththeperformanceof theagreementand for thepurposeof relationshipmanagement.SDMTwill takeappropriate technical and organizational measures to protect the personal data against loss,

15.3 The Contracting Party will keep the personal data collected during the performance of the

agreement confidential. The Contracting Party will not disclose personal data it obtains in theperformanceof theagreementormake itavailable to thirdparties,unlessSDMThasgivenpriorpermission or when a statutory regulation obliges the Contracting Party to do so. Theconfidentiality obligation does not apply with regard to information that has become publiclyknownwithoutviolatingtheconfidentialityclauseorincaseinformationwasalreadyknowntotherecipientatthetimeofreceivingtheinformationundertheagreement,orifthatinformationwasprovidedbyathirdparty,withoutviolatingaconfidentialityclause.

Article16- Miscellaneous16.1 Non-applicabilityoftheContractingParty’stermsandconditions The applicability of the general terms and conditions of the Contracting Party and/or its

subcontractor(s), whether or not printed on the transport documents, is explicitly rejected bySDMT.

16.2 Invalidity

In case any of the terms, conditions and provisions of these General Terms and Conditions areinvalidorpartially invalidtherespectivetext is tobereplacedwithacorrespondingtextwhich isvalid and equivalent to the intended meaning; the remainder of these General Terms andConditionsshallremainunaffectedandvalid.

16.3 Amendments

AnyamendmenttotheseGeneralTermsandConditionsmustbemadeinwriting.16.4 Authentictext TheseConditionsareintheEnglishlanguage.IncaseofanydiscrepancybetweentheEnglishtext

andatranslation,theEnglishtextshallprevail.Article17- Applicablelawandcompetentcourt17.1 ThelegalrelationshipbetweenSDMTandtheContractingPartyshallbegovernedbythelawofthe

Netherlands. 17.2 Anydisputeswhichmay arise between theparties shall be settled exclusively by the competent

courtinRotterdam.

Definitions

DefinitionsArticle1.IntheseConditions,thefollowingtermsshallhavethefollowingmeanings:

1. Thirdparty/parties:allofthosepersons,whoarenotemployees,withwhomtheFreightForwarderhasanundertakingonbehalfoftheClient,irrespectiveofwhethertheFreightForwarderhastheundertakinginitsownnameorinthenameoftheClient;

2. Services:allactivitiesandwork,inanyformandbywhatevername,includingthoseperformedbytheFreightForwarderfororonbehalfoftheClient;

3. FreightForwarder:thenaturalor legalpersonwhoperformsServicesonbehalfoftheClientandwhousestheseConditions;thispersonisnotexclusivelyunderstoodtobetheFreightForwarderreferredtoinBook8oftheDutchCivilCode;

4. Client:everynaturalor legalpersonwhoprovidestheFreightForwarderwithanordertoperformServicesandconcludestothateffecttheAgreement,irrespectiveoftheagreedmethodofpayment;

5. Agreement:theagreemententeredintobytheFreightForwarderandClientinrespectoftheServicestobeperformedbytheFreightForwarder,ofwhichtheseConditionsformpart;

6. Forcemajeure: all circumstances that the Freight Forwarder has reasonably been unable to avoid and inrespectofwhichtheFreightForwarderhasreasonablybeenunabletopreventtheconsequences.;

7. Conditions:theseDutchForwardingConditions.

8. Good/Goods:thegoodstobemadeavailableormadeavailabletotheFreightForwarder,itsagentorThird

PartiesbyoronbehalfoftheClient,forthepurposeofexecutingtheAgreement.Scope

ScopeArticle2.

1. TheseConditionsgovernalloffers,agreements,legalactsandactualactsrelatingtoServicestobeperformedbytheFreightForwarder, insofarasthesearenotsubjectto imperative law.TheseConditionsapplytothelegalrelationshipbetweentheparties,includingoncetheAgreementhasended.

2. Insofar as any provision in these Conditions is void or otherwise unenforceable, this does not affect thevalidity of the other provisions in these Conditions. Furthermore, considered to be applicable is such astipulation(legallypermissible)thatistheclosesttothepurportofthevoidorvoidedstipulation.

3. IncasetheEnglishtranslationdiffersfromtheDutchtext,thelatterwillprevail.

ThirdPartiesArticle3.TheClientgivestheFreightForwarderfreereintoengagetheservicesofThirdPartiestoexecutetheAgreement,andtoacceptthe(general)termsandconditionsofthoseThirdPartiesattheClient'sexpenseandrisk,unlessagreedotherwisewiththeClient.AttheClient'srequest,theFreightForwarderisobligedtoprovide(acopyof)the(general)termsandconditionsunderwhichithasenteredintoacontractwiththoseThirdParties.ConclusionoftheAgreement

ConclusionoftheAgreementArticle4.

1. AlloffersmadebytheFreightForwarderarenon-binding.

2. Agreements,aswellasamendmentsofandadditionstotheseagreements,shallonlybecomeeffectiveifandinsofarastheFreightForwarderhasconfirmedtheseinwritingortheFreightForwarderhasstartedtoperformtheServices.

Customswork

CustomsworkArticle5.

1. TheprovisionofinformationtotheFreightForwarder,thatisreasonablyprovidedtoenablecustoms

formalitiestobecarriedout,shallimplyanorder,unlessotherwiseagreedinwriting.

2. ThisorderisacceptedbytheFreightForwarderbymeansofanexplicitwrittenconfirmationorbytheFreightForwarderstartingtocarryoutthecustomsformalities.TheFreightForwarderisneverobligedtoacceptanordertocarryoutcustomsformalities.

3. IftheFreightForwarderbecomesfamiliarwithinformationorconditionswhichwouldindicatethattheClient

hasnotcompliedwitharticle9paragraph3oftheseConditions(hasprovidedincorrectand/orincompleteinformationand/ordocuments)andonthebasisofwhichtheFreightForwarderhasnotacceptedtheordertocarryoutcustomsformalities,theFreightForwarderisatalltimesentitledtoendthisorderandnotcarrythisout(anyfurther),whichmayormaynotbesetoutinanadditionalagreementand/orauthorisation,withoutanyobligationtopaydamages.

Remunerationsandothercosts

RemunerationsArticle6.

1. Allpricesquotedshallbebasedonthepricesthatapplyatthetimeoftheoffer(quotation).IfbetweenthetimeoftheofferandthetimeofexecutionoftheAgreement,oneormoreofthecostfactors(includingfees,wages,thecostofsocialmeasuresand/orlaws,freightpricesandexchangerates,etc.)increase,theFreightForwarderisentitledtopassonthisincreasetotheClient.TheFreightForwardermustbeabletoprovethechanges.

2. IftheFreightForwarderchargesall-inorfixedrates,theseratesshallbedeemedtoincludeallcoststhat,inthenormalprocessofhandlingtheorder,arefortheaccountoftheFreightForwarder.

3. Unlessprovidedotherwise,all-inorfixedratesshallnotincludeatanyrate:duties,taxesandlevies,consularandattestationfees,costsofpreparingbankguaranteesandinsurancepremiums.

4. IntheeventofcircumstancesthatareofsuchanaturethatwhenconcludingtheAgreementitwasnotdeemednecessarytotakeintoaccounttheriskthattheycouldoccur,thatcannotbeattributedtotheFreightForwarderandthatsignificantlyincreasethecostsoftheServicesbeingperformed,theFreightForwarderisentitledtoanadditionalpayment.Wherepossible,theFreightForwardershallconsultinadvancewiththeClient.Insuchacase,theadditionalpaymentshallconsistoftheadditionalcoststhattheFreightForwarderhashadtoincurinordertoperformtheServices,plusanadditionalpayment-deemedfairandequitable-fortheservicestobeperformedbytheFreightForwarder.

5. ExpensesofanexceptionalnatureandhigherwagesarisingwheneverThirdParties,byvirtueofanyprovisionintherelevantagreementsbetweentheFreightForwarderandThirdParties,loadorunloadgoodsintheevening,atnight,onSaturdaysoronSundaysorpublicholidaysinthecountrywheretheServiceisbeingcarriedout,shallnotbeincludedintheagreedprices,unlessspecificallystated.AnysuchcostsshallthereforeberemuneratedbytheClienttotheFreightForwarder.

6. OtherthanincasesofintentordeliberaterecklessnessonthepartoftheFreightForwarder,intheeventoftheloadingand/orunloadingtimebeinginadequate,allcostsresultingtherefrom,suchasdemurrage,waitingtimes,etc.shallbebornebytheClient,evenwhentheFreightForwarderhasacceptedthebillofladingand/orthecharterpartyfromwhichtheadditionalcostsarisewithoutprotestation.TheFreightForwardermustmakeeveryefforttoavoidthesecosts.

Insurance

InsuranceArticle7.

1. InsuranceofanykindshallonlybearrangedattheClient'sexpenseandriskfollowingacceptancebytheFreightForwarderoftheClient'sexplicitwrittenorder,inwhichtheClientclearlyspecifiesthegoodstobeinsuredandthevaluetobeinsured.Amerestatementofthevalueortheinterestisnotenough.

2. TheFreightForwarderwilltakeouttheinsurance(orarrangeforthistobetakenout)throughaninsurer/insurancebroker/insuranceintermediary.TheFreightForwarderisneitherresponsiblenorliableforthesolvencyoftheinsurer/insurancebroker/insuranceintermediary.

3. WhentheFreightForwarderusesequipment,suchasderricks,cranes,fork-lifttrucksandothermachinestoperformtheServicesthatdonotformpartofitsusualequipment,theFreightForwardershallbeentitledtotakeoutinsuranceattheClient'sexpensetocovertheFreightForwarder'srisksarisingfromtheuseofsuchequipment.Wherepossible,theFreightForwardershallconsultinadvancewiththeClientabouttheuseofsuchequipment.Ifnotimelypriorconsultationispossible,theFreightForwarderwilltakethemeasuresthatseemtoittobeinthebestinterestsoftheClientandshallinformtheClientofthat.

ExecutionoftheAgreement

Deliverydate,methodofdeliveryandrouteArticle8.

1. ThemerestatementbytheClientofatimefordeliveryshallnotlegallybindtheFreightForwarder.ArrivaltimesarenotstrictdeadlinesandarenotguaranteedbytheFreightForwarder,unlessagreedotherwiseinwriting.

2. IftheClienthasnotgivenanyspecificinstructionsaboutthiswithitsorder,themethodofdeliveryandrouteshallbeattheFreightForwarder'sdiscretionandtheFreightForwardermayatalltimesacceptthedocumentscustomarilyusedbythefirmsitcontractsforthepurposeofcarryingoutitsorders.

CommencementoftheServicesArticle9.

1. TheClientisobligedtodelivertheGoodstotheFreightForwarderoraThirdPartyinsuitablepackagingto

theagreedlocation,attheagreedtimeandinthemanneragreed.

2. InrespectoftheGoods,aswellasinrespectofthehandlingthereof,theClientisobligedtosupplytheFreightForwarderingoodtimewithanydetailsanddocumentsthatitknowsoroughttoknow,areofimportancetotheFreightForwarder.IftheGoodsand/oractivitiesaresubjecttogovernmentalprovisions,includingcustomsandexciseregulationsandtaxrules,theClientmustprovideallinformationanddocuments,ingoodtime,thatarerequiredbytheFreightForwarderinordertocomplywiththoseprovisions.

3. TheClientguaranteesthattheinformationanddocumentsthatitprovidesarecorrectandcompleteandthatallinstructionsandGoodsthataremadeavailablecomplywithcurrentlegislation.TheFreightForwardershallnotbeobligedbutshallbeentitledtoinvestigatewhethertheinformationprovidediscorrectandcomplete.

GoodsHandlingArticle10.

1. Alloperationssuchasinspecting,sampling,taring,tallying,weighing,measuring,etc.andreceivinggoodssubjecttoappraisalbyacourt-appointedexpert,shalltakeplaceonlyontheClient'sspecificinstructionsanduponremunerationofthecoststhereof.

2. Notwithstandingtheprovisionsinparagraph1,theFreightForwardershallbeentitled,butnotobliged,onitsownauthorityandattheClient'sexpenseandrisk,totakeallsuchactionsasitdeemsnecessaryintheClient'sinterest.Wherepossible,theFreightForwardershallconsultinadvancewiththeClient.Ifthisisnotpossible,theFreightForwardershalltakethemeasuresthatseemtoittobeinthebestinterestsoftheClientandshallinformtheClientofthemeasurestakenandtheassociatedcosts,assoonasthisisreasonablypossible.

3. TheFreightForwarderisnotanexpertwithrespecttotheGoods.TheFreightForwardershallthereforeinnowaybeliableforanydamagethatarisesfromorthatisrelatedtoanynotificationbytheFreightForwarderwithregardtothestate,natureorqualityoftheGoods;norshalltheFreightForwarderbeunderanyobligationtoensurethattheshippedGoodscorrespondwiththesamples.

Liability

LiabilityArticle11.

1. AllServicesshallbeattheClient'sexpenseandrisk.

2. WithoutprejudicetotheprovisionsinArticle17,theFreightForwardershallnotbeliableforanydamagewhatsoever,unlesstheClientcanprovethatthedamagehasbeencausedbyfaultofnegligenceonthepartoftheFreightForwarderorthelatter'semployees.

3. TheFreightForwarder'sliabilityshallinallcasesbelimitedto10,000SDRperoccurrenceorseriesofoccurrenceswithoneandthesamecauseofdamage.Takingintoaccounttheaforementionedlimit,intheeventofdamage,lossofvalueorlossoftheGoodsintheAgreement,theliabilityshallbelimitedto4SDRperkilogramofdamagedordevaluedGoodsorlostgrossweight.

4. ThelosstobeindemnifiedbytheFreightForwardershallneverexceedtheinvoicevalueoftheGoods,tobeprovedbytheClient,indefaultwhereofthemarketvalue,tobeprovedbytheClient,atthetimewhenthedamageoccurred,shallapply.

5. TheFreightForwardershallneverbeliableforlostprofit,consequentiallossandimmaterialdamage,howeverthatoccurred.

6. IfduringtheexecutionoftheAgreementdamageoccursforwhichtheFreightForwarderisnotliable,takingintoaccounttheprovisionsinArticle19oftheseConditions,theFreightForwardershallmakeeffortstorecovertheClient'sdamagefromthepartythatisliableforthedamage.TheFreightForwardershallbeentitledtochargetotheClientthecostsincidentalthereto.Ifsorequested,theFreightForwardershallwaiveintheClient'sfavouritsclaimsagainstThirdPartieswhoseservicesitengagedforthepurposeofexecutingtheAgreement.

7. TheClientshallbeliablevis-a-vistheFreightForwarderforanydamage-includingbutnotlimitedtomaterialandimmaterialdamage,consequentialdamage,fines,interest,aswellaspenaltiesandconfiscation,includingdamageonaccountofnon-clearanceortardyclearanceofcustomsdocumentsandclaimsduetoproductliabilityand/orintellectualpropertyrights–suffereddirectlyorindirectlybytheFreightForwarderasaresultof(amongstotherthings)thenon-compliancebytheClientofanyobligationpursuanttotheAgreementorpursuanttoapplicablenationaland/orinternationallegislation,asaresultofanyincidentthatiswithinthecontroloftheClient,aswellasaresultofthefaultornegligenceingeneraloftheClientand/oritsemployeesand/orThirdPartieswhoseservicestheClientengagesand/orThirdPartiesthatworkonbehalfoftheClient.

8. TheClientshallindemnifytheFreightForwarderatalltimesagainstthird-partyclaims,includingemployeesofboththeFreightForwarderandtheClient,connectedwithorensuingfromthedamagereferredtointhepreviousparagraph.

9. Evenwhereall-inorfixedrates,asthecasemaybe,havebeenagreed,theFreightForwarderthatisnotacarrierbutalwaysapartythatarrangestransportationinaccordancewithtitle2,section3ofBook8oftheDutchCivilCode,shallbeliable,wherebytheliabilityisgovernedbytheseConditions.

10. IfaclaimismadeagainsttheFreightForwarderbytheClientoutsideoftheAgreementinrespectofthedamagethatoccursduringtheexecutionoftheServices,thentheFreightForwarder'sliabilityshallbelimitedtotheliabilityundertheAgreement.

11. IftodefenditsliabilityforconductofaThirdPartyoremployeetheFreightForwarderderivesadefencefromtheAgreementvis-a-vistheClient,thenifitisheldliablebytheClientunderthisdefence,aThirdPartyoremployeecaninvokethisdefenceasiftheThirdPartyoremployeewerealsopartytotheAgreement.

12. IntheeventaFreightForwarderisheldliableoutsideoftheAgreementwithregardtodamagetoorlossofaGoodordelayindeliverybysomeonewhoisnotpartytotheAgreementoratransportagreemententeredintobyoronbehalfoftheFreightForwarder,thentheFreightForwarderhasnofurtherliabilitythanitwouldhaveundertheAgreement.

ForcemajeureArticle12.

1. IntheeventofForceMajeure,theAgreementshallremaininforce;theFreightForwarder'sobligationsshall,

however,besuspendedforthedurationoftheForceMajeure.

2. AlladditionalcostscausedbyForceMajeure,suchastransportandstoragecharges,warehouseoryardrental,demurrageandstandingfees,insurance,removal,etc.,shallbebornebytheClientandshallbepaidtotheFreightForwarderatthelatter'sfirstrequest.

RefusalofcarriersArticle13.

Ifthecarriersrefusetosignforquantity,weight,etc.,theFreightForwardershallnotbeliablefortheconsequencesthereof.Imperativelaw

TheAgreementtoorganisetransportationofgoodsArticle14.TheseConditionsshallnotaffectarticles8:61paragraph1,8:62paragraphs1and2and8:63paragraphs1,2and3oftheDutchCivilCode.Payment

PaymentconditionsArticle15.

1. TheClientshallpaytotheFreightForwardertheagreedremunerationsandothercosts,freights,duties,etc.ensuingfromtheAgreementuponcommencementoftheServices,unlessagreedotherwise.

2. TheriskofexchangeratefluctuationsshallbebornebytheClient.

3. Theamountsreferredtoinparagraph1shallalsobedueifdamagehasoccurredduringtheexecutionoftheAgreement.

4. If,incontraventionofparagraph1ofthisarticle,theFreightForwarderallowsdeferredpayment,theFreightForwardershallbeentitledtomakeacreditlimitcharge.

5. IntheeventofterminationordissolutionoftheAgreement,allclaimsoftheFreightForwarder-includingfutureclaims-shallbedueandpayableforthwithandinfull.Allclaimsshallbedueandpayableforthwithandinfullinanycase,if:

- thebankruptcyoftheClientisannounced,theClientappliesforsuspensionofpaymentorotherwiselosestheunrestricteddispositionoverasignificantpartofitsassets;

- theClientoffersasettlementtohiscreditors,isindefaultoffulfillinganyfinancialobligationowedtotheFreightForwarder,ceasestotradeor-wheretheClientisalegalentityorcorporatebody-ifthelegalentityorthecorporatebodyisdissolved.

6. UponfirstdemandbytheFreightForwarder,theClientmustprovidesecurityfortheamountowedorthat

shallbeowedbytheClienttotheFreightForwarder.ThisobligationremainsiftheClientalsohastoprovideorhasprovidedsecurityinrelationtotheamountowed.

7. TheFreightForwardershallnotbeobliged,fromitsownmeans,toprovidesecurityforthepaymentoffreight,duties,levies,taxesand/orothercostsshouldthesamebedemanded.Alltheconsequencesofnon-complianceoroffailuretocomplyforthwithwithademandfromtheFreightForwardertoprovidesecurityshallbebornebytheClient.IftheFreightForwarderhasprovidedsecurityfromofitsownmeans,itmaydemandthattheClientimmediatelypaystheamountforwhichsecurityhasbeenprovided.Wherepossible,theFreightForwardershallconsultinadvancewiththeClient.Ifnotimelypriorconsultationispossible,theFreightForwarderwilltakethemeasuresthatseemtoittobeinthebestinterestsoftheClientandshallinformtheClientofthat.

8. TheClientshallatalltimesbeobligedtoindemnifytheFreightForwarderforanyamountstobeleviedoradditionallydemandedbyanyauthorityinconnectionwiththeAgreement,aswellasanyrelatedfinesimposedupontheFreightForwarder.TheClientshallalsoreimbursethesaidamountstotheFreightForwarderifaThirdPartybroughtinbytheFreightForwarderdemandspaymentforthesaidamountswithintheframeworkoftheAgreement.

9. TheClientshallatalltimesindemnifytheFreightForwarderforanyamounts,aswellasforalladditionalcoststhatmaybeclaimedoradditionallyclaimedfromtheFreightForwarderinconnectionwiththeorder,asaresultofincorrectlyleviedfreightandcosts.

10. ItshallnotbepermissibleforclaimsreceivabletobesetoffagainstpaymentofremunerationsarisingfromtheAgreementonanyotheraccountinrespectoftheServicesowedbytheClientorofothercostschargeableagainsttheGoodswithclaimsoftheClientorsuspensionoftheaforementionedclaimsbytheClient. AllocationofpaymentsandjudicialandextrajudicialcostsArticle16.

1. Cashpaymentsshallbedeemedinthefirstplacetohavebeenmadeonaccountofnon-preferentialdebts.

2. TheFreightForwardershallbeentitledtochargetotheClientextrajudicialandjudicialcostsforcollectionof

theclaim.TheextrajudicialcollectioncostsareowedasfromthetimeatwhichtheClientisindefaultandtheseamountto10%oftheclaim,withaminimumof€100.00. SuretiesArticle17.

1. TheFreightForwarderhastherighttorefusethedeliveryofGoods,documentsandmonies,thattheFreight

Forwarderhasorwillobtain,forwhateverreasonandwithwhateverdestination,inrespectofanotherparty.

2. TheFreightForwarderhasarightofretentioninrespectofallGoods,documentsandmoniesthattheFreightForwarderholdsorwillholdforwhateverreasonandwithwhateverdestination,forallclaimstheFreightForwarderhasormighthaveinfutureontheClientand/ortheowneroftheGoods,includinginrespectofallclaimswhichdonotrelatetothoseGoods.

3. TheFreightForwarderhasarightoflieninrespectofallGoods,documentsandmoniesthattheFreightForwarderholdsorwillholdforwhateverreasonandwithwhateverdestination,forallclaimstheFreightForwarderhasormighthaveinfutureontheClientand/ortheowneroftheGoods.

4. TheFreightForwardershallregardanyonewho,onbehalfoftheClient,entrustsGoodstotheFreightForwarderforperformingServices,astheClient'sagentforcreatingalienonthoseGoods.

5. Ifwhensettlingtheinvoiceadisputearisesovertheamountdueorifthereisneedforacalculationtobemadeforthedeterminationofwhatisduethatcannotbemadequickly,thenatthediscretionoftheFreightForwarder,theClientorthepartythatdemandsdeliveryattherequestoftheFreightForwarderisobligedtopayforthwiththepartwhichthepartiesagreeisdueandtofurnishsecurityforthepartindisputeorforthepartforwhichtheamounthasnotyetbeenestablished.

6. TheFreightForwardercanalsoexercisetherightsoutlinedinthisarticle(rightoflien,rightofretentionandrighttorefusedelivery)forwhatisstillowedtoitbytheClientinrelationtopreviousordersandforanyamountspayablebywayofdeliveryC.O.D.inrespectoftheGoods.

7. ThesaleofanysecurityshalltakeplaceattheaccountoftheClientinthemannerprescribedbylawor-ifthereisconsensusthereon-privately.

8. AttheFreightForwarder'sfirstrequest,theClientshallfurnishsecurityforcostspaidortobepaidbytheFreightForwardertoThirdPartiesorgovernmentauthoritiesandothercoststhattheFreightForwarderincursoranticipatesincurring,onbehalfoftheClient,includingfreight,portcosts,duties,taxes,leviesandpremiums.

9. Intheabsenceofdocuments,theFreightForwarderisnotobligedtogiveindemnitiesorfurnishsecurities.IftheFreightForwarderhasgivenindemnificationorfurnishedsecurity,theClientisobligedtoindemnifytheFreightForwarderfromallconsequencesthereof.

Finalprovisions

TerminationoftheAgreementArticle18.1. TheFreightForwardercanterminatetheAgreementwithimmediateeffectintheeventtheClient:

- discontinuesitsprofessionorbusinesslargelyorinfull;- losesthepowertodisposeofitsassetsorasubstantialpartthereof;- losesitslegalpersonality,isdissolvedoreffectivelyliquidated;- isdeclaredbankrupt- offersanagreementexcludedfromthebankruptcyproceedings;- appliesformoratoriumonpayment;- losesthepowertodisposeofitsgoodsorasubstantialpartthereofasaresultofseizure.

2. IftheFreightForwarderconsistentlyimputablyfailstofulfiloneormoreofitsobligationsunderthe

Agreement,withoutprejudicetoitsrighttocompensationforanydamagethatmayhavebeensufferedinaccordancewitharticle11,theClientcandissolvetheAgreementwithimmediateeffectinfullorinpartafter:

- ithasnotifiedtheFreightForwarderbyregisteredletterwithreasonshowtheFreightForwarderhasfailedtocomply,stipulatingaperiodoftimeofatleastthirtydaysforfulfilmentoftheobligations,and;

- onexpiryofthatdeadline,theFreightForwarderhasnotyetfulfilledtheobligations.

3. IftheClientconsistentlyimputablyfailstofulfiloneormoreofitsobligationsundertheAgreement,withoutprejudicetoitsrighttocompensationforanydamagethatmayhavebeensuffered,theFreightForwardercandissolvetheAgreementwithimmediateeffectinfullorinpartafter,byregisteredletter,ithasstipulatedadeadlinetotheClientofatleastfourteendaysforfulfilmentoftheobligationsanduponexpiryofthatdeadline,theClienthasnotyetfulfilleditsobligations.If,bystipulatingsuchaperiod,theFreightForwarder'sinterestsintheundisturbedconductofitsbusinesswouldbeimpaireddisproportionately,theFreightForwardermaydissolvetheAgreementwithoutobservingatimelimit.

4. NeitherofthePartiesmaydissolvetheAgreementif,consideringitsspecialnatureorlimitedsignificant,thefailuredoesnotjustifydissolutionwithallimplicationsthereof. ProceedingsagainstThirdPartiesArticle19.

LegalandarbitrationproceedingsagainstThirdPartiesshallnotbeconductedbytheFreightForwarderunlessitagreestodosoattheClient'srequestandatthelatter'sexpenseandrisk.

PrescriptionandlimitationArticle20.

1. Notwithstandingtheprovisionsinparagraph5ofthisarticle,everyclaimissubjecttoprescriptionbytheexpiryofaperiodofninemonths.

2. Everyclaimvis-a-vistheFreightForwardershallbetime-barredbythemereexpiryofaperiodof18months.

3. Theperiodsoftimestatedinparagraphs1and2commenceonthedayfollowingthedayonwhichtheclaimhasbecomedueandpayable,orthedayfollowingthedayonwhichtheprejudicedpartyhadtheknowledgeoftheloss.Notwithstandingtheforegoingprovisions,theaforementionedperiodsoftimeforclaimswithregardtodamage,valuedepreciationorlossoftheGoods,commenceonthedayfollowingthedayonwhichtheGoodsaredeliveredbytheFreightForwarderorshouldhavebeendelivered.

4. IntheeventthattheFreightForwarderisheldliablebyThirdParties,includinganypublicauthority,fordamages,theperiodsoftimestatedinparagraphs1and2commenceasfromthefirstofthefollowingdays:

• thedayfollowingthedayonwhichtheThirdPartieshavebroughtactionagainsttheFreightForwarder;

• thedayfollowingthedayonwhichtheFreightForwarderhassettledtheclaimbroughtagainstit.IftheFreightForwarderortheThirdPartywhoseservicesithasengagedobjectsand/orappeals,theperiodsoftimestatedinparagraphs1and2commenceonthedayfollowingthedayonwhichafinalrulinghasbeengivenontheobjectionsand/orappeal.

5. Unlessthesituationreferredtoinparagraph4ofthisarticleoccurs,iffollowingthetermofprescriptionaclaimisbroughtagainstoneofthepartiesforthatpayablebythatpartytoaThirdParty,anewtermofprescriptionofthreemonthscommences.

ChoiceoflawArticle21.

1. AllAgreementstowhichtheseConditionsapplyaregovernedbyDutchlaw.

2. TheplaceofpaymentandsettlementofclaimsshallbetheFreightForwarder'splaceofbusiness.

ReferencetitleArticle22.

Thesegeneraltermsandconditionscanbecitedas"DutchForwardingConditions".Disputes

ArbitrationArticle23.

1. AlldisputeswhichmayarisebetweentheFreightForwarderanditsOtherPartyshallbedecidedbythreearbitratorstotheexclusionoftheordinarycourtsoflaw,inaccordancewiththeFENEXRulesofArbitration.TheFENEXRulesofArbitrationandthecurrentfeesforthearbitrationprocesscanbereadanddownloadedfromtheFENEXwebsite.Adisputeshallexistwhenevereitherofthepartiesdeclaresthatthiswillbeso.Withoutprejudicetotheprovisionsoftheprecedingparagraph,theFreightForwardershallbeatlibertytobringbeforethecompetentDutchcourtintheFreightForwarder'splaceofbusiness,claimsforsumsofmoneydueandpayable,theindebtednessofwhichhasnotbeendisputedinwritingbytheOtherPartywithinfourweeksaftertheinvoicedate.TheFreightForwarderisalsoatlibertytoinstituteinterimreliefproceedingsforclaimsofanurgentnatureatthecompetentDutchcourtintheFreightForwarder'splaceofbusiness.

2. Thearbitrationshallbesettledbythreearbitrators,unlessneitherofthepartieshassubmittedarequestforarbitratorstobeappointedandthepartieshavejointlyinformedtheFENEXsecretariatinwritingthattheywishtohavethearbitrationsettledbyanarbitratorwhotheyhaveappointedjointly,appendingthewrittendeclarationofthearbitratorwhotheyhaveappointedjointlycontaininghis/heracceptanceoftheappointmentandtheforceandvalidityoftheFENEXArbitrationRules.

3. OnearbitratorshallbeappointedbytheChairmanortheVice-ChairmanoftheFENEX;thesecondshallbeappointedbytheDeanoftheBarAssociationofthedistrictinwhichtheaforesaidFreightForwarderhasitsregisteredoffice;thethirdshallbeappointedbymutualagreementbetweenthetwoarbitratorssoappointed.

4. TheChairmanoftheFENEXshallappointanexpertonforwardingandlogistics;theDeanoftheBarAssociationshallbeaskedtoappointaspecialisedlawyerinforwardingandlogistics;thethirdarbitratorshallpreferablybeanexpertonthetradeandtradeandindustryinwhichtheFreightForwarder'sOtherPartyisengaged.

5. Whereapplicable,arbitratorsshallapplytheprovisionsofinternationaltransportconventions,includingtheConventionontheContractfortheInternationalCarriageofGoodsbyRoad(CMR).

WarehousingConditionsAmsterdam-RotterdamGENERALPROVISIONSSection1Termsofreferenceofthegeneralconditions1.1 Theseconditionsshallapplytoall legalrelationsbetweenWarehousingCompaniesandtheirPrincipalsand

WarrantHolders,evenaftertheterminationoftheagreementtotheextentthattheprovisionsofChapterIhereofareconcerned.TheprovisionsofChapterIIhereofshallapplyonlytothelegalrelationbetweentheWarehousingCompaniesandtheWarrantHolders.

1.2 Theagreementbetween thePrincipaland theWarehousingCompanies shallexplicitlyexcludeanygeneral

conditionstowhichthePrincipalmightwishtoreferormaydeemtobeapplicable.1.3 Neither the Principal nor the Warrant Holder may appeal to regulations and provisions where they are

contrarytotheseconditions.1.4 For services and acts performed by theWarehousing Company,which do not fallwithin the scope of the

originalactivitiesoftheWarehousingCompanyasspecifiedhereafterinSection2,suchasbutnotlimitedto,forwarding,stevedoring,carriageorsuperintendancyservicesperformedbytheWarehousingCompany,thefollowing general conditions will also apply to those services, all according to the most recent edition:Expeditievoorwaarden (FENEX) (forwarding activities), the AlgemeneNederlandse Cargadoorsvoorwaarden(ship brokerage), theVoorwaarden Stukgoed (ORAM) (stevedoring), the VoorwaardenMassagoed (ORAM)(stevedoringactivities), theAlgemeneVervoerscondities (national roadcarriage)or theAlgemeneControleand Inspectievoorwaarden (VEROCOG) (survey and super intendancy). In case of a conflict between suchgeneralconditionsandthesegeneralconditions,theWarehousingCompanymaydecidewhichconditionsorwhichprovisionsofsuchconditionstoinvoke.Priortoperformingtheservicesmentionedinthisarticle,theWarehousingCompanywillnotifythePrincipalwhichconditionswillapply.

Section2DefinitionsIntheseconditionsitisunderstoodby:LastwarrantholderknowntoTheWarehousingCompany: the party to whom a Warrant has been issued and subsequently the Warrant

Holderwhosewrittenrequest to theWarehousingCompanytobeconsideredassuch bears the most recent date, provided, however, that the WarehousingCompanyshallhavetherightbutnotbeobligedtoregardsomeoneelseassuch,iftheyhavereasontoassumethatthelatteristhelastWarrantHolder.

Principal: the partywho instructs theWarehousing Company to store or deliver goods, or

thepartyforwhomtheWarehousingCompanystoresgoodsforwhichnoWarrantisincirculation.

WarehousingCompany: thepartywhich-apartfromthepossibilityofwidertermsofreferenceasphysical

distributor - accepts instructions for the storage or custody or delivery of goods(ChapterI)orthepartywhohasgoodsincustodyagainstwhichawarrantissuedbyhimisincirculation(ChapterII).

Warrant: abytheWarehousingCompanynumberedand legallysignedorstampedreceipt

entitled "Warrant", stating that the bearer has the right to receive the goodsmentioned therein, includingPartialWarrants as defined inArticle 32.1of theseconditions.

WarrantHolder: thepartywhoidentifiesthemselftotheWarehousingCompanyastheholderofa

warrant by producing the warrant or who establishes ownership in any othermanneracceptabletotheWarehousingCompany.

Section3ApplicablelawAllagreementsbetweentheWarehousingCompany,theWarrantHolderandthePrincipalshallbesubjecttothelawsoftheNetherlandsandifnototherwisespecifiedintheseconditionstheprovisionsofcivillawconcerningthecustodyofgoods,shallapplyingeneralandaccordingtocircumstances.Section4Disputes4.1 AlldisputesbetweentheWarehousingCompany,thePrincipaland/ortheWarrantHolderwillbesubjected

toarbitrationinAmsterdaminaccordancewithsubparagraphs2and3ofthisSection.Forclaimingamountsdue the Warehousing Company is entitled to waive the above, in which case the competent Court inAmsterdamhastheexclusivejurisdictiontodecideoversuchclaim(s).

4.2 Disputes subjected to arbitration will be decided by three arbitrators. One of these arbitrators will be

nominated by the Warehousing Company and one by the Principal and/or Warrant Holder. These twoarbitratorsjointlynominateathirdarbitrator,whicharbitratorinallcircumstances,dependingonthenatureof the dispute, should be a lawyer specialized in Dutch trade-, storage- and/or transport law. This thirdarbitrator presides over the arbitral tribunal and stipulates and defends in cooperation with the otherarbitrators the procedural order, with the provisio that parties should at least be allowed to clarify theirpositions inwritingandverbally. Incase the twoarbitratorsdonotappoint the third (presiding)arbitratorwithinreasonabletime,eitherpartymayrequesttheDeanoftheBarAssociationinthedistrictwithinwhichthe Warehousing Company is established to appoint the third arbitrator in compliance with the aboveconditions.

4.3 Thearbitrationprocedureisdeemedtobependingfromthedayonwhichonepartynotifiestheotherparty

ofthewrittennominationofanarbitrator.Theinstructionofthearbitratorcontinuesuntilthefinaldecisionwhich should be rendered in accordance with the laws of the Netherlands, including provisions ofinternational treatiesoncarriage.Theywill file their judgmentwiththeregistrarof theCourtwithinwhichdistricttheplaceofarbitrationissituated,whileacopyofthejudgmentwillbesendtothepartiesinvolved.Priortostartingtheirworkthearbitratorsmayrequesttheclaimantorallpartiesinvolvedtopayadepositfor thearbitrationcosts;during theproceedings theymaydemand foran increaseof thisdeposit. In theirjudgmentarbitratorswilldecidewhooftheparties involvedandforwhichpartshouldbearthearbitrationcosts. This includes fees and costs of the arbitrators, and costsmade by the parties as far as reasonablydeemed necessary by the arbitrators. The amounts destined for the arbitrators will as far as possible berecoveredfromthedeposit.

Section5Filedconditions5.1 TheseconditionshavebeenfiledwiththeRegistrarsoftheDistrictCourtsofAmsterdamandRotterdam.

Theywillbesentonrequest.5.2 IncaseofdifferencebetweentheDutchtextandthetextinanyotherlanguageoftheseWarehousing

Conditions,theDutchtextshallbedecisive.

CHAPTER1PROVISIONSRELATINGTOSTORAGE,CUSTODYANDDELIVERY

Section6Writtenprocedures6.1 All agreements, tenders, instructions regarding storage, custody, handling and delivery of goods, shall be

recordedinwriting.6.2 VerbalortelephonecommunicationsorarrangementsshallonlybebindingontheWarehousingCompanyif

immediatelyconfirmedinwritingbytheWarehousingCompany,unlessotherwiseagreed.Section7Descriptionofgoodsandsupplyofinformation7.1 Tenderingofgoodsandinstructionsonstorage,custodyandhandlingshallbeeffectedorsuppliedproviding

theexactandfullwrittendescriptionofthegoods,suchasinteraliatheirvalue,thenumberofpackages,the

grossweightandfurthermoreallparticularsofsuchnaturethattheagreementwouldnothavebeenmadeornotonthesameconditionsiftheWarehousingCompanyhadbeenacquaintedwiththetruestateofaffairs,togetherwithdeliverytotheWarehousingCompanyofanyandalldocumentsprescribedbylaw.

7.2 Ifgoodsaresubjecttocustomsandexciseprovisionsortotaxregulations,thePrincipalshalltimelysupplyall

information and documents required in this connection, in order to enable theWarehousing Company tocomplywithsuchprovisionsorregulations.

Section8Rates/payments/taxes8.1 Current rates and payments forwork done and agreements between theWarehousing Company and the

Principalregardingratesandpaymentsforworkdoneshallbebasedonthecostoflabourprevailingatthetime the instructions were given or the agreement wasmade. In the event of an increase in the cost oflabour,thecurrentratesortheagreedratesandpaymentsmaybeadjustedaccordingly.TheWarehousingCompany shall alsohave the right toadjust the rates in caseswhere theAuthorities introduceor increasechargesimposedontheservicesrenderedbytheWarehousingCompany.

8.2 Currentandagreed rates for storage shallbebasedon thecustomarymethodof stackingordumping the

relevantgoodsunlessotherwiseagreed.IfatthePrincipal'srequestorduetotheconditionofthegoodsthecustomary method of stacking or dumping is not followed, an increase in the rates shall be appliedproportionaltotheadditionalfloorspaceoccupiedcomparedtonormalstacking.

Section9Duties,costsandtaxes9.1 Allfreight,disbursements,taxes,duties,contributions,levies,finesand/orotherchargesorcostsofwhatever

nature, incurred by or relating to the goods and payable on arrival or charged forward, shall be for theaccountofthePrincipalandshallbepaidorreimbursedbythePrincipalwhetherornot inadvance,attheWarehousingCompany's firstdemand, irrespectiveofwhether thegoodsare stillon thepremisesorhavesincebeenremoved.

9.2 When theWarehousing Company deems it necessary to conduct law suits or take other legal steps with

regardtotaxes,duties,contributions,levies,finesand/orotherchargesorcostsofwhatevernature,imposedby the Authorities; or if the Principal requests the Warehousing Company to conduct such law suits orimplementsuchlegalstepsandtheWarehousingCompanycomplieswithsucharequest,theresultingworkandcosts, includingthecostsof legaland/or fiscaland/orotheradviceorassistancedeemednecessarybytheWarehousingCompanyshallbefortheaccountandriskofthePrincipal.

9.3 In the event of the Warehousing Company acting or having acted as fiscal agent, all taxes, duties,

contributionsandotherleviesaswellasfines,interest,costsofwhatevernature,orindemnificationsshallbefor theaccountof thePrincipal,withoutprejudice to theprovisionsof Section9.1. ThePrincipal shall paysuch amounts at the Warehousing Company's first demand, or shall, at the option of the WarehousingCompany,arrange for sufficient security for theseamountsbymeansofaguaranteebya first classDutchbank in favourof theWarehousingCompanyor, at theoptionof theWarehousingCompany, in favourofsuchauthority,organisation,corporationorpersonclaimingtheseamounts.

Section10ThePrincipal'sliability10.1 The Principal shall be liable to the Warehousing Company and/or third parties for any loss or damage

resultingfromincorrectand/ormisleadingand/or incompletedescriptionsor indicationsor information,aswellasforthelossand/ordamageresultingfromdefectsofthegoodsand/orthepackaging,evenwhensuchlossordamagewascausedthroughnofaultofhis.Iftheweighthasbeenomittedorstatedincorrectly,thePrincipalshallbeliableforallresultinglossand/ordamage.

10.2 NotwithstandingtheaboveprovisionsthePrincipalshallindemnifytheWarehousingCompanyagainstclaims

fromthirdpartiesaswellasindemnifytheWarehousingCompanyfordamagespaidorduetothirdparties,including employees of both the Warehousing Company and the Principal, resulting from the nature orconditionofthegoodsstored,unlessthedamagehasresulteddirectly frompersonalwillfulmisconductorgrossnegligencebytheWarehousingCompanythemselves.

10.3 ThePrincipalisobligedtopaytheamountsmentionedinSection10.2uponfirstdemandoftheWarehousingCompany to thewarehousingCompanyor, at theoptionof theWarehousingCompany, thePrincipal shall

issuesufficientsecurityfortheseamountsintheformofabankguaranteeissuedbyafirstclassDutchbankinfavouroftheWarehousingCompanyor,attheoptionoftheWarehousingCompany,infavourofthethirdpartyclaimingtheseamounts.

10.4 IncasetheWarehousingCompanyhastodefenditselflegallyagainstclaimsofthirdpartiesasmentionedin

Section 10.2, or in case theWarehousing Companydeems it necessary to lodgeproceedings or any otherlegalmeasuresregardingsuchclaims,or incasethePrincipalrequeststheWarehousingCompanyto lodgesuchproceedingsor take legalmeasuresand theWarehousingCompanyagrees to such request, theworkand costs, including costs regarding legal and/or tax and/or other forms of advice or assistance deemednecessary by the Warehousing Company, will be for the risk and account of the Principal. However thePrincipal is allowed to take over such legal measures or proceedings after approval of the WarehousingCompany and after payment of the costs incurred by the Warehousing Company up to that momentregarding legal and/or tax and/or other advice and assistance deemed necessary by the WarehousingCompany.

Section11RefusinganorderTheWarehousingCompanyshallhavetherighttorefuseaninstructionforstorageand/orcustodywithouthavingtogive any reasons therefore. In the event of the Warehousing Company having accepted the instructions, theagreementmayonlybebrokenbymutualconsentofthepartiesconcerned,subjecttotheprovisionsbelow.Section12Inspectionofgoods12.1 When the goods are stored theWarehousingCompany shall not beobliged toweigh and/ormeasure the

goodswithouthavingreceivedspecific instructionstothiseffect, inrespectiveofthemannerofpackingorstorage or storing, neither shall the Warehousing Company be obliged to perform any other researchregardingthenatureandconditionofthegoods,includingresearchintothemoistness.

12.2 AtitsowndiscretiontheWarehousingCompanymayweighand/ormeasurethegoodsinordertocheckand

verifythespecificationsreceived,ormayperformanyotherresearch. If insuchaneventtheWarehousingCompany ascertains that the weight ormeasure vary from the specification, the cost of weighing and/ormeasuring shall be for the account of the Principal. However, the Warehousing Company shall only beresponsible for ascertaining the weights and/or measurements, if the goods have been weighed and/ormeasured by the warehousing Company on the Principal's instructions and without prejudice to theprovisionsofSection20oftheWarehousingCompany'sliability.

12.3 Packages,includingcontainers,mayonlybeopenedforinspectionofthecontentsatthePrincipal'srequest,

however the Warehousing Company shall at all times have the right, but not be obliged, to open thepackages inorder to verify the contents, should theyhave reason to suspect that the contentshavebeenincorrectlydeclared.

12.4 Ifoninspectionitappearsthatthecontentsdifferfromthespecification,givenbythePrincipaloranyparty

acting forand/oronbehalfof thePrincipal, thecostsof the inspectionshallbe for thePrincipal'saccount.TheWarehousingCompany,however, shallneverbe liable fordifferencesbetween thedescriptionand/ordesignationofthegoodstakenintocustodyandtheiractualnature,condition,weightand/orvolumeofthegoods.

Section13DeliveryandreceiptDeliverytoandreceiptbytheWarehousingCompanyshallbemadebythePrincipal'sdeliveryofthegoodsandtheiracceptancebytheWarehousingCompanyattheplaceofstorage.Section14Conditionofthegoodsonarrivalandperiodofresponsibility14.1 Save for transferof thegoods in themeaningofSection18, inwhichcasethe liabilityof theWarehousing

Company is governed by the conditions and limitations of liability as specified in that Section, theWarehousingCompanyisnotliablefordamagetogoodscausedbyorresultingfromaneventorprocessthattookplaceorcommencedpriortoarrivalandreadinessfordischargeofthegoodsatthelocationagreedwithor chosen by the Warehousing Company, at which location they will be stored by or on behalf of theWarehousing Company pursuant to the conditions of an agreement entered into with the Warehousing

Company, or after removal of these goods from the place of storage agreed with or chosen by theWarehousingCompany. Incaseofgoodscarriedincontainers,"readyfordischarge"meansthemomentatwhichthecontainer(s),inallaspectsandinfullcompliancewiththesafetyregulationsandlawsinforce,cansafely be entered. "Removal" means the moment of commencement of loading of the goods on or in aspecificmeansoftransport,includingcontainers.

14.2 Unless notification to the contrary goodswill have to be delivered to theWarehousing Company in good

conditionand,incasepacked,withgoodpackage,includingtheconditionsofcontainersusedtherefore.14.3 If thegoodssenttotheWarehousingCompanyarrive inoutwardlyvisibledamagedordefectivecondition,

the Warehousing Company shall have the right, but not be obliged, to take any steps to protect thePrincipal's interestsagainst the carrierorothers, at all times for thePrincipal's accountand risk, and shallprovideevidenceofsuchcondition,withoutthePrincipalhoweverbeingabletomakeanyclaimagainsttheWarehousingCompanyforthemannerinwhichtheWarehousingCompanyhaveperformedsuchtasks.TheWarehousing Company shall notify the Principal without delay in case the goods are upon arrival in anoutwardly visible damaged or defective condition, without the latter however having any right to claimagainst the Warehousing Company because of failure to notify or because of the contents of suchnotification.

14.4 Goods received for storagemayat any timebe removed,ordestroyedor renderedharmless in anyother

mannerbytheWarehousingCompanyattheriskandexpenseofthePrincipal,whenasadiligentwarehouse-keeper,hadheknownthat theycouldbedangerousafter receipt,wouldnothaveaccepted thegoods forstorage.

14.5 With regard to the storage of goods ofwhich theWarehousing Companywas aware of their danger, the

sameshallapply,butonlywhensuchgoodspresentanimmediatelyimminentdanger.14.6 TheWarehousingCompanyshallnotbeliableforanyclaimfordamagesinsucheventsandthePrincipalshall

beliabletocoverallcostsanddamagestotheWarehousingCompanyresultingfromthedeliveryforstorage,fromthestorage itselfor fromthemeasures taken,unless suchcostsanddamagesor theneed for takingsuch action are exclusively due to personal gross negligence or willful misconduct of the WarehousingCompanythemselves.

14.7 Asaresultofthemeasurestakentheagreementforthestorageofgoodsstatedthereinshallceasetoapplyatthemomentofendingthesemeasures,butintheeventthatthegoodsarestilldelivered,theagreementshallonlybeterminatedaftertheirdelivery.TheprovisionsrelatingtodangerousgoodsshallnotprejudiceSection22.

Section15SpeedofexecutionoforderTheWarehousingCompanyshalldeterminethespeedatwhichanorderforstorageordeliveryofgoodsisexecuted.The Principal'swishes shall be taken into consideration as far as possible in this connection, but theWarehousingCompany shall not be liable for costs incurred or damage suffered by the Principal when the speed at which theinstructionsarecarriedoutisslowerthandesiredbythePrincipal.Section16LateorirregulardeliveryorremovalIfthePrincipalhasadvisedtheWarehousingCompanythatgoodsaretobedeliveredforstorageinacertainquantityand/orataspecifiedtime,orthatgoodstoberemoved,aretobecollectedinacertainquantityand/orataspecifiedtime;andifthesaidPrincipaloranythirdpartythenfailstodeliverand/orcollectintheagreedmannerand/orattheagreed times, then the Principal shall be obliged to pay theWarehousing Company any costs incurred for labourand/orequipmentnotutilised,ornotfullyutilised,whichhadbeenengagedand/orassignedtocarryouttherelevantinstructionsbytheWarehousingCompany.Section17WorkinghoursDeliveryofgoodstoandremovalofgoodsfromtheplaceofstorageshallbecarriedoutduringtheofficialworkinghoursofthewarehousingstaff.ShouldthePrincipalrequireworktobecarriedoutoutsidetheofficialworkinghours,thewarehousemayat itsowndiscretion complyornot complywith this request. Extra costs incurred forworkingoutsideofofficialworkinghoursshallbebornebythePrincipal.

Section18Placeofstorage,movingofgoods18.1 Unlessotherwiseagreed,theWarehousingCompanyshallhavesolediscretionofwherethegoodsaretobe

stored.18.2 TheWarehousingCompanyshallatalltimeshavetherighttoremovethegoodstoanotherplaceofstorage.18.3 Thecostsofsuchtransferand insuranceornormal transport risk,shallbe foraccountof theWarehousing

Company,unlesssuchatransferismade:- intheinterestsofthePrincipalortheorder,or- duetocircumstancesforwhichtheWarehousingCompanyisnotliable,or- duetocircumstanceswhichreasonablycannotbeforriskandaccountofthe

WarehousingCompany,or- duetolaworinstructionsbyauthorities.

The carriage in connectionwith a transfer that comes for the account of theWarehousing Company is, in case ofnational carriage, subject to the Algemene Vervoerscondities ("AVC"), most recent edition, and, in case ofinternational carriage, subject to theCMR, inwhichcase themaximumdamages tobepaid fornational carriage isalways limited to 2 SDR per kilogram damaged or lost gross weight, under the condition that the liability of theWarehousingCompanyis inallcircumstanceslimitedtoSDR100.000pereventornumberofeventsfollowingfromoneand thesamecause.Transfersperformed for theaccountof thePrincipalwillbehandledby theWarehousingCompany acting as forwarder and subject to the Nederlandse Expeditievoorwaarden of the FENEX, most recentedition,andisperformedfortheriskofthePrincipal.18.4 Whenthegoodsaremovedtoanotherplaceofstorage,theWarehousingCompanyshallnotifythePrincipal,

however without the latter being able to lodge any claim against theWarehousing Company because offailuretonotify.

Section19Damage/lossofgoods19.1 Byacceptingthesewarehousingconditions,thePrincipaland/orWarrantHolderrenouncesanyrighttolodge

claimsorrecoverdamagesfromthirdparties inthecaseof lossordamageofthegoods.ThePrincipalwillonlybeabletoholdtheWarehousingCompanyliable,evenwhentheWarehousingCompanyhasemployedtheservicesofthesethirdpartiesinthecourseoftheirbusiness.ThefollowinglimitationsshallapplytotheWarehousingCompany'sliability.

19.2 In the case of damage and/or loss because of theft by burglary, the Warehousing Company shall be

consideredtohaveappliedadequatecare,iftheyhaveprovidedaproperclosureforthestorageplace.19.3 Inthecaseofgoodsstoredonopengroundorwhichcanonlybestoredonopengroundor forwhich it is

customary for theWarehousingCompany to store themonopenground, any liabilityof theWarehousingCompanyfordamageorshortage,possiblyinconnectionwithsuchstorage,shallbeexcluded.

19.4 In the case of damage and/or loss caused by rats or mice or insects or other vermin, the Warehousing

Companyshallbeconsideredtohaveappliedadequatecareiftheyhaveprovidedthenormalpestcontrolintheplaceofstorage.

19.5 TheWarehousingCompanyshallnotbeliableforanydamageand/orlossarisingfromthefollowingcauses,

regardlessoftheirorigin:

a. the natural quality of the goods, change in quality, inner rot, dehydration, settling, pulverization,leaking, heating, seeping, sweating, condensation, fermenting, freezing, rusting, breakage,insufficientand/ordefectivepackaging;

b. forcemajeure,governmentmeasures,requisitioning,seizure,strike,lockout,sabotage,riot,looting,interruptionofpowersupplies;

c. fire, smoke, explosion, radiation, water damage, break of water pipes, floods, settling, storm,cloudburstand/orextremeprecipitationandgenerallyeveryexternalcalamity;

d. heath,cold,changesoftemperatureorhumidityoftheair,butonlyincaseitwasnotagreedthatthestoragewouldtakeplaceinalocationfittedtoprotectthegoodsfromsuchinfluences;

e. incompletenessorincorrectnessofthenumbers,lettersormarksofthecollo.

19.6 The compensationpayableby theWarehousingCompany for the lossof the goods shall be limited to thevalueofthegoodsapplicableonthedayofstorage.

19.7 Inthecaseofdamagethehighestindemnificationshallbethedifferencebetweentheactualvalueandthe

valuethegoodswouldhavehadafterthedamageonthedayofstorage.19.8 TheWarehousingCompany indemnity isonly liable fordamagetothegoodsandnever fordamagedueto

lossofprofitoranyotherindirectorconsequentialloss.19.9 Whendamageiscausedtoonlypartofthegoods,whichcanbeclassifiedashavingavalueofitsown(e.g.

machineparts)orwheredamage iscausedtooneormore itemsofseveralgoodsbelongingtogether (e.g.furniture),anydepreciationoftheremainingpartoroftheundamagedgoodsshallbeexcludedandnotbeconsidered.

19.10 Innoeventshallmorethantheactualcostofthedamagebepaid,andthenonlytoamaximumamountof2

SDRperkilogramdamagedorlostgrossweight,providedthatinallcasesthewarehouse'sliabilityislimitedtoSDR100,000pereventorseriesofeventsresultingfromoneandthesamecause.

19.11 Any right todamages shall cease if no complaint is filedon receiptbyoronbehalfof thePrincipalor the

WarrantHolderreceivingthegoods.19.12 The Principal and/or the Warrant Holder shall be liable for any loss or damage caused by the

non/late/improper execution of any obligation under these conditions, or under the separate agreementmadebetween theWarehousingCompanyand thePrincipalorWarrantHolder, if theseconditionsdonotalreadycontainanarrangement.

Section20Admittancetothepremises20.1 TheWarehousingCompanyshallbeobligedtoadmitthePrincipaland/orthepersonsdesignatedbyhimto

the place where his goods are stored, subject to the requirement to comply with customs and/or otherformalities/restrictionsimposedbytheAuthorities.

20.2 ThefollowingconditionsshallapplytoallpersonswhomtheWarehousingCompanyhasgrantedadmission:

a. allpersonsvisiting theplaceof storage, including thepersonnelofvesselsandvehiclesarrivingatthewarehouse,shallobservetheWarehousingCompany'sregulations;

b. admittanceshallbegrantedonlyduringnormalworkinghoursandalwaysunderescort;c. thecostofescortingvisitorsshallbepaidtotheWarehousingCompanybythePrincipal;d. thePrincipalshallbeliableforanydamagecauseddirectlyorindirectlybythevisitors;

Section21Executionofproceedings21.1 The execution of the work required by the Principal, such as sampling, handling, servicing, repacking,

restacking,lotting,weighing,etc.,aswellasdelivery,shallbeentrustedtotheWarehousingCompanyhavingthegoodsincustodyattheappropriatefeesandontheappropriateconditions.

21.2 Anywork theWarehousing Company does notwish to undertakemay,with theWarehousing Company's

consent, be carried out by or on behalf of the Principal, subject to the conditions laid down by theWarehousing Company, under the supervision of theWarehousing Company and against payment of thecostsinvolved,howeverwithoutanyliabilitytotheWarehousingCompany.

Section22Specialmethodofhandlinggoods22.1 TheWarehousingCompanyshallnotbeobligedtotakeanymeasuresinrespectofthegoodsortheirpacking

receivedintocustody,includingcontainers,otherthansuchwhichareconsiderednormalforthestorageofthegoodsconcerned.

22.2 The Warehousing Company shall only be obliged to take special measures if such measures have beenagreed.

22.3 However,theWarehousingCompanyshallhavetherightbutisnotobligedtotakeimmediateactionatthe

Principal's cost and risk, including the clearance or removal, or destruction, or rendering harmless in anyother way, if it is feared that failure to take such action may cause loss and/or damage to the goodsthemselvesortoothergoods,ortothewarehouseortoequipment,orcauseharmtopersons,orwhensucha measure is required or indicated for some other reason, such in the discretion of the WarehousingCompany.TheWarehousingCompanyshallimmediatelyinformthePrincipalofthemeasurestaken,withoutthelatterhavinganyrighttoclaimagainsttheWarehousingCompanyforfailuretomeetthisobligation.

22.4 Without prejudice to the provisions of the preceding subsection, the Principal shall indemnify the

Warehousing Company from any claims by third parties on account of damage caused by the Principal'sgoodstogoodsbelongingtothirdparties.

Section23Insuranceofgoods23.1 UnlessexpresslyagreedinwritingwiththePrincipal,theWarehousingCompanyshallnotbeobligedtoeffect

anyinsuranceonthegoods.IfithasbeenagreedbetweentheWarehousingCompanyandthePrincipalthattheWarehousingCompanyistoeffectinsuranceofthegoodsforaccountofthePrincipal,thentheWarehousingCompanyshallhavetheright in their discretion to effect the agreed insurance in the name of the Principal, or to include suchinsuranceinawarehousingpolicy.Thevaluetobe insuredshallbetheamountstatedbythePrincipal.TheWarehousingCompanyshall inallcasesexclusivelyberegardedas intermediarywithoutany liability.TheWarehousingCompanyshallnotbeheld responsible for the condition(s) negotiatedwith the insurers or be responsible for their reliability ortheirsolvency.

23.2 InallcaseswherethegoodshavebeeninsuredthroughtheinterventionoftheWarehousingCompany,the

Warehousing Company shall have the right to collect the sums claimed for and on behalf of the partiesinterestedinthegoodsandshallfurthermorehavetherighttodeductallmoneyowedtothemforwhateverreasonbythePrincipalfromtheinsurancesettlement.ThebalanceremainingshallbepaidtothePrincipal.

23.3 If in caseofdamage toor lossofgoodsby fireoranyother causeand theassistanceof theWarehousingCompanyforassessingthedamageorlossisdesirableornecessary,suchassistanceshallberenderedbytheWarehousing Company against payment of the costs involved plus additionally a fee for their efforts. TheWarehousingCompanymaymake suchassistance conditionalon the cashpaymentof,or theprovisionofsecurityforallsumsowingforwhateverreasonandallcostsreferredtointhisSectionbythePrincipaltotheWarehousingCompany.

23.4 When partial delivery of the goods has been made by the warehouse, the Principal must inform the

warehouseofthevalueforwhichhewishestheremainderofthegoodstobeinsured.IntheabsenceofsuchadeclarationtheWarehousingCompanyshallhavetherighttoreducetheinsurancevalueattheirowndiscretion, inproportiontothedecreaseinnumber,weight,measureorcontentsofthegoods.

Section24ChargingwarehouserentincaseofdestructionofgoodsShouldthegoodsstoredinthewarehousebedestroyedbyfireorotherwise,thedayofdestructionshallcountasthedate of delivery, and the full warehouse rent plus the insurance premium (if the goodswere insured through theWarehousingCompany)andallcosts,calculatedinfullmonthlyperiods,shallbedueandpayableuptoandincludingsuchdate.Section25Removalofgoods25.1 The Principalmay, upon payment of all that is due to theWarehousing Company (taken in the broadest

context)andsubjecttotheprovisionsoftheseGeneralConditions,atanytimeremovethegoodsplacedincustody.

25.2 Thewarehouserent-andifthegoodshavebeeninsuredthroughtheWarehousingCompany,theinsurancepremiumsandcosts-shallalwaysbechargedinfullmonths,partofamonthcountingasafullmonth.

25.3 Ifafixedperiodofstoragehasbeenagreedandsaveforanyclausestothecontraryintheseconditions,the

Warehousing Company cannot require the Principal to remove the goods prior to the expiration of theagreedperiodoftime.

25.4 Whereno fixedperiodofstoragehasbeenagreedorwheretheagreedperiodofstoragehasexpired, the

WarehousingCompanyhastherighttorequirethegoodstoberemovedatonemonth'snotice,howevernotwithinthreemonthsofthecommencementofstorage.

Section26Prematureremovalofgoodsforurgentreasons26.1 TheWarehousing Company shall, however, at all times have the right to require the goods received for

storagetoberemovedpriortotheexpirationofthestorageperiod,withoutobservinganyperiodofnotice,wherethereisacompellingreasontodoso.

26.2 Compellingreasonsshallbeunderstoodtobecircumstancesofsuchnaturethatapplyingsensiblestandards

offairjudgment,thePrincipalcouldnotreasonablyexpectcontinuityofstorage.26.3 Acompellingreasonforremovalshallbedeemedtoexistinteralia,'ifthePrincipalfailstocomplywithone

ormoreof theprovisionsof these conditions. If for instance it appears thatowing to thepresenceof thegoods,thehazardoflossand/ordamagetoothergoods,ortothestorageplaceortoequipment;ordangerorharmtopersonnelistobesuspectedorfeared;andfurthermoreifthegoodsareofaperishablenatureand/orliabletoinherentchanges,whichintheopinionoftheWarehousingCompanyjustifiestheassumptionofdeterioration,andthePrincipalhasneglectedtogiveinstructionsforpreventingorcontrollingsame.

26.4 ThePrincipalshallremainliabletopaythewarehouserentinfulluptoandincludingthedayoftheremoval

ofthegoods.Section27Payment27.1 Allamountsowing/duetotheWarehousingCompanybythePrincipalhoweverincurred,suchas:warehouse

rent,insurancepremiumsandcosts,rent,disbursements,feesforstorageanddelivery,outlaysandchargesfor work done or to be done, costs of cleaning work and such like during or after a fire or otherwise,extraordinaryexpenses,additionalwages,taxes,duties, levies,fines, interest,etc.shallbeimmediatelydueandpayableondemand.

27.2 Withoutprejudicetotheprovisionsoftheprecedingsubsection,thePrincipalshallalwayspaythewarehouse

rentduepromptlywithinthetermagreedbetweentheparties,butatleastonceper12months.27.3 ShouldthePrincipalnot immediatelypaytheamountduetotheWarehousingCompany, theWarehousing

Companyshallhavetherighttochargeinterestattheofficialratesprevailingatthetime.27.4 Paymentsreceivedonaccountshallinthefirstinstancebeallocatedtowardsthereductionofordinarydebts,

regardlessofwhetherthesemonieswereintendedforotherpurposeswhenthepaymentsweremade.27.5 Wheninthecaseoflatepaymenttheamountdueiscollectedbyjudicialorothermeans,thisamountshall

be increased by 10% to cover administrative costs, while the judicial and extra-judicial costs paid by theWarehousingCompanyshallbeforaccountofthePrincipalandshallamountatleast15%oftheamountduebythePrincipal.

Section28Lienandpledge28.1 TheWarehousingCompanyhasagainstanypartydemandingdeliveryofgoods,documentsormoneysheld

bytheWarehousingCompany,irrespectiveofthelegalnatureofsuchholdershiparightofpledgeandrightof retention on/over such goods, documents ormonies as security for all claims it may have against thePrincipal.TheWarehousingCompanycanexercisetheserightsalsoforamountsduebythePrincipalforpriororders.

28.2 Suchrightof lienshallbeextendedtoalso includesumsfrominsuranceclaimstheWarehousingCompanyhascollectedorwillcollectonbehalfofthePrincipal.

28.3 The Warehousing Company shall regard anyone who, on behalf of the Principal, entrusts goods to the

warehouseforperformingwork,authorizedbythePrincipaltocreateapledgeonsuchgoodsinfavouroftheWarehousingCompany.

Section29Publicsale29.1 ShouldthePrincipalfailtoremovethegoodsentrustedtotheWarehousingCompanyforstorage,onexpiry

oftherentalperiodcoveredintheagreement;orfailtoremovethegoodsaftertheagreedorspecifiedtimeforstorageoratanyotherpointoftimeinthecaseofacompellingreasonasmentionedunderSection26above, theWarehousing Company shall have the right, without prejudice to the provisions of Section 28above,tosellthegoodsentrustedtothem,ortohavethemsold,withoutobservanceofanyformalities,intheplaceandinthemannerandontheconditionstheWarehousingCompanymayseefit,publiclyorinanyothermannerthe lawmaypermit,at theexpenseofthePrincipal,andfurthermoreshallhavetherighttorecoverfromsuchproceedsallamountsthePrincipalowestheWarehousingCompany.

29.2 If it is probable that the cost of selling the goodswill behigher than thebenefits or if nobuyer is found,

despiteareasonableattempttodoso,theWarehousingCompanyshallhavetherighttoremovethegoods,to have them removedor to have themdestroyed. ThePrincipals shall remain liable for all amounts due,increasedbythecostofremovaland/ordestruction.

29.3 Intheeventofsale,theWarehousingCompanyshallholdthebalanceoftheproceedsafterhavingdeducted

allcostsandallthePrincipal'sdebts,atthePrincipal'sdisposalforfiveyears,afterwhichperiodthebalanceifnotclaimed,accruestotheWarehousingCompany.TheWarehousingCompanyisnotliabletopayinterestoverthementionedbalanceheldatthePrincipal'sdisposal.

Section30Expirationofclaims30.1 Claims against theWarehousing Company for loss, damageor decrease of stored goods or general claims

againsttheWarehousingCompanyforfailuretomeettheirobligations,shallexpireafter12months.30.2 In casesofdamage toordecrease in thegoods,where theWarehousingCompanyhavenot informed the

Principalofsuchdamageordecrease,theperiodofexpiryshallcommenceattheendofthedaythegoodsaredelivered.Incasesoftotallossandwherenoticeofdamageordecreasehasbeengiven,theexpirydateshallcommenceattheendofthedaytheWarehousingCompanyhavenotifiedthePrincipal.

Section31Transferortransitionofgoods31.1 Transferor transitionofownershipofwarehousedgoods,or the transferor transitionof the right to take

deliveryofthegoods,byaPrincipaltoathirdparty,shallnotbeacceptedbytheWarehousingCompanyandbe without legal effect as far as the Warehousing Company is concerned neither shall the WarehousingCompanyrecognizesuchtransferortransitionoftitle,unlessallclaimstheWarehousingCompanymayhave,forwhateverreason,againsttheoriginaland/ortransferringPrincipalhavebeenpaidinfull.

31.2 The Principal shall be obliged to inform theWarehousing Company instantly inwriting of any transfer or

transitionofownershipofgoods,ortransitionortransferoftherighttoreleasethegoods.31.3 Without prejudice to the provisions above the transfer or transition has no legal implications for the

WarehousingCompanynor shall theWarehousingCompany recognize them,unless thenewowner(s) hasexplicitly accepted inwriting all provisions of the agreementbetween theWarehousingCompany and theoriginaland/ortransferringPrincipalaswellasthepresentConditions.

31.4 TheWarehousingCompanyisnotrequiredtorecognizethetransferortransitionofownershiportherightto

releasethegoodsandshallevenhavetherighttorevokeapreviousrecognitionmade,andmayfurthermorerefuse to release the goods, if in the Warehousing Company's opinion there are flaws in the legal titleregarding any transfer or transition of ownership of goods, or any transfer or transition of the right torelease;andifthenewowner(s)claim(s)nottohaveacceptedthesepresentconditionsornottobeboundbythem.

31.5 The original and/or transferring Principal shall remain liable to the Warehousing Company for all thewarehouse'sclaimsfororinconnectionwiththestorage,and/orworkdoneinconnectionwithsuchgoods,eventhoughtheywereperformedafterthetransferortransitionofownership,oraftertransferortransitionoftherighttodelivery.After transfer or transition of ownership, or the right to delivery of the goods, the new owner shall beregardedasthePrincipalandshall, inadditiontohis legalpredecessor,beseverally liableforalltheaboveclaims,eventhoughtheymayhavearisenpriortothetransferortransition.

Section32IssueofWarrants32.1 TheWarehousingCompanymay issueawarrant to thePrincipalathis request,describing thegoodsgiven

into custody to the Warehousing Company by the Principal, or the Warehousing Company may issue anumberofWarrants,eachspecifyingtheamountstatedbythePrincipalofthegoodsgivenbyhimincustodytotheWarehousingCompanyofthesamesortandquality,inwhichcasethetotaloftheseamountsmaynotexceed the total amount of the goods of same sort and quality given in custody by the Principal to theWarehousingCompany("PartialWarrants").

32.2 TheWarehousingCompanyshallhavetherighttorefusetoissueaWarrant,ifthePrincipalhasnotpaidall

claimstheWarehousingCompanymayhaveonhimforwhateverreason.TheWarehousingCompanymayfurthermorerefusetoissueaWarrantiftheybelievetheyhavegroundstodoso.

32.3 Once a Warrant has been issued, all the Warehousing Company's obligations towards the Principal shall

cease,andshallbereplacedbytheWarehousingCompany'sobligationstowardstheWarrantHolder,theseregulationsbeingdetailed inChapter IIof theseConditions.ThePrincipal shall,evenafter the issueof theWarrantremainliabletowardstheWarehousingCompanyfortheeffectsofanydiscrepanciesbetweenthegoodsforwhichtheWarrantwasissuedandtheirdescriptionontheWarrant.

32.4 ThePrincipalindemnifiesandwillholdtheWarehousingCompanyharmlessfromclaimsofWarrantHolders

incasetheWarehousingCompanyaccidentallydeliversthegoodsgivenincustodybythePrincipalforwhichaWarrantwas issued inexchange fora forgedWarrant,unless such forgery should reasonablyhavebeendetectedbytheWarehousingCompanyatthemomentofpresentationofthatdocument.

32.5 ThePrincipal indemnifiesandwillholdtheWarehousingCompanyharmless forclaimsofholdersofPartial

Warrants or any other party involved therein, in case a negative difference occurs between the weight,volume and/or quality of the goods described in these Partial Warrant(s) and the actual weight, volumeand/orqualityatthemomentofdeliveryofthesegoodstotheHolderorthirdpartyinvolvedinthePartialWarrant(s),irrespectiveofthecauseofsuchdifference.

CHAPTERIIPROVISIONSREGARDINGTHEWARRANT

Section33ApplicableprovisionsThe legal relations between Warehousing Companies and (former) Warrant Holders shall be governed by theprovisionsofChapterI,exceptwhentheprovisionsofChapterIIdeterminethataprovisionofChapterImaynotbeapplied.ThedutiesrestinguponthePrincipalinaccordancewithChapterIalsorestupontheWarrantHolderandtherightsanddefencestowhichtheWarehousingCompanyisentitledpursuanttoChapterIcanalsobeinvokedagainsttheWarrantHolder,unlessotherwisedescribedinthewordingoftheseconditions.Section34Righttodeliveryofgoods34.1 TheWarrantawardstherightofdeliverybytheWarehousingCompanyofthegoodstheyhavereceivedfor

storageandagainstwhichtheWarranthasbeenissued.TheWarehousingCompanyshallbeliabletowardstheWarrantHolderforanydiscrepancybetweenthegoodsstoredbytheWarehousingCompanyandtheirdescription on the Warrants, unless it concerns goods which identification or weighing requires expertknowledgeand/orathoroughexaminationoranalysis,asforexample,butnotlimitedto,goodsdischargedinbulk.

34.2 IftheWarrantcontainstheclause:"Content,quality,number,weightandmeasureunknown"orasimilarclause,theWarehousingCompanyshallnotbeboundbyanystatementintheWarrantregardingcontents,qualityandthenumber,theweightorthedimensionsofthegoods.

34.3 TherighttodeliveryshallnotexistaslongastheWarehousingCompanyhaveaclaimonthegoodsresultingfromthesepresentconditionsand/oruntilall customsandother formalitiesprescribedbytheAuthorities,requiredforthedelivery,havebeenfulfilled.

Section35ExpiryoftheWarrant35.1 TheWarrantshallbevalidforthreeyearsfromthedateofissue,unlessashorter

periodofvalidityisindicatedontheWarrant.35.2 UntilitsexpirytheWarrantmaybereplacedattheWarrantHolder'srequestbyanewWarrantorbyseveral

PartialWarrants,againstpaymentofallthecostsinvolved.TheWarehousingCompanyshallhavetherighttorefusethereplacementoftheWarrantandmayrequirethegoodstoberemovedontheexpirydateofthecontract.

35.3 Ifon itsexpirydatetheWarranthasnotbeenpresentedforreplacement,or ifafterrefusal toreplacethe

Warrantthegoodshavenotbeenremovedfromthewarehouseontheexpirydate,theHolderoftheexpiredWarrantshallbedeemedtoagreetothewarehouserent,and if thegoodshavebeen insuredthroughtheWarehousingCompany,theinsurancepremiumandcostsshallbedeterminedbytheWarehousingCompanyasfromsuchdate.

35.4 Ifonitsexpirydate,theWarranthasnotbeenpresentedforreplacement,or ifafterrefusaltoreplacethe

Warrantthegoodshavenotbeenremovedfromthewarehouseontheexpirydate,againstpaymentoftheamounttheWarehousingCompanyareentitledtounderSection36above,theWarehousingCompanyshallhavetherighttodisposeofthegoodstowhichtheexpiredWarrantrefers,subjecttoapplyingtheprovisionsrelatingthereto.

35.5 ForaperiodoffiveyearsaftertheexpirydateoftheWarrant,theWarehousingCompanyshallbeobligedto

deliver thegoodsdescribedon theexpiredWarrant -or should theWarehousingCompanyhaveexercisedtheirrighttodisposeofthegoods,thenetproceedsofthegoods,withoutpaymentofinterest,shallbepaidto the Holder of the expired Warrant, after having deducted all the amounts due to the WarehousingCompany.After these five years have expired, the rights of the Holder of the expiredWarrant shall cease and theWarehousingCompany shall no longerbe required todeliver the goods, or to account for their proceeds,neithertotheHolderoftheexpiredWarrantnortoothers.

Section36Deliveryofgoodsafterpayment36.1 TheWarehousingCompanyshallpriortoeffectingfullorpartialdeliveryofthegoodstowhichtheWarrant

givestitle,havetherighttodemandpaymentof:

a. thewarehouserentduesincethedatewhenthelastpaymentwasmade,asshownontheWarrantandnothavingbeenotherwisepaidprior todelivery, at themonthly rentnotedon theWarrant,partsofmonthstocountasfullmonths;

b. insurancepremiumsduesincethedatewhenthelastpaymentwasmade,asshownontheWarrant

and not having been recorded as otherwise having been paid prior to delivery, at the monthlyinsurancepremiumratestatedontheWarrant,partsofmonthstocountasfullmonths;

c. thechargesfordeliveryofthegoodsatthecurrentrateapplicable;

d. disbursements and other outlays made by theWarehousing Company on behalf of theWarrant

Holderrequestingdelivery,inconnectionwithcustomsand/orotherformalitiesasrequiredbytheappropriateauthorities,forthegoodsdescribedontheWarrant;

e. allcostsincurredbytheWarehousingCompanyafterthedateofissuementionedontheWarrant:e.1 forpreserving/retainingthegoodsmentionedontheWarrant,e.2 for eliminating any dangers caused by the goods mentioned on the Warrant to the

warehouseand/ortoothergoodsstoredtherein,e.3 for measures taken in respect of the goods mentioned on the Warrant as a result of

circumstancesforwhichtheWarehousingCompanycannotbeheldresponsible.f. allotheramountsduetotheWarehousingCompanyapparentfromtheWarrant.

36.2 NotwithstandingtheprovisionsoftheprecedingparagraphstheWarrantHoldershallbeobligedtopaythewarehouse rent due - and if the goods have been insured through the Warehousing Company, also theinsurancepremiumsandcosts-attheendofeach12monthsofstorageorsuchearlierperiodashasbeenagreedandisrecordedontheWarrant,plusthecostsincurredbytheWarehousingCompanyreferredtoine.4 and e.5 above, as soon as theWarehousing Company have given notification of this to theWarrantHolder.

36.3 IftheWarrantHolderfailstomeethisobligationtopaytherentaftereach12monthlyperiodoranearlier

period as has been agreed and shown on theWarrant - and if the goods have been insured through theWarehousingCompany,additionallytheinsurancepremiumsandcosts-themoniesduetotheWarehousingCompanyaccruedinthismannershallbeincreasedasfromthedaythe12monthsstoragehaselapsedbyapenaltyof1%oftheamountdueforeachmonthinexcessofthe12monthperiod.

Section37Indemnification37.1 ContrarytotheprovisionsofSection19abovethecompensationtobepaidbytheWarehousingCompany

forlossofgoodsshallbelimitedtotheapplicablevalueofthegoodsonthedayofissueoftheWarrant,theWarehousingCompanyisnotliableforanyconsequentiallossorcosts.

37.2 Inthecaseofdamagenogreatersumshallbepaidthanthedifferencebetweenthevaluereferredtointhe

previousparagraphandthevalueafterthedamagewhichthegoodswouldhavehadonthedayofissueoftheWarrant.

37.3 Inanycasecompensationshallonlybepaidon theactualdamage incurredwithamaximumof2SDRper

kilogram damaged or gross weight lost, always on the understanding that the Warehousing Company'sliabilityshallinallcasesbelimitedto100,000SDRperevent,orseriesofeventsarisingfromtheoneandthesamecause.

Section38AccesstoandinformationaboutgoodsAccesstoandinformationaboutgoodsforwhichWarrantshavebeenissuedshallonlybegivenonproductionofthesaidWarrant.

Section39Workinconnectionwiththegoods39.1 Tasks tobecarriedouton thegoodsdescribedon theWarrantasdesiredby theWarrantHolder, suchas

sampling, handling, servicing, packing, repacking, restacking, lotting, weighing, splitting into smallerconsignments,etc.,aswellasdelivery,shallbecarriedoutbytheWarehousingCompanyhavingthegoodsincustody,attheappropriatefeesandontheappropriateconditionsapplicableatthattime.

39.2 SuchtasksasrequiredbytheWarrantHolder,shallonlybecarriedoutaftersurrenderoftheWarrant.39.3 TaskstheWarehousingCompanydoesnotwishtoundertakemay,withtheWarehousingCompany'sconsent

and after surrender of the Warrant, be performed by or on behalf of the Warrant Holder, under thesupervisionof theWarehousingCompanyandagainstpaymentof all costs involved,howeverwithoutanyliabilityonthepartoftheWarehousingCompany.

39.4 Partialdeliveries,samplingandhandlingofthegoods,causingachange,decreaseorchangeinthenumber,

weightor volumeof thegoods shall be insertedon theWarrant in the spaceallocated for these remarks.

WhenthereisnospaceleftontheWarrantforfurtherstatementsregardingdeliveries,changes,decreases,etc.,theWarrantshallbereplacedattheexpenseoftheWarrantHolder.

39.5 PaymentsduetotheWarehousingCompanyforworkperformedinconnectionwiththegoodsmentionedon

theWarrantorforsupervisingsuchwork,shallbepaidimmediately.TheWarehousingCompanyshallhavetherighttorefusetoreturntheWarrantuntilsettlementhasbeenmade.

Section40NotificationofspecialmethodofhandlingShouldtheWarehousingCompanycarryoutanyworkinconnectionwiththegoodsstoredcoveredunderSection22,theWarehousingCompanyshallassoonaspossibleafterthiseventnotifytheLastknownWarrantHolder,withouttheWarrantHolderhavinganyrighttoclaimagainsttheWarehousingCompanyforfailingtogivesuchnotification.Section41TheWarehousingCompany'sresponsibilitytoinsurethegoods41.1 WhenitisshownontheWarrantthatthegoodsareinsured,theWarehousingCompanyshalltherebyhave

carriedouttheirresponsibilitytoeffect insurancefortheWarrantHolder'saccount inaccordancewiththeprovisionsunderSection23.

41.2 TheinsuredvalueshallbethevalueindicatedontheWarrant.41.3 When theWarrant states that the insured value is the currentmarket value, it shall be theWarehousing

Company'sresponsibilitytokeepthegoodsadequatelyinsured.Section42Changesin,effectandterminationofinsurance42.1 It will only be possible to change the insured value and/or terminate the insurancewhen theWarrant is

surrenderedtobeendorsedaccordingly.42.2 OnlytheinsuranceasstatedontheWarrantshallbeapplicable.42.3 Insurancecovershallbeterminatedondeliveryofthegoods.42.4 Ondeliveryofpartofthegoods,theinsuredvalueofthepartconsignmenttobedeliveredshallbequoted

separatelyandenteredontheWarrantwheretheWarrantdoesnotindicatetheinsuredvalueperunitandwhereitisnotpossibletodeduceaproportionatedecreasefromthevalueindicatedontheWarrant.

Section43AmountsofclaimCompensationamountsforclaimscollectedbytheWarehousingCompanyshallbepaidbytheWarehousingCompanyagainstreceiptoftheWarrant,afterhavingdeductedallamountsowedbytheWarrantHoldertotheWarehousingCompany.Section44NotificationofdestructionIn thecaseofdestructionof thegoodsdescribedon theWarrant,by fireorotherwise, theWarehousingCompanyshallimmediatelynotifytheLastknownWarrantHolder,withouttheWarrantHolderhavinganyrightofclaimagainsttheWarehousingCompanyforfailuretonotify.Section45MutilationoftheWarrant45.1 AnyerasuresandmutilationsshallrendertheWarrantvoid;alterationsshallnotbevalidunlessinitialledby

theWarehousingCompany.45.2 TheHolderofamutilatedWarrantmayrequesttheissueofaduplicate,onsurrenderoftheoriginalWarrant

andonpaymentof thecharges involved.Thedetails regardingthenatureandquantityof thegoodstobeshownon theduplicateWarrant shallbeexclusivelydetermined fromthe relevantdetailsas shown in theWarehousingCompany'srecords.

Section46LossordestructionofWarrants46.1 IfaWarranthasbeenlostordestroyed,thepersonsoentitledmayapplytotheWarehousingCompanyfor

nullificationoftheWarrantandrequestdeliveryofthegoods,orrequestthe issueofaduplicateWarrant.Suchapplicationsshall,wherepossible,statethecauseforthelossoftheWarrantanddetailthegroundsonwhichtheapplicantbaseshisclaimtotitle.

46.2 IftheinvestigationmadebytheWarehousingCompanyaffordnoreasontodoubtthetruthofthereasons

for the application, the Warehousing Company shall publish the application made, by inserting twoannouncements at intervals of at least 14 days each in at least two daily newspapers selected by theWarehousing Company, inviting thosewho believe they have title to the goods described on themissingWarrant to oppose the delivery of the goods and/or the issue of a duplicate Warrant by serving awrit/summonstothateffect.

46.3 Ifwithin14daysofthelastannouncement,noonehasopposedthedeliveryofthegoodsortheissueofa

duplicateWarrantbyserviceofawrit,theWarehousingCompanymaynullifytheWarrantandeffectdeliveryofthegoodsor issueaduplicateWarranttotheapplicant.FordeterminingthenatureandquantityofthegoodstobedeliveredortobestatedintheduplicateWarrant,theWarehousingCompany'srelevantrecordsshallexclusivelyberegardedastheonlytruerecord.ThenullificationoftheWarrantshallimmediatelyafterthe event be published in the abovementioned newspapers. As a result of such nullification the originalWarrantshallloseitsvalidityandalltheWarehousingCompany'sobligationsundertheoriginalWarrantshallcease.

46.4 Incaseofoppositionbyathirdpartytheapplicationshallnotbecompliedwith,untilithasbeendetermined

fromaCourtOrder or throughother final and conclusive rulingor award that the applicant is thepersonentitledtothegoods.

46.5 ThepersonwhohasobtaineddeliveryofthegoodsshownonaduplicateWarrant,shallremainliableforall

claimsthatmayresultforriskoftheWarehousingCompanyfromthisdeliveryandshallindemnifyandholdharmlesstheWarehousingCompanyforclaimsofthirdparties, includingWarrantHolders,fordamageandcosts resulting from the delivery against a duplicate Warrant. The Warehousing Company may requestsecurityforsuchclaims.

46.6 Anycostsinthewidestsense,incurredbytheWarehousingCompanyasaresultoftheapplication,shallbe

bornebytheapplicant.TheWarehousingCompanyshallhavetherighttorequireanadvanceofmoneytobemadebeforeexecutingtheapplication.

Section47TerminationofthevalidityoftheWarrant47.1 IfaftertheterminationofthevalidityoftheWarrant,theWarehousingCompanynolongerwishestokeep

thegoodsinstorage,theyshallsummonstheLastknownWarrantHoldertoremovethegoods.47.2 IftheWarrantHolderfailstocomplywiththesummonswithin14days,orifheisnolongertheownerofthe

expiredWarrant,anddoesnotwithin14daysinformtheWarehousingCompanywhothecurrentHolderoftheexpiredWarrantis;andiftheHolderoftheexpiredWarrantdoesnotpresenthimselfwithinsuchperiod,theWarehousingCompanyshallhavetherighttosellthegoodsdescribedontheexpiredWarrant.

47.3 Priortotakingsuchaction,theWarehousingCompanyshallpublishtheirintentiontosellthegoodsforwhich

anexpiredWarrantisincirculation,byinsertingtwoannouncementsatintervalsofatleast14daysinatleasttwodailynewspaperseach,oneofwhichatleastistoappearintheplacewheretheWarehousingCompanyhavetheirregisteredoffice,requestingtheHolderoftheexpiredWarranttoasyetmeethisobligationsortonotifyanypersonshavingacquiredtheexpiredWarrant.

47.4 If after 14 days after the last announcement theWarrant Holder has not presented himself, or if he has

presented himself but no agreement has been reached on the removal of the goods, the WarehousingCompanyshallbeatlibertytosellthegoodsimmediately.ThesaleshalltakeplaceinaccordancewiththeprovisionsofSection29.

Section48CommencementoftheperiodofexpiryofaWarrantTheperiodofexpiryasreferredtoinSection30,shallincaseoftotallosscommenceattheendofthedayonwhichtheWarehousingCompanyinformstheLastknownWarrantHolderofsuchloss,orifheisnolongertheowneroftheWarrantandnosubsequentWarrantHolderhaspresentedhimself totheWarehousingCompany,aweekafter theannouncement of such loss in two daily newspapers, at least one of which appearing in the place where theWarehousingCompanyhavetheirregisteredoffice.Section49Advisedquotationandcopyright49.1 Theseconditionsshouldbequotedas"Veemcondities2006"andwerefiledwiththeregistrarsoftheCourtof

Amsterdam(filenumber133/2006)andRotterdam(filenumber85/2006)onOctoberthe3rd,2006bytheOndernemersverenigingRegioAmsterdam("ORAM").

49.2 The ORAM is authorised to claim the compensations due for copying asmentioned in the Copyright Law

(Auteurswet)byandsubjecttotherulesoftheStichtingReprorechtAmsterdam.Safeforexceptionsbylaw,nothing from these conditions may be multiplied and/or made public by means of print, photocopy,microfilmorotherwisewithoutpriorwrittenapprovalbyORAM,whichalsoappliestofullorpartialrevisionoftheseconditionsinwhichcaseinallcircumstancesasourcequotationwillhavetobeincluded.

GeneralConditionsandRulesfor‘Cargadoors’(DutchShipbrokersandAgents)120091. General/applicability1.1. Forthepurposesofthepresentconditions‘Cargadoor’sServices’shallbeunderstoodtocoverthefollowing

:1.1.1. Servicesperformedinanenterprisethebusinessofwhichisattendingtoandtakingcareofships-and

transportationmatters for shipowners, carriers, timecharterersand/ormastersof seagoingvessels,deliveringincomingcargoandreceivingoutgoingcargo,whichshallcompriseallthatneedstobedoneinrespectoforfortheshipping-and/ortransportationindustry,suchasforinstanceactingascustomsagent/freightforwarderandconductingofshipsmanagement,allinthewidestsense,aswellas

1.1.2. Onbehalfofothers(inparticularbutnotlimitedtoreceivers,shippersandsenders)handlingofcargo,aswellasanythingrelatedtheretoinanyway,aswellas

1.1.3. Acting as intermediary as to concluding contracts (amongst others and in particular contracts ofaffreightment, other contracts of carriage, contracts pertaining to the use of containers and the like,contractsofinsur\anceandcontractsofsaleandpurchase-whetherornotinabrokingcapacity-andallrelatedcontractsalwaysinthewidestsenseofthewords),totheextentthataseagoingvesselorothermeansofconveyanceisinvolveddirectlyorindirectly;

1.2. Thepresentconditionsandnotthoseoftheprincipalareapplicableinrespectofservicesrendered/tobe

renderedby the ‘Cargadoor’, unless to theextent that itwouldexplicitlyhavebeenagreedotherwise inwriting (including by telex, facsimile or e-mail),whilst observing theprovisions of art. 2.1 of thepresentconditions;

1.3. Boardmembers/directors/managersand/orstaffand/or(other)subordinatesofthe‘Cargadoor’and/or

(of) thirdpartiesengagedbythe ‘Cargadoor’,mayalso invoketheprovisionsof thepresentconditions intheeventofaclaimbeingmadeagainstthemdirectly;

1.4. Totheextentthatoneormore(partsof)provisionsfromthepresentconditionswouldinlawtranspireto

benullandvoidorwouldbeannulledand/oravoided,orwouldinequitybenotapplied,thenthatisofnoconsequencetothevalidityoftheother(partsof)provisionsoftheseConditions.

2. Theactivitiesofthe‘Cargadoor’inthewidesenseoftheword:2.1. Allworkdoneand/ortobedonebythe‘Cargadoor’thatgenerallydoesnotcomewithinthescopeofthe

workofa ‘Cargadoor’ inthestrictsenseoftheword(suchasfor instancebutnot limitedtostevedoring,freightforwarding,runningofwarehouses,controllingetc),shallbealsosubjecttotheconditionsthatarecustomary in the branch of trade concerned or that have been registered and/ or laid down by theorganisationofthatbranchoftrade;Theaforesaid,however,withtheexceptionofsuchprovisionsthereinthatmightextenda ‘Cargadoor’s liabilitiesbeyond thoseenvisaged in thepresentconditions, in steadofwhich the pertinent provisions of the present conditions (amongst others and in particular in art. 5‘liability’)remaininforce,andalsowiththeexceptionofsuchjurisdictionorarbitrationclausesasmightbepartoftheseotherconditions,insteadofwhichart.8ofthepresentconditions(‘TamaraArbitration’withtheexceptionsenvisagedinthatart.)remainsinforce,andfinallywiththeexceptionofsuchchoiceoflawclausesaswouldgiverisetotheapplicationofotherthanNetherlandsLaw,insteadofwhichart.7ofthepresentconditionsremainsinforce;

2.2. Thusamongstotherstheconditionshereinaftershall(also)apply:2.2.1. On Freight Forwarding work the ‘Netherlands Freight Forwarding Conditions’, with the exception of

amongst others and in particular thepresent artt 11 (liability) para’s 2, 3 and4 and the arbitration-/jurisdictionclause(presentlyart.23);

2.2.2. OnStevedoringworkthe‘RotterdamStevedoringConditions’,withtheexceptionofamongstothersandinparticularthepresentart.8(liability)para’s1and3andthearbitration/jurisdictionclause(presentlyart.13);

2.2.3. On Warehousing/ Storage work the ‘Netherlands Warehousing Conditions’ (Nederlandse OpslagVoorwaarden),withtheexceptionofamongstothersandinparticularthepresentartt.19(damagetoandlossofgoods)and4(arbitrationclause);See,however,alsoart2.2.4hereinafter;

2.2.4. On Tank Storage the ‘General Conditions for Tankstorage in the Netherlands’, with the exception ofamongst others and in particular the present artt. 57 (liability of the storage company) and 66(jurisdiction/arbitrationclause);

2.3. Incaseofconflictbetweenthese(other)conditionsreferredtoinhereinbeforeandthepresentconditions

these other conditions shall prevail (whilst observing the afore said sub 2.1 and sub 2.2 as to the nonapplicabilityofsuchprovisionsasextendliabilityaswellasarbitrationand/orjurisdictionclausesand/orchoice of law clauses), however to the extent only that thework is being done or has been done uponinstructions fromor in the interestsofaparty interested in thecargo; Inallother situations thepresentconditionsshallprevail.

3. Theconclusionofcontracts/payment:3.1. The ‘Cargadoor’quotes the terms (suchas for instance freight-andadditionalcosts)onwhichacontract

envisagedbytheprincipal,maybebroughtabout;Theintendedcontractisthenconcludedbyacceptationof the quotation;. All quotations by the ‘Cargadoor’ are deemed to be without engagement unless thecontraryisspecifiedtherewith;

3.2. Freight-and/oradditionalcostsand/orotherservicesareinvoicedbythe‘Cargadoor’totheprincipalas

soonaspossibleaftersailingand/ordeparturerespectivelyafterhavingbeenprovided/delivered;

3.3. The‘Cargadoor’,whoafterallisusuallydebitedhimselffortheitemssub3.2andwhoisusuallyunderanobligationtopromptlysettlethesesums,inthematter‘deiure’acquirestitlesosue(ofhisown)vis-a-vistheprincipal(whilsttakingintoaccounttheotherprovisionsofthepresentconditions):

3.3.1. It standsestablishedbetween theprincipal and the ‘Cargadoor’ that the ‘Cargadoor’ himself in thesemattershastitletosuevis-a-vistheprincipal;

3.3.2. Ontheotherhand the ‘Cargadoor’ shallhold theprincipalharmlessagainst such laterclaimsby thirdpartiesasareestablishedinaCourtoflawinrespectofsuchamountsasmayhavebeenpaidinthesemattersbytheprincipaltothe‘Cargadoor’toamaximumequaltotheseamountspaid;

3.4. (Timely)payment/penalty/interests:

3.4.1. Whilstobservingtheprovisionsofthepresentconditionsthe‘Cargadoor’isatliberty(butisnotobliged)

toextendcredittotheprincipal.Havingsaidthatthe‘Cargadoor’isequallyatliberty,wherehedeemsitproper,todemandimmediatepaymentorpaymentbeforehandor inthealternativepaymentofsuchadvancepaymentasinhisdiscretionhemaydeemproper;

3.4.2. Thetermofcreditis21daysasofinvoicedate(unlessithasbeenexplicitlyagreedotherwiseinwriting[including by telex, facsimile and/ or e-mail]); This means that the total amount of the invoice inquestion,withoutdeduction,setofforcompensation,istobecreditedtotheaccountofthe‘Cargadoor’withvaluewithin21daysoftheinvoicedateatthelatest;

3.4.3. Theprincipalshallpaytheinvoicesreceivedfrom/amountsduetothe‘Cargadoor’promptly(orinthealternative where applicable strictly within the agreed term of credit) and without set off orcompensation;

3.4.4. Failing timely payment the principal is in default without separate summons or notice whilst the‘Cargadoor’ shallhave recourse toall rightsandactionsarising therefrom;Furthermore theprincipalshallthenbeowing

3.4.4.1. apenaltyof10%overthe(invoice)amountoutstanding,3.4.4.2. the ‘StatutoryCommercial Interests’ (‘WettelijkeHandelsrente’)envisagedbyartt.6 : 119a jo120

3.4.5. Intheeventthattheprincipal,afterhavingbeensummonedby/onbehalfofthe‘Cargadoor’,remainsindefaultwithamicablypayingthesumsdue(inclusiveofinterestsandpenalty),thenthe‘Cargadoorisat liberty to secure andenforce complianceby theprincipalwith the lattersobligationsby allmeanslegal, inclusiveofbutnot limited to security arrests and/or ‘summaryproceedings for collection’;Allcosts to be incurred in the process shall be for the account of the principal, inclusive of the fullattorney’sand/orbailiffs feesanddisbursements; Furthermore the ‘Cargadoor’shall thenalsohavealien on anything of the Principal (inclusive of but not limited to goods and documents) that the‘Cargadoor’hasorshallhaveunderhiscontrolirrespectiveoftowhomitbelongs.

3.4.6. Prolongedand/orrepeatednonpayment/signalling:

3.4.6.1. Iftheprincipalis/remainsindefaultrepeatedlyand/orforaprolongedperiodoftimewithtimely

paymentofoneormoresums/invoicesduetothe‘Cargadoor’,thenthe‘Cargadoor’isatlibertytoreportthattotheAssociationofRotterdam‘Cargadoors’/ORAM(sectionshipagencies);

3.4.6.2. In addition and supplementary to the reminders/ summonses by the ‘Cargadoor’ himself theAssociation/ORAM(sectionshipagencies)maythendecidetoinformthatprincipalthathehasbeensoreportedandremindhimthatthereareobligationsoutstandingforhisaccountwithmembersoftheassociation/ORAM(sectionshipagencies);

3.4.6.3. Incaseofrepeatedand/orprolongedarrear(s)inpaymentof‘Cargadoor’sinvoices/sumsduetothe‘Cargadoor’,theAssociation/ORAM(sectionshipagencies) isat libertytopointouttoitsmembersthatthereisnoobligationtoextendcredittotheprincipalinquestion.

4. Execution:4.1. Theappointmentofrespectivelyinstructionstoa‘Cargadoor’torenderhisservicesinthatcapacitytoany

ship(inclusiveofcrewand/orcargo)inanyport,shallconferuponthe‘Cargadoor’authoritytocarryoutandperformsuchworkandservicesasarecustomary in the ‘Cargadoor’s tradeand,whether inhisownnameornot,concludecontractsforthebenefitofhisprincipalhoweverwithoutbeingboundbytheveryappointmentor instructiontoperformallandsundrywork for thebenefitof thatship,hercrewandhercargo;

4.2. If incaseofanycontractofaffreightmentbetweenchartererandship-owner ithasbeenagreedthatthe

‘Cargadoor’appointedbythechartereristoactastheship’sagent,thechartererandship-ownershallbejointlyandseverally liableasprincipalvis-à-visthe‘Cargadoor’accordingtothetermsenvisagedbytheseConditions;

4.3. The‘Cargadoor’shallbeatlibertytohaveworkthathecontractsouttothirdpartiesforthebenefitofhis

principal done, respectively make use in the execution of his obligations of goods/ equipment of thirdparties,ontheconditionsthatarecustomaryinthebranchoftradeofthesethirdpartiesconcernedorthatthethirdpartiesthemselveshave laiddownfortheirbusiness;The ‘Cargadoor’himselfshall thenalsobeentitled though not obliged to vis-à-vis his principal rely on those conditions, inclusive of conceivablearbitration-,jurisdiction-,and/orchoiceoflawclausestherein(inthatcasenotwithstandingthearticles8[arbitration]and7[choiceoflaw]ofthepresent‘Cargadoorsconditions’);

4.4. Inall instanceswherethe‘Cargadoor’receivescargoforshipment/transportheshallbedeemedtohave

thiscargoinhischargeandrenderhisservicesconcerningthesegoodsasauthorisedagenttotheshipper/sender,untilsuchtimeaswhenithasbeentakenoverbyoronbehalfoftheship/thecarrier,unlessbeforeorat takingoverof thegoods the ‘Cargadoor’hasexplicitly stated toactonbehalfof thecarrier; In theaforesaidinstancesthecargoremainsentirelyattheriskandexpenseoftheshipper/senderandthereforeallcostssuchasberthduesanddemurragechargesinrespectofbarges,demurrageonwagons,dischargingofbargesandwagons,superintendence,weighing,expensesforworkatnightorovertimeshallbeattheexpenseoftheshipper/sender;

4.5. The ‘Cargadoor’ shall renderhis servicesagainst remunerationsexpresslyagreedwith theprincipal,or in

thealternative–intheabsenceofthese-asperhispublishedchargesorthosequotedtotheprincipal inquestion; However, in case of special work or particularly time consuming or exhaustive work beingrequired,anequitableextraremunerationmaybechargedwhich,failingagreement,shallbedeterminedinarbitrationaspertherulesofprocedureoftheStichtingTransportandMaritimeArbitration(TAMARA)(seealsoart.8andfollowing);

4.6. Both before, during and after the performance of his obligations the ‘Cargadoor’ is entitled to demandsecurityinrespectofthesumsduetohimbyhisprincipal;Heshallatnotimebeunderanyobligationtomakeanypaymentwhatsoeveronbehalfofhisprincipaluntilsuchtimehehasreceivedthepropersecurityorfundstodoso;The‘Cargadoor’shallbeentitledtochargehisprincipalafeeofonepercentoveradvancepaymentsmadeonhisprincipal’sbehalf;

4.7. TheCargadoorshallbeentitledtoretaingoodsand/ormoniesreceivedfromorintendedforhisprincipals

until such timeaswhenappropriate securityhasbeenposted for the sumsdue tohim; The ‘Cargadoor’shallhavea lienonanyandallgoodsandmoneyshehas inhiscustodyonbehalfofhisprincipalforanyclaimswhich the ‘Cargadoor’mayhaveagainsthisprincipal fromanycausewhatsoever;The ‘Cargadoor’shall furthermorebeentitledtosetoffanysumduetohimfromtheprincipalagainstandfrommoneysowedby him to the principal and/ or to sell the goods onwhich he has a lien either publicly or, havingobtained leave todo so fromtheCourt,privately. if theprincipalhas failed to,within30days asof thedispatchby registered letter, facsimilemessageore-mailofa summons,eitherprovidesecurityor settlethe‘Cargadoor’sclaim;

4.8. Anyandallexpenses incurred inconnectionwiththeremittanceofmoneys from, tooronbehalfof the

principalshallbeforaccountoftheprincipal;4.9. Ifthesumsduetothe‘Cargadoor’bytheprincipalareexpressedinaforeigncurrency,the‘Cargadoor’shall

havetheoptiontodemandpaymenteitherintheforeigncurrencyconcernedorbyfirstratebankchequeor inNetherlandsCurrencyat theexchange rateof theBankof theNetherlandsprevailingoneither thedateofhisinstructionsorthehighestrateprevailingonthedateoftheaccountinquestionorthehighestrateprevailingonthedateofpayment;

4.10. The ‘Cargadoor’ shall never be liable for any loss on exchange in respect ofmoneyswhich he has in his

keepingonbehalfofhisprincipalorwhichhe is tocollectorpayonthe latter’sbehalf.Freightsorothermoneysexpressed inforeigncurrencywhicharetobecollectedorpaidbyhimonbehalfofhisprincipal,maybe acceptedor paidbyhim inNetherlands currency at theBankof theNetherlands’ exchange rateprevailingonthedayofpayment;

4.11. All information and communications, for instance concerning port facilities, dispatch, cost and expenses,

progressof loadingandunloading,arrivalanddeparture,strikes,etcetc,nothingexcepted,shallbegivenandmadebythe‘Cargadoor’tothebestofhisknowledgeandability,butheshallnotberesponsiblefortheircorrectness;

4.12. Callingforwardofcargobythe‘Cargadoor’againstaspecificdateand/ortimeisdoneatalltimessubject

toalterationofthatdateand/ortimebecauseofunforeseencircumstancesand/orchangesinthesailing/transportation schedule; Amongst other things and in particular the ‘Cargadoor’ is never liable for thelaycanobligations;

4.13. TheCargadoorisneverresponsibleforthepropercollectionofmoneysdueondeliveryofgoodsshipped

onC.O.Dterms;4.14. Shipmentofcargomayberefusedatthe‘Cargadoor’sdiscretionwithoutanyreasonthereforebeinggiven,

evenafterhehastakenitinhischarge;4.15. Ifthe‘Cargadoor’hascargoorothermattersinhiscustodyheisentitledtoterminatethatsituation:

4.15.1. Heshallthennotify(tothelastaddressknowntohimof)hisprincipalofhisintentionstodosobytelex,orfacsimilemessage,ore-mailorregisteredletter,

4.15.2. If such cargo or othermatters have then not been disposed ofwithin the reasonable period of timespecified in said notice, then the ‘Cargadoor’ is entitled at his discretion to store the goods for theaccount and at the risk of whom it may concern; Also he is then entitled to sell the goods, havingobtainedpermissionfromtheCourttodoso,asenvisaged inartt.8 :491oftheNeth.CivilCodeand632oftheNethCodeofCivilProceedings;

4.15.3. The ‘Cargadoor’shallgivenoticeofsuchsale intendedbyhimbytelex,or facsimilemessage,orbye-mailorbyregisteredlettertothelastaddressknowntohimofhisprincipal;

4.15.4. Furthermorethe‘Cargadoor’shallthenbeentitledtosetoffanddeductanysumsduetohimfromtheprincipalagainstandfromtheproceedsofthegoods;

4.16. Theriskofmutilationofanycommunicationorinterruptionofthetransmissionofcommunicationsthroughtheuseofthepostalservices,radio,telephone,telex,facsimile,telegraphande-mailshallbeforaccountoftheprincipal;The‘Cargadoor’shallnotbeliableformisunderstandingsarisingorresultingfromtheuseofalanguageotherthantheNetherlandslanguage;

4.17. The ‘Cargadoor’ shallunderno circumstancebebound togiveguaranteesand/or security vis-à-vis third

partiesonbehalfofhisprincipal;InrespectofanyandallguaranteegivenbyhimbyorderofhisprincipalacommissioninlinewithwhatiscustomarilychargedbyNetherlandscommercialbanksshallbepayabletohim by the principal on the maximum amount for which the ‘Cargadoor’ may be held liable under theguaranteeorsecuritygivenbyhim;

4.18. The‘Cargadoor’shallnotbeboundtoeffectanyinsurance,unlessithasbeenexplicitlyagreedotherwisein

writing(whichincludesexchangeoftelex-,facsimilemessagesand/ore-mails);4.19. The‘Cargadoor’shallnotbeanswerablefortheduepaymentofamountsoutstandingintheNetherlands,

wherethegrantingofcredit iscustomaryor inthe interestofaneffectiveperformanceofhisdutiesandwherethedebtorwastobeconsideredsolvent,allathisabsolutediscretion;Heshallneverbeanswerablefor the due payment of amounts outstanding abroad; Nevertheless the ‘Cargadoor’ is ‘authorised andinstructed’ by his principal to demand payment in his own name of amounts outstanding both in theNetherlandsaswellasabroadandtoinstituteproceedingstothatend;

4.20. The ‘Cargadoor’ shall be entitled to deliver cargo against appropriate security if the receiver is not in

possessionofbillsoflading.AppropriatesecurityshallincludeabankersguaranteebyafirstclassBankontheformasrecommendedbytheassociationofwhichthe‘Cargadoor’isamember;

4.21. The‘Cargadoor’,whonameshisprincipaloradequatelyidentifiestheprincipalamongstpartiesinterested

intheshippingandtransportationindustrybytheuseofabbreviationsorotherwiseorbygivingthenameoftheship,shallnotonhisownaccountbeliableforthepaymentofordersor instructionswhichhehasplacedorgivenonbehalfofhisprincipaltothirdparties;

4.22. Any payment in respect of such order or instruction made by the ‘Cargadoor’ shall be considered an

advancewhich at all times can be claimed back as long as the ‘Cargadoor’ has not himself received theamountconcernedfromhisprincipal;

4.23. If the agreement between the ‘Cargadoor’ and the principal is by way of a long-term agreement the

principal shall, save in theeventofa seriousbreachby the ‘Cargadoor’,beunderanobligation togiveaterm of notice that is under the circumstances equitable before terminating the agreement, whilst the‘Cargadoor’, in theevent thathe isnotequitablyand fairlyheldharmlessbyobservanceof such termofnoticeandaconceivablegoodwilpayment,shallbeentitledtoanindemnitytobedeterminedonthebasisofequityand fairness in respectofamongstother things investments, sellingcosts,advertisingexpensesandextracostsarisingfromthedischargeofredundantpersonnel,incurredonbehalfoftheprincipal;

4.24. ‘Reach’

4.24.1. Pursuant to E.E.C directiveNo. 1907/2006of the European Parliament and the EuropeanCouncil dd.18th of December pertaining to the “Registration, Evaluation, Authorisation and Restriction ofChemicals”(“Reach”) chemical substances in brief may only be produced on the territory of theEuropeanCommunity(“EC”)orbroughtontotheMarketoftheECafterhavingbeenregisteredbythemanufacturerorimporterofthesechemicalsubstanceswiththeEuropeanChemicalsAgency(“ECHA”),asenvisagedbytheprovisionsofREACH;

4.24.2. If and to theextent that the ‘Cargadoor’ in thecourseof renderinghis services to theprincipaldealswithcargo(includingbutexplicitlynotlimitedtoonbehalfoftheprincipalphysicallybringingofcargointo EC customs territory) (“handling of cargo”), whilst that cargo in any manner (as such, inpreparationsorinarticles)containschemicalsubstancesenvisagedinart3.1REACH(“substances”),the‘Cargadoor’renderstheseservicesonlyontheconditionprecedentthatheshallnotberegardedastheimporterthereofasenvisagedby“REACH”;Furthermoretheprincipalrecognisesthatthe‘Cargadoor’isnot tobe regardedas the importer;Upon requestof the ‘Cargadoor’ theprincipal shall rendereveryreasonableassistancethatisrequiredtoenablethe‘Cargadoor’tosubstantiatevis-à-vistheauthoritiesthatthe‘Cargadoor’isnottoberegardedastheimporterand/orwhichlegalentityistoberegardedastheimporter;

4.24.3. Ifandtotheextentthatthe‘Cargadoor’inthecourseofrenderinghisservicestotheprincipalhandlescargo that in any manner (as such, in preparations or in articles) contains “Substances” and the‘Cargadoor’ isthenatanytimeregardedas Importerconcerningsuchcargobythirdparties(includingthe authorities), then the principal shall hold the ‘Cargadoor’ harmless against any and all claims bythesethirdparties,anyandallcontractualobligationsandanyandallstatutoryobligations(inclusiveofanystepstakenbywayofenforcementbytheauthorities)inrelationtothushavingbeenregardedasImporter an envisaged by “REACH” and against any and all damages and costs that the ‘Cargadoor’incursormakesasaconsequencethereof.

5. Liability5.1. The ‘Cargadoor’ shall be liable for damages or losses, arising as a consequence of the non or improper

executionoftheinstructionsgiventohimorotherwiseonlytotheextentthat it isprovenbyhiscounterpart that the damages or losses in question have been caused by wilful misconduct or negligencetantamounttheretobythe‘Cargadoor’himselforhisleadingsubordinates;

5.2. However, the ‘Cargadoor’s liability is limited to amaximumamount equal to the remuneration that the

‘Cargadoor’wouldbeentitledtointheeventhehadproperlyexecutedtheinstructionsinquestion;5.3. Furthermorethe‘Cargadoor’shallneverbeliable

5.3.1. Inrespectofdamageorlosstogoodsthathavebeenentrustedtohimforhandlingorstorage;5.3.2. In respectof theconsequencesofwar,dangerofwar, riots, strikesor slowdownactions, congestion

and/ or overburdening of any port and the like thatmay be of influence on or interrupt his regularcourseofbusiness;Intheeventthatcargoand/orothermatterscannotbedeliveredbecauseofoneormore of the circumstances set out in previous sentence or other circumstances amounting to forcemajeure,the‘Cargadoor’shallneverthelessbeentitledtopaymentofWarehousehireand/orstoragechargesuptothemomentofdelivery,aspertheapplicablerates;

5.3.3. Foranykindofconsequentialdamages;

5.4. The principal shall be liable to ‘Cargadoor’, notwithstanding the provisions of art. 6:74 of the Neth CivilCode,inrespectofallobligationsenteredintovis-à-visthe‘Cargadoor’bytheMasteroftheShiptowhichthe ‘Cargadoor renders his services on behalf of the principal and in respect of any and all instructionswhether emanating from the Master or from the office of the principal or from their subordinates orwritten on their stationery, evenwhere for instance theMaster, respectively the person bywhom suchinstructionhasbeengivenonbehalfofthePrincipalhasexceededhisauthority,unlesstheprincipalprovesthatthe‘Cargadoor’hadbeenawareofsuchauthorityhavingbeenexceededorthatthiscouldhavebeenestablishedtimelyandsimplyandwithoutinvestigationabroad;

5.5. Theprincipalshallholdthe‘Cargadoor’harmlessinallcaseswherethe‘Cargadoor’ishimselfliabletothird

parties(includingtheauthoritiesand/ordepartmentsorservicesoftheauthorities)inrespectofhisactionsonbehalfoftheprincipalvis-a-vissuchthirdpartieswhichshallincludeanyfineasmaybeimposeduponhim,inparticularbutnotexlusivelywherethe‘Cargadoor’hasactedaslicensedcustomsagent,exceptforinstancesorwilfulmisconductornegligence tantamount there toasenvisaged in art. 5.1of thepresentconditions.

6. Extinction-/timebaroftherightofaction.

Anyclaimagainst the ‘Cargadoor’ shallbecometimebarredafter9monthshavepassedandshallbecomeextinctafter18monthshavepassed,theseperiodstobedeterminedasofthedateofthefinaldayoftheoccurrencethatgaverisetotheclaim.

7. Applicablelaw

The legal relationship between the ‘Cargadoor’ and the principal shall be governed by Netherlands Law,unless and to the textent that elsewhere in the present conditions it is specified otherwise or that in thecontract/ instructions in question it has been agreed differently explicitly, and therefore the questionwhetherandtowhatextentthe‘Cargadoor’hasexecutedcorrectlyanyactiononbehalfoftheprincipalshallalsobejudgedinaccordancewiththeLawsandviewsprevailingintheNetherlands;Errorsathisendastoforeignlaworsituationsabroadcannotbeheldagainsthim.

8. Arbitrationclause

8.1. Alldisputesarisingbetweenthe‘Cargadoor’andtheprincipalshallbesubjecttoarbitrationinRotterdamorAmsterdamaspertheTAMARARules,whichshallbesuppliedbythe‘Cargadoor’uponrequest;

8.2. Notwithstanding the provisions in the preceding paragraph the ‘Cargadoor’ shall be at liberty but notobliged

8.2.1. To bring claims concerning sums of money that are due and demandable, and of which theindebtednesshasnotbeenchallengedbytheotherpartywithin4weeksasof invoicedate/asofthedateoftheirbecomingdueanddemandable,beforetheregularCourt, i.e. infirst instancebeforetheRotterdam-ortheAmsterdamDistrictCourt(‘Rechtbank’);

8.2.2. In case proceedings are commenced against him before a regular Court (whether or not abroad) orbeforeother(thanTAMARA)arbitrator(s)then,totheextentthatthereexiststheproceduralpossibilityto do so, proceed against his principal/ contract partner before that same Court/. Arbitrator(s) (forinstanceandinparticularinindemnity);

9. ThepresentConditionsshallbeavailable,inDutchand/orinEnglishuponfirstrequestfromthe‘Cargadoors

Associations’ and/ or from the ‘Cargadoor’; In case of any discrepancy between the text in Dutch of theseconditions and the text in anyother language theDutch text shall prevail; If theseConditions are amendedthenthenewConditions,providedtheyhavebeenregisteredpromptlyandproperly,shallreplacethepreviousconditionswithouttheneedforfurtherjuridicalacts;

Article2-Applicability2.1 ANYGENERALTERMSANDCONDITIONSAPPLIEDBYTHEPRINCIPALAREEXPRESSLYPRECLUDED.2.2 TheGeneralTermsandConditionsareapplicabletoalllegalrelationshipsoftheTerminalOperatorunderwhichthe

Workiscarriedout,regardlessofwhetherthisiseffectedonorders,onothergrounds,againstpaymentorfreeofcharge.

2.3 ThePrincipal leaves it at thediscretionof theTerminalOperator toengage thirdpartieswithin the scopeof the

Workorotheractivitiesandtoacceptthe(general)termsandconditionsofsuchthirdparties.ThePrincipalagreestoletsuchgeneraltermsandconditionsapplyagainstthePrincipal.

2.4 IntheeventofincompatibilitybetweentheGeneralTermsandConditionsandthegeneraltermsandconditions

statedinarticle2.3themostfavourableprovisionfortheTerminalOperatorbyrightshallbeapplied.2.5 TheTerminalOperatorisentitledtorelyonthecustomoftheportinadditiontothis. Article3-Quotations,rates,payment,suspension,security,etcetera3.1 AlloffersmadebytheTerminalOperatorarenon-bindinguntilanagreementhasbeenconcluded.Anagreementis

concluded by written confirmation of the Terminal Operator or by the Terminal Operator’s starting with theexecutionoftheWork.

3.2 TheTerminalOperatorisentitledtoadjustanyalreadyacceptedratesinallfairnessifaftertheconclusionoftheagreementcost-increasing factorsoccur thatarebeyond thecontrolof theTerminalOperator. (Non-exhaustive)Examples are (government)measures in the area of safety, quality, the environment and taxation aspects andmarketdevelopmentsintheareaoflabourandenergythathadnotbeentakenintoaccountuponenteringintothelegalrelationshipwiththeTerminalOperator.

3.3 IfinthereasonableopinionoftheTerminalOperatorthecircumstanceshavechangedaftertheconclusionofthe

agreementsuchthatitisunfairtoexpectthattheTerminalOperatorshall(continueto)carryouttheWorkevenagainsttheratesthathavebeenadjustedinaccordancewitharticle3.2,theTerminalOperatorshallhavetherighttodissolvetheagreementifandinsofarasthisreferstotheWorknotyetcarriedout,withoutbecomingliabletopaydamagesasaresult.

3.4 AllinvoicesoftheTerminalOperatormustbepaidbythePrincipalbythepaymentdeadlinesetinthisrespect,

butatthelatestwithin30days,withoutanydeductionorset-off.Challenginganinvoiceshallnotsuspendthepaymentobligation.

3.5 IntheeventofadisputeaboutwhatthePrincipalowestheTerminalOperatorbyvirtueoftheWorkcarried

out, thedocumentation tobe submittedby theTerminalOperator shall provide full evidenceof thenature,contentsand scaleof theWork carriedout, except foranyproofof the contrary. Thedocumentationof theTerminalOperatorhaspreferenceoveranydocumentationdrawnupbythePrincipalorbythirdparties.

3.6 In the event of late payment of any claim of the Terminal Operator payable on demand, the Principal owes

statutorycommercialinterestinthisrespectpursuanttoSection119aDutchCivilCodefromtheduedateuntilthedateoffullpayment.

3.7 TheTerminalOperatorisatalltimesentitledtodemandanadvancepaymentfromthePrincipal,aprepayment,an

interimpaymentora security that isadequate in itsopinion forall claimsby theTerminalOperatoragainst thePrincipalnoworinthefuture.IfthePrincipalfailstofulfilsucharequestimmediately,theTerminalOperatorshallbeentitledtorefuse,suspend, interruptorterminatetheWorkwithoutrequiringanywrittenwarning,noticeofdefaultorjudicialinterposition.ThesameappliesifthePrincipalfailstoperformanyotherobligationtowardstheTerminalOperator.TheTerminalOperatorshallneveracceptanyliabilityforanyresultingdamagewhatsoever.

3.8 All claims of the Terminal Operator shall become immediately payable if and as soon as the Principal or its

representative applies for an administration order, files a bankruptcy petition, is declared bankrupt, ceases itsactivitiesinwholeorinpartortransfersthemtothirdparties,orlosescontrolofitsassetsinwholeorinpartduetoattachmentorsimilarmeasures.InsuchcasestheTerminalOperatorshallalsobeentitledtoterminatethelegalrelationshipwiththePrincipalwith immediateeffect,withoutprejudicetotherightof theTerminalOperator toclaimdamages.

3.9 The Terminal Operator has a pledge and/or a lien over all goods, documents and funds of the Principal in the

possessionoftheTerminalOperatornoworinthefutureregardlessofthegroundsandregardlessofitsdesignateduse, for all and any claims against the Principal nowor in the future. The TerminalOperator is also entitled toexercisesuchrightsconcerningwhatthePrincipalstillowestheTerminalOperatorinconnectionwithpreviouslegalrelationships or previous assignments. In the event of non-payment of the claim(s) for which such rights areexercisedtheTerminalOperatorshallbeentitledtosellthepledgeinthemannerprescribedbylaw.

3.10 PaymenttotheTerminalOperatormustbeeffectedinthemannerspecifiedbytheTerminalOperator.Paymentto

arepresentativeofthePrincipalshallnotreleasethePrincipalfromitsobligation.3.11 PaymentbythePrincipaltotheTerminalOperatorshallservefirstofallforthepaymentofthecosts,subsequently

forthepaymentoftheoutstandinginterestandfinallyforthepaymentoftheportionoftheprincipalamountandtheaccruedinterestspecifiedbytheTerminalOperator,despiteanydirectiontothecontrarybythePrincipal.

3.12 If the Principal fails to pay the claim(s) of the Terminal Operator in time, the amount of the claim(s) shall be

increasedbyatleast10%handlingfeestocovercollectionvialegalproceedingsorotherwise,unlesstheexpensesturnouthigher,inwhichcasetheTerminalOperatorshallalsobeentitledtotheextraamount.

Article4-GeneralprovisionsregardingtheWork4.1 TheTerminalOperatorisentitledtohavetheWorkcarriedoutinwholeorinpartbystaffandequipmentofthird

partiesaswellas,atthediscretionoftheTerminalOperator,withthehelpoftheloading&unloadingequipmentand/ordrivepoweroftheMeansofTransporttobemadeavailablebythePrincipalfreeofcharge.

4.2 Ifandinsofarasitconcernsthem,theTerminalOperatorandthePrincipalshalleachseetoobtainingandkeepingall

necessary permits aswell as to compliancewith all applicable regulations. They guarantee compliancewith saidobligationsbytheirstaff,assistantsandsubcontractors.

4.3 AllinformationsuppliedbytheTerminalOperator,suchastheavailabilityofberthsandthetimeofexecutionofthe

Work,isnotbinding.4.4 TheTerminalOperatorandthePrincipalwarrantthematerialmadeavailablebythemduringtheexecutionofthe

Work.4.5 The Principalmust prepare theMeans of Transport and the goods to be loaded or unloaded from it at its own

expenseandrisksuchthattheTerminalOperatorisabletocarryouttheWorksafely,inaresponsiblemannerandwithoutanydelay.

4.6 Incaseofrefusal,suspension,interruptionorterminationoftheWork,thePrincipalmustensurethattheMeansof

TransportandcorrespondingitemsshallleavetheTerminaluponfirstrequesttheretobytheTerminalOperator,forlackofwhichtheTerminalOperatorshallbeentitledtotakeappropriatemeasuresattheexpenseandriskofthePrincipal.

4.7 TheWorkdoesnotentail inspectionorinsuranceofthegoodsunlessthishasbeenexplicitlyagreedinwriting, in

whichcasethecostofinspectionandinsuranceshallbebornebythePrincipal.4.8 ThePrincipalguaranteespackingrespectivelypackagingthatissea-prooforappropriateforthetransportmodality

concerned(includingbutnotlimitedtocontainersinwhichthegoodsarestowed)andclearlyreadablelabellingofthe goods in accordance with the applicable regulations (concerning safety and the environment), and for lackthereof,inaccordancewiththeapplicablestandardsundercurrentmarketpracticesandbehaviour.

4.9 WellintimebeforethestartoftheWork,thePrincipalmustnotifytheTerminalOperatorinwritingofthepossibly

specialordangerousnature,scaleandtreatmentofthegoodsaswellas,ingeneral,providetheTerminalOperatorwell in timewith all instructions and information ofwhich the Principal is aware or ought to be aware that theTerminalOperatorneedstheminordertocarryouttheWorksafely,inaresponsiblemannerandwithoutanydelay.Any additional work in connection with non-fulfilment of the aforementioned shall be at the expense of thePrincipal.

4.10 ThePrincipalguaranteesthatanyonewhoenterstheTerminalfromthewaterorfromtheshorewithinthescopeof

theWork for or on behalf of the Principal shall strictly adhere to the safety regulations and other regulationsapplicabletotheTerminal.TheTerminalOperatorisentitledtoremovefromtheTerminal-ortoordertheremovalof - anyonewhodoes not adhere to - or threatens to act in breach of - such regulations orwho is unwelcomeotherwiseintheopinionoftheTerminalOperator.

4.11 Initslegalrelationshipswiththirdparties,thePrincipalshall includeathird-partyclauseinfavouroftheTerminal

Operator, such as a so-calledHimalaya clause,which entitles the TerminalOperator to rely (also) on jurisdictionclausesandalllimitationsandexclusionsofliabilityinfavourofthePrincipal,includinga“before-and-after”clause,for damage, loss and/or delay of the goods (to be) transportedby the Principal,whichpreferential treatment isacceptedbytheTerminalOperatorbeforehand.

Article5-Electronicdatainterchange5.1 TheinterchangeofmessagesbetweenthePrincipalandtheTerminalOperatormaytakeplaceviaEDIifagreedin

Article6-LiabilityandindemnificationA. TheTerminalOperator6.1 Withoutprejudicetothearticles3.3,3.7,6.6,6.9and7.1,theTerminalOperatorisliablefor: a. anydamagetoorlossofaMeansofTransportthatisoperatedbythePrincipalinownership,charter,lease

orotherwise,duringthetimewhentheMeansofTransportislocatedonorattheTerminalwithinthescopeoftheWork;

b. any damage to or loss of goods that theWork refers to, from themoment of physical receipt until themomentofphysicaldeliverybytheTerminalOperator;

c. personalinjuryordamagecausedbydeathofanypersonwhoisinvolvedfororonbehalfofthePrincipalduringtheexecutionoftheWork,ifandinsofarassuchdamagewascausedonorattheTerminal.

TheTerminalOperatordoesnotacceptliabilityforthedamageorlossstatediftheTerminalOperatorisableto

provethatsuchdamageorlosswasnotcausedbynegligenceonthepartoftheTerminalOperatororpeopleorpartiesforwhomtheTerminalOperatorisresponsiblewithinthescopeoftheWork.

TheTerminalOperatordoesnotacceptliabilitywhatsoeverforthedamageorlossstatediftheTerminalOperator

isabletoprovethatsuchdamageorlosswascausedbygrossnegligenceorwilfulintentonthepartofpeopleorpartiesforwhomtheTerminalOperatorisresponsiblewithinthescopeoftheWork.

6.2 IfdamageorlossstatedbecomesevidentaftertheMeansofTransport,thegoodsorthepersoninvolvedhas/have

left the terminal, theTerminalOperator shallonlybe liable if thePrincipalproves that suchdamageor losswascausedbynegligenceonthepartoftheTerminalOperatororonthepartofthepeopleorparties forwhomtheTerminalOperatorisresponsibleunderarticle6.1.

6.3 TheTerminalOperatorshallneveracceptanyliabilityforlossofprofit,productionloss,delayoranyotherformof

consequentialdamage.6.4 TheTerminalOperator shallbedischarged fromall liabilityunless thePrincipalnotifies theTerminalOperator in

writingofdamageorlossassetforthinarticle6.1,eitherwithinfourweeksafterthePrincipalhasbecomeawareofthe damage, or within three months after theMeans of Transport involved, the goods or the person involvedhas/havelefttheTerminal,whichevertermisshorter.AllandanyclaimsagainsttheTerminalOperatorshallbecometime-barredbythemereexpiryoftwelvemonthssincesaidclaimhasarisen.

6.5 TheTerminalOperatorshallneveracceptanyliabilityforclaimsbelow€500(fivehundredEuro).Inalleventsthe

liability of the Terminal Operator shall be limited to the sum insured that is actually paid out to the TerminalOperator increased by the deductible. For damage or loss referred to in article 6.1 the liability of the TerminalOperatorislimitedasfollows:

a. fordamageorlossreferredtoinarticle6.1subsection(a)theliabilityoftheTerminalOperatorislimitedto€

1,000,000(onemillionEuro)perinsuredevent; b. fordamageorlossreferredtoinarticle6.1subsection(b)theliabilityoftheTerminalOperatorperinsured

eventislimitedto875SDR(eighthundredandseventy-fivespecialdrawingrights)perpackageorunit,or3SDR(threespecialdrawingrights)perkiloofgrossweightofthegoodslostordamaged,whicheveramountisthehigher;

c. fordamageorlossreferredtoinarticle6.1subsection(c),theliabilityoftheTerminalOperatorislimitedto€1,000,000(onemillionEuro)perinsuredevent.

Incaseofseveralclaimsperinsuredeventtogetherexceedingthemaximumamountsstated,suchmaximumshall

beallocatedproratatothevalueofsuchclaimsmutuallyagreedordeterminedincourt.6.6 TheTerminalOperatorshallmakeanefforttotakethenecessarymeasuresinordertolimittheriskofstowawaysor

accessofotherunwantedpeople to theMeansofTransportof thePrincipal. IfneverthelessstowawaysorotherunwantedpeoplearediscoveredintheMeansofTransportofthePrincipal,theTerminalOperatorshallnotbeliableforanypossiblyresultingdamage,expensesandfines.

6.7 Uponfirst request theretothePrincipalshall indemnify theTerminalOperatoragainstallandanyclaimsbythirdpartiesinconnectionwiththeWorkwhereexceedingtheliabilityoftheTerminalOperatorundertheGeneralTermsandConditions.

6.8 AlllimitationsandexclusionsofliabilityintheGeneralTermsandConditionsinfavouroftheTerminalOperatorshall

alsoapplytoitsstaff,independentassistantsandsubcontractors.B. ThePrincipal6.9 Apart from its liabilityunderordinary law, thePrincipal isalso liable forall claimsbywhatevernameconcerning

customsdutiesorsimilardutiesandcharges,fines,(negative)expensesandinterest,includingimportduties,exciseduties and expenses for removal and destruction referring to or in connection with goods that the TerminalOperatorpossesses,haspossessedorshallpossessbyvirtueoftheWork.UponfirstrequesttheretothePrincipalshall fully indemnify theTerminalOperatoragainstsaidclaimsandshallalso furnishadequatesecurityupon firstrequesttheretoinfavouroftheTerminalOperatororthecustomsauthorityinvolved,includingthereasonablecostsofdefence.

6.10 IfthePrincipalisliabletowardsthirdpartiesfordamageforwhichthePrincipalwishestohaverecourseagainstthe

Terminal Operator, the Principal shall enable the Terminal Operator to be present or represented during theinvestigation into the cause and scale of such damage. The Principal must also prove that it has conducted allentitleddefencesinitslegalrelationshiptowardssuchthirdpartyinordertoturndownorlimitliability,unlesstheTerminalOperatorhasagreedexplicitlyandinwritingtotheacceptanceofliabilitybythePrincipalorhascometoasettlement in this respect with such third party. If the Principal still fails to fulfil said obligations, the TerminalOperatorshallbedischargedfromallliability.

6.11 ThePrincipalshalltakeoutandmaintainanappropriateinsurancepolicytocoveritspossibleliabilitiestowardsthe

TerminalOperator. Upon request thereto the Principal shall give the TerminalOperator access to the insurancepolicysheet(s)concerned.

Article7-Forcemajeure7.1 TheTerminalOperatorisentitledtosuspendtheWorkintheeventofforcemajeure.TheTerminalOperatorshall

neveracceptliabilityfortheconsequencesofforcemajeureand/orofsuchsuspensionoftheWork.7.2 Forcemajeureincludesbutisnotlimitedto: - strikesorworkstoppage,lockouts,go-slowactions,lightningstrikesandallotherformsofindustrialunrest - extremeweatherconditionsorwatercircumstancesandnaturaldisasters/ActsofGod - burglary,fire,explosionandnuclearresponse - governmentmeasures - war,uproar,uprising,terrorism,hijacking,sabotage,vandalismandsimilarunrest - computerbreakdownandpoweroutage - latentdefectsintheequipmentusedbytheTerminalOperator - allothercircumstancesthatcannotbeblamedontheTerminalOperatorandthatarenottheresponsibility

oftheTerminalOperatorpursuanttothelaw,legalactorcurrentmarketpracticesandbehaviour.7.3 IntheeventofforcemajeuretheTerminalOperatorshallnotifythePrincipalinwritingassoonaspossibleandtake

all reasonable measures in order to terminate the force majeure situation as soon as possible and limit theconsequencesthereof.

7.4 AllandanyextraexpensescausedbyforcemajeureshallbeattheexpenseandriskofthePrincipal.Article8-Applicablelawandsettlementofdisputes8.1 AlllegalrelationshipsoftheTerminalOperatorandtheinterpretationthereofaregovernedbyDutchlaw.8.2 All disputesunderor in connectionwith the legal relationships aforementioned shall be subject to arbitration in

RotterdaminaccordancewiththeTAMARAArbitrationRegulations.Thearbitrationtribunalshallconsistof threearbitratorsunlesspartiesagreetoonesinglearbitratorafterall.TheproceedingsshallbeconductedintheDutch

language.EachofthepartiesisobligedtoreporttherequestforarbitrationandtheresultthereoftothesecretariatoftheRotterdamTerminalOperators’Associationandtofiletheawardofthearbitratorsthere.

8.3 TheTerminalOperatorisentitledtowaivearbitrationforthecollectionofmonetaryclaims,inwhichcasethecourt

ofcompetentjurisdictioninRotterdamshallhaveexclusivejurisdiction.Article9-Officialtitleandauthentictext9.1 TheseGeneralTermsandConditionsmaybequotedasthe"VRTOGeneralTermsandConditions".Theyaredeemed

tobe themost recentversionof theGeneralTermsandConditionsof theAssociationofRotterdamStevedoringCompanies1976(VerenigingvanRotterdamseStuwadoors)(“RotterdamseStuwadoorsCondities”).

9.2 In the event of any differences between the Dutch text of the General Terms and Conditions and a translation

thereofintoaforeignlanguage,theDutchtextshallprevail.

SteinwegDigitalServicesTermsandConditions

1.Introduction

1.1 Thesetermsandconditions(“SteinwegDigitalServicesTermsandConditions”)shallapplytoanyformofdigital

services employed by C. Steinweg – Handelsveem B.V. (“Steinweg”, “Company”, “We”) in the course of itsservices such as but not limited to our mobile application [Steinweg Online], our website[www.online.steinweg.com&www.steinwegonline.com or any otherwebsiteswemight use to offer digitalservices],EDIand/orotherdigitalservices(collectively,the“SteinwegDigitalServices”).BymakinguseofourSteinweg Digital Services, you, whether as a guest or a registered owner, confirm that you accept theseSteinwegDigitalServicesTermsandConditions.

1.2 TheGeneralTermsandConditionsofC.Steinweg-HandelsveemB.V.or,ifthespecificcountryconditionsoftheSteinweg entity are applicable between you and that Steinweg entity, those specific country conditions,whichever the casemay be, shall also apply to any issuewhich has not been dealtwith by these SteinwegDigitalServicesTermsandConditions, suchas,butnot limited to,applicable lawandcompetentcourt, ratesandtariffs,and/orpaymentconditions.

2.ChangestotermsandSteinwegdigitalservices

2.1 WemayrevisetheseSteinwegDigitalServicesTermsandConditions.

2.2 Wemay update the SteinwegDigital Services from time to time, andmay change the content at any time.WhilewewillusereasonableendeavourstoensurethattheSteinwegDigitalServicesremainsuptodate,wedonotguaranteethattheSteinwegDigitalServices,oranycontentonit,willbeuptodateatalltimesorfreefromerrorsoromissions.

2.3 InadditiontotheseSteinwegDigitalServicesTermsandConditionsothertermsandconditionsmayapplytoaSteinwegDigitalService,assetoutintherespectivedocumentoradditionalcorrespondence,asthecasemaybe. In theeventofaconflictbetweenanyprovisionof theseSteinwegDigitalServicesTermsandConditionsandtheseothertermsandconditions,theothertermsandconditionsshallprevail.

3.AccessingtheSteinwegdigitalservices

3.1 Wedonotguarantee that theSteinwegDigital Services,or any contenton it,will alwaysbeavailableorbe

uninterrupted.

3.2 We(includingourofficers,directors,agents,employees,affiliatesandrelatedcorporations)willnotbeliabletoyouifforanyreasontheSteinwegDigitalServicesisunavailableatanytimeorforanyperiod,orifanyclaim,loss, damage, expense or cost is suffered by you by reason of your inability to access the Steinweg DigitalServicesatanytimeorforanyperiod.

3.3 Youwill not be entitled to any refundof, any fees (or any portions thereof) paid by you for the use of theSteinwegDigitalServicesduringsuchperiodofinterruption.

4.Youraccountandpassword

4.1 Ifyouchoose,oryouareprovidedwith,auseridentificationcode,passwordoranyotherpieceofinformationaspartofoursecurityprocedures,youmusttreatsuchinformationasconfidential.Youmustnotdiscloseittoanythirdparty.

4.2 Wehavetherighttodisableanyuseridentificationcodeorpassword,whetherchosenbyyouorallocatedbyus, at any time, if in our reasonable opinion you have failed to complywith any of the provisions of theseSteinwegDigitalServicesTermsandConditionsoranyotherwrittenagreemententeredintowithusrelatingtotheuseoftheSteinwegDigitalServices.

4.3 YouagreetoacceptresponsibilityforallactivitiesontheSteinwegDigitalServicesthatoccurunderyouruseraccount.Youagreetobearallliabilityandfullyindemnifyusagainstallactions,claims,proceedings,costsanddamagesandalllegalcostsorotherexpensesarisingoutofanyactivitythatoccursunderyouruseraccount.

5.Intellectualpropertyrights

5.1 WearetheownerorthelicenseeofallintellectualpropertyrightsintheSteinwegDigitalServices,andinthe

materialpublishedonit.Thoseworksareprotectedbycopyrightlawsandtreatiesaroundtheworld.Allsuchrightsarereserved.

5.2 You agree not to copy, reproduce,modify, create derivative works from, distribute, or publicly display anycontent fromtheSteinwegDigitalServiceswithoutourexpressedwrittenpermission. In theevent thatsuchpermission isgiven,ourstatusas theauthorof thecontentontheSteinwegDigitalServicesmustalwaysbeacknowledged.

6.Prohibiteduses

6.1 YoumayusetheSteinwegDigitalServicesonlyforlawfulpurposes.InusingtheSteinwegDigitalServices,you

willnot:(a) breachanyapplicablelocal,nationalorinternationallaworregulation;(b) engageinactivitythatisunlawfulorfraudulent,orhasanyunlawfulorfraudulentpurposeoreffect;(c) useitforthepurposeofharmingorattemptingtoharmminorsinanyway;(d) send,knowinglyreceive,upload,download,useorre-useanymaterialwhichdoesnotcomplywithour contentstandardsassetoutinparagraph13;(e) interferewithanyotheruser’suseoftheSteinwegDigitalServices;(f) takeanyactionthatmayunderminetheSteinwegDigitalServices’sfeedbackorratingssystems;(g) harvestorotherwisecollectinformationaboutanyotherusers,includingemailaddresses,withouttheir

consent; (h) useittotransmit,orprocurethesendingof,anyunsolicitedorunauthorisedadvertisingorpromotional materialoranyotherformofsimilarsolicitation;or

(i) knowinglytransmitanydata,sendoruploadanymaterialthatcontainsviruses,Trojanhorses,worms, keystrokeloggers,spyware,adwareoranyotherharmfulprogrammesdesignedtoadverselyaffectthe operationofanycomputersoftwareorhardware.6.2 Youagreenottoaccesswithoutauthority,interferewith,damageordisrupt: (a) anypartoftheSteinwegDigitalServices; (b) anyequipmentornetworkonwhichtheSteinwegDigitalServicesisstored; (c) anysoftwareusedintheprovisionoftheSteinwegDigitalServices;or (d)anyequipmentornetworkorsoftwareownedorusedbyanythirdparty.7.Services 7.1 WewillusereasonableeffortstomaketheSteinwegDigitalServicesavailable24hoursaday,7daysaweek,

exceptforplanneddowntimeformaintenanceandunforeseencircumstancesasmentionedinparagraph7.2.

7.2 You understand and agree that from time to time the Steinweg Digital Services may be inaccessible orinoperate during normal business hours in the event of periodic maintenance procedures or repairs whichSteinwegdeemsnecessaryandmayundertake.

7.3 Intheeventofdiscoveryofanymaterialdefect,youagreetoprovideSteinwegwithsufficientdetailtoallowustoverifyandreproducetheerrorandweshallusecommerciallyreasonablediligencetoendeavortocorrectsuchdefect.

7.4 In theeventofa softwaresystem failurewewillensure that theservicesofferedbymeansof theSteinwegDigital Services will be executed by the operational team regardless of any limitations this may entail.Continuityof theservicesprovidedbyuswillbesafeguardedasusageoftheSteinwegDigitalServices isnotmandatorytofulfillourlogisticalobligations.

8.Nowarranties 8.1 AlthoughwemakereasonableeffortstoupdatetheinformationandcontentontheSteinwegDigitalServices,

wemakenorepresentations,warrantiesorguarantees,whetherexpressor implied, that thecontentontheSteinwegDigitalServicesisaccurate,completeorup-to-date.Nordowemakerepresentations,warrantiesor

guarantees,whetherexpressorimplied,thattheSteinwegDigitalServiceswillmeetyourspecificrequirementsandthattheSteinwegDigitalServiceswillbeuninterrupted,timely,secureorerror-free.

8.2 We(includingourofficers,directors,agents,employees,affiliatesandrelatedcorporations)willnotbe liablefor any claim, loss, damage, expense or cost caused by your reliance on information obtained through theSteinwegDigitalServices.Itisyourresponsibilitytoevaluatetheaccuracy,completenessandusefulnessofanycontent provided before taking, or refraining from, any action on the basis of any content on the SteinwegDigitalServices.

9.Instructions

9.1 You or your Authorised Users may from time to time, and in the course of accessing the Steinweg Digital

Services,providecertainElectronicInstructionstous.

9.2 YouagreetobeboundbyanyaccessoruseoftheSteinwegDigitalServices(whethersuchaccessoruseareauthorisedbyyouornot)whichare referable toyourSecurityCodesor thoseof yourAuthorisedUser.Youagreeandacknowledge that anyuseofor access to the SteinwegDigital Services referable to your SecurityCodesorthoseofyourAuthorisedUsersandanyElectronicInstructionsshallbedeemedtobe,asthecasemaybe:(a) useoforaccesstotheSteinwegDigitalServicesbyyouoryourAuthorisedUsers;or(b) Electronic Instructions transmittedorvalidly issuedbyyouoryourAuthorisedUsers.For theavoidance

ofdoubt,anysuchElectronicInstructionsissuedshallbedeemedtohavebeenvalidlyissuedbypersons whohavetheauthorityandcapacitytoissuesuchElectronicInstructions.

You further agree that we (including our officers, directors, agents, employees, affiliates and relatedcorporations) and the Providers shall be entitled (but not obliged) to act upon, rely on or hold you solelyresponsible and liable in respect thereof as if the same were carried out or transmitted by you or yourAuthorisedUsers and youwaive all rights and remedies against us (including our officers, directors, agents,employees,affiliatesandrelatedcorporations)andtheProvidersinrespectofanyclaim,loss,damage,expenseorcosttherebyarising.YouwillberesponsibleandshallbeliableforallElectronicInstructions.

9.3 We(includingourofficers,directors,agents,employees,affiliatesandrelatedcorporations)andtheProvidersare under no obligation to investigate the authenticity or authority of persons effecting the ElectronicInstructions or to verify the accuracy and completeness of the Electronic Instructions. Accordingly, we(includingourofficers,directors,agents,employees,affiliatesandrelatedcorporations)andtheProvidersmay(a) treat the Electronic Instructions as valid and binding on you; and/or (b) reveal your information to suchpersons notwithstanding any unauthorised access to the Steinweg Digital Services (including your useraccount),error, fraud, forgery, lackofclarityormisunderstanding inthetermsoftheElectronic Instructions.Anyclaim,loss,damage,expenseorcostresultingfromtheuseoftheSteinwegDigitalServicesbyyouoryourAuthorised Users is entirely at your own risk and we (including our officers, directors, agents, employees,affiliatesandrelatedcorporations)shallnotbeliabletherefor.

9.4 AllElectronicInstructionswillbedeemedtobeirrevocableandunconditionalupontransmissionthroughtheSteinwegDigitalServicesandweshallbeentitled(butnotobliged)toeffect,performorprocesssuchElectronicInstruction(s)withoutyourfurtherconsentandwithoutanyfurtherreferenceornoticetoyou.Nevertheless,incertaincircumstancesyoumayrequesttocanceloramendtheElectronicInstructionswhichwewillendeavourtogiveeffect toonacommercially reasonableeffortbasis.However,notwithstanding the foregoing,wearenotobligedtogiveeffecttoanyrequesttocanceloramendanyElectronicInstruction.

9.5 Electronic Instructions sent through the Steinweg Digital Services may not have been received by us andaccordingly,maynotbecarriedoutorprocessed,andwearenotliableforanyclaim,loss,damage,expenseorcostwhich therebyarisesorwhichotherwisearisesasa resultof anyglitch,malfunctionor faultwithin theSteinwegDigitalServices.YouarethereforeadvisedtocheckonthestatusofsuchElectronic InstructionsviatheSteinwegDigitalServicesorotherwise.Unlessotherwisestatedordetermined inourabsolutediscretionanyElectronicInstructionreceivedbyusafter3.00p.m.(localtimeatthereceivingwarehouse)onabusinessdayoronanon-businessdaywillbetreatedasanElectronicInstructionreceivedonthenextbusinessday.

9.6 Youacknowledgeandagreethatwemayatanytimeatoursolediscretionandwithoutstatingreasons: (a) requirethatyouidentifyyourselfbyalternativemeans;

(b) requireanyElectronicInstructionstobeconfirmedthroughalternativemeans(inwritinggiveninpersonatabranch,byfax,andetc.);(c) refrainfromactingpromptlyuponanyElectronicInstructionsinordertoverifytheauthenticityofany ElectronicInstructionsoryouridentity;and/or

(d) declinetoactontheElectronicInstructionsatanytimewithoutpriornoticeorgivinganyreason,where: (i) theElectronicInstructionsareambiguous,incompleteorinconsistentwithyourotherElectronic Instructionsorinstructions,informationand/ordata; (ii) theElectronicInstructionshavelapsedorhavebeenrenderedordeclaredinvalidorcancelled(1) duetofailuretocomplywithapplicableconditions;(2)duetofailuretoobtaintheapplicable approvalsfromanyrelevantregulatoryauthorityorgovernmentalbody;(3)byanyrelevant regulatoryorgovernmentalbody;or(4)pursuanttoanyorderofanycompetentcourtorother authorityortribunal,ineachcase,whereversituated; (iii) theElectronicInstructionscannotbeprocessedduetoanydisruptionsthatarebeyondour reasonablecontrol;or (iv) inoursoleopinion,thereareanyothergroundstodeclinetoactortoactpromptlyonthe ElectronicInstructions,withoutincurringanyresponsibilityforloss,liabilityorexpensearisingoutof sodecliningtoact.

9.7 YouagreeandacknowledgethatElectronicInstructionsmaynotbeprocessedimmediately,aroundtheclock or in a timelymanner, and thatwewill not thereby be liable for any claim, loss, damage, expense or cost sufferedbyyouasaresultofanydelaybyusorbyanyProviderthroughwhomyourElectronicInstructionis transacted.

9.8 You shall be solely responsible for ensuring the accuracy, adequacy and completeness of the Electronic Instructions and that we shall not be obliged to verify the accuracy, adequacy and completeness of such instructions. You agree that we (including our officers, directors, agents, employees, affiliates and related corporations)shallnotbeliableforanyclaim,loss,damage,expenseorcostsufferedbyyouasaresultofany ElectronicInstructionsbeinginaccurate,inadequateorincompleteinanyway.

9.9 WherewechoosetoactonElectronicInstructions,weactonacommerciallyreasonableeffortbasisandare not responsible foranyactsandomissionswhileacting ina reasonablemanner indischargingtheElectronic Instructions.

9.10 YouagreeandacknowledgethatyoushallnotdisputetheadmissibilityofyourElectronic Instructionsandofourelectronicdataasevidenceintheeventofamutualconflict.YourElectronicInstructionsandourelectronicdatahavethesameevidentialvalueaswrittendocuments.

9.11 ForthepurposesoftheseSteinwegDigitalServicesTermsandConditions:

(a) “Authorised User”means any person that you have authorised or are deemed to have authorised toaccessand/orusetheSteinwegDigitalServicesinrelationtoyouruseraccount;

(b) "Electronic Instructions"means any communication, instruction, order, message, data, information orothermaterials receivedbyusvia theSteinwegDigitalServicesandreferabletoyourSecurityCodesorthoseofyourAuthorisedUsers(includinguseofyourSecurityCodesorthoseofyourAuthorisedUsersbyany person, whether authorised or unauthorised by you or your Authorised Users), from you orpurportingtocomefromyouorfromyourAuthorisedUsersorpurportingtocomefromyourAuthorisedUsers;

(c) "Provider"means:

(i) anyperson, firm,broker, companyororganisation, including any thirdparty,which, from time totime,participatesorisinvolved,directlyorindirectly,inprovidingservicesorproductsthroughtheSteinwegDigitalServices;

(ii) any person or organisation towhomwe outsource certain functions or activities or who provideadministrative, telecommunication, computer, payment, collection, security, clearing, creditreferenceorchecking,orotherservicesorfacilitiestousrelatingtooperationofourbusiness;

(iii) any digital certification authority, regulatory authority, electronic, computer, telecommunication,financial or card institution, data centre, facilities management or hosting service provider, callcentre, outsourced service provider, Internet service provider, equipment and software providersand other service provider and/or network provider involved in operating the Steinweg DigitalServicesorprovidinganyotherancillaryorsupportingservicefromtimetotime;and

(iv) ouragentsorstorageorarchivalserviceproviders(includingbutnotlimitedtoanyproviderofanyelectronic storage, archival or recording facility) for the purpose of making, printing, mailing,storage,and/orfilinganydocumentsoritemsonwhichyournameand/orotherparticularsappear,oranydataorrecordsoranydocumentswhatsoever;and

(d) "SecurityCodes"meanspersonalor log-on identificationnumbers,biometricdataandothercodesandaccessproceduresforuseinconnectionwithaccesstoanduseoftheSteinwegDigitalServicesissuedbyusfromtimetotime.

10.Authorisedusers

10.1 YouacknowledgeandconfirmthatanyAuthorisedUsersare,subjecttoanyrestrictionsthatwemayimpose,

severally empowered and authorised to giveorders or instructions through the SteinwegDigital Services onyourbehalfandshallact,withoutprejudicetoanyothercapacitywhichsuchpersonmaybetransactingunder,asyouragentwhenaccessingand/orusingtheSteinwegDigitalServices,inrelationtoyouruseraccount.

10.2 Youacknowledgeandagreethatalluseand/oraccessoftheSteinwegDigitalServicesbytheAuthorisedUsersshallbedeemedyouruse.AllreferencestoyouruseoftheSteinwegDigitalServicesshallbedeemedtoincludethe Authorised User's use and/or access where applicable. You shall procure and ensure that each of yourAuthorisedUsersisawareofandcomplieswiththeseSteinwegDigitalServicesTermsandConditionsandthePrivacyPolicyinrelationtoyouruseraccount.

10.3 IftheauthorisationoftheAuthorisedUsertoaccessand/orusetheSteinwegDigitalServicesinrelationtoyouruseraccounthasbeenwithdrawn,youareobligedtoinformusimmediatelyandyoushallbeliableforanyloss,damage,expenseorcostsresultingfromtheunauthorisedaccessand/oruseoftheSteinwegDigitalServicesbysuchuser. Youwill fully indemnify andholdus (andourofficers, directors, agents, employees, affiliates andrelatedcorporations)harmlessfromanyclaim,loss,damage,expenseorcostssufferedduetoorarisingoutoftheunauthorisedaccessand/oruseoftheSteinwegDigitalServicesbysuchuser.

10.4 WhereyouareusingoraccessingtheSteinwegDigitalServicesasanAuthorisedUser,youagreethat:

(a)theseSteinwegDigitalServicesTermsandConditionsandthePrivacyPolicyshallapplytoanysuchuse;and

(b)youshallbeboundbyandshallcomplywithallothertermsandconditionsorrestrictionsapplicabletoyouinconnectionwithsuchuse.

11.UploadingcontenttotheSteinwegdigitalservices

11.1 You warrant that any content you upload to the Steinweg Digital Services (including descriptions, reviews,

commentsandphotos)complieswithourcontentstandardsassetoutinparagraph12below.Youwillbeliabletousandindemnifyusagainstallactions,claims,proceedings,costsanddamagesandalllegalcostsorotherexpensesarisingoutofyourbreachofthiswarranty.

11.2 If you do upload content, you are deemed to have granted us a non-exclusive, royalty-free, perpetual,irrevocable,andfullysublicensablerighttouse,reproduce,modify,adapt,publish,translate,createderivativeworksfrom,distribute,anddisplaysuchcontentthroughouttheworldinanymedia.

11.3 We have the right to disclose your identity to any third party who is claiming that any content posted oruploadedbyyoutotheSteinwegDigitalServicesconstitutesaviolationoftheirintellectualpropertyrights,oranyotherlegalrights.

11.4 Yourepresentandwarrantthatyouownorotherwisecontrolalloftherightstothecontentthatyoupost,thatthe content is accurate, that useof the content you supply does not violate these SteinwegDigital ServicesTermsandConditionsandwillnotcause injury toanypersonorentity.We(includingourofficers,directors,agents, employees, affiliates and related corporations) will not be responsible or liable for the content oraccuracyofanycontentpostedbyyouontheSteinwegDigitalServicesandyouagreetobearall liabilityandfully indemnify us against all actions, claims, proceedings, costs and damages and all legal costs or otherexpensesarisingoutofyourbreachofthiswarranty.

11.5 WehavetherighttoremoveanycontentthatyouuploadtotheSteinwegDigitalServicesif,inouropinion,thecontentdoesnotcomplywithourcontentstandardsassetoutinparagraph12.

12.LinkingtotheSteinwegdigitalservices

12.1 YoumaylinktotheSteinwegDigitalServices,providedyoudosoinawaythat isfairandlegalanddoesnot

damageour reputationor take advantageof it.When linking to the SteinwegDigital Services, the SteinwegDigitalServicesmustnotbeframedonanyothersite.

12.2 Youmustnotestablishalinkinsuchawayastosuggestanyformofassociation,approvalorendorsementonourpartwherenoneexists.

13.Contentstandards

13.1 AllcontentthatyouuploadontheSteinwegDigitalServicesmust: (a) beaccurate(wheretheystatefacts); (b) begenuinelyheld(wheretheystateopinions);and (c) complywithapplicablelawinanycountryfromwhichtheyareposted.13.2 AllcontentthatyouuploadontheSteinwegDigitalServicesmustnot: (a) containanymaterialwhichisdefamatoryofanyperson; (b) containanymaterialwhichisobscene,offensive,hatefulorinflammatory; (c) promotesexuallyexplicitmaterial; (d) promoteviolence; (e) promotediscriminationbasedonrace,sex,religion,nationality,disability,sexualorientationorage; (f) infringeanycopyright,databaserightortrademarkofanyotherperson; (g) belikelytodeceiveanyperson; (h) bemadeinbreachofanylegaldutyowedtoathirdparty,suchasacontractualdutyoradutyof confidence; (i) promoteanyillegalactivity; (j) bethreatening,abuseorinvadeanother’sprivacy,orcauseannoyance,inconvenienceorneedless anxiety; (k) belikelytoharass,upset,embarrass,alarmorannoyanyotherperson; (l) beusedtoimpersonateanyperson,ortomisrepresentyouridentityoraffiliationwithanyperson; (m) givetheimpressionthattheyemanatefromus,ifthisisnotthecase;or (n) advocate,promoteorassistanyunlawfulactsuchascopyrightinfringementorcomputermisuse.

14.Suspensionandtermination

14.1 Wewilldetermine,inourdiscretion,whethertherehasbeenabreachoftheseSteinwegDigitalServicesTerms

andConditionsthroughyouruseoftheSteinwegDigitalServices.

14.2 WhenabreachoftheseSteinwegDigitalServicesTermsandConditionshasoccurred,wemaytakesuchactionaswedeemappropriate,including:

(a) theimmediate,temporaryorpermanentwithdrawalofyourrighttousetheSteinwegDigitalServices; (b) theimmediate,temporaryorpermanentremovalofanypostingormaterialuploadedbyyoutothe

SteinwegDigitalServices; (c) theissueofawarningtoyou; (d) legalactionagainstyou;and (e) thedisclosureofsuchinformationtolawenforcementauthoritiesaswereasonablydeemnecessary.

14.3 Intheeventofanyterminationorsuspensionpursuanttothisparagraph14,youwillnotbeentitledtoanyrefundofanyfees(oranyportionsthereof)paidbyyouinadvancefortheuseoftheSteinwegDigitalServices.

15.Limitationofourliability

15.1 TotheextentpermittedbylawandwithoutprejudicetoanyotherlimitationsintheseSteinwegDigitalServices

TermsandConditionsandunlessotherwisecausedprimarilybyourfraudorgrossnegligence,we(includingourofficers,directors,agents,employees,affiliatesandrelatedcorporations)willnotbeliabletoanyuserfor:

(a) anyclaim,loss,damage,expenseorcostarisingfromanymaterialordatasentorreceivedornotsentor receivedoranytransactionsenteredintothroughtheSteinwegDigitalServices;

(b) anythreatening,defamatory,obscene,offensiveorillegalcontentorconductofanyotherpartyorany infringementofanotherparty’srights,includingintellectualpropertyrights;(c) anyspecial,incidental,indirect,punitiveorconsequentialdamagesofanykind,oranydamages

whatsoever,whetherincontract,tort,strictliabilityorotherwisearisingoutoforinconnectionwiththeuseof,orinabilitytousetheSteinwegDigitalServices;

(d) anyclaim,loss,damage,expenseorcostcausedbyavirus,distributeddenial-of-serviceattack,orothertechnologicallyharmfulmaterialthatmayinfectyourcomputerequipment,computerprograms,dataorotherproprietarymaterialduetoyouruseoftheSteinwegDigitalServicesortoyourdownloadingofanycontentonit,oronanywebsitelinkedtoit;

(e) anyclaim,loss,damage,expenseorcostarisingfromtheuseof,orinabilitytouse,theSteinwegDigitalServices;

(f) anyclaim,loss,damage,expenseorcostarisingfromtheuseoforrelianceonanycontentdisplayedontheSteinwegDigitalServices;

(g) anyclaim,loss,damage,expenseorcostarisingfromthecontentofwebsiteslinkedontheSteinwegDigitalServices;

(h) anyclaim,loss,damage,expenseorcostarisingoutoforinconnectionwithourrelianceonyouroryourAuthorisedUsers’ElectronicInstructionsorourfailuretoactordelayinactingonanyofyouroryourAuthorisedUsers’ElectronicInstructionsforreasonssetoutherein;or

(i) anyclaim,loss,damage,expenseorcostarisingfromthefailureormalfunctionofanyoftheservices, applicationsorsystemsprovidedontheSteinwegDigitalServicesbyathirdpartyserviceprovider.15.2 Subject always to clause 15.1 above, our (including our officers, directors, agents, employees, affiliates and

relatedcorporations)liabilitytoyouwhetherincontract,tort(includingnegligenceorbreachofstatutoryduty)or otherwise for any and all loss, cost, expenses, claims or damageswhatsoever and howsoever caused orarisingfromanybreach,failureordefaultbyus(includingourofficers,directors,agents,employees,affiliatesand related corporations) in performing our obligations or duties to you hereunder shall in any event notexceedamaximumamountof€100,000.-foreachoccurrenceorseriesofoccurrenceswiththesamecause.

16.IndemnityandHimalaya

16.1 You will fully indemnify and hold us (and our officers, directors, agents, employees, affiliates and related

corporations)harmless fromany claim, loss,damage,expenseor cost suffereddue toorarisingoutof yourbreachoftheseSteinwegDigitalServicesTermsandConditions,oryourviolationofanylawortherightsofanythird party.We reserve the right, at our own expense, to assume the exclusive defense and control of anymatterotherwisesubjecttoindemnificationbyyou,inwhicheventyouwillcooperatewithusinassertinganyavailabledefenses.

16.2 Youundertakeandwarrantthatyouwillnotbringorallowtobebroughtanylegalclaimwhetherdirectlyorindirectly arising in connectionwith youruseof theSteinwegDigital Servicesor abreachof theseSteinwegDigital ServicesTermsandConditions,againstus (orourofficers,directors,agents,employees,affiliatesandrelatedcorporations).

16.3 Shouldouremployeesand/orsubcontractorswhoseservicesweemployfortheuseofandtheaccesstotheSteinweg Digital Services be held liable, such persons shall be entitled to invoke any limitation of and/orexemption from liability included in these Steinweg Digital Services Terms and Conditions or any otherstatutoryprovisionorcontractualprovision.

17.Viruses

17.1 WewillexercisebestendeavourstokeeptheSteinwegDigitalServicessecure,wedonotguaranteethatthe

SteinwegDigital Serviceswill be secureor free frombugsor viruses at all times.We (includingourofficers,directors,agents,employees,affiliatesandrelatedcorporations)willnotbeliabletoyouandanyotherpartyforanyclaim, loss,damage,expenseorcostarisingoutofanybugsorvirusesoriginatingfromtheSteinwegDigitalServices.

17.2 Youareresponsibleforconfiguringyourinformationtechnology,computerprogramsandplatforminordertoaccesstheSteinwegDigitalServices.Youshoulduseyourownvirusprotectionsoftware.

17.3 YoumustnotcarryoutthefollowingactivitiesagainsttheSteinwegDigitalServices:(a) misusetheSteinwegDigitalServicesbyknowinglyintroducingviruses,Trojans,wormsorothermaterial

whichismaliciousortechnologicallyharmful;(b) gain,orattempttogainunauthorisedaccesstotheSteinwegDigitalServices,theserveronwhichthe

SteinwegDigitalServicesisstoredoranyserver,computerordatabaseconnectedtotheSteinwegDigitalServices;or

(c) attacktheSteinwegDigitalServicesviaadenial-of-serviceattackoradistributeddenial-ofserviceattack.

18.Security

18.1 Certain data transmissions between you and the Steinweg Digital Services are conducted through secure

servers and protected by Secure Socket Layer (SSL) technology. Certain services provided via the SteinwegDigital Services may require you to use passwords and digital signatures. While we will use reasonableendeavours to provide reasonable precautions to protect confidential information received from you, we(includingourofficers,directors,agents,employees,affiliatesandrelatedcorporations)shallnotbe liable toyou for any claim, loss, damage, expense or cost arising out of or in connection with the transmission ofinformation over the internet. We do not represent, warrant, or undertake that any transmission ofinformationovertheinternet issecureorthatsuchtransmissionswillbefreefromanydelays, interruptions,interceptionsorerrors.

18.2 YouacknowledgethefollowingInternet-relatedrisks:(a) Insufficienttechnicalknowledgeandlackofsafetyprecautionscanmakeiteasierforunauthorisedthird

partiestoaccessyoursystemsordevices(forexample,insufficientlyprotectedstorageofdataontheharddisk,filetransfersandmonitoremissions),anditisyourresponsibilitytotakethenecessarysecurityprecautions.

(b) Yourusagepatternsmaybemonitoredbythirdparties.(c) Thirdpartiescouldgainunnoticedaccesstoyourcomputersystemanddetectyouraccesstothe

SteinwegDigitalServicesandyourcommunicationswithus.(d) VirusesandothermaliciouscodemayinterferewithyouruseoraccesstotheSteinwegDigitalServices,

thewebbrowseroranyrelevanttelecommunicationdeviceorcomputersystems.

19.ThirdpartylinksandresourcesintheSteinwegdigitalservices

WheretheSteinwegDigitalServicescontainslinkstoothersitesandresourcesprovidedbythirdparties,theselinksareprovidedforyourinformationonly.Wehavenocontroloverthecontentsofthosesitesorresourcesandwemakenorepresentations,warrantiesorguaranteesthatthecontentcontainedthereinisaccurate,completeorup-to-date.We(includingourofficers,directors,agents,employees,affiliatesandrelatedcorporations)willnotbeliableforanyclaim,loss,damage,expenseorcostcausedbyyourrelianceonsuchthirdpartycontent.

20.Dataprotection

Each Party shall complywith any laws and regulations in the relevant jurisdiction relating to privacy or the use orprocessingofpersonaldata.ForthepurposeofprovidingtheSteinwegDigitalServicesorotherservicesagreeduponwithyou,theCompanyprocessespersonaldataasdescribedintherelevantprivacypolicyoftheparticularservices.

We(includingourofficers,directors,agents,employees,affiliatesandrelatedcorporations)willnotbeliableforanyclaim, loss,damage,expenseorcostarisingoutof thecollection,use,disclosureoranyotherkindofprocessing inrelation toyourpersonaldata, ifwehavecompliedwithourdataprotectionobligationsunderapplicable lawsandregulations.

21.Noagency

Noagency,partnership,jointventure,employer-employeeorfranchisor-franchiseerelationshipisintended,existsoriscreatedbetweenusandyouoranyotherpartyusingtheSteinwegDigitalServices.

22.Severance

If any part of these Steinweg Digital Services Terms and Conditions is determined to be invalid or unenforceablepursuanttoapplicablelaw,theinvalidorunenforceableprovisionwillbedeemedsupersededbyavalid,enforceableprovisionthatmostcloselymatchestheintentoftheoriginalprovisionandtheremainderoftheseSteinwegDigitalServicesTermsandConditionswillcontinueineffect.

NofailureordelaybyusinexercisinganyrightorremedyprovidedbylawunderorpursuanttotheseSteinwegDigitalServicesTermsandConditionswillimpairsuchrightorremedyoroperateorbeconstruedasawaiverorvariationofitorpreclude itsexerciseatanysubsequent timeandnosingleorpartialexerciseofanysuchrightor remedywillpreclude any other or further exercise of it or the exercise of any other right or remedy.Our rights and remediesunder these Steinweg Digital Services Terms and Conditions will not be affected, and your liabilities under theseSteinwegDigitalServicesTermsandConditionswillnotbereleased,dischargedor impairedbyanyeventormatterwhatsoever,otherthanaspecificanddulyauthorisedwrittenwaiverorreleasegivenbyus.
