1. INTRODUCTION

1.1. BACKGROUND

The Corporation of the City of Brockville is seeking proposals from qualified Recruitment Firms to provide Executive Recruitment services in an effort to hire a City Manager.

1.2. INTENT OF PROPOSAL

The City of Brockville intends to select a Recruitment Firm to carry out the scope of work under this Request, based on the Proposals submitted and the evaluation indicated in this Request.

2. SCOPE OF WORK AND PROJECT REQUIREMENTS

2.1. CITY OF BROCKVILLE DESCRIPTION

The City of Brockville is centrally located near Ottawa, Toronto and Montreal as well as two international bridges and is situated on the St. Lawrence River. Governed by a Mayor and eight members of Council, the City of Brockville provides the following services: Economic Development and Tourism (Economic Development Administration, Brockville Arts Centre & Brockville Museum), Environmental Services (Engineering, Wastewater & Water Systems), Corporate Services (Clerk, Finance, Revenue/Customer Service, Human Resources, Information Technology), Fire Services, Operations (Transit, Public Works/Parks, Fleet & Support Services, Arenas and Facilities), Planning/Building (Planning Administration, Building and By-Law Services), Library services governed by the Library Board, the Brockville Cemetery governed by the Cemetery Board and Police Services which is governed by the Police Board.

2.2. CITY MANGER DESCRIPTION The approved Job Description for the City Manager is attached as Appendix A.

2.3. KEY COMPONENTS

a) Provide a search strategy to identify and recruit a candidate for the position of

City Manager which would include:

The schedule for recruitment - review, interview and selection;

Conducting a national search, including the preparation of a job announcement and application process, produce advertising materials, conduct recruitment using a variety of appropriate resources; as well as conduct targeted, personal recruitment of potential candidates;

Reviewing and screening applications, including verification of credentials, qualifications and recommendations;

b) The Recruitment Firm will work with a sub-committee of Council (comprised of

the newly elected Mayor and two (2) Councillors, to be established immediately upon Council’s inauguration on December 3, 2018), called the Selection Review Committee.

c) The Selection Review Committee will review the Recruitment Firm’s initial list of candidates to be interviewed by the Recruitment Firm in order to develop a preferred “short list”. The Recruitment Firm must disclose any relationship with a candidate which may be an actual or perceived conflict of interest.

d) Interviews will be conducted of the short-listed candidates by the Selection Review Committee. The Recruitment Firm will coordinate and attend the interview process with the Selection Review Committee, assist in preparing interview questions, provide coaching on recruitment and interviewing as well as other techniques to evaluate candidates.

e) All of Council will participate in interview(s) of the successful candidate(s) from the short-listed interviews. The Recruitment Firm will coordinate and attend the interview process with Council, assist in preparing interview questions, provide coaching on recruitment and interviewing as well as other techniques to evaluate candidates.

f) The Recruitment Firm will conduct reference checks of Council’s preferred candidate.

g) The Recruitment Firm will negotiate a job offer with Council’s preferred candidate.

h) The Recruitment Firm will notify unsuccessful candidates.

i) The Recruitment Firm will prepare and provide background material for Reports to Council as required.

3. PROPOSAL TERMS AND CONDITIONS

During the Proposal period, no officer, agent or employee of the City of Brockville is authorized to alter orally any portion of these documents. Any alterations required will be issued to all firms as written addenda. Addenda shall be considered as an integral part of the contract documents. The firm shall list in its Proposal document all the addenda that were considered when its Proposal was prepared. Although every effort will be made to ensure that the firm receives all addenda, it is the responsibility of the firm to ensure all addenda issued have been received.

3.2. PROPOSED PROJECT TIMELINE

3.3. CLOSING DATE AND TIME

Proposals in sealed envelopes, clearly marked as to contents, will be received until no later than 12:00pm NOON, Wednesday, October 24, 2018 and should be addressed to The City of Brockville, Human Resources Department, P.O. Box 5000, 1 King St. West, Brockville, Ontario K6V 7A5, Attention: Krista Vandewal, Manager of Human Resources and endorsed “Request for Proposal 2018-41”.

Proposals received after the closing time and date will not be accepted. Please allow sufficient time to deliver the Proposal.

It is the responsibility of those submitting Proposals to ensure they are received by the City of Brockville. All Proposals submitted after the stipulated time will be returned, unopened, to the respective Proponent. Interested Proponents understand and agree that this is an invitation for Proposal, not a tender call. Proponents responding to the RFP do so AT THEIR OWN RISK. No cost for the Request for Proposal or receiving of Proposal will be incurred by the City of Brockville. Proposals sent by facsimile machine will not be accepted.

3.4. PROPOSAL CONTENT

Three (3) hard copies of the response to the Request for Proposal and one electronic copy shall be provided. Each copy must:

Be bound and include a cover that clearly identifies the responding firm;

Contain a table of contents to facilitate cross-reference of the information contained in the Proposal to the requirements of the Request for Proposal.

Be clearly marked Envelope No. 1 and Envelope No. 2 as outlined below.

The contents of Envelope No. 1 submission will include but not be limited to the following information:

1) Understanding of the service deliverable and describe the proposed approach that is comprehensive in addressing the undertakings outlined in this RFP. The Proposal should include items which are warranted based on the requirements outlined but may not be necessarily noted. A detailed schedule is to be provided and include key milestones, review meetings, and draft and final submissions.

2) A list and brief description of similar projects completed. The Recruitment Firms qualifications and experience to handle the proposed work, including at least three (3) three references from current public sector (municipal government preferred) clients with their contact names and telephone numbers who have undertaken and successfully completed similar projects. The bidder must ensure that the references are aware that they may be contacted as a reference.

3) Project team personnel including key personnel, sub-consultants or other specialists to be assigned to the project, their qualifications, experience, expertise and involvement on the project. Append resumes of key personnel.

4) State the bidder’s position on confidentiality and ownership of data, security of the data, and intrusion protection, back up policy and procedures, provisions for data in the event of the sale or dissolution of the Company or contract termination.

5) Copy(s) of staff professional licenses, as applicable, and proof of liability insurance and WSIB coverage required.

6) A schedule of all major tasks and activities to be undertaken for all components of the work including milestone dates and measurable factors.

7) Any other features or services offered by bidders which will assist in the successful hiring of the City of Brockville City Manager and which have not been specified can be outlined.

8) This submission format is provided to ensure that a minimum level of information is submitted. Recruitment Firms shall reply to this RFP in sufficient detail to

provide a basis for evaluation. Recruitment Firms may be required to provide further information or clarification on the contents of their submission.

The contents included in Envelope No. 2 shall include the following: 1) The proposed fee structure for each of the key components of this project.

Receipt of Envelope No. 2 will be acknowledged but will remain unopened until such time as the Evaluation Committee has completed the evaluation of Envelope No. 1 submissions.

3.5. FIRMS TO INVESTIGATE

Firms must satisfy themselves by personal examination and investigation of the proposed work and by such other means as they may prefer, as to actual conditions and requirements of the work. Firms are not to claim at any time after submission of their Proposals that there was any misunderstanding of the terms and conditions of the proposed work.

3.6. PRICES

Prices shall be firm, not subject to escalation in Canadian funds, open for acceptance for 90 days after closing of the RFP, and include all taxes where applicable except the Harmonized Sales Tax that is payable. It is acknowledged that some or all of the services included herein may be subject to HST, however, HST is not to be shown on any of the prices bid herein. HST should be listed separately on the successful bidders invoices. Prices submitted should be at “most favoured customer pricing” as offered other customers in 2018, and shall also be guaranteed until the project is complete.

3.7. INFORMAL PROPOSALS

Proposals that are incomplete, conditional or obscure, or which contain additions not called for or issues, alterations or irregularities of any kind may be rejected as informal. The City of Brockville reserves the right to waive informalities at its discretion.

3.8. DISCLOSURE

The information supplied in response to the RFP will be subject to the provisions of the Municipal Freedom of Information and Individual Privacy Act.

The Proponent shall ensure that all work performed on the site is performed in a

manner consistent with the standards and objectives of the City’s Health and Safety Policy and Respect in the Workplace Policies. The Proponent understands that work may be immediately suspended by the City, its agents or servants, in the event of non-compliance with the City’s Health and Safety policies and Respect in the Workplace Policies.

3.9. CLARIFICATION OF PROPOSALS

After the closing date of the RFP the City of Brockville Evaluation Team shall undertake whatever evaluation activities it deems necessary to verify claims and evaluate the Proposal. The City of Brockville has no obligation to keep any of the bidders informed of its discussions with other bidders.

3.10. TERMINATION

The City of Brockville may terminate the contract at any time the City of Brockville deems it to be in the City of Brockville’s best interest to do so. The City of Brockville shall be relieved of all further obligations hereunder except for the payment of the balance outstanding for the work performed to the time of termination, plus all proper costs incurred by the Proponent resulting directly from termination. In no event shall the Proponent be entitled to damages or compensation for anticipated profits that may be lost because of such termination.

3.11. FIRMS IDEMNIFICATION

The successful Firm shall indemnify and save harmless the Corporation of the City of Brockville from and against any liability, loss, claims, demands, costs and expenses, including reasonable legal fees, occasioned wholly or in part by any acts or omissions either in negligence or in nuisance whether willful or otherwise by the City, it’s agents, officers, employees or other persons for whom the City is legally responsible.

The successful Firm shall be responsible for any and all damages or claims for damages or injuries or accidents done or caused by them, their agents, subcontractors or employees, resulting from the prosecution of the works, or any of their operations, or caused by reason of the existence of location or condition of the works, or of any materials, plant or machinery used thereon or therein, or neglect or omission on their part, or on the part of any of their agents, subcontractors or their employees, to do or perform any or all of the several acts or things required to be done by them under and by these conditions and such damages and claims for damages.

3.12. INSURANCE REQUIREMENTS

The successful Firm will be required to provide the following insurance:

a) Comprehensive General Liability

The Insurance Coverage shall be a minimum of $2,000,000 for general liability. When requested, the Recruitment Firm shall provide the Client with proof of Comprehensive General Liability (inclusive limits).

b) Change in Coverage

It is understood and agreed that the coverage provided by the policy will not be changed or amended in any way, nor cancelled by the Firm until sixty (60) days after written notice of such change or cancellations has been personally delivered to the Client.

3.13. LAWS

The final contract with the successful Proponent shall be governed by the laws of the Province of Ontario.

3.14. CONFLICT OF INTEREST

Under no circumstances will a proposal be considered which is received:

a) from a proponent (including its officers, directors, shareholders, employees and affiliates) which has a claim or has instigated or prosecuted legal proceedings (in any forum) against the City during the five year period immediately prior to the date hereof.

b) from a proponent that is affiliated or associated with the City of Brockville council, staff, boards or committees in any manner, including volunteer or paid service.

No proponent shall be eligible to submit an RFP or participate in an RFP in any capacity whatsoever unless it can be demonstrated that there is not a significant degree of common ownership, influence or control amongst the proponent and City of Brockville council members or staff.

The Corporation reserves the right to disqualify a proponent where the Evaluation Team believes a conflict of interest or a potential conflict of interest exists with regards to the Proponent and the intended project.

The proponent asserts the following:

a) No person, firm or corporation other than the proponent has any interest in this proposal or in the proposed agreement for which this proposal is made and to which it relates.

b) This proposal is made by the proponent without any connection, knowledge or comparison of figures or arrangement with any person or persons making a proposal for the same work, and in all respects fair and without collusion or fraud.

c) No member of council or corporation representative is, will be, or has

become interested, directly or indirectly, as a contracting party, partner, stakeholder, surety or otherwise howsoever in or in the performance of the said agreement, or in supplies, work or business in connection with the said agreement or in any portion of the profits thereof, or of any supplies to be used herein, or in any of the monies to be derived there from.

Subcontracts

No subcontractors or collateral agreements shall be permitted with respect to the work of this assignment, except with the Evaluation Team’s express written consent and, in advance of commencement of subcontracted activities.

Failure to obtain this consent may result in cancellation of the agreement with the successful proponent.

4. EVALUATION OF PROPOSALS

The Recruitment Firm’s submission will be referred for review to an Evaluation Committee consisting of City of Brockville management staff.

4.1. SELECTION OF CRITERIA

Technical Evaluation The evaluation of the technical proposal, Envelope No. 1, will be completed by the Evaluation Committee and will be based upon the following criteria which may receive some minor modifications prior to the opening of any submission: 30 The Recruitment Firm’s proposed approach to this assignment

including the proposed work plan, the methodology to be employed to ensure successful implementation, evidence of all services required to successfully deliver the project on schedule and in compliance with AODA.

manager and project team with respect to similar, directly related projects in the Public Sector (preferably municipal government).

10 References from previous Public Sector clients (preferably municipal government) and quality of previous work.

Financial Evaluation 30 Each key component of the Review must be costed separately.

The total proposed pricing shall be inclusive, including but not limited to, mileage, disbursements and travel time along with all works as described within the RFP document. It is acknowledged that some services will be subject to payment of HST, however, HST is not to be shown in any of the pricing herein.

The Evaluation Team will not be limited to the criteria referred to above, and the Evaluation Team may consider other criteria that the team identifies as relevant during the evaluation process. The Evaluation Team may apply the evaluation criteria on a comparative basis, evaluating the Proposals by comparing one Proponent’s Proposal to another Proponent’s Proposal. All criteria considered will be applied evenly and fairly to all Proposals.

In addition to the stated evaluation criteria, on occasion, the Evaluation Team may need to use additional (non-quantifiable) criteria in arriving at their final decision, particularly when deciding between a small number of short-listed Proponents or when two Proposals are very close in the scoring.

Although every effort will be made in the RFP to indicate the basis on which the Proposals will be evaluated, the final decision as to the use of evaluation criteria rests with the City of Brockville and the Evaluation Team.

After an initial review of the Proposals based on the evaluation criteria, a short list of Recruitment Firms may be interviewed and requested to provide a short presentation outlining their Proposal at no additional cost to the City of Brockville. The final evaluation will be based on the Proposal and the oral interview and presentation.

4.2. AWARD

The award, subject to Council approval in consultation with the Evaluation Team, shall be made to the Recruitment Firm whose Proposal is determined to best match the City of Brockville’s criteria, and within the allocated budget, taking into consideration price and the other evaluation factors set out in the RFP.

It is expected that a decision on the selection of the Recruitment Firm will be made by the City of Brockville Evaluation Team as per the schedule shown. Please note, the lowest or any particular Proponent will not necessarily be accepted. The criteria to be considered by the City in awarding the Contract will include a combination of price, scheduling, expertise, qualifications, and such other conditions as may be determined to best match the City’s criteria, provided the Proposal is within the City of Brockville budget.

The City reserves the right, in its absolute discretion, to reject any or all Proposals, or to award the contract to other than the Proponent submitting the lowest Proposal.

The decision of the Evaluation Team and those authorized by the Council of the City of Brockville to award a contract is final.

4.3. NEGOTIATIONS

The City of Brockville reserves the right to enter into negotiations with the “Proponent of Choice” after shortlist and evaluation. The City of Brockville may terminate negotiations if, in The City’s opinion, it is believed a negotiated agreement that is in keeping with the City of Brockville’s criteria cannot be achieved. No Proponent shall have rights against the City of Brockville arising from such negotiations or termination thereof.

If, after successful negotiations with the Proponent of choice, the City of Brockville has formally accepted the designated Proponent’s final submission, a contract may be confirmed, by the City of Brockville’s endorsement of a negotiated document (in accordance with our Terms, Conditions and Specifications) from the recommended Proponent’s firm.

Scope: The City Manager is responsible for the strategic leadership and general management of the Corporation, and for acting as the advisor and liaison to Council. Major responsibilities include overseeing and coordinating the day-to-day administration of the City through its Department Heads; attending Council/Committee meetings and making policy, program, and long-range/strategic/business planning recommendations; communicating and facilitating the implementation of Council decisions; representing the City with external agencies and on behalf of Council as required; monitoring the activities of local Boards/Agencies and service partners of the Corporation; overseeing and monitoring the sound fiscal management and legislative compliance of the Corporation; participating in labour/employee relations processes and fostering a positive and productive workplace environment; supporting Economic Development activities and promoting Brockville as a preferred place to locate; and championing the corporate vision/mission and programs/policies of Council. Representative Duties:

Leads and directs the general/financial management and day-to-day administration of the Corporation through coordination of its Departments.

Leads the Corporation’s Senior Management Team considering ideas and receiving input on inter-departmental/corporate planning and strategic initiatives, items for Council/Committee consideration, sensitive/controversial issues, annual business/work plans, major policies and service levels/standards, and other corporate project teams where beneficial/appropriate.

Provides advice/opinion/counsel to Council on policy/program plans, corporate/legal and general governance matters, and sensitive/controversial issues; makes recommendations to Council; attends Council/Committee and other/related meetings; communicates/champions and coordinates/directs the implementation of Council decisions/directives; provides day-to-day advice/support to the Mayor and Members of Council in their governance roles.

Supervises staff of the Office of the Manager, the Office of the Mayor, and the Senior Management team, and oversees the effective supervision of other staff within the Corporation including succession planning, health and safety, collective agreement administration, discipline, and termination.

Directs and/or participates in labour/employee relations initiatives and legal/other matters including hearing/resolving grievances, providing direction to collective agreement negotiations and major HR policy development/administration; champions the vision/mission of the Corporation among staff, and fosters a positive, productive, healthy/safe, creative/innovative and collaborative workplace environment.

Directs the preparation and recommends annual; operating and capital budgets and longer-range financial forecasts for the Corporation; administers/monitors the administration of the approved budget including authorization of expenditures in accordance with City Policy.

Ensures the implementation of and oversees and monitors programs/practices that assure the integrity, security, and on-going maintenance/rehabilitation of City assets, infrastructure/buildings and other physical/financial resources; and regularly reports to Council on same.

Monitors the review and evaluation of administrative and service delivery processes with a view to ensuring practices are coordinated between Departments, appropriate stakeholder consultation occurs, and that practices are contemporary, meet the needs of the City and reflect customer service excellence; prepares periodic reports to Council on service delivery changes and enhancements; regularly reviews City performance under the Provincial Municipal Performance Measurement Program [MPMP]; and takes action for performance enhancement.

Responds to inquiries from and/or liaises with elected officials, internal departments, the development and business communities, other governments/agencies, residents, citizens’ and special interest groups, the media, unions, etc. on corporate initiatives, business/development proposals, Council activities/decisions, and other business of the Corporation; monitors and follows-up on complaints received, directing/taking corrective action where necessary.

Directs and works with Senior Management team colleagues to monitor activities and

agreements with Local Boards/Agencies and service partners affiliated with the City to promote and protect the City’s financial and other interests in these organizations; undertakes representative and/or inter-board/agency relations activities to foster cooperative working relationships, provide assistance/guidance/resources, and influence decision-making where appropriate; apprises Council of pertinent issues and strategies to address.

Ensures the City’s compliance with applicable Provincial legislation/regulations and City by-laws and policies. Oversees/ monitors and provides direction in the preparation of the City’s position on major or sensitive/controversial litigation, arbitrations, Ontario

Municipal Board, Provincial Court and other tribunals/hearings; consults with appropriate internal/external resources; keeps Council apprised of status and progress.

Undertakes representative duties as City Manager with the Province, businesses/developers, community/special interest groups, the media, professional associations, other governmental agencies, and inter-municipally as required; attends meetings/events on behalf of Council and/or the Mayor as directed.

Makes recommendations on the hiring of consultants to assist with/undertake major corporate projects/studies, as required; monitors their work and administers/oversees the administration of the agreements in according with City policies/procedures.

Undertakes special projects and performs other duties as assigned, in accordance with corporate objectives and Council direction.

Carry-out duties of Clerk in capacity of Deputy Clerk.

Qualifications:

University Degree in a relevant professional discipline.

A minimum of ten (10) years of progressive experience in a senior management position within municipal government, including working with elected officials and managing in a unionized environment.

Excellent conceptual, interpersonal, general/project management, analytical, communication, presentation, problem-solving, facilitation, negotiation, and staff leadership and supervisory skills.

Ability to think and act strategically and astutely in a political and community service environment; to build strong and enthusiastic staff teams and external alliances/partnerships; to align departmental programs/services with corporate goals/objectives; and to champion the vision/mission of the City and foster a positive, productive, innovative/creative workplace environment.

Thorough working knowledge of Municipal and Employer-related legislation/regulations and contemporary issues, municipal government organizations and structures, municipal operations, municipal financial and reporting processes, labour relations principles and collective agreement administration and management practices.

Computer literacy and knowledge of technology and its uses/opportunities in a municipal environment.

Class “G” Driver’s license, in good standing and reliable vehicle to use on corporate business.

Availability to attend evening and/or weekend meetings or other events as required.
