2. Characteristics of theEstonian branch An Eesti filial (Estonian branch) is notconsidered a legal entity. Its foreign parent company carries all theliabilities for its actions. 3. Special licenses for Estonianbranches The nature of the business performed by thebranch dictates if it requires a special license or not. Certain companies must notify the EstonianFinancial Supervision Authority before opening abranch in order to receive licenses. 4. Special licenses forEstonian branchesThe fields that require licenses are: the investments field; banks or insurance field; long distance telecommunication; mining; public utilities; pharmaceutical industry; reconstruction of infrastructure; gambling; the production of tobacco and alcohol. 5. Financial statements forEstonian branches The branches established in Estonia don't need tosubmit annual audited financial statements. However, for the companies from countries notincluded in the EEA Agreements, is necessary tosubmit the approved audited financial statements atthe Estonian Commercial Registry. 6. Registration of a branchin Estonia Before performing any commercial activity the branch has tobe registered with the Estonian Commercial Register. The necessary documents for performing this are: an application; the memorandum of association; the articles of association; the certificate of registration. 7. Registration of a branchin Estonia The registration of a branch in Estonia can beperformed in person or online, on the CommercialRegister portal. After submitting all the required documents,the Estonian branch will receive a certificate ofregistration with an unique number of incorporation. 8. Registration of a branchin Estonia The certificate of registration is necessary forapplying for the VAT number. The last step in registering a branch in Estonia isregistering with the Central Sick Fund of Estonia. 9. Registration of a branchin Estonia The process of registering the branch with the CentralSick Fund of Estonia must take place no longer than 7working days after hiring an employee. If all the documents and requirements are met,the establishment of a branch in Estonia doesn't takelonger than 6 working days. 10.
