Lifetime membership requires a completed application form, signed by a Board of Directors (BOD) member and a payment of 1,000 Thai baht, at which time a CEC Life Member card will be issued. B. Members generally will be required to pay an entry fee to partially offset costs for General Meetings (GM) and Special Events, the fees to be determined by the BOD. Non-member entry fees will be set higher and shall not be subsidized by CEC funds. II. ANNUAL GENERAL MEETING A. The Annual General Meeting (AGM) will be held in January and can be in addition to or in lieu of the GM for January. B. Members shall be notified of the date of the AGM via a notice in the CEC e-newsletter, website and/or Facebook page at least four weeks prior to the meeting. C. The purpose of the AGM is to elect the BOD for the upcoming year (if such election is required) and for the BOD to present to the membership the state of affairs of the CEC. The reports should include sharing the Club’s financial condition, budget for the upcoming year, the membership status and any other issues the BOD deems appropriate and necessary. D. If an election for BOD is required, it shall be conducted as provided for in Article Ill immediately below. III. NOMINATION AND ELECTION OF MEMBERS TO THE BOD A. To be eligible to sponsor a Board nomination or vote at an AGM, CEC membership must have commenced on or before October 1 st immediately preceding the AGM. B. The BOD, not later than the BOD Meeting or the GM held in October, shall appoint an Electoral Officer (a voting Member who is not a candidate for the new Board) to organize and supervise the nomination process and, if needed, the election. The BOD shall act as the final arbiter of any question or dispute that arises related to any decision made by the Electoral Officer. C. Nominations must be submitted to the Electoral Officer no later than the last Saturday in November. Proposed nominees must be sponsored by two Members who are eligible to vote and be approved by the Electoral Officer, as qualified to stand for election as set forth in Article IV of the Constitution. 1. Whenever possible, candidates for the Board will be invited to an informational meeting with the EC or an ad hoc committee appointed for this purpose. 2. Candidates will have the opportunity to introduce themselves and to ask questions about CEC and the Board. Committee members may ask questions of candidates to help understand their background and interests, to better advise candidates about the possible roles that they may fill, on the Board. 3. The committee may provide a written summary of the meeting to the candidate and the Board, along with non-binding suggestions and recommendations for the candidate. D. The Electoral Officer within the first two weeks of December shall notify both the BOD and the approved candidates of their acceptance as Board nominees. If less than 12 candidates are validly nominated, there will be no election and the Electoral Officer at the AGM will declare the accepted candidates as the new BOD, who will begin their term after the AGM.

I. MEMBERSHIP

E. Iftherearemorethan11candidatesvalidlynominatedtostandforelectiontotheBoard,thenanelectionwillbeheldbysecretballotattheAGMandthe11candidateswiththehighestnumberofvotesshallconstitutethenewBOD.Withrespecttoanyrequiredelection:

1. Eachcandidatemaysubmitwrittenmaterial,inelectronicform,oflessthan300wordswithone photograph, in support of their candidacy for inclusion in the CEC e-newsletter to bedistributed ahead of the AGM. Campaign materials must be submitted to the ElectoralOfficerforapprovalnolaterthanthreedayspriortopublicationofthee-newsletter.

2. TheElectoralOfficershallperformthefollowingduties;

a. Mayappointsub-officerstoassistwiththeelection.b. WilldistributethewrittenballotsforvotingattheAGMtoMembersqualifiedtovote

(withtheSecretaryverifyingpropermembership).c. Willaccuratelytallythevotes.d. Willannounceresultsof thevotesand,absentvalidobjection,willannouncethenew

BODmembers.

3. Thewrittenballots;

a. WillbeprintedlegiblyinEnglish.b. WillstatetheBoardnomineesinalphabeticalorder.c. WillclearlystatethataMembercanvotefornomorethan11ofthenominees.d. Will provide a space next to a nominee's name for the Member to mark an "X" or

anotherappropriatesigntoclearlyindicateavoteforthatnominee.e. Ballotswithmorethan11namesmarkedwillbedeemedinvalid.

4. Neithercandidate(s)northeirrepresentative(s)shallinterfereinthevotingprocessbutmaybepresenttoobservethevotecountbytheElectoralCommittee.Ifanycandidatechallengesthe number of votes cast for them, they may demand a recount. The President maydesignateoneormoreMembersotherthantheElectoralOfficerorSub-Officerstoconducttherecount.

5. Intheeventofatieforthelastvacancy,theMemberwiththelongestperiodofmembershipshalltakethevacancy.

F. TheSecretarywillrecordtheresultsofthevotingbylistingthewinningcandidatesintheOfficialMinutes of the AGM. The Secretary will retain the list of voters, vote tallies, and the originalballots.

G. A report of the election resultswill be published in the first e-Newsletter after the election orsoonerasthenewBoardmaydetermine.Thereportwill includethenumberofballotscastandthenumberofinvalidballots(alongwiththereasonfortheirinvalidity).Thenumberofvotescastforeachcandidatewillnotbereported.

IV. DUTIESANDRESPONSIBILITIESOFTHEBOARDOFDIRECTORS

A. TheBODassumestotalresponsibilityfortheadministrationoftheCECandshalltakeallmeasuresnecessary to fulfil the objectives of the CEC, furthermore, the BOD will solicit and encouragesuggestionsandtheparticipationoftheMembers.

B. WhenaMemberagreestoserveasaBoardmember,thisacceptanceestablishesanagreementtoabidebyalltherulesoftheCECConstitutionandBylawsandtocarryoutthedutiescontainedwithin.

C. No Board member will solicit for or promote any enterprise or service in which they have aprofessional, financial or personal interest using CEC, itsmeetings or facilities, without a prior

disclosure to the Board of their interests and activities. All such presentations or solicitationshouldbecompletelyclearandtransparent.Boardmembersshalldeclareanyactual,perceived,orpotentialconflictsofinterestandtheSecretarywillnotesuchconflictsinaregisteravailableateachBODmeeting.ThePresidentwillaskBoardmembersifthereareanynewconflictsateachBODmeeting. Ifanymemberof theBoardhasaconflictof interest, thenthatmemberwillnottake part in any decision relating to that matter and may be asked to leave that part of themeeting.

D. The BOD shall appoint a Member to publish a Hypertext Mark-up Language (HTML) EmailNewsletter intended to inform the membership of the activities of the Club. The appointedmemberorotherqualifiedpersonshallchairtheMediaCommitteeandreportonthemeetings,including information which would be helpful to Members, announce speakers for futuremeetings, list coming events and promote the CEC website, Facebook page and other socialmediaoutletsCECmayestablish.

E. TheBODshallappointaBoardmembertoberesponsible forestablishing,maintaining,editing,updating,andimprovinganInternetsiteand/ormailinglist.ThemailinglistisfordistributingtheCEC e-newsletter and making Board-authorized email communication. Any BOD or Memberhavingcustodyof,accessto,orcomingintopossessionofanysuchlistmustkeeptheinformationconfidential and restrict access toonly those specificallyauthorizedby theBOD.They shallnotdistribute or disseminate the mailing list(s) or database(s) to any person, organization,commercialenterprise,oranyotherentityorenterprise.IftheBODdecidestoemployanoutsidecontractortoperformservicesthatwillcausethatcontractortohaveaccesstothemailinglist(s)or databases(s), then that contractor must agree to a similar restriction of use. The BOD candecide,bysimplemajority,toremovefromCECmembershipanyonewhousesthemailinglist(s)ordatabase(s)forinappropriatepurposes.

F. A CEC Director may remove any literature, advertisement or handouts distributed at CECmeetings that did not originate from CEC sponsors or approved Outside Group Activities. TheDirectortakingthisactionwillbringthismattertotheattentionoftheBODatorbeforetheirnextmeeting.

G. Board members are expected to share in the workload of the BOD, including acceptingcommittee assignments, actively participating in such committees and showing an appropriateinterest in the activities of the Club. Regular absence from CEC meetings as well as absencewithoutjustificationfromthreeconsecutiveBoardmeetingscanleadtoremovalfromtheBOD.Inaddition,theBODmayvotefortheremovalofaBoardmemberiftheBODlacksconfidenceintheirabilitytoadequatelyserveasaBoardmember.RemovalfromtheBoardrequiresaquorumasdefinedinSectionVIIParagraphDandanaffirmativevoteofatleasttwothirdsoftheBoardpresent.

H. TheBODmayfillvacanciesontheBoardoccurringbetweenAGM's.SuchappointedDirectors,likeelectedDirectors,serveuntiltheendofthenextAGM.

I. VotingProcedures:

1. Voting should take place only at scheduled BOD meetings except under extremely rarecircumstances, as described below. The executive committee shall approve an email vote.After approval, the President or designee shall e-mail the members the motion at hand,establish a response time of not less than 24 hours, collect and tabulate the results andreport outcome to the Board within 24 hours. Failure to respond will be considered anabstention and those directors casting a vote, on the issue will be used to establish aquorum,accordingtotheBylaws.

2. If the email vote is urgent and potentially controversial and if an in-personor video chatmeeting is impossible, the presidentwill lay out both sides of the issue, in thorough, butneutraltermsandrequestavoteonlyonaspectsofthematterthattheexecutivecommitteehasdeterminedareurgent.Thisoptionshouldrarely,ifever,beused.

V. DUTIESOFTHEOFFICERS

A. ThenewBODwillmeet as soon as possible following theAGM. The President of the outgoingBoardwillopenandchairthemeetinguntilaPresidentiselected.ThenewBODwillthenelectaSecretaryandTreasurerandsuchotherOfficers,astheBODdeemsappropriate.

B. DutiesoftheECOfficersaredescribedspecificallyintheDutiesDocumentsapprovedbytheBODandascontainedintheattachedExhibitsAthroughC.Ingeneral,theelectedOfficersshallhavethefollowingduties;

1. ThePresidentnormallyshallpresideoverallBODandMembershipmeetings.Intheabsenceof thePresident, theSecretarywillpresideover theBODandMembershipmeetingsor, intheabsenceofthePresidentandtheSecretary,theTreasurerwillpreside.Ifnoofficersarewillingorabletopreside, theECshallappointamembertopresideoverthemeeting.ThePresident oversees all activities of CEC and ensures adequate preparation for themonthlyGM's, Friday Morning Breakfast Club and other events offered to the entire CECmembership.ThePresidentoranappointedrepresentative,usuallyanotherBoardmemberappointed by the President, represents CEC at outside functions. A detailed listing of thedutiesandauthoritiesofthePresidentislistedinExhibitAoftheBylaws.

2. TheSecretaryshallprovideallBoardmemberswithwrittennoticeofthetime,locationandagendaforregularlyscheduledBODmeetingsnolaterthanforty-eight(48)hoursbeforethemeeting.TheSecretaryoranappointedmembershallrecordthedraftminutesofeachBODmeetinganddistributethemtoBoardmemberswithinfive(5)daysforcomment.Atthenextregularly scheduled BOD meeting the draft minutes will be submitted to the BOD forapproval. TheSecretary shallmaintain themembershipdatabaseandoriginalmembershipapplicationsand,whennecessaryatanelection,willverifymembership informationtotheElectoralOfficer.Adetailed listingof thedutiesandauthoritiesof theSecretary is listed inExhibitBoftheBylaws.

3. TheTreasurershalloverseefinancialadministrationoftheorganization,maintainthefundsoftheCEC,reviewpolicies,proceduresandfinancialreporting,advisetheBODonfinancialstrategy and advise on fundraising. A detailed listing of the duties and authorities of theTreasurerislistedinExhibitCoftheBylaws.

VI. EXECUTIVECOMMITTEE

A. The Executive Committee (EC) shall be comprised of all elected Officers, to be chaired by ThePresidentandshallhavetheauthoritytoactonbehalfoftheCECanditsBOD,asauthorizedbytheBOD.TheEC’sprincipal function is tomanage theday-to-dayoperationsof the club. In theeventofatievotewithintheEC,themotionwillbeputbeforetheBoardforapproval.

B. TheExecutiveCommittee'sspecificresponsibilitiesmayinclude:

1. Serving as a sounding board for management on emerging issues, problems, policies andinitiativesbroughtforwardbytheBODormembership.

2. ReportingtotheBODattheboard'snextmeetingonanyofficialactionsproposedortakenbytheExecutiveCommittee.

3. Actingonmatterssuchas,butnotlimitedto,thefollowing;

C. Theseactionswillbesubject toBODapprovalbeforebeing implementedwhenpossible. In thecaseofexpenses,approvalwillnotbepossibleiftheexpensehasbeenincurred.

D. Meetings:TheECshallmeetasneeded,asummarymaybepreparedforBODreviewaspartofthePresident'sreport.

E. The Executive Committee may approve normal and ordinary expenses that the boardinadvertentlyfailedtoapproveintheordinarycourseofclubbusinessorwhenit'sbroughttotheTreasurersattentionaftertheBODMeetingandarenormalandordinaryinnatureorisanurgentmatter.Theboard,atthenextBODMeetingmustapprovethesepayments.

F. TheEChasa3,500ThaiBahtperitemlimitonnon-BODapprovedexpenses.

VII. BOARDOFDIRECTORMEETINGS

A. ThereshallbeaminimumofsixBODmeetingsperyear(i.e.betweenAGM's).

B. TheBODdeterminesattheendofeachmeetingthedateand localeofthenextmeetingorthechairmayopttouseaDoodlesurveyortheliketoschedulethenextBODMeeting.

C. The Secretary will schedule a Special BOD Meeting to occur within seventy-two (72) hours ofreceivingarequestfromtwoBoardmembersorthePresidentstatingtheneedandpurposeforaSpecial BOD Meeting. The Notice shall include the date, time, location, and purpose of themeeting.

D. All Board actions to be valid shall require a quorum. A quorum is defined as the presence, orparticipationasotherwiseallowedintheBylaws,ofamajorityofthecurrentsittingDirectors.AnaffirmativevoteofatleastamajorityofsuchDirectorspresent,atanygivenmeeting,isrequiredtoadoptamotion.

E. TheBODshouldstrivetoreachitsdecisionsonsubstantivemattersbyconsensus.ThePresidentshall allow ample debate to facilitate a decision. If it becomes clear a consensus cannot bereached,themattercaneitherbepostponedforfurtherconsiderationbythechairorbymotionand vote of the BOD. Absent Board members can indicate their vote in writing for a specificAgenda itemwhen they submit their apology for Absence' to the Secretary prior to the BoardMeeting.However,thisdoesnotallowforageneralformofproxyvotinginBoardmeetings.

F. BOD meetings and any record of BOD meetings are private, except for the minutes afteracceptance and approval by theBoard.Any current CECmembermay ask to see a copyof theapprovedminutes. The BODmay choose to authorize others to attendmeetings from time totime, including but not limited to past Directors and Boardmembers,members of the CEC, orselectedexperts,toassistinconsiderationofaquestionontheagendaoranyothermatterattheBOD'ssolediscretion.

G. AlldecisionsoftheBODthatmaybeofinteresttothemembershipshouldbemadepubliceitherby announcement atGM'sor by inclusion in the e-newsletter as appropriate. In the interest of

transparency,anycurrentMembercanrequestoftheSecretarytoseetheapprovedminutesofaBODmeeting,

VIII. FinancialMatters

A. All General Funds and assets must be retained by the CEC and may only be used with BODapproval.TheGeneralFundoftheCECshallbeusedtopaythedebitsandobligationsoftheCEC,tosubsidizememberactivitiesandtomakedonationstocharitiesandnon-profits,asdefined intheCECDonationPolicy.

B. TheTreasurerpriortotheendofthecalendaryearshallprepareabudgetforthefollowingyeartobereviewedandvoteduponbytheBODpreferablyatthelastcalendaryearBODmeetingoratthefirstBODmeetinginthesucceedingyear.

C. Expenditures shall be in accordance with the current 'Expense Reimbursement Policy &Procedures' document. There shall be no financial compensation provided tomembers beyondreimbursementforactualexpenses incurredonbehalfoftheCEC.Additionally,whenamembercarriesoutdutiesonbehalfoftheCEC,theBODmayapproverateperkilometerreimbursement,foreachkilometertravelledbythememberintheirpersonalmotorvehicle.BoardmemberswillgrouptheiroriginalexpensereceiptstopresenttotheTreasurermonthly.

D. TheBODwilldevelop,approveandmaintainaBankingProceduresPolicy,tomanageandprotectallCECfunds.

1. IttheBoardofDirectors(BOD)herebyauthorizesandappointstheExecutiveCommittee(EC)oftheCEC,asthemanagerandtrusteeofallCECbankaccounts.

2. The BOD hereby directs the EC to minimize access to all CEC bank accounts and onlyauthorize those individuals access who have been deemed proper and necessary to theeffectivemanagementoftheCECsbankingandaccountingfunctions.

3. When signing any Banking documents naming an individual as a binding representative ofthe CEC, the individualmust simultaneously execute the documents necessary to removethemfromsuchauthorityandrepresentation.ThesebankingdocumentswillbeheldbytheSecretary and such documents may not be used to remove the individual without BODapproval,

4. Toopen,closeormodifyaCECbankaccounttheECmustobtainBODapproval.5. TheECwillmanageandapproveaccesstoallCECaccountstoinclude,whomayaccesseach

account,whataccessleveleachindividualwillhaveandmanagetheauthoritytomakesuchchanges.

6. OnlyCECboardmembermayhaveanyaccesstoCECbankaccounts.7. TheECwillappointandmaintainalistofauthorizedindividuals(aminimumof4signatories),

whomayrepresenttheclub,forinpersonbanking,attheclub'svariousbanks.AnychangesinauthorizedpersonnelmustbereportedtotheBOD(viae-mailorBODmeeting),priortomakingthechanges.TheseauthorizedbankingindividualsmustbeontheBODpriortobeingaddedtothelistofauthorizedbankingpersonnel.

8. The Treasurer will maintain cash, in the Treasures float sufficient to cover all normaloperationsofCECactivitiesandevents.TheTreasurerwillreportthestatusandbalanceoftheTreasurerFloattotheBODduringeachboardmeeting.

9. TheTreasurerwillprovidetotheBOD,financialstatements,bankstatementsandreconciledcashbalances,thefrequencyofthesereportswillbedeterminedbytheBOD.

E. IftheTreasurerreportstotheBODthatthereisananticipatedsurplusofrevenueintheGeneralFund,aportion,asagreedbymajorityvoteoftheBOD,maybeusedasfollows;

1. tofundqualifiedcharitablecausesandnon-profits,asisdefinedbytheCECDonationPolicy2. tosubsidizememberactivitiesandevents3. tocarrytheexcessfundsintothefollowingyear

Whenallocatingtheexcessrevenue,theboardshallusea50/50ratiowithrespecttodonationsvs.membersubsidies.GMsubsidiesarenottobeincludedin50/50ratiocalculation.TheBoardshallnotify themembershipofalldonationsmade,as theyoccur,duringGM'sorvianewslettersandwillbeincludedintheFinancialReportgivenattheAnnualGeneralMeeting.

F. No clubmember shall participate in the Donation Committee or any donation process, if suchcommitteeisconsideringafundingrequestfromanyorganizationtowhichsaidclubmemberoramemberofhisorherhouseholdis;

G. No club member serving as a CEC Director or a member of any committee of the Club, shallparticipate in thediscussionof or voteupon any awardor other funding for thebenefit of theimmediatefamilyofthememberoranyfundingrequestfromanyorganizationonwhichsaidclubmemberoramemberofhisorherhouseholdis;

1. aboardmember,trustee,director,advisor,agent,organizerorofficer2. aconsultantorcontractortotheorganization3. activelyinvolvedintheformulationofthefundingrequest4. amanagementorexecutiveemployeeoftheorganization5. However, the Director or member may speak on behalf of the organization under

H. Definition of terms as used herein, the term "immediate family"means themember's spouse,parents,grandparents,children,stepchildren,grandchildren,step-grandchildren,siblings,andthespousesofeach.Inaddition,theterm"household"meansadomesticunitconsistingofafamilywholivetogetheralongwithnon-relatives.

I. AsuitablyqualifiedpersonorTax/Accountingcompanythat isnotamembershouldconductanannual inspection of CEC financial records and that person's or Tax/Accounting company'sresultantreportshouldbecomepartoftheTreasurersreporttotheMembersattheAGM.

IX. SPONSORSHIPPOLICY

A. Sponsors shall provide valuable services, information and activities to CEC Members and shallcontributesponsorshipfeestodefraytheoperationalcostsandsupportthecharitableprojectsofCEC.

B. Sponsorswill be selected by the BODwith a view to providingMemberswith opportunities tobenefitfromthegoods,servicesandactivitiesofferedbytheSponsors.Sponsorsareresponsible

forthelegalityofproducts/services/activitiesprovided.NeithertheCECnortheBODassumesanyresponsibilityfortheproducts/services/activitiesprovidedbyitsSponsors.

C. Sponsorscontributeamonthlyfee,inadvance,assetbytheBOD,foracontractperiodofatleastsix months, The Sponsor and BODmay make changes during the contract period with mutualagreement.TheBODcanunilaterallydecidenottorenewaSponsor'scontractuponexpiration.

D. Business and Community Service Sponsors shall be charged sponsor fees according to the feeschedulecontainedinourSponsorGuidelinesdocument,asapprovedbytheBODandamendedfromtimeto time.SponsorManager tocoordinate feeswith theTreasurer.Sponsorsshallhavethe option of signing up in six-month increments. As noted, the BOD may alter at its solediscretiontheserequirementsandtherequiredfeesfromtimetotime.

E. Sponsors may display, with advance approval, their products and promotional material at CECmeetings and can submit electronic promotionalmaterial for consideration for inclusion in theCECe-newsletterandFacebookpage.EachSponsor'slogoisdisplayedonthewallattheGM'sandontheCECwebsite,alongwithadescriptiveparagraphonthewebsite.Sponsorscannotpromotemorethantwoproductsorservicesperevent.

F. Sponsors cannot seek business by claiming their organization is an official representative orspokespersonforCEC.

G. At least one person in a Sponsor's organization must be a Life Member of CEC. However, ifrequestedbyaSponsortohavetheLifeMembershipinthenameoftheOrganizationratherthananindividualduetopersonnelissues,theCECwillmakeanexceptioniftheLifeMembershipformissignedbyanauthorizedDirectoroftheSponsororganization.

X. OUTSIDEGROUPACTIVITIES

A. OutsideGroupActivities (OGA)arespecial interestgroups informallyconnected to theCEC.TheCEC shall assist in initiating a new OGA as requested and shall encourage CEC Members tojoin/attendviapublicityontheCECwebsite,Facebookpageandinthee-newsletters.AnOGAisavaluableopportunityforMemberstomeetandexplorecommoninterestsatatimeoutsideoftheCECmeetings.

B. NotificationssubmittedbyanOGAshallbeinaformatthatcanbeeasilyaddedtotheFacebookorE-Newsletter.NoeditswillbemadebytheCEC.(Insertsize,typeoffile,etc.asrequiredforbothFB&E-newsletter).Venueslistedshallbekepttolistingthenameandaddressonly,nophotosoradvertisementsofthevenueshallbeallowed.

C. An OGA shall be managed and directed by a CEC member. However, the OGA shall operateindependently of CEC and Members of an OGA do not need to be Members of the CEC. IfquestionsariseabouttheOGAactivitiesorconflictsoccurwithinagroup,itistheresponsibilityofthegrouptoresolvetheissuesontheirown.IfitbecomesevidentthatanOGAexistsasavehicleforapersonorgrouptopromotetheirbusinessenterprise,thenthatOGAwillbede-listedasanOGAandinvitedtoapplyasaSponsor.

D. NeithertheCECnortheBODassumesanyresponsibilityforanyactivitiesoftheOGA.

XI. COMPLAINTSA. The BOD shall not normally get involved in private disputes between Members. Members or

guests who are disruptive at CEC meetings will be issued a call to order. If necessary, thePresident,thePresident'sdesigneeoraCECofficialmayasktheperson(s)concernedtoleavethemeeting.

B. TheBODwillexaminecomplaintsonly inmattersconcerning theCECdirectly suchasmisuseofthenameoftheCEC,misrepresentationoftheactivitiesoftheCEC,improperoroffensiveactionsorcommentsatCECmeetings,misappropriationorimproperuseoftheCECfundsandproperty.

C. IntheeventofanycomplaintsagainstaBoardmemberforviolationoftheCECBylawsorBoardResolutionsorconductthattendstobringtheCEC intodiscreditanddisrepute,themattershallbe brought to the attention of the BOD. If the BOD finds the complaint valid, it may vote tocensure,suspendand/orremovefromtheBODtheBoardmemberagainstwhomthecomplaintwas brought. In the case of removal or suspension, a two-thirds affirmative vote of the BOD isrequired.

D. In dealingwith complaints the BOD shall actwith all due diligence to protect the integrity andimageofCECintheinterestofallitsMembers.

XII. AMENDMENTOFTHEBYLAWS:TheBylawsmaybeamendedbyatwo-thirdsvoteoftheBOD,providedaquorumexists.ProposedBy-lawchangesmustbeannounced,andtheproposedchangessubmittedtoallmembersviae-mail4daysinadvanceofaBODmeeting.TheapprovedamendmentstotheBylawsshallnottakeeffectuntilthenextscheduledBODMeeting.

XIII. INDEMNIFICATIONCLAUSE:

A. IndemnificationistheChiangmaiExpatsClub's(CEC)directexpressionofwillingnesstoprotectitsboard members, officers, directors and employees (" indemnified persons") from the financialburdensofliability.TheCECmakesafinancialcommitmenttorelyonitsownresourcestopayaboardmember'slegalcostsincasehe/sheiscalledasadefendantinalawsuitrelatingtohisroleasaboardmember.ThefinancialcommitmentshallbenomorethanBaht250,000.

B. TheChiangmaiExpatsClubagreestoindemnifyandkeepindemnifiedtheindemnifiedpersonstothe extent specified from and against liability, loss, cost or expense (including reasonable legalfees) by reason of liability imposed them, arising out of or related to Chiangmai Expat's Clubactivities,whethercausedbyorcontributedtobytheindemnifiedpersons,unlesscausedbythesolenegligenceoftheindemnifiedpersons.

C. This Article constitutes a contract between the Chiangmai Expats Club and the indemnifiedpersons.NoamendmentorrepealoftheprovisionsofthisArticlewhichadverselyaffectstherightofanindemnifiedpersonunderthisArticleshallapplytosuchindemnifiedpersonswithrespecttothoseactsoromissionswhichoccurredatanytimepriortosuchamendmentorrepeal.
