Rider to the Contract dated_____________________________ between ZOBISONG, INC. F/S/O CASSANDRA WILSON (hereinafter referred to as "ARTIST") and _______________________________________________ (hereinafter referred to as "PURCHASER") covering the agreement at ____________________________ ____________________________ on __________________________________ . 1. METHOD OF PAYMENT a) A deposit in the amount of __________________________ ($________) made payable to ________________________________________ in the form of a certified or cashier's check or bank wire to be sent upon signing of the contract. b) Cash in the amount of __________________________ ($________) to be presented to ARTIST prior to performance. c) In cases where ARTIST is being paid on a percentage basis, PURCHASER agrees to deliver to ARTIST (c/o ___________________________) at least two (2) weeks prior, plan and printer’s manifest of the house (notarized and signed statement from the printer of tickets, listing the amount of tickets printed at each price). PURCHASER further agrees to have on hand at place of performance on night of show, for counting and verification by representative of ARTIST, all unsold tickets. ARTIST shall be compensated for difference between the number of unsold tickets printed as shown by the ticket manifest. If the PURCHASER shall violate any of the preceding provisions of the paragraph it shall be deemed that ARTIST has sold a ticket for every seat in the house (and any permitted standing room) at the highest ticket price paid for which the house is scaled. PURCHASER further agrees to give said representative the right to enter the box office at any time (during and after performance) and to examine and make extracts from the box office record of PURCHASER relating to the gross receipts of this engagement. A written box office statement, certified and signed by PURCHASER shall be furnished to ARTIST prior to intermission. PURCHASER may not sell tickets to performance herein as part of a series of other concerts without the written consent of ARTIST. There shall be no multiple price tickets printed. Example of tickets prohibited under this agreement are: i) One (1) price for students and different price for general admission on the same ticket; or ii) One (1) price for tickets bought in advance and a different price for tickets bought at the gate on the same ticket. d) Further no tickets can be sold for seats located to the rear of the stage, where the stage and equipment on stage is obstructing normal eye-level viewing of ARTIST's performance, unless the location of the seat is clearly indicated on the ticket (for proscenium stage events only). e) If PURCHASER violated the above agreement, he/she shall be liable for the total amount of tickets sold at the highest price. PURCHASER agrees not to discount tickets or offer tickets as premium without first obtaining permission of ARTIST in writing. If PURCHASER does not sell or distribute discount or complimentary tickets without prior approval of ARTIST or access of the number printed, he/she shall be liable for the full price of each such tickets sold or distributed. f) The specific capacity, gross potential, and ticket breakdown of the facility where ARTIST is to perform under this agreement, must be clearly printed on the face of contract that this agreement is attached to. g) In the event that terms of this agreement do not include a percentage participation is predicted in the fact that admission to concert (or potential gross as stated on the face of the contract) must be a condition of the contract and adhered to. h) In the event that the gross box office receipts and/or admission prices exceed those stipulated on the face of the contract, then PURCHASER must pay to ARTIST on night of engagement the total difference between agreed upon potential and actual gross. i) PURCHASER agrees to distribute no more than twenty-five (25) tickets of official seating as complimentary tickets relative to this performance. Further, PURCHASER agrees to supply proper radio, television and newspaper personnel with complimentary tickets from the above-mentioned allotment. Additionally, PURCHASER must provide Fifty (50) complimentary tickets to ARTIST's sole discretion, the unused portion of which may be placed on sale the day of the performance with permission of ARTIST. In addition to the above said complimentary tickets, PURCHASER agrees to provide ten (10) complimentary tickets no more than twenty (20) rows from the stage in the center section for press and other personnel selected by ARTIST or in the event that venue uses table seating, ARTIST shall have the right to reserve table(s) for invited guests and/or "VIP's". 2. BILLING ARTIST shall receive one hundred percent (100%) sole exclusive headline billing in any and all advertising and publicity, including marquee and shall close the show at each performance during the engagement hereunder unless artist indicates otherwise in writing.

3. CANCELLATION PURCHASER agrees that ARTIST may postpone the engagement hereunder at ARTIST's sole discretion, by giving PURCHASER notice thereof at least thirty (30) days prior to the commencement date of the engagement hereunder. 4. FORCE MAJEURE In the event of sickness or accident to Artist or if performance is rendered impossible or infeasible by regulation of any public authority or bureau, civil turmoil, strike, epidemic, interruption in or delay of transportation service, way conditions or emergencies, Act of God, or any other cause or causes beyond the control of Artist, whether of a similar or dissimilar nature, it is agreed that there shall be no claim for damages by either party hereto and Artist's obligations with respect to the performance affected shall be deemed waived and Artist shall make best efforts to reschedule such date, so long as not to affect or conflict present schedule or dates.

5. INCLEMENT WEATHER Notwithstanding anything contained herein, inclement weather shall not be deemed to be force majeure occurrence, and PURCHASER shall remain liable for payment of the full contract price even if the performance(s) is/are impossible, hazardous or unsafe provided artist is ready, willing and able to perform pursuant to terms above. 6. CONTROL OF PRODUCTION ARTIST shall have the sole and exclusive control over the production, presentation and performance of the entertainment unit in connection with the engagement, including but not limited to details, means, methods of the performance of the entertainment unit and each member thereof, and the persons to be employed by ARTIST in performing the provision hereof on ARTIST's part to be performed. ARTIST shall have the sole right, as ARTIST may see fit, to designate and change the performing personnel other than ARTIST. It is specifically understood and agreed that a representative of ARTIST shall have the sole and absolute authority in directing personnel operating all lighting and sound equipment during rehearsal and each performance schedule hereunder. 7. APPROVAL OF OTHER PERFORMERS ARTIST reserves the approval rights of any other persons to appear in conjunction with this performance and the right to determine the length and nature of their performance(s).

8. REPRODUCTION OF PERFORMANCE No portion of the performance rendered hereunder may be broadcast, photographed, recorded, filmed, taped or embodied in a form of any purpose of reproducing such performance without ARTIST's prior written consent. PURCHASER shall deny entrance to any persons carrying audio or video recording devices without limiting in any way the generality of the foregoing prohibition, it is understood to include members of the audience, press and PURCHASER's staff. In the event that PURCHASER, his/her agent, servants, employees, contractors, etc., reproduce or cause to be reproduced ARTIST's performance in the form of film, tapes or any other means of audio or video production, upon demand by ARTIST, PURCHASER shall deliver all of the same (together with any and all masters, negatives and other means of reproduction thereof) to ARTIST at PURCHASER's sole cost and expense, in addition to all other legal equitable remedies which ARTIST may have. PURCHASER shall not permit the recording or broadcast, oral and/or visual of any performance without the express written consent of ARTIST. 9. INTERVIEWS ARTIST reserves the right of approval in writing of all radio, television and newspaper or magazine interviews made in conjunction with performance. Interviews shall take place only after performance is completed, time and travel schedule permitting. PURCHASER shall not commit ARTIST to any personal appearances, interviews or any other type of promotion without ARTIST's Management prior approval. 10. CONCESSIONS PURCHASER agrees that ARTIST and/or its representatives shall have the right to the sale of souvenir booklets, T-shirts, posters and other memorabilia at this performance. PURCHASER agrees to provide adequate space and sellers to vend such souvenir material and ARTIST agrees to pay a reasonable sale commission. If the facility has professional sellers, the PURCHASER shall advise ARTIST in writing of the names, addresses and telephone numbers and commission fees of the sellers. 11. PRODUCTION a) PURCHASER agrees to contact and assist Tour Manager for ARTIST to coordinate all details concerning this engagement, including band gear rentals, sound, lighting and staging. b) PURCHASER agrees to provide telephone numbers and addresses, day and evening, both home and business for himself/herself, Production Manager, Catering Manager and lighting, sound personnel.

c) PURCHASER agrees to provide a interpreter who is fluent in the language where performance is scheduled, to assist Production / Tour Manager, if English is not the native tongue. 12. TRANSPORTATION PURCHASER agrees to provide transportation and drivers for Artist and ARTIST's entourage (up to fourteen /14 people) and luggage: From Airport to hotel and from hotel and return to airport:

• One (1) Mercedes/BMW sedan (model year 2006/2007) for Ms. Wilson • Two (2) fifteen (15) passenger vans for artist’s 14 member entourage • One (1) fifteen (15) passenger van with seats removed for luggage

From hotel to venue and return to hotel following performance:

• One (1) Mercedes/BMW sedan (model year 2006/2007) for Ms. Wilson • Two (2) fifteen (15) passenger vans for artist’s 14 member entourage

13. HOTEL ACCOMMODATIONS When PURCHASER is to provide hotel accommodations, they must be as follows: One (1) VIP two room suite/smoking (One room is the king bedroom and one room is the living room, separated from the bedroom by a door that closes). Fourteen (14) single king non-smoking hotel rooms. The hotel is to be a five star world class property, to include in house dining facilities with room service, direct dial phone telephones, internet, with a 24 hour switchboard. Purchaser to submit hotel selection for written approval not later than 45 days prior to engagement. Final approval on hotel will be made by ARTIST’S management. Accommodations must be in a five star hotel (Four Seasons, Ritz Carlton or equivalent). Rooms are to be made available to Artist the day of performance for a 12:00PM or earlier check-in and one day prior to the performance if requested by Artist (continuted next page) If an early check –in is required on the day of show but cannot be ensured by hotel, rooms must be secured the day prior to enable Artist to check -in immediately upon their arrival. Purchaser shall be responsible for the cost thereof. Purchaser must pay in advance all room and tax charges. Artist shall be responsible for any and all incidental charges. All hotel accommodations must be approved in advance by ARTIST Tour Manager. If, upon arrival, Artist’s tour manager determines the hotel accommodations to be unacceptable, Artist shall have the right to change hotels and purchaser shall be responsible for any and all cost (transportation, cartage and etc.) associated with such a hotel change.

14. DRESSING ROOMS PURCHASER agrees to provide: a) A minimum of four (4) dressing rooms for ARTIST and Artist’s Band. Each room is to be equipped with eight (8) chairs, adequate lighting, mirrors, AC outlets, clothes hanging rack, hot and cold running water, soap, towels, boxes of facial tissues and private lavatory facilities. Should it be deemed necessary by ARTIST, (additional fan and / or heater must be available upon request, if unable to control temperature within said dressing rooms. Dressing rooms must be capable of being locked. b) Tour Manager must receive keys to dressing room. c) Security must be present in the dressing room hallway from sound check to the Artist departure after show. d) PURCHASER to provide production office exclusively for Cassandra Wilson staff which shall include the following: AC outlets, internet, a minimum of 3 working phone lines, adequate desk space and a minimum of 4 (four) comfortable chairs. e) Minimum of two (2) dozen terry cloth bath towels. (dark color) f) Minimum of two (2) dozen terry cloth hand towels (dark color). 15. CATERING PURCHASER agrees to provide and pay for at his sole cost the following refreshments and food for the following persons at the following times: Crew of a minimum of four (4) persons at 10:00am (or load-in time). Hot Breakfast consisting of eggs cooked to order, bacon and/or sausage, assorted,

cold cereals, jams, toast, muffins, etc. unless advised otherwise by Cassandra Wilson Representative Also:

(1) One fresh, ripe uncut fruit set-up (1) One six pack Coca-Cola classic (2) Two six packs of assorted Snapple’s/ Arizona ice teas or similar (6) Six large bottles of Evian water, along with cups and ice

Hot coffee, tea (Earl Grey & herbal), milk (whole milk & low fat) orange juice, apple juice, cranberry juice

Constant supply of hot tea and coffee, cream, sugar and honey (to be maintained throughout the day to the end of performance). One (1) dozen of assorted donuts. Crew of a minimum of four (4) persons at 1:00pm (or lunch time). Hot soup. Fruit, cheese and deli trays (wheat bread, white bread, corn breads are requested and preferably freshly baked). One (1) gallon of distilled water, two (2) quarts of unsweetened apple juice and orange juice, one (1) case of soft drinks (assorted selection). DINNER All condiments necessary. Silverware, napkins, cups, bowls, plates, mugs and any other items and utensils necessary.(Plastic utensils, plastic or paper plates are not acceptable) Dinner should be served: Two hours (2hrs.) prior to the scheduled performance, for fifteen (15) persons, Mixed vegetable salads. Warm bread or rolls. Raw and steamed vegetables

Spring water, Juices, Assorted soda, Milk (whole and skim), Iced tea (unsweetened), Hot tea, Hot coffee Baked chicken, broiled fish, pastas, brown and wild rice, jams, sweet potatoes. Italian, Chinese, Thai and Mexican, foods, etc. Tour/Production Manager will confirm in show advance the hot entrée. Desserts, must be fresh and preferably homemade. Five (5) of the Fifteen (15) meals should be fish. Also, please make suggestions based on local tastes and cuisine.

Please provide plastic to go containers for the removal of uneaten food for later use.

(VERY IMPORTANT)

DRESSING ROOM HOSPITALITY All condiments necessary. Silverware, napkins, cups, bowls, plates, mugs and any other items and utensils necessary. Dressing rooms food for the following Artist and Band shall be available one (1) hour before Sound Check: ROOM ONE: Door to be marked "CASSANDRA WILSON" This is the environment Cassandra will prepare for her performance in your venue. Dirty carpeting and marked up walls are not acceptable. If necessary, cover them with suitable rugs and wall coverings or textiles. Please make the room comfortable, that you would enjoy spending time in.

For ARTIST Bus: (1) 1 quart fresh milk, sugar and 11b starbucks ground coffee (1) One boxes of Orville Redenbacher Microwave Popcorn (6) Six liter bottles of Evian water (24) Twenty four small bottles of Evian water (1) One six pack of Pepsi (2) Two quarts of fresh orange juice (2) Two quarts of cranberry juice (2) Two quarts of apple juice (2) Two 10 LB bags of ice (1) Deli Platter of cold cuts and sandwich materials for 14 persons (including

breads, mayo, mustard, lettuce, tomato, cheese, etc.)

16. SECURITY PURCHASER agrees to accept full responsibility for security of all equipment and personnel connected with ARTIST’s show. This includes but is not limited to the provisions of: a) A Security Guard stationed in the dressing room area during the entire time the rooms are in use. b) Adequate security at sound console and lighting positions. c) Adequate security in house for crowd control and within backstage area. Positioning of security personnel to be coordinated with ARTIST's Tour Manager. 17. ACCESS PASSES ARTIST's Representative shall carry all necessary passes for the engagement hereunder. 19. REHEARSAL/SOUND CHECK/FOCUSING CHECK It is understood and agreed that to maintain the high musical and performance standards for which ARTIST is known -- a) Placement and testing of all sound, lighting and staging equipment must be completed prior to sound check; b) A minimum of 2 Hours must be allowed to check band equipment, monitor and house levels, and light focusing; 2 hours are also required for set up and load in. c) No audience shall be allowed to enter places of performance until such sound check has been completed to ARTIST's satisfaction; d) If there is an act appearing prior to ARTIST, its equipment shall be placed on stage only after consulting with ARTIST's Tour Manager. No equipment should be moved without consulting with ARTIST's Tour Manager.\ 20. STAGE PLOT & INPUT LIST. Please contact tour manager for the current plot & input list. 21. STAGE HANDS, TECHNICAL STAFF AND MISCELLANEOUS PURCHASER agrees to provide the following help and equipment at venue at no cost to ARTIST: a) (1) One Runner with transportation to assist ARTIST's Production Crew throughout the show day. b) (4) Four Truck Loaders at load-in and load-out. c) (8) Eight Stagehands to assist ARTIST's Crew from load-in, load-out. Three (3) of the Eight Stagehands are to stay during sound check and entire performance. d) (2) Two Riggers for load-in and load-out, if the sound and/or lights are to be flown. e) (1) One experienced Forklift Operator (with forklift, if load-in and load-out conditions warrant. f) (1) One electrician familiar with venue to work with sound and light companies to ensure a safe and proper hook-up into AC system. The electrician will be required to remain on the premises from beginning of load-in to completion of load-out.

g) (2) Spot Spotlights, lights including ample power, and experienced competent operators to operate said spotlights. Artist’s Production Manager should be consulted as to kind and placement of said spotlights. h) (1) One experienced Wardrobe Valet who must have ironing board, electric steam iron and sewing kit, and shall be available as designated by ARTIST from the beginning of sound check to the end of performance. 22. MODIFICATION OF CONTRACT It is understood that the contract may not be changed, modified, or altered except by an instrument in writing, signed by the parties in accordance with the laws of the State of California. Nothing in this contract shall require the performance of any act contrary to the law or to the rules or regulations of any union, guild or similar body having jurisdiction over services of ARTIST or over performance hereunder. Whenever there is any conflict between any provisions of this contract and any law, or any such rule or regulation, this contract shall be modified to the extent necessary to eliminate such conflict. This is the sole and complete agreement between parties with respect to the engagement. Nothing in this contract to be construed to constitute the parties as a partnership or joint venture, and ARTIST shall not be liable in whole or in part for any obligation that may be incurred by PURCHASER in carrying out any provisions hereof, or otherwise. 23. MISCELLANEOUS a) Artist shall not perform before a segregated audience. b) PURCHASER warrants that he/she has the right to enter into this contract and is of legal age. c) Upon receipt of ARTIST's Technical Requirements, PURCHASER must provide within ten (10) days the names, addresses and telephone/fax numbers of the company contracted for the times listed. ARTIST’s Tour Manager must approve any variations at least ten (10) days prior to show date. It is specifically agreed that once the stage equipment has been set for ARTIST, and sound check completed, none of the items will be removed until after performance. Any opening acts must be positioned identically in order to utilize the rental equipment and no equipment shall be removed without prior Tour Manager's consent.

24. MEDICAL INFORMATION PURCHASER shall furnish Tour Manager with the name and telephone number of a doctor who can be reached by telephone twenty-four (24) hours a day, for ARTIST's party on arrival. 25. WORK PERMITS AND OFFICIAL DOCUMENTS Application for work permits, submission of permits, and costs for permits are the sole responsibility of the PURCHASER. PURCHASER to advise of any specific local or state authority documents that require advance preparation on the part of the artists/touring party. PURCHASER to list the documents needed from ARTIST upon the artist’s acceptance of the engagement, and not later than 60 days prior to the engagement.
