CONDITIONS OF SALE

1. The highest bidder to be the Purchaser (but the Auctioneers reserve the right of refusingany bid) and if any dispute arises at the last bid, the Lot to be put up again or theAuctioneers may name the purchaser.

2. The Auctioneers to fix the rate of bidding.

3. All prospective purchasers to make themselves known to the Auctioneers prior to thesale time, giving their full name, trading title, address and contact telephone numbers.

4. All prospective purchasers not known to the Auctioneers must provide a BANKREFERENCE prior to purchasing. No cash transactions over £10,000 sterling will beaccepted. Payment may be made via a BANKERS DRAFT, CHEQUE WITH GUARANTEECARD/BANK REFERENCE.

5. All descriptions, either written or verbal, are for guidance purposes only. The Auctioneersor vendors will not be held responsible for the accuracy of any such description. All lotsare sold with all faults and errors of description. Purchasers must satisfy themselvesprior to sale of a Lot as to the condition of each Lot and should exercise and rely ontheir own judgement as to whether the Lot accords with its description.

6. It is the purchasers' responsibility to ensure that all plant machinery or equipmentcomplies with the Health & Safety at Work Act 1974 before such items are used at aplace of work.

7. The Auctioneer, as agent for the vendor, reserves the right to bid up to the reserve pricewhere set on any Lot.

8. At the fall of the hammer the PURCHASER will take full responsibility for the Lot. TheLot may not be removed from the sale premises before payment is made.

9. No person will be allowed to remove any of the Lots without a pass for the removal ofLots.

10. Failure, on behalf of the purchaser, to pay for any Lot(s) will result in a resale. Any deficitor costs incurred will be the responsibility of the original purchaser.

11. The Auctioneers wish to draw to the attention of the purchaser that VAT at the currentstandard rate will be charged unless otherwise stated.

12. The vendor and the Auctioneers as the vendor’s agent retain all titles in any Lot until allpurchase monies have been paid in full. Outstanding monies will be charged at aninterest of 4% above the Bank Base Lending Rate.

13. In all cases of transfer, the original purchaser shall be responsible for purchase money.

GENERAL INFORMATIONDIRECTIONS TO THE SALEManor Farm is situated on Green End Road which is approx. 1 mile from the Fillongley Crossroads, 7 miles from Nuneaton and Coventry and 4 miles from Meriden. If travelling on the M6, junction 4 at Coleshill is approx. 6 miles and junction 3 at Bedworth is approx. 4 miles from Manor Farm. From the centre of the Village, head towards Meriden on the B1402 and after ½ mile turn right onto Green End Road signposted Green End and Maxstoke. Manor Farm can be found approx. ¼ mile on this road. PRE SALE ENQUIRIESPre sale enquiries can be made by contacting either Diane on 07828 678016 or Ian on 07783 366848. VATVAT at the current standard rate is payable on each and every lot in addition to the hammer price, unless otherwise stated at the time of the auction.VAT ON EXPORTUnder regulations imposed by HM Customs & Excise, the auctioneers must account in a correct manner for VAT on export goods. The Complete Farm Dispersal Sale is on the instructions of The Partnership of Messrs J W Smith & Son, following the death of Joe Smith.

Joe’s father, Bert Smith, came to Manor Farm in 1939 when Joe was two years old. Following Bert’s death, Joe and his late brother Derek, continued to farm with their sons.

The farming system adopted on the farm was a mixed dairy farm until 2008 and then followed the breeding of a mixed beef herd to date.

Any items marked * will be sold in situ.

5. All descriptions, either written or verbal, are for guidance purposes only. The Auctioneersor vendors will not be held responsible for the accuracy of any such description. All lotsare sold with all faults and errors of description. Purchasers must satisfy themselvesprior to sale of a Lot as to the condition of each Lot and should exercise and rely ontheir own judgement as to whether the Lot accords with its description.

6. It is the purchasers' responsibility to ensure that all plant machinery or equipmentcomplies with the Health & Safety at Work Act 1974 before such items are used at aplace of work.

7. The Auctioneer, as agent for the vendor, reserves the right to bid up to the reserve pricewhere set on any Lot.

8. At the fall of the hammer the PURCHASER will take full responsibility for the Lot. TheLot may not be removed from the sale premises before payment is made.

9. No person will be allowed to remove any of the Lots without a pass for the removal ofLots.

10. Failure, on behalf of the purchaser, to pay for any Lot(s) will result in a resale. Any deficitor costs incurred will be the responsibility of the original purchaser.

11. The Auctioneers wish to draw to the attention of the purchaser that VAT at the currentstandard rate will be charged unless otherwise stated.

12. The vendor and the Auctioneers as the vendor’s agent retain all titles in any Lot until allpurchase monies have been paid in full. Outstanding monies will be charged at aninterest of 4% above the Bank Base Lending Rate.

13. In all cases of transfer, the original purchaser shall be responsible for purchase money.
