Take notice that:

1. The above-mentioned Debtor filed a Notice of Intention to Make a Proposal on August 12,2010. Aproposal inrespect ofthe aforenamed Debtor, filed on December 3, 2010 under section 62 ofthe Bankruptcy and InsolvencyAct, was approved atthe First Meeting ofCreditors held on December 17, 2010.

2. The proposal was dependent on the success ofan investment transaction that was conditional totherestructuring of indebtedness owing tosecured creditors. Atthe hearing ofapplication for Court approval oftheproposal on January 20, 2011, the Court refused to approve the proposal and the Debtor was thereupon deemed tohave made an assignment. RSM Richter Inc. was appointed as trustee ofthe estate ofthe bankrupt by the officialreceiver, subject toaffirmation by the creditors ofthe trustee's appointment orsubstitution ofanother trustee by thecreditors.

3. The first meeting ofcreditors ofthe bankrupt will be held on February 10, 2011 at11 :30 A.M., atthe Office ofthe Superintendent ofBankruptcy at5 Place Ville Marie, 8th Floor, Montreal, Quebec.

4. To be entitled tovote atthe meeting, acreditor must lodge with the trustee, before the meeting, aproof ofclaim and, where necessary, aproxy.

5. Enclosed with this notice isaproof ofclaim form, proxy form, and list ofcreditors with claims amounting to $25ormore showing the amounts oftheir claims.

6. Creditors must prove their claims against the estate ofthe bankrupt in order toshare in any distribution oftheproceeds realized from the estate.

7. It is important to note that, if you have already submitted a Proof of Claim to theTrustee pursuant tothefilingof theProposal, it is notnecessary to resubmit your claim, unless theamount is different.
